RESOLUTION OF THE CITY OF CARMEL BOARD OF PUBLIC WORKS AND SAFETY
ACKNOWLEDGING ARTS GRANT PROGRAM AGREEMENT
WHEREAS, pursuant to Indiana Code 36-1-4-7, the City of Carmel, Indiana (“City”), is authorized to enter
into contracts; and
WHEREAS, pursuant to Indiana Code 36-4-5-3, the City’smayor may enter into contracts on behalf ofthe
City; and
WHEREAS, pursuant to his authority under Indiana law, the City’smayor, the Honorable James C. Brainard,
has caused to be signed the Arts Grant attached hereto as Exhibit A (the “Contract”); and
WHEREAS, Mayor Brainard now wishes to present the contract to the City’sBoard of Public Works and
Safety for it to be publicly acknowledged, filed in the Clerk’sOffice, and made available to the public for review.
NOW, THEREFORE, BE IT RESOLVED by the City of Carmel Board of Public Works and Safety as
follows:
1. The foregoing Recitals are incorporated herein by this reference.
2. The receipt ofthe Contract is hereby acknowledged.
3. The Contract shall be promptly filed in the office of the Clerk and thereafter made available to the public
for review.

ARTS GRANT PROGRAM
AGREEMENT
This Grant Agreement (herein referred to as "Agreement") entered into by and between the CityOfCarmel (the "City") and Sw Dwnc E c L Je (theGrantee"), is executed pursuant to the terms and conditions set forth herein. In consideration ofthosemutualundertakingsandcovenants, the parties agree as follows:

2.
Grant Agreement. The City, after review and recommendation by the Mayor, agrees to grant $ 13,350.00 to the Grantee for the eligible costsoftheproject (the "Project") or services as described in Exhibits "A" and "B" of thisAgreement. The funds shall be used exclusively in accordance with the provisionscontainedinthisAgreement. Generally, the Grant award may not exceed one third1/3) of Grantee's combined contributed income, revenue of sales, and/or ticketrevenuefromthepreviousyear. The City of Carmel may, however, make exceptionsforstart-up organizations that have been in existence for three (3) years or less.
3• Design and Implementation of Project. The Grantee agrees to use any and all grantfundsinaccordancewiththeproposalcontainedwithinthisagreementandanydocumentsattachedtothisAgreement, which are incorporated by reference.
4.
Warranty of non-profit status. Grantee hereby represents and warrants that it is anot -for -profit entity with a determination letter from the Internal Revenue ServicedeclaringthatitisexemptfromFederalincometax.

5. Payment of Grant Funds by the City. The payment of this Grant by the City to the
Grantee shall be made in accordance with the following conditions:
A. This Agreement must be fully executed and signed by both Grantee and Grantor.
B. Grantee has attached all the following information, which it represents and warrants
to be true and accurate, all which have been incorporated fully by reference:
1. An application and description of the proposed use of the grant funds (EXHIBIT
A);
2. A budget for the calendar or fiscal year for which the grant is requested
EXHIBIT B);
3. Certified copies of incorporation as a not -for -profit corporation under state law
EXHIBIT C);
4. A not -for -profit application or determination letter from the U.S. Internal Revenue
Service identifying that it is a not -for -profit corporation that is exempt from
Federal income tax (EXHIBIT D);
5. Any audits, reviews or compilations available describing the financial condition
of the Grantee, unaudited Balance Sheet and Income Statement, most recent
available IRS Form 990, and the attached Affidavit (EXHIBIT E);
6. A list of the Grantee's board of directors and officers listed (EXHIBIT F);
7. A Year End Report from the previous year if Grantee received an Arts Grant from
the City of Carmel in the previous calendar year, pursuant to paragraph 8 herein
EXHIBIT G).
C. Any other grant conditions that City requires to be met by Grantee, specifically
6. Grantor's right to request audit or review. Grantee shall submit to an audit or
review by an independent Certified Public Accountant of funds at the City's request,
and shall make all books, accounting records and other documents available at all
reasonable times during the term of this Grant Agreement, and for a period of three
3) years after final payment of funds under this Agreement, for the purpose of an
audit by the City of Carmel, the State of Indiana, or their designees. Said review or
audit, if requested, shall be performed by a Certified Public Accountant ("CPA") who

is neither an employee of Grantee nor a member of the Grantee's Board of Directors,
to be provided to the City of Carmel by March 31 of the following year.
7. Quarterly financial statements. Grantee agrees to provide the City of Carmel
quarterly financial statements within 45 days after each quarter -end for Grant awards
in excess of sixty thousand dollars ($60,000).
8. Year-end review. Grantee agrees to provide the City of Carmel a year-end report
Year End Report") for each year, describing how the grant was used and the impact
of the dollars received.
9. Funding Credit. Grantee agrees to credit the City of Carmel in the printed materials
associated with a funded program or project. The City of Carmel will supply, upon
request, Grantee with the graphics/logos necessary for compliance.
10. Statutory Authority of Grantee. The Grantee expressly represents and warrants to
the City that it is statutorily eligible to receive these monies and it expressly agrees to
repay all monies paid to it under this Grant, should a legal determination of its
ineligibility be made by any Court of competent jurisdiction.
11. Use of Grant Funds by Grantee. The funds received by the Grantee pursuant to this
Agreement shall be used only to implement the Project or provide the services in
conformance with the Budget and for no other purpose. If it is determined by the
City that misappropriation of funds have occurred, the Grantee must return all funds
received by Grantor and individuals who misuse Grant funds may also be subject to
civil and/or criminal liability under Indiana and Federal law.
12. Employment Eligibility Verification. The Grantee affirms under the penalties of
perjury that he/she/it does not knowingly employ an unauthorized alien.
The Grantee affirms under the penalties of perjury that he/she/it has enrolled and is
participating in the E-Verify program as defined in IC 22-5-1.7. The Grantee agrees
to provide documentation to the City that he/she/it has enrolled and is participating in
the E-Verify program.
The City may terminate for default if the Grantee fails to cure a breach of this
provision no later than thirty (30) days after being notified by the State.
13. Governing Law; Lawsuits. This Agreement is to be construed in accordance with
and governed by the laws of the State of Indiana, except for its conflict of laws
provisions. The parties agree that, in the event a lawsuit is filed hereunder, they
waive their right to a jury trial, agree to file any such lawsuit in an appropriate court
in Hamilton County, Indiana only, and agree that such court is the appropriate venue
for and has jurisdiction over same.

14. Relationship of Parties. The relationship of the parties hereto shall be as provided
for in this Agreement, and neither Grantee nor any of its compensated officers,
employees, contractors, subcontractors and/or agents are employees of City. The
Grant amount set forth herein shall be the full and maximum compensation and
monies required of City to be paid to Grantee under or pursuant to his Agreement.
15. Severability. If any term of this Agreement is invalid or unenforceable under any
statute, regulation, ordinance, executive order or other rule of law, such term shall be
deemed reformed or deleted, but only to the extent necessary to comply with same,
and the remaining provision of this Agreement shall remain in full force and effect.
16. Entire Agreement. This Agreement, together with any exhibits attached hereto or
referenced herein, constitutes the entire agreement between Grantee and City with
respect to the subject matter hereof, and supersedes all prior oral or written
representations and agreements regarding same. Notwithstanding any other term or
condition set forth herein, but subject to paragraph 15 hereof, to the extent any term
or condition contained in any exhibit attached to this Agreement or in any document
referenced herein conflicts with any term or condition contained in this Agreement,
the term or condition contained in this Agreement shall govern and prevail. This
Agreement may only be modified by written amendment executed by both parties
hereto, or their successors in interest.

DESCRIPTION OF THE PROPOSED USE OF THE GRANT FUNDS:
Central Indiana Dance Ensemble (CIDE), central Indiana's first pre -professional ballet company,
invites your investment of $40,800 to present our original, full-length production of Alice in
Wonderland during the 2022-2023 season.
CIDE was established in 1999 by founding director Suzann DeLay. Following a successful
professional career dancing with Sacramento Ballet and Pacific Northwest Ballet, Suzann
moved to central Indiana and saw a need for a pre -professional ballet company. She founded
CIDE to provide cultural and educational enrichment through the artform of classical ballet to
aspiring dancers in the central Indiana community.
From the inception of CIDE in 1999 to now, the company has grown from one ensemble of 10
dancers to 6 companies of over 60 dancers ages 8 to 18. CIDE has a proven track record of
excellence, resulting in over 30 alumni who have received college degrees in dance -related
fields including performance, administration, and pedagogy. In addition, over 20 alumni have
gone on to pursue successful dance careers with the nation's top dance companies including
Pacific Northwest Ballet, Jessica Lang Dance, Nashville Ballet, Boston Ballet, and Charlotte
Ballet. As we prepare to enter our 23rd season, we have established ourselves as a leader in
the central Indiana dance community. CIDE is guided in our pursuit of excellence not only by our
mission to provide cultural and educational enrichment to the central Indiana community, but by
our company vision. Our vision is to:

In order to achieve our vision, CIDE provides an environment for aspiring young dancers to
learn the art of ballet, rehearse both repertoire and full-length ballets and perform in a
pre -professional atmosphere. CIDE works diligently to provide high -quality training and
performances to the central Indiana community.
CIDE presents two full-length classical ballet productions per year: The Nutcracker during the
holiday season, and an exciting storybook ballet, such as Alice in Wonderland in the spring.
Students from all over central Indiana are invited to audition and participate in both of these
performances. CIDE also presents one yearly repertoire performance titled Mixed Rep
consisting of both classical and contemporary ballet works. These performances are presented
in central Indiana and open to our entire community. CIDE is a member company of the
Regional Dance America (RDA) Mid -States, an organization dedicated to increasing
opportunities, exposure, and connections for pre -professional dance companies around the
United States through dance education, choreography and performance. RDA Mid -States
panelists adjudicate CIDE pieces each year and have selected CIDE to perform at the Festival's
Gala performance nearly every year since 2006. In recent years, CIDE members have
competed at the Youth America Grand Prix (YAGP) Indianapolis and Chicago Regional
competitions, joining the world's largest global network of dance for aspiring dancers ages 9-19.
Through this platform, CIDE dancers have received top awards. CIDE's home studio, Central
Indiana Academy of Dance, was named "Most Outstanding School" by YAGP in 2012 and 2014.
Additionally, we present a yearly summer intensive in which students study with guest
instructors for two -weeks in an environment designed to mirror that of a professional company.
Through these educational and performance opportunities, we are able to create the nurturing
environment of dance training which is a cornerstone of our vision.
As a resident company of the Booth Tarkington Civic Theatre at the Center for the Performing
Arts in Carmel, Indiana, CIDE presents a yearly storybook ballet every May. In the past, these
ballets have included Snow White, Peter Pan, The Sleeping Beauty, and Wizard of Oz. In our
2021-2022 season and due to a generous grant from the City of Carmel, CIDE will stage
Cinderella on May 21-22, 2022. As we embark upon our 23rd season, CIDE is thrilled to be
bringing back a beloved favorite, Alice in Wonderland, to the Tarkington stage.
The original production of Alice in Wonderland was choreographed in 2003 by CIDE artistic staff
Suzann DeLay, Michael Casey Clark and Lise Hern. Since 2003, Alice in Wonderland has only
returned to the CIDE stage two times, and we are thrilled to bring it back in the 2022-2023
season. The production will be restaged by the CIDE artistic staff including Michael Casey
Clark (one of the original choreographers), Ashley Jacobs, and Jillian Godwin. CIDE artistic
staff members are respected choreographers and instructors who bring a wealth of knowledge
to our community. (Further information about each staff member can be found below in the
biography section.) $6,000 of our funding request has been allocated toward staffing to provide
artistic services for this production.

CIDE is dedicated to giving our dancers the best possible opportunities in dance training.
Beyond working with the highly qualified CIDE Artistic Staff, we are in discussion to contract
with dance instructor Janessa Touchet to provide a weekend coaching session to the cast of
Alice in Wonderland. A recently retired Cincinnati Ballet principal dancer, Ms. Touchet brings a
wealth of experience to share with our dancers. The cost to bring in a guest coach will be
1,250.
In addition to obtaining the very best in artistic instruction, CIDE consistently brings in male
guest artists of a high caliber. Guest artists appeal not only to our audiences, but also give our
aspiring company dancers strong role models in the field of dance to learn from. To obtain guest
performers, we work closely with the Dance Department at Butler University, which was ranked
third in the nation among college dance programs by College Magazine in 2019. The expense
to bring in guest male artists is $5,000
Alice in Wonderland was originally designed and crafted in 2003, and the costumes have not
been updated in nearly 20 years. To continue presenting high quality productions for which
CIDE is known, it is necessary to update the costumes, lighting, backdrops and sets for this
production. It will cost $20,000 to update the production:
3000 for costume updates
We will work with local Costume Designer Jamie Long to revamp the main characters'
costumes including Alice, the White Rabbit, the Caterpillar, Cheshire Cat, the Dormouse
and the March Hare. (Samples of past costuming work for CIDE are at the end of Exhibit
A)
12000 for lighting updates
We work closely with Majestic Productions in Summitville, IN to design breathtaking
lighting which adds an extra element of magic to our performances.
5000 for sets and backdrops
In addition to gorgeous backdrops which will be rented from Grosh Scenic Rentals in
Evansville, IN, we will be investing in a brand new table and props for the Mad Hatter's
Tea Party, which are all critical pieces in the plot line of Alice in Wonderland.
Beyond the theatrical elements necessary for a performance, many behind -the -scenes
expenses are required to bring the magic of Alice in Wonderland to life. Our request is
completed with $8,550 in expenses toward additional performance and operating expenses.
This includes $5,000 for theatre rental at the Booth Tarkington Civic Theatre, $550 for
backstage workers, $2,000 for ticketing services, $500 for advertising and $500 for printing and
publications.
On average, our Spring Ballet at the Booth Tarkington Civic Theatre at theCenter for the
Performing Arts reaches 1,200 audience members. In addition to the mainstage performances,
we will present a number of related outreach performances to the elderly and youth at venues
such as Primel-ife Enrichment, Barnes and Noble Carmel, and Carmel Library. These
performances are free of charge and open to the public. At each outreach presentation, we will
perform an abbreviated version of Alice in Wonderland in full costume. Audience members will
have the opportunity to ask questions and interact with the dancers following the performance.
By performing outreach events in the months leading up to our show, we are able to reach
approximately 450 Carmel residents who otherwise may not be able to experience the joy of
ballet.

Suzann DeLay, Founding Director
Suzann Slier DeLay received her early dance training in California
with Deane and Barbara Crockett, founders of The Sacramento
Ballet. She went on to dance a variety of contemporary and
classical roles while a member of The Sacramento Ballet. She also
had a brief career with Pacific Northwest Ballet until injury forced
her to retire. She has been fortunate to study with some of the
master teachers of our time such as Violette Verdy, Robert Barnett,
Robert Joffrey, Janet Reed, and David Howard just to name a few.
Suzann appeared in several musicals including Princess and the
Pea and Lii'Abner. She has also appeared in several PBS specials
in the California area.
Suzann has taught, choreographed and performed throughout the
United States, including the official School for Sacramento Ballet,
and occasionally teaches for the Contemporary Dance Department
at Indiana University. She brings with her a vast knowledge of
classical ballet and has taught Ballet, Pointe, Variations and Pas de
Deux to students six through adult. She also specializes in a creative dance program for
children ages three through six. She has been recognized with numerous awards for
choreography works in ballet and contemporary.
In 1999, Suzann founded the Central Indiana Dance Ensemble, which is successfully
celebrating their 20th season. Alumni of Central Indiana Dance Ensemble have gone on to
professional careers with Ballet West, Dayton Ballet, Pacific Northwest Ballet, Nashville Ballet II,
Nevada Ballet, Boston Ballet and North Carolina Dance Theatre. In addition, many alumni havebeenacceptedwithscholarshipstotoplevelsummerintensives, residencies and universities.
In 2009, she opened Central Indiana Academy of Dance to provide pre -professional training for
the resident pre -professional company, Central Indiana Dance Ensemble, an honor companywithRegionalDanceAmerica. In 2012 & 2014 Central Indiana Academy of Dance was awarded
the Youth American Grand Prix "Outstanding School" Award.
She has been honored by being on the cover of the December 2008 issue of Indianapolis
Woman and was invited and attended the National Teachers Weekend at the School of
American Ballet in 2010. She is the former President for the Mid -States Board of Directors ofRegionalDanceAmerica.
Trained in Cecchetti and Russian techniques, she was a student of the Crockett's for manyyearsandisdedicatedtocarryingontheirteachings. Suzann is an ABTO Certified Teacher,
who has successfully completed the ABT® Teacher Training Intensive in Pre -Primary throughLevel5oftheABT@NationalTrainingCurriculum.

Michael Casey Clark, Co -Artistic Director
Michael Casey Clark is originally from Fishers, Indiana,
Casey started dancing at the age of 19. He attended Ball
State University graduating with a BS in Dance Performance
with a minor in Theatre. While at Ball State, he was
encouraged to attend dance classes and audition for the Ball
State Performing Dance Company where he was accepted
as an Apprentice. A year later he became a company
member. While studying at Ball State, he also performed with
the Anderson Young Ballet Theatre, directed by Lou Ann
Young. He received many scholarships and was the first to
receive the Lynette Jordan Schisla Scholarship.
At Ball State, Casey developed his choreography skills. He
was one of several students to have their works adjudicated
and performed at the American College Dance Festival,
representing Ball State. Casey also choreographed many
musicals at Ball State. "Dancing at Laughnasa" was
adjudicated and presented at the American College Theatre
Festival. He was also voted Best Student Choreographer.
Casey has studied and worked with many outstanding choreographers and master teachers
including Gail Gilbert (David Parsons Dance Company), Franciose Martinett (Joffrey Ballet),
Sylvia Waters (Alvin Ailey), Trinette Singleton (Joffrey Ballet), Luigi and Twyla Tharp, just tonameafew.
Summer of 2003, Casey was accepted to the Glenda Brown Choreography Project in Austin,
Texas, where he worked with Margo Sappington. Casey attended this project as a
choreographer where he was inspired to create eight dances in thirteen days.
Casey is very excited to be expanding his teaching and choreography responsibilities at Central
Indiana Academy of Dance. Casey would like to thank Suzann DeLay for her insight and astute
knowledge she has shared with him.
Casey is an ABT® Certified Teacher, who has successfully completed the ABT® Teacher
Training Intensive in Pre -Primary through Level 3 of the ABT® National Training Curriculum.
Casey also is certified to teach three levels of Progressive Ballet Technique.

Ashley Jacobs, Co -Artistic Director & Outreach Coordinator
Ashley Jacobs began her formal ballet training at the age of 10 with Suzann DeLay, and was a
founding member of the Central Indiana Dance Ensemble. While with CIDE, she performed
soloist roles such as the Sugar Plum Fairy, Snow Queen, and Rose in The Nutcracker, Alice in
Alice in Wonderland, Cinderella in Cinderella, and Wendy in Peter Pan.
While dancing Ashley attended summer programs with
The Washington Ballet, Milwaukee Ballet, Boston
Ballet, and American Ballet Theatre.
Ashley attended the University of Utah as a ballet
major, and in her sophomore year transferred to
Indiana University to study in the Contemporary Dance
Program, where she received the Jane Fox Dance
Scholarship from the Kinesiology Department. While at
IU she danced with The Ben Munisteri Dance Company
of New York City, Connie Denapoli from Paul Taylor
Dance Company and The Liz Lerman Dance Exchange
of Washington D. C.
In addition to performing, she was a featured
choreographer in IU's "Hammer and Nail 2008". She
has choreographed for the Central Indiana Dance
Ensemble and was recognized at the Regional Dance America - MidStates Festival held in
Indianapolis.
Ashley has taught at many local studios, including Indiana University's Pre -College Dance
Program, and was an assistant teacher for the freshman dance major's modern class at IU.
Ashley is currently a supervising teacher for Butler University's Ballet Department Pedagogy
Major.
Ashley graduated from Indiana University with a Bachelor of Science in Kinesiology with an
emphasis in Dance Performance.
Ashley is an ABT® Certified Teacher, who has successfully completed the ABT® Teacher
Training Intensive in Pre -Primary through Level 5 of the ABT® National Training Curriculum.
Ashley was also recently certified in all three levels of Progressing Ballet Technique.

Jillian Godwin, Assistant to the Artistic Directors
Jillian Godwin began her dance training in Indianapolis
at Dance Magic Performing Arts Center and graduated
from Broad Ripple High School, Center for the Performing
and Visual Arts. While in high school, she competed in the
Prelude Awards and was a finalist in the dance category in
2001 and 2003. Jillian danced as an apprentice for Dance
Kaleidoscope for one season before she was promoted to
dancer. She has also trained at Chautauqua Institution
School of Dance in Chautauqua, New York, and American
Ballet Theatre's Summer Intensive in Detroit. Jillian was
accepted to River North Chicago Company's Summer
Intensive, where she trained with Sara Bibik, Sherry Zunker
and Laura Wade. She was one of only 33 dancers chosen
I nationally to attend the 10-day workshop. She was named
one of Indy's top ten most intriguing artists in 2012. She
also had the honor of sharing the stage with Michael
Feinstein, Liza Minnelli, and Rita Moreno at the 2013
Encore Awards Celebration held at the Palladium. She has
also spent time at the Graham School in NYC in 2015 and 2016 on scholarship during their
winter intensives. Jillian's mother Donna, even in spirit, continues to feed her drive and passion
for art, as well as her father Gregory, the DK family and David H. Jillian just retired In October
2020 from the stage after 17 seasons with Dance Kaleidoscope.
Janessa Touchet, Guest Choreographer
Janessa Touchet, is a retired Cincinnati Ballet principal
dancer, and is known for her exuberance onstage. Critics
have often called attention to her virtuosity, describing her as
vigorous," "energetic," and "fast on her feet." She's been
featured in Dance Spirit, Pointe Magazine, and in 2006, she
was a finalist at the International Ballet Competition in
Jackson, MS. Perhaps most impressive, that same year
while still a soloist) she and a fellow dancer from Cincinnati
Ballet were nominated for the prestigious Benois de la Danse
prize — the only Americans to receive the honor.
M At 19, Janessa joined Cincinnati Ballet as an apprentice,
beginning her steady rise to the top of the company's ranks.
Her first soloist role was as Tinkerbell in Septime Weber's
Peter Pan. Janessa then went on to perform principal parts in
ballets ranging from The Sleeping Beauty to Jorma Elo's quirky Plan to B. "The contemporary
ballets I feel are more of a challenge," she admits, because with her ballet training, "if I move my
body off my center, I fall. I love it, though."

The undersigned incorporator, desiring to form a corporation (the "Corpora(ion") pursuant
to the provisions of the Indiana Nonprofit Corporation Act of 1991 (the "Act"), exceutes the
following Articles of Incorporation:
ARTICLE I
Name
The name of the Corporation is Central Indiana Dance Ensemble, Inc.
ARTICLE II
Classification of Corporation
The Corporation is a public benefit corporation.
ARTICLE III
Purposes and Powers
Section 3.1. Purposes. The purposes for which the Corporation is fonned are:
a) To promote interest in the study and performance of the arts, particularly dance:
b) To promote and advance the public's appreciation and knowledge of dance;
c) Toprovide training and education to pre -professional individuals in theconcenlration
of dance; and
d) In furtherance of the aforesaid purposes, to transact any and all lawful business for
which corporations may be incorporated under the Act, provided such business is not inconsistent
with the Corporation being organized and operated exclusively for charitable purposes.

Section 3.2. Nonprofit Purposes.
a) The Corporation is organized and operated exclusively for charitable purposes and
its activities shall be conducted in such a manner that no part of its net earnings shall inure to the
benefit of any member, director, orofficer or other private person, except that the Corporation shall
be authorized and empowered to pay reasonable compensation for services rendered and to make
payments and distributions in furtherance of the purposes set forth in Section 3.1.
b) No substantial part of the activities of the Corporation shall be the carrying on of
propaganda, or otherwise attempting to influence legislation, and the Corporation shall not
participate in, or intervene in (including the publishing or distribution of statements), any political
campaign on behalf of any candidate for public office.
c) Notwithstanding any other provision of these Articles of Incorporation, the
Corporation shall not carry on any other activities not permitted to be carried on:
i) By corporation exempt from Federal income tax under Section 501(c)(3) of the
Internal Revenue Code of 1986, as amended, or corresponding provisions of any subsequent
Federal tax laws, or
ii) By a corporation, contributions to which are deductible under Section 170(c)(2),
Section 2055(a)(2), or Section 2522(a)(2) of the Internal Revenue Code of 1986, as amended,
or corresponding provisions of any subsequent Federal tax laws.
Section 3.3. Powers. Subject to any limitation or restriction imposed by the Act, any other
law, or any other provisions of these Articles of Incorporation, the Corporation shall have the power:
a) To do everything necessary, advisable, or convenient for the accomplishment ofany
of the purposes hereinbefore set forth, or which shall at any time appear conducive to or expedient
for the protection or benefit of the Corporation and to do all of the things incidental thereto or
connected therewith which are not forbidden by law;
b) To engage in transactions, financial or otherwise, with a class of nonprofit
corporations exempt from federal taxation pursuant to Section 501(a) of the Internal Revenue Code
of 1986, as amended, or corresponding provisions of any subsequent Federal tax laws. Such
transactions shall include, but not be limited to, the transfer of assets, bargain sales, the borrowing
or leasing of employees, the sharing of goods or services, the guarantee of the payment of principal,
interest, or other payment in whatever form on obligations evidenced by any form of indebtedness,
and the guarantee of performance of any obligation of any member of said class of nonprofit
corporations. Each member of said class shall be affiliated with the Corporation by:
i) supporting the Corporation, being supported by the Corporation, or supporting
or being supported by the same corporation or corporations as the Corporation pursuant to

Section 509(a) of the Internal Revenue Code of 1986, as amended, or corresponding

of 1986, as amended, or corresponding provisions of any subsequent Federal tax laws, by
paying over its income, less expenses, to the Corporation or to an organization described in
Section 3.3(b)(i).
In any event, the foregoing power or powers shall not be exercised or exercisable in a manner
inconsistent with the Corporation's status under Section 501(c)(3) of the Internal Revenuc Code of
1986, as amended, or corresponding provisions of any subsequent Federal tax taws; and
e) To have, exercise and enjoy in furtherance of the purposes hercinbet,ore set forth all
the general rights, privileges, and powers granted to corporations by the Act, as now existing or
hereafter amended, and by the common law.
Section 3.4. Limitations on Powers. If the Corporation is or becomes it private foundation
as defined in Section 509(a) of the Internal Revenue Code of 1986, as amended, or corresponding
provisions of any subsequent Federal tax laws), the Corporation shall be subject to the following
requirements:
a) The Corporation shall distribute its income for each taxable year at such time and in
such manner as not to become subject to the tax on undistributed income imposed by Section 4942
of the Internal Revenue Code of 1986, as amended, or corresponding provisions of ally subsequent
Federal tax laws.
b) The Corporation shall not engage in any act of self -dealing that would subject any
person to the taxes imposed on acts of self -dealing by Section 4941 of the Internal Revenue Code
of 1986, as amended, or corresponding provisions of any subsequent Federal tax laws.
c) The Corporation shall not retain any excess business holdings which would subject
it to the tax on excess business holdings imposed by Section 4943 of the Internal Revenue Code of
1986, as amended, or corresponding provisions of any subsequent Federal tax lanes.
d) The Corporation shall not make any investments in such it manner as to subject it to
the tax under Section 4944 of the Internal Revenue Code of 1986, as amended, or corresponding
provisions of any subsequent Federal tax laws.
e) The Corporation shall not make any expenditures which would subject it to the taxes
on taxable expenditures imposed by Section 4945 of the Internal Revenue Code of 1986, as
amended, or corresponding provisions of any subsequent Federal tax laws.

Board of Directors
Section 8.1. Number and Term of Office. Upon incorporation, the initial Board of Directors
shall consist of four (4) directors. Thereafter, the number ofdirectors shall be as specified in or fixed
in accordance with the Bylaws of the Corporation; provided, however, that the minimum number
of directors shall be three (3). The term of office of a director shalt be as specified in the Bylaws;
provided, however, that the term of an elected director shall not exceed five (5) years. Directors may
be elected for successive terms. Terms of office of directors may be staggered as specified in the
Bylaws.

Indemnification
Section 10.1. Rights to Indemnification and Advancement of Expenses. The Corporation
shall indemnify as a matter of right every person made a party to a proceeding because such person
is or was:
a) a member of the Board of Directors of the Corporation,
b) an officer of the Corporation, or
c) while a director or officer of the Corporation, serving at the Corporation's request as
a director, officer, partner, trustee, employee, or agent of another foreign or domestic corporation,
partnership, joint venture, trust, employee benefit plan, orother enterprise, whether for profit or not,
each an "Indemnitee") against all liability incurred by such person in connection with the
proceeding; provided that it is determined in the specific case that indemnification of such person
is permissible in the circumstances because such person has met the standard of conduct for
indemnification specified in the Act, The Corporation shall pay for or reimburse the reasonable
expenses incurred by an Indemnitee in connection with any such proceeding in advance of final
disposition thereof in accordance with the procedures and subject to the conditions specified in the
Act, The Corporation shall indemnify as a matter of right an Indemnitee who is wholly successful,
on the merits or otherwise, in the defense of any such proceeding against reasonable expenses
incurred by the person in connection with the proceeding without the requirement ofa determination
as set forth in the first sentence of this paragraph.
Upon demand by a person for indemnification or advancement of expenses, as the case may
be, the Corporation shall expeditiously determine whether the person is entitled thereto in
accordance with this Article and the procedures specified in the Act.
The indemnification provided underthis Article shall be applicable to any proceeding arising
from acts or omissions occurring before or after the adoption of this Article.
Section 10.2. Other Rights Not Affected. It is the intent of this Article to provide
indemnification to directors and officers to the fullest extent now or hereafter permitted by law
consistent with the terms and conditions of this Article. Nothing contained in this Article shall limit
or preclude the exercise of, or be deemed exclusive of, any right under the law, by contract or
otherwise, relating to indemnification of or advancement of expenses to any person who is or was
a director, officer, employee, or agent of the Corporation, or the ability of the Corporation to
otherwise indemnify or advance expenses to any such individual.

Notwithstanding any other provision of this Article, there shall be no indemnification with
respect to matters as to which indemnification would result in inurement of net earnings of the
Corporation "to the benefit of any private shareholder or individual," or an "excess benefit
transaction" within the meaning of Sections 501(c)(3) or4958 of the Internal Revenue Code of 1986,
as amended, or similar provisions of any subsequent Federal tax laws. The provisions of, and the
rights and obligations created by, this Article shall not give rise or be deemed to give rise to
compensation for personal services" as described in IC 34-4-11.5-1 ct seq., as amended.
Section 10.3. Definitions. For purposes of this Article:
a) A person is considered to be serving an employee benefit plan at the Corporation's
request if the person's duties to the Corporation also impose duties on, orotherwise involve services
by, the person to the plan or to participants in or beneficiaries of the plan.
b) The estate or personal representative of a person entitled to indemnification or
advancement of expenses shall be entitled hereunder to indemnification and advancement of
expenses to the same extent as the person.
e) The term "expenses" includes all direct and indirect costs (including, without
limitation, counsel fees, retainers, court costs, transcripts, fees of experts, witness tees, travel
expenses, duplicating costs, printing and binding costs, telephone charges, postage, delivery service

We want to express our sincere gratitude for your support through a year unlike anyone could
have imagined and unlike any other in CIDE's 21 year history.
Coming out of a spring and summer filled with virtual classes where our entire company danced
in living rooms, kitchens, basements and garages, our 21 st season began with alignment to
Covid safety protocols with an uncertain live performance future. This made us realize we knew
how to pivot and that we could do hard things!
These early realizations allowed us to adapt and apply several lessons learned to achieve
success in our 21 st season.
First, our CIDE board decided that while the health of our dancers, staff and artistic staff was
paramount, it was not the only goal. We realized the mental health of our company was just as
important and so with increased mitigation standards, we embarked on a full slate of live
performance shows for our 21 st season.
The amount of uncertainty with school -based performing arts centers led to our decision to find
an independent theater for our 21st Nutcracker. We were able to stage our annual and beloved
Nutcracker in front of two live audiences at The Paramount in Anderson, IN. Remember the
comment of learning to pivot and do hard things? CIDE found out that the newest Indiana State
Health restrictions cancelled our final two shows less than two hours before the curtain rose on
our first show. Despite this setback, our virtual on -demand show was attended by over 500
supporters.
In the Spring of 2021, we were able to produce, with substantial support from the City of Carmel

theater. Despite masking and social distancing, CIDE was again met with incredible support
from those that watched live and via streaming.
