RESOLUTION OF THE CITY OF CARMEL BOARD OF PUBLIC WORKS AND SAFETY
ACKNOWLEDGING ARTS GRANT PROGRAM AGREEMENT
WHEREAS, pursuant to Indiana Code 36-1-4-7, the City of Carmel, Indiana (“City”), is authorized to enter
into contracts; and
WHEREAS, pursuant to Indiana Code 36-4-5-3, the City’smayor may enter into contracts on behalf ofthe
City; and
WHEREAS, pursuant to his authority under Indiana law, the City’smayor, the Honorable James C. Brainard,
has caused to be signed the Arts Grant attached hereto as Exhibit A (the “Contract”); and
WHEREAS, Mayor Brainard now wishes to present the contract to the City’sBoard of Public Works and
Safety for it to be publicly acknowledged, filed in the Clerk’sOffice, and made available to the public for review.
NOW, THEREFORE, BE IT RESOLVED by the City of Carmel Board of Public Works and Safety as
follows:
1. The foregoing Recitals are incorporated herein by this reference.
2. The receipt ofthe Contract is hereby acknowledged.
3. The Contract shall be promptly filed in the office of the Clerk and thereafter made available to the public
for review.

ARTS GRANT PROGRAM
AGREEMENT
This Grant Agreement (herein referred to as "Agreement') entered into by and between the CityofCarmel (the "City") and LNOIANA A{ MS0,t.L (theGrantee"), is executed pursuant to the terms and conditions set forth herein. In consideration of
those mutual undertakings and covenants, the parties agree as follows:
1. That on behalf of Grantee, a not -for -profit corporation, 1, Lyty V DE new
an authorized representative of Grantee, have applied for a City of Carmel
Grantor") Arts Grant, said application attached hereto and made a part hereof asExhibit "A."
2. Grant Agreement. The City, after review and recommendation by the Mayor,
agrees to grant $ 35 , 600 .00 to the Grantee for the eligible costs
of the project (the "Project") or services as described in Exhibits "A" and "B" of this
Agreement. The funds shall be used exclusively in accordance with the provisions
contained in this Agreement. Generally, the Grant award may not exceed one third
1/3) of Grantee's combined contributed income, revenue of sales, and/or ticket
revenue from the previous year. The City of Carmel may, however, make exceptions
for start-up organizations that have been in existence for three (3) years or less.
3. Design and Implementation of Project. The Grantee agrees to use any and all grant
funds in accordance with the proposal contained within this agreement and anydocumentsattachedtothisAgreement, which are incorporated by reference.
4. Warranty of non-profit status. Grantee hereby represents and warrants that it is a
not -for -profit entity with a determination letter from the Internal Revenue Service
declaring that it is exempt from Federal income tax.

5. Payment of Grant Funds by the City. The payment of this Grant by the City to theGranteeshallbemadeinaccordancewiththefollowingconditions:
A. This Agreement must be fully executed and signed by both Grantee and Grantor.
B. Grantee has attached all the following information, which it represents and warrantstobetrueandaccurate, all which have been incorporated fully by reference:
1. An application and description of the proposed use of the grant funds (EXHIBITA);
2. A budget for the calendar or fiscal year for which the grant is requestedEXHIBITB);
3. Certified copies of incorporation as a not -for -profit corporation under state lawEXHIBITC);
4. A not -for -profit application or determination letter from the U.S. Internal Revenue
Service identifying that it is a not -for -profit corporation that is exempt fromFederalincometax (EXHIBIT D);
5. Any audits, reviews or compilations available describing the financial conditionoftheGrantee, unaudited Balance Sheet and Income Statement, most recent
available IRS Form 990, and the attached Affidavit (EXHIBIT E);
6. A list of the Grantee's board of directors and officers listed (EXHIBIT F);
7. A Year End Report from the previous year if Grantee received an Arts Grant from
the City of Cannel in the previous calendar year, pursuant to paragraph 8 hereinEXHIBITG).
C. Any other grant conditions that City requires to be met by Grantee, specifically:
6. Grantor's right to request audit or review. Grantee shall submit to an audit or
review by an independent Certified Public Accountant of funds at the City's request, and shall make all books, accounting records and other documents available at all
reasonable times during the term of this Grant Agreement, and for a period of three3) years after final payment of funds under this Agreement, for the purpose of anauditbytheCityofCarmel, the State of Indiana, or their designees. Said review or
audit, if requested, shall be performed by a Certified Public Accountant ("CPA") who

is neither an employee of Grantee nor a member of the Grantee's Board of Directors,
to be provided to the City of Carmel by March 31 of the following year.
7. Quarterly financial statements. Grantee agrees to provide the City of Carmel
quarterly financial statements within 45 days after each quarter -end for Grant awards
in excess of sixty thousand dollars ($60,000).
8. Year-end review. Grantee agrees to provide the City of Carmel a year-end report

of the dollars received.
9. Funding Credit. Grantee agrees to credit the City of Carmel in the printed materials
associated with a funded program or project. The City of Cannel will supply, upon
request, Grantee with the graphics/logos necessary for compliance.
10. Statutory Authority of Grantee. The Grantee expressly represents and warrants to
the City that it is statutorily eligible to receive these monies and it expressly agrees to
repay all monies paid to it under this Grant, should a legal determination of its
ineligibility be made by any Court of competent jurisdiction.
11. Use of Grant Funds by Grantee. The funds received by the Grantee pursuant to this
Agreement shall be used only to implement the Project or provide the services in
conformance with the Budget and for no other purpose. If it is determined by the
City that misappropriation of funds have occurred, the Grantee must return all funds
received by Grantor and individuals who misuse Grant funds may also be subject to
civil and/or criminal liability under Indiana and Federal law.
12. Employment Eligibility Verification. The Grantee affirms under the penalties of
perjury that he/she/it does not knowingly employ an unauthorized alien.
The Grantee affirms under the penalties of perjury that he/she/it has enrolled and is
participating in the E-Verify program as defined in IC 22-5-1.7. The Grantee agrees
to provide documentation to the City that he/she/it has enrolled and is participating in
the E-Verify program.
The City may terminate for default if the Grantee fails to cure a breach of this
provision no later than thirty (30) days after being notified by the State.
13. Governing Law; Lawsuits. This Agreement is to be construed in accordance with
and governed by the laws of the State of Indiana, except for its conflict of laws
provisions. The parties agree that, in the event a lawsuit is filed hereunder, they
waive their right to a jury trial, agree to file any such lawsuit in an appropriate court
in Hamilton County, Indiana only, and agree that such court is the appropriate venue
for and has jurisdiction over same.

14. Relationship of Parties. The relationship of the parties hereto shall be as provided
for in this Agreement, and neither Grantee nor any of its compensated officers,
employees, contractors, subcontractors and/or agents are employees of City. The
Grant amount set forth herein shall be the full and maximum compensation and
monies required of City to be paid to Grantee under or pursuant to his Agreement.
li. Severability. If any term of this Agreement is invalid or unenforceable under any
statute, regulation, ordinance, executive order or other rule of law, such tern shall be
deemed reformed or deleted. but only to the extent necessary to comply with same,
and the remaining provision of this Agreement shall remain in full force and effect.
16. Entire Agreement. This Agreement, together with any exhibits attached hereto or
referenced herein, constitutes the entire agreement between Grantee and City with
respect to the subject matter hereof, and supersedes all prior oral or written
representations and agreements regarding same. Notwithstanding any other term or
condition set forth herein, but subject to paragraph 15 hereof, to the extent any term
or condition contained in any exhibit attached to this Agreement or in any document
referenced herein conflicts with any term or condition contained in this Agreement,
the term or condition contained in this Agreement shall govern and prevail. This
Agreement may only be modified by written amendment executed by both partieshereto, or their successors in interest.

Indiana Artisan has made a home in the Carmel Arts & Design District, and we believe our presence on
Rangeline Road is becoming a pillar in the District's ongoing success. We continually work to develop
partnerships with neighboring merchants, promote District events and be a cheerleader for our
hometown, encouraging customers to spend more time getting to know Carmel.
At the same time, we're helping member artisans and food artisans, more than 40 percent of whom live
in small communities, build their businesses. "My hometown does not have a thriving arts
community but through Indiana Artisan programs, I've been able to sell my work and build my
reputation around the state," basket maker Roland Rein of Friendship, Indiana, told us. "There are no

local customers in our rural area. The Indiana Artisan store provides opportunities to attract customers
who would never be exposed to our work."
Through careful planning and a strategic marketing program, we met the challenges of 2020 and 2021.
Our task in the coming two years will be attracting customers to the store with a construction project
across the street. We are requesting $50,000 for 2022, split evenly between marketing ($25,000) and
administrative support ($25,000).
THE INDIANA ARTISAN MARKETING PLAN
Indiana Artisan helps artists develop business practices designed to expand their enterprise and create a
positive economic impact in their communities. As an organization, Indiana Artisan also wants to have a
positive impact on its home community.
To that end, we eblast a monthly newsletter to nearly 3,000 customers and another to about 280
Friends of Indiana Artisan. Naturally, the content promotes store events that largely are held in
conjunction with Arts District events, but it also markets city -sponsored programs and highlights
attractions in neighboring galleries, other stores and restaurants. (Go here to see the November edition:
Shop Small Saturday this year proved how effective our newsletters, which typically score a 35-38
percent open rate, are for everyone in the Arts District. A couple came in that Saturday from Cincinnati,
saying they had visited Indiana Artisan in mid -September for the first time and were glad to receive the
newsletter about all the things going on in Carmel for Shop Small Saturday and the holidays. (We build
our email list by offering a monthly door prize. The prizes are art or food we purchase from our
members, using Arts Grants funds.) While in town, they also had dinner at Juniper on Main, watched
football over drinks at Muldoon's and hopped the trolley to visit Midtown and City Center. When they
left our store with more than $500 in purchases, they said they will be back. We will continue these
newsletters in 2022. We will pay the monthly Mailchimp subscription fee with Carmel Arts Grant funds.
A highlight of 2021 was hosting the student art scholarship competition during the Carmel International
Arts Festival. It was inspiring to see 90-plus pieces created by Carmel and University high school
students in the gallery, and it was encouraging to experience the reactions of almost 2,000 people who
visited the store that weekend — the biggest two-day foot traffic we've ever recorded -- to enjoy the
work.
Indiana Artisan would like to help these emerging artists during the 2022 competition. We would like to
use $500 of a Carmel Arts grant to sponsor a scholarship, perhaps making it a People's Choice award to
engage customers in the exhibit.
Indiana Artisan has grown because of partnerships. We have worked with neighboring businesses to
introduce our customers to theirs and to help each other grow. While we are excited about the
opportunities the First & Main project certainly will bring to the Arts District, there is natural concern
about how the construction will affect foot traffic in our block. To that end, we will work with businesses
to create a Bingo game promotion in February 2022—traditionally a slow retail month --that would
encourage our customers to visit neighboring stores, galleries, services and restaurants.

Marketing this month -long game would include printing Bingo cards and signage, buying advertising in
local media, and purchasing miscellaneous supplies. The publicity for the District, the restaurants, the
stores and the artists could be invaluable.
Indiana Artisan benefits greatly from the many events and festivals the Arts District sponsors, and it
pledges to continue to support and promote each one. Through our own work and the networks of
nearly 220 members, we have strong contacts among media outlets stretching from Lake Michigan to
the Ohio River that we will marshal for earned media to attract more Hoosiers to outstanding events,
such as the International Arts Festival, the Art of Wine, Artomobilia and holiday programs. We would
also use marketing funds from this grant to buy advertising, much like we did this year on WITS -FM (a
summer campaign and a joint holiday campaign with four other Arts District businesses), in Carmel and
Fishers magazines (full -page holiday gift ads), and in Current in Carmel (half -page ads promoting a
Christmas in July event that Indiana Artisan coordinated with four other businesses in the Arts District
and a holiday gift guide).
A 2022 goal is to increase the organization's membership and build its public following. Part of the plan
is to take Indiana Artisan on the road by participating in top -tier art shows and festivals, such as Penrod
in Indianapolis and 4th Street in Bloomington. A major step to doing this is purchasing the necessary
infrastructure for a booth — a 10x10 tent, display fixtures and signage. Investing some of the marketing
funds from the Carmel Arts Grant in this infrastructure would put us well on the way to building an
engaging display that would feature the retail program prominently, since it is fast becoming the No. 1
membership benefit and public doorway for art enthusiasts to learn about the organization.
This is an ambitious marketing program for a small nonprofit. We believe it would bring benefit to all the
Arts District businesses and the City of Carmel. It is not a program that Indiana Artisan could undertake
without grant funding.
25,000 FOR ADMINISTRATIVE SUPPORT
Indiana Artisan Gifts & Gallery sells work on consignment, giving 60 percent of sales, an increasingly
generous split in the retail art field, to the artisans. Our business model is to employ member artists to
work in the store for minimum wage and receive 75 percent of their sales. The director covers shifts
when artists cannot, and she manages the store daily.
This model has worked well, largely due to the administrative support funding we received through the
Carmel Arts Grant for three years. There are no plans to change it in 2022. But continued grant funding
is critical to the success of the plan and the store. Even though 2021 sales have been strong in the
Carmel store, 40 percent of sales at Indiana Artisan Gifts & Gallery will not cover payroll, rent, utilities,
supplies and materials.
The Arts District community tells us the Indiana Artisan store is a strong partner in its ongoing success.
As an organization, we hope to work with the City of Carmel again, so Indiana Artisan Gifts & Gallery can
continue to create an appreciative market for the artists, build awareness of the exceptional work made
in Indiana, and offer another shopping venue for out-of-state and international visitors when tourism
rebounds.

There are few descriptors that adequately define the significant impact the 2021 Carmel Arts Grant had
on Indiana Artisan's year. The Hoard, staff and nearly 220 artist members believe our organization's
influence on the state and Carmel arts communities was also strong, fueled largely by the city's $40,000
in funding.
The Indiana Artisan retail locations have been a significant contributor to my success since earning the
designation," said fiber artist Carrie Wright of Muncie. "All handmade/hand-crafted work is more
appealing and easierto sell when it can be seen in person. Although f have a moderately successful e-
commerce website, sales from the stores are more consistent month to month thanks to the foot traffic.
Considering so many art fair events were canceled in 2021, the store locations became even more
important to me staying afloat as an independent artist because they have truly been the only
opportunity available for people to see/evaluate my work in person."
Indiana Artisan used the grant prudently to help artists like Carrie and food artisans, budgeting $15,000
for marketing and $25,000 for administrative support to operate the store.
MARKETING DOLLARS INVESFED EFFEcrIVELY
Indiana Artisan made it its mission to help artists develop markets for their work. One of the original
food artists told us in the early years of Indiana Artisan, "The word free is not in our business plans," so
we repeatedly look for ways we can buy members' work when we need giveaways or prizes. Marketing
money in the grant afforded us the opportunity to buy several hundreds of dollars of work which we
then gave as monthly door prizes and donations to Carmel -based events and organizations. Indiana
Artisan sees these giveaways as a win -win —the artists' work gains visibility, the artist gets a sale, and
the organization establishes partnerships in the greater community as well as the Arts District.
Additionally, the store was featured twice this year on Fox 59 Morning News, and its events were
included multiple times in local Hamilton County print media.
Marketing funds from the grant allowed us to buy advertising in traditional and new media. Indiana
Artisan bought ads promoting the store, as well as the Arts District, in the Hoosier Salon Exhibition's
catalog, the 2021 Indiana Travel Guide, on WTTS-FM, in Current in Carmel, and in the Carmel and Fishers
magazines. We boosted social media posts about the District -wide Meet Me On Main and distributed
monthly newsletters about the store and Arts District events to our customer list, which has nearly
3,000 subscribers.
Marketing funds also allowed Indiana Artisan to buy work from our members that was donated to local
civic groups, including 250 two-piece truffles for the Shop Small swag bags and a glass necklace for the
gift basket, 250 two-piece chocolates for the Carmel Police Department, and a framed photograph for
the Carmel Lions Club silent auction.
Indiana Artisan believes in the need to create arts districts across the state and values that our store is in
the premier one. We take our commitment to be a strong corporate neighbor seriously, which is why
anything we do for the store, we also consider what we can do for the District. We have partnered with
other businesses, offering discounts to their customers and orchestrated special events such as
Christmas in July (four other stores or galleries participated) and the recent Taste Indiana Artisan to
encourage people to visit the District.

To date, Carmel store marketing expenses funded through the city's grant have totaled $13,521.
Advertising campaigns scheduled for late November and early December will use the remaining $1,479
budgeted in our proposal for the grant.
ADMINISTRATIVE SUPPORT FUNDING SPENT WISELY
Indiana Artisan kept payroll costs to a minimum in 2021 by hiring artists to work in the store for
minimum wage and receive 75 percent of their sales. Using artists, who felt a personal investment in the
store, not only helped Indiana Artisan keep costs down, but it was also an interest -generator for
customers to meet the artists and learn more about their work. Their pay was possible because of the
Carmel Arts Grant.
The store payroll and taxes for the year are projected to be $20,564. In addition to sundry other duties,
the director managed the store, working to stock it, bring new artists on board, maintain the inventory
records, and do the bookkeeping. While we estimate two-thirds of her time was spent doing this work,
4,436 of the grant — less than one -tenth of the funding -- was used toward her $45,000 salary.
