RESOLUTION OF THE CITY OF CARMEL BOARD OF PUBLIC WORKS AND SAFETY
ACKNOWLEDGING ARTS GRANT PROGRAM AGREEMENT
WHEREAS, pursuant to Indiana Code 36-1-4-7, the City of Carmel, Indiana (“City”), is authorized to enter
into contracts; and
WHEREAS, pursuant to Indiana Code 36-4-5-3, the City’smayor may enter into contracts on behalf ofthe
City; and
WHEREAS, pursuant to his authority under Indiana law, the City’smayor, the Honorable James C. Brainard,
has caused to be signed the Arts Grant attached hereto as Exhibit A (the “Contract”); and
WHEREAS, Mayor Brainard now wishes to present the contract to the City’sBoard of Public Works and
Safety for it to be publicly acknowledged, filed in the Clerk’sOffice, and made available to the public for review.
NOW, THEREFORE, BE IT RESOLVED by the City of Carmel Board of Public Works and Safety as
follows:
1. The foregoing Recitals are incorporated herein by this reference.
2. The receipt ofthe Contract is hereby acknowledged.
3. The Contract shall be promptly filed in the office of the Clerk and thereafter made available to the public
for review.

ARTS GRANT PROGRAM
AGREEMENT
This Grant Agreement (herein referred to as "Agreement") entered into by and between the City
of Carmel (the "City") and S on (the
Grantee"), is executed pursuant to the terms and conditions s t forth herein. In consideration of
those mutual undertakings and covenants, the parties agree as follows:
1. That on behalf of Grantee, a not -for -profit corporation, I, bindo- Moatoot
an authorized representative of Grantee, have applied for a City of Carmel
Grantor") Arts Grant, said application attached hereto and made a part hereof as
Exhibit "A."
2. Grant Agreement. The City, after review and recommendation by the Mayor,
agrees to grant $ 35,600.00 to the Grantee for the eligible costs
of the project (the "Project") or services as described in Exhibits "A" and `B" of this
Agreement. The funds shall be used exclusively in accordance with the provisions
contained in this Agreement. Generally, the Grant award may not exceed one third
1/3) of Grantee's combined contributed income, revenue of sales, and/or ticket
revenue from the previous year. The City of Carmel may, however, make exceptions
for start-up organizations that have been in existence for three (3) years or less.
3. Design and Implementation of Project. The Grantee agrees to use any and all grant
funds in accordance with the proposal contained within this agreement and any
documents attached to this Agreement, which are incorporated by reference.
4. Warranty of non-profit status. Grantee hereby represents and warrants that it is a
not -for -profit entity with a determination letter from the Internal Revenue Service
declaring that it is exempt from Federal income tax.

5. Payment of Grant Funds by the City. The payment of this Grant by the City to the
Grantee shall be made in accordance with the following conditions:
A. This Agreement must be fully executed and signed by both Grantee and Grantor.
B. Grantee has attached all the following information, which it represents and warrants
to be tine and accurate, all which have been incorporated fully by reference:
1. An application and description of the proposed use of the grant funds (EXHIBIT
A);
2. A budget for the calendar or fiscal year for which the grant is requested
EXHIBIT B);
3. Certified copies of incorporation as a not -for -profit corporation under state law
EXHIBIT C);
4. A not -for -profit application or determination letter from the U.S. Internal Revenue
Service identifying that it is a not -for -profit corporation that is exempt from
Federal income tax (EXHIBIT D);
5. Any audits, reviews or compilations available describing the financial condition
of the Grantee, unaudited Balance Sheet and Income Statement, most recent
available IRS Form 990, and the attached Affidavit (EXHIBIT E);
6. A list of the Grantee's board of directors and officers listed (EXHIBIT F);
7. A Year End Report from the previous year if Grantee received an Arts Grant from
the City of Carmel in the previous calendar year, pursuant to paragraph 8 herein
EXHIBIT G).
C. Any other grant conditions that City requires to be met by Grantee, specifically:
6. Grantor's right to request audit or review. Grantee shall submit to an audit or
review by an independent Certified Public Accountant of funds at the City's request,
and shall make all books, accounting records and other documents available at all
reasonable times during the term of this Grant Agreement, and for a period of three
3) years after final payment of funds under this Agreement, for the purpose of an
audit by the City of Carmel, the State of Indiana, or their designees. Said review or
audit, if requested, shall be performed by a Certified Public Accountant ("CPA") who

is neither an employee of Grantee nor a member of the Grantee's Board of Directors,
to be provided to the City of Carmel by March 31 of the following year.
7. Quarterly financial statements. Grantee agrees to provide the City of Carmel
quarterly financial statements within 45 days after each quarter -end for Grant awards
in excess of sixty thousand dollars ($60,000).
8. Year-end review. Grantee agrees to provide the City of Carmel a year-end report
Year End Report") for each year, describing how the grant was used and the impact
of the dollars received.
9. Funding Credit. Grantee agrees to credit the City of Carmel in the printed materials
associated with a funded program or project. The City of Carmel will supply, upon
request, Grantee with the graphics/logos necessary for compliance.
10. Statutory Authority of Grantee. The Grantee expressly represents and warrants to
the City that it is statutorily eligible to receive these monies and it expressly agrees to
repay all monies paid to it under this Grant, should a legal determination of its
ineligibility be made by any Court of competent jurisdiction.
11. Use of Grant Funds by Grantee. The funds received by the Grantee pursuant to this
Agreement shall be used only to implement the Project or provide the services in
conformance with the Budget and for no other purpose. If it is determined by the
City that misappropriation of funds have occurred, the Grantee must return all funds
received by Grantor and individuals who misuse Grant funds may also be subject to
civil and/or criminal liability under Indiana and Federal law.
12. Employment Eligibility Verification. The Grantee affirms under the penalties of
perjury that he/she/it does not knowingly employ an unauthorized alien.
The Grantee affirms under the penalties of perjury that he/she/it has enrolled and is
participating in the E-Verify program as defined in IC 22-5-1.7. The Grantee agrees
to provide documentation to the City that he/she/it has enrolled and is participating in
the E-Verify program.
The City may terminate for default if the Grantee fails to cure a breach of this
provision no later than thirty (30) days after being notified by the State.
13. Governing Law; Lawsuits. This Agreement is to be construed in accordance with
and governed by the laws of the State of Indiana, except for its conflict of laws
provisions. The parties agree that, in the event a lawsuit is filed hereunder, they
waive their right to a jury trial, agree to file any such lawsuit in an appropriate court
in Hamilton County, Indiana only, and agree that such court is the appropriate venue
for and has jurisdiction over same.

14. Relationship of Parties. The relationship of the parties hereto shall be as provided
for in this Agreement, and neither Grantee nor any of its compensated officers,
employees, contractors, subcontractors and/or agents are employees of City. The
Grant amount set forth herein shall be the full and maximum compensation and
monies required of City to be paid to Grantee under or pursuant to his Agreement.
15. Severability. If any term of this Agreement is invalid or unenforceable under any
statute, regulation, ordinance, executive order or other rule of law, such term shall be
deemed reformed or deleted, but only to the extent necessary to comply with same,
and the remaining provision of this Agreement shall remain in full force and effect.
16. Entire Agreement. This Agreement, together with any exhibits attached hereto or
referenced herein, constitutes the entire agreement between Grantee and City with
respect to the subject matter hereof, and supersedes all prior oral or written
representations and agreements regarding same. Notwithstanding any other term or
condition set forth herein, but subject to paragraph 15 hereof, to the extent any term
or condition contained in any exhibit attached to this Agreement or in any document
referenced herein conflicts with any term or condition contained in this Agreement,
the term or condition contained in this Agreement shall govern and prevail. This
Agreement may only be modified by written amendment executed by both parties
hereto, or their successors in interest.

Description of the Proposed use of Grant Funds
The Indiana Wind Symphony (IWS) has entered its 24th season of performing as Indiana's
premier adult concert band under the musical direction of Dr. Charles Conrad and assistant
conductor Nathan Voges. Since 1997, the IWS has established a nationwide reputation for the
extraordinary quality of our performances.
Our membership consists of approximately 80 trained symphony members who volunteer their
time and talent to make this musical experience possible and help us fulfill our mission to
present artistic performances of significant music for band and wind ensembles to the Central
Indiana community. Our performances bridge the musical heritage of the classical community
band with the innovation of a contemporary wind ensemble repertoire.
Over the last decade, the IWS has transitioned from playing high school auditoriums to
establishing a home at The Center for the Performing arts in the City of Carmel. As one of the
6 resident companies, we continue to invest in the promotion and success of the City of
Carmel.
The IWS has worked closely with The Center for the Performing Arts during the COVID-19
pandemic and we were able to start the 2021-2022 season as scheduled. The IWS continues
to modify its schedule, programming and general operations as suggested and required by our
venues and CDC guidance. This has required constant monitoring of current conditions by our
board and members.
The IWS is requesting $64,000.00 to provide funding for the following mission -critical initiatives
that have made the IWS an asset to both the Performing Arts Center and the Greater City of
Carmel.
GENERAL MANAGEMENT
Over the last twenty years, the IWS has delivered increasingly professional level performances
of challenging repertoires, premiered and commissioned new works for concert band and have
accompanied national and internationally acclaimed soloists. The IWS consistently earns high
praise from its audiences. The ensemble has achieved this organizational growth, along with
its exciting transition to become a resident ensemble at the Center for the Performing Arts
through the significant time, resources, and general management given almost exclusively by
an entirely volunteer board of directors and the music director who oversees the operation of
the organization.
COVID-19 has presented many challenges for the day to day operations of the IWS. The ever
changing environment has presented the IWS with the urgent need to hire several contract
positions to ensure the safety and organizational structure of the group. The IWS will be
initiating the search for a Personnel Manager to handle the day to day communications,
updating of COVID-19 related materials and policies and other duties regarding the members
of the group. This person will be responsible for compliance issues. At this time, the IWS has
contracted an Operations Manager to assist with the logistics of rehearsal space, seating,
equipment management and transportation. This person ensures that these items are safely
addressed. The budget items will need to be adjusted to fit the payment demands.
The IWS continues to carry over the part time position of Development Manager who is needed
to help grow the donor base, improve fundraising strategies and coordinate marketing and
outreach efforts. The IWS is currently looking for a competent and highly skilled individual for
this position. The IWS marketing team with the assistance of two contract staffers have
developed and implemented a concise process to promote the 2021-2022 concert season.

The COVID-19 pandemic has continued to require continual updating and revision of marketing
materials. The marketing team continues to assist with the preparation of COVID-19 safety
materials/procedures and providing this information to the IWS members and supporters. The
IWS continues to work with an accountant to assist with financial reporting.
During the 2021-2022 season, the IWS strives to work on its endowment programs, fund
raising and growing its donor base. A committee is being assembled to address fundraising
challenges. These items were greatly impacted by the pandemic. The IWS is actively involved
in seeking out concert sponsors, advertisers and additional funding sources to meet the
budgeting goals. The IWS is engaging in a search for board members to help with our various
program needs.
The IWS would use a portion of any grant funds to search for and contract with personnel for
our supporting roles. The IWS will continue to develop and implement its strategic vision to
grow concert attendance, increase corporate and individual relationships, monetary
contributions and expand its community involvement.
MARKETING and COMMUNITY ENGAGEMENT
The IWS has continued to focus on increasing attendance through outreach and targeted
marketing. Refining and increasing brand awareness are major goals as we reach out to the
community through a variety of sources. Currently the IWS is utilizing Current Publications,
WICK radio, social media and print materials and has contacted other community sources.
The marketing team is involved in the design of all needed materials to support and promote
the IWS. Unfortunately COVID-19 has continued to require that materials are updated and
redesigned which has added to actual costs and time. The IWS has added live -streaming to its
concert options for the fall and anticipates to continue this practice for second half of the
season. It is our intention that live -streaming will allow for those to view a concert that are
unable or uncomfortable doing so in public. This option is being marketed along with in person
attendance. The drawback to the live -streaming process is that it doubles the base cost of a
concert in order to produce a quality stream. Cost increases are being noted for all marketing
efforts.
COMMUNITY ENGAGEMENT and PARTNERSHIPS
The IWS is a resident ensemble at the Center for the Performing Arts, but its performances are
not limited to that location or the scheduled concert season. The IWS is proud to offer free
community concerts at the Carmel Gazebo and at celebrations in the Central Indiana Area.
These performances provide a fantastic opportunity for members of the general public to
become IWS patrons outside the traditional concert season. While our summer programming
in 2020 was cancelled, the IWS in 2021 participated in Fourth of July celebrations at Plainfield,
and Carmel, the Historic Artcraft Theatre in Franklin and the Carmel Making Cities Livable
Conference. An August Gazebo concert featuring Jim Williams, Euphonium soloist, was
enjoyed by a large appreciative crowd. Unfortunately our June Side by Side concert was
cancelled for the second year. The COVID-19 restrictions did not allow for the IWS to interact
with the students. This free concert features advanced, young instrumentalist (grades 9-12)
from throughout Central Indiana. These young musicians are invited to rehearse and perform
alongside IWS musicians in each instrument sections. The youth are able to develop a working
musical relationship as they prepare and perform band and wind ensemble repertoire of the
highest caliber. The IWS continues to work to secure funding for several scholarships for the
youth musicians.

This year the IWS has pursued advertising trades for the concert programs. This provided a
free ad spot for the following groups: Indianapolis Chamber Orchestra, Civic Theatre, Actors
Theatre Indiana, Greater Greenwood Community Band, Carmel Symphony Orchestra and
Gregory Hancock Dance Theatre. We are reaching out to community businesses to offer
discounted program advertising options but have found many companies reluctant to invest.
As we start to prepare for the second half of the season, the IWS plans to renew its efforts to
reach out to the community for advertisers and sponsors.
PROGRAMMING and GUEST ARTISTS
The 2020-2021 IWS season was greatly impacted by the pandemic as well as those of other
arts organizations. The IWS has avoided serious illness during this time but our concert
schedule, group size and ability to rehearse were in a constant state of change. The IWS
managed to complete 7 performance with 8 cancellations. Musician group size/ Audience size/
ticket sales were restricted at venues which in turn resulted in low ticket sales and attendance.
The featured soloists were either local or members of the IWS.
After much restructuring the 2020-2021 indoor season started with a much smaller group of
core musicians for the September concert which featured Carl Butler (IWS Member) as soloist
for the Liebermann Flute Concerto. The October concert featured pianist Kelleen Strutz
Warsaw Concerto) and Halloween themed music. The IWS had planned 2 Palladium
performances and 1 Mooresville concert which were cancelled due to COVID-19 restrictions on
gathering. Our February concert was reworked to use a much smaller group of musicians in a
Chamber setting and was our first attempt at live -streaming. This was a free concert and
accessed through Facebook. The April concert consisted of favorite pieces from our time
playing at the Palladium. The May concert featured Brian Hoover (IWS member) on piccolo
trumpet for Penny Lane and two guest conductors, Dr. Lissa May and Jay Gephart. Most of
the concerts were shortened in length and most did not have an intermission. The initial
concerts required our musicians to be spaced out on the stage which created a challenging
situation.
The IWS continued to plan for the new season and started the 2021-2022 season with a June 9
concert in Franklin at the wonderful downtown Artcraft Theatre and another on June 12 at the
International Livable Cities Conference held in Carmel. The July 4th weekend was a busy one
as we played for the Plainfield City Fireworks on Sunday July 4th and then at CarmelFest on
Monday July 5th for the Carmel City Fireworks. These concerts featured Jessamyn Anderson
as soprano soloist. On August 15th, we played a concert titled "John Philip Sousa, America's
Musical Ambassador" at the Carmel Gazebo, with soloist IWS Principal Euphonium Jim
Williams.
The Palladium season opened on September 26 with a concert titled "The Sound of Memory:
Sousa and Beethoven's 5th." The biggest international musical celebration that was derailed
by the pandemic was the planned 250th birthday salute to Ludwig van Beethoven. The plan
for the calendar year, spreading over two years, was for the IWS to play either a piece written
by Beethoven or inspired by his music on each concert of the year. The largest single
endeavor in this plan was several years in the making-IWS member Dan McGlaun created a
band transcription of Beethoven's immortal Symphony #5 in C minor. As far as we are aware, it
has never been fully transcribed in the original key. The concert opened with a new work for
the 2021 Presidential inauguration, the presentation of the annual James B. Calvert
Outstanding Hoosier Music Educator Award to Max Jones. Another piece honored the
memory of September 11 th. The second half of the concert was the Beethoven piece which we
consider one of the signature accomplishments in the history of the ensemble. The concert
was also live -streamed.

The October chamber wind concert at the Studio Theatre featured a consortium premier of a
wok entitled Miniatures for Chamber Wind Ensemble by Giovanni Santos as well as a
performance of a work that was written for the IWS in 2004, Daniel Gall's Melancholy.
We were nearly through rehearsals and extremely excited about our November Palladium
concert that was to feature James Barnes' magnificent Third Symphony when we were struck
again with the pandemic circumstances, this time a positive test from a fully vaccinated
member who was present at the penultimate rehearsal. This exposure resulted in the
cancellation of the November concert.
December brings the opportunity for 2 holiday concerts at the Palladium which will be live -
streamed and 1 at Mooresville High School that replaces a cancelled concert from December
of 2020.
Upcoming concerts will include a February Palladium concert titled "Winter Festival -All the
Sparkles." It will feature flute soloist Carl Butler, the premiere of another new Dan McGlaun
transcription -a prelude for Lohengrin and several pieces about things that sparkle such as
lightening and fireflies. The March chamber wind concert will feature major works by 96-year
old Indiana native Ned Rorem, who is more well know for his vocal works. In April, we will play
two concerts -the first at the Palladium with piano soloist Kelleen Strutz featured in a new
transcription of Rachmaninoff's spectacular Rhapsody on a Theme of Paganini, and the
second as our first performance in the wonderful Honeywell Center in Warsaw.
The season ends with a Palladium concert that will feature euphonium soloist Demondrae
Thurman (rescheduled from a cancellation the prior season) and a new March written by
leading Hoosier composer Fred Jewell around 1930. Why a new march written almost a
centuryago? Dr. Conrad was asked to takeover the remaining items from the Fred Jewell Music
Publishing Company, which folded sometime in the 1940's. The IWS is thrilled when it discovered
manuscript copies of about 40 new pieces by some well know and some unknown composers
from the late 1920s and early 1930s. The IWS will be introducing these pieces and hope
to get them published A
potion of the total grant funds requested would allow us to continue to present quality and diverse
musical experiences to the Central Indiana community. The IWS would be able to continue
introducing both well-known favorites and premieres of new and challenging classical
repertoire as well as showcase soloists and guest conductors. The use of new technologies (
live -streaming) is providing an avenue to reach undersenred audiences with current
and future performances.

Exhibit G
The Indiana Wind Symphony has applied the Carmel Arts Grant Award funds in the following
ways: Concert expenses, Marketing expenses and Honorariums. Estimated amounts for the
outstanding bills for the months of November and December 2021 are included. The IWS
2020/21 season consisted of 7 performances (one free livestream) and 8 cancelled
performances. The 2021/22 season has consisted of concerts in September and October.
The November concert has been cancelled due to a Covid-19 exposure during a rehearsal.
The December Holiday concerts are still scheduled to be performed. The IWS is working to
livestream the full group performances. The second part of the season consists of 4 concert
events. All concerts are subject to cancellation due to COVID-19.
