RESOLUTION OF THE CITY OF CARMEL BOARD OF PUBLIC WORKS AND SAFETY
ACKNOWLEDGING ARTS GRANT PROGRAM AGREEMENT
WHEREAS, pursuant to Indiana Code 36-1-4-7, the City of Carmel, Indiana (“City”), is authorized to enter
into contracts; and
WHEREAS, pursuant to Indiana Code 36-4-5-3, the City’smayor may enter into contracts on behalf ofthe
City; and
WHEREAS, pursuant to his authority under Indiana law, the City’smayor, the Honorable James C. Brainard,
has caused to be signed the Arts Grant attached hereto as Exhibit A (the “Contract”); and
WHEREAS, Mayor Brainard now wishes to present the contract to the City’sBoard of Public Works and
Safety for it to be publicly acknowledged, filed in the Clerk’sOffice, and made available to the public for review.
NOW, THEREFORE, BE IT RESOLVED by the City of Carmel Board of Public Works and Safety as
follows:
1. The foregoing Recitals are incorporated herein by this reference.
2. The receipt ofthe Contract is hereby acknowledged.
3. The Contract shall be promptly filed in the office of the Clerk and thereafter made available to the public
for review.

ARTS GRANT PROGRAM
AGREEMENT
This Grant Agreement (herein referred to as "Agreement") entered into by and between the City
of Carmel (the "City") and T J, ANa,pO); S C ',Iar-eAIS C( Oit` (the
Grantee"), is executed pursuant to the terms and conditions set forth herein. In consideration of
those mutual undertakings and covenants, the parties agree as follows:
That on behalf of Grantee, a not -for -profit corporation, I, M 1 S7t1 Wjq U'O INSI N
an authorized representative of Grantee, have applied for a City of Carmel
Grantor") Arts Grant, said application attached hereto and made a part hereof as
Exhibit "A."
2. Grant Agreement. The City, after review and recommendation by the Mayor,
agrees to grant $ 5,785.00 to the Grantee for the eligible costs
of the project (the "Project") or services as described in Exhibits "A" and `B" of this
Agreement. The funds shall be used exclusively in accordance with the provisions
contained in this Agreement. Generally, the Grant award may not exceed one third
1/3) of Grantee's combined contributed income, revenue of sales, and/or ticket
revenue from the previous year. The City of Carmel may, however, make exceptions
for start-up organizations that have been in existence for three (3) years or less.
3. Design and Implementation of Project. The Grantee agrees to use any and all grant
funds in accordance with the proposal contained within this agreement and any
documents attached to this Agreement, which are incorporated by reference.
4. Warranty of non-profit status. Grantee hereby represents and warrants that it is a
not -for -profit entity with a determination letter from the Internal Revenue Service
declaring that it is exempt from Federal income tax.

5. Payment of Grant Funds by the City. The payment of this Grant by the City to the
Grantee shall be made in accordance with the following conditions:
A. This Agreement must be fully executed and signed by both Grantee and Grantor.
B. Grantee has attached all the following information, which it represents and warrants
to be true and accurate, all which have been incorporated fully by reference:
1. An application and description of the proposed use of the grant funds (EXHIBIT
A);
2. A budget for the calendar or fiscal year for which the grant is requested
EXHIBIT B);
3. Certified copies of incorporation as a not -for -profit corporation under state law
EXHIBIT Q
4. A not -for -profit application or determination letter from the U.S. Internal Revenue
Service identifying that it is a not -for -profit corporation that is exempt from
Federal income tax (EXHIBIT D);
5. Any audits, reviews or compilations available describing the financial condition
of the Grantee, unaudited Balance Sheet and Income Statement, most recent
available IRS Form 990, and the attached Affidavit (EXHIBIT E);
6. A list of the Grantee's board of directors and officers listed (EXHIBIT F);
7. A Year End Report from the previous year if Grantee received an Arts Grant from
the City of Carmel in the previous calendar year, pursuant to paragraph 8 herein
EXHIBIT G).
C. Any other grant conditions that City requires to be met by Grantee, specifically:
6. Grantor's right to request audit or review. Grantee shall submit to an audit or
review by an independent Certified Public Accountant of funds at the City's request,
and shall make all books, accounting records and other documents available at all
reasonable times during the term of this Grant Agreement, and for a period of three
3) years after final payment of funds under this Agreement, for the purpose of an
audit by the City of Carmel, the State of Indiana, or their designees. Said review or
audit, if requested, shall be performed by a Certified Public Accountant ("CPA") who

is neither an employee of Grantee nor a member of the Grantee's Board of Directors,
to be provided to the City of Carmel by March 31 of the following year.
7. Quarterly financial statements. Grantee agrees to provide the City of Carmel
quarterly financial statements within 45 days after each quarter -end for Grant awards
in excess of sixty thousand dollars ($60,000).
8. Year-end review. Grantee agrees to provide the City of Carmel a year-end report
Year End Report") for each year, describing how the grant was used and the impact
of the dollars received.
9. Funding Credit. Grantee agrees to credit the City of Carmel in the printed materials
associated with a funded program or project. The City of Carmel will supply, upon
request, Grantee with the graphics/logos necessary for compliance.
10. Statutory Authority of Grantee. The Grantee expressly represents and warrants to
the City that it is statutorily eligible to receive these monies and it expressly agrees to
repay all monies paid to it under this Grant, should a legal determination of its
ineligibility be made by any Court of competent jurisdiction.
11. Use of Grant Funds by Grantee. The funds received by the Grantee pursuant to this
Agreement shall be used only to implement the Project or provide the services in
conformance with the Budget and for no other purpose. If it is determined by the
City that misappropriation of funds have occurred, the Grantee must return all funds
received by Grantor and individuals who misuse Grant funds may also be subject to
civil and/or criminal liability under Indiana and Federal law.
12. Employment Eligibility Verification. The Grantee affirms under the penalties of
perjury that he/she/it does not knowingly employ an unauthorized alien.
The Grantee affirms under the penalties of perjury that he/she/it has enrolled and is
participating in the E-Verify program as defined in IC 22-5-1.7. The Grantee agrees
to provide documentation to the City that he/she/it has enrolled and is participating in
the E-Verify program.
The City may terminate for default if the Grantee fails to cure a breach of this
provision no later than thirty (30) days after being notified by the State.
13. Governing Law; Lawsuits. This Agreement is to be construed in accordance with
and governed by the laws of the State of Indiana, except for its conflict of laws
provisions. The parties agree that, in the event a lawsuit is filed hereunder, they
waive their right to ajury trial, agree to file any such lawsuit in an appropriate court
in Hamilton County, Indiana only, and agree that such court is the appropriate venue
for and has jurisdiction over same.

14. Relationship of Parties. The relationship of the parties hereto shall be as provided
for in this Agreement, and neither Grantee nor any of its compensated officers,
employees, contractors, subcontractors and/or agents are employees of City. The
Grant amount set forth herein shall be the full and maximum compensation and
monies required of City to be paid to Grantee under or pursuant to his Agreement.
15. Severability. If any term of this Agreement is invalid or unenforceable under any
statute, regulation, ordinance, executive order or other rule of law, such term shall be
deemed reformed or deleted, but only to the extent necessary to comply with same,
and the remaining provision of this Agreement shall remain in full force and effect.
16. Entire Agreement. This Agreement, together with any exhibits attached hereto or
referenced herein, constitutes the entire agreement between Grantee and City with
respect to the subject matter hereof, and supersedes all prior oral or written
representations and agreements regarding same. Notwithstanding any other term or
condition set forth herein, but subject to paragraph 15 hereof, to the extent any term
or condition contained in any exhibit attached to this Agreement or in any document
referenced herein conflicts with any term or condition contained in this Agreement,
the term or condition contained in this Agreement shall govern and prevail. This
Agreement may only be modified by written amendment executed by both parties
hereto, or their successors in interest.

ICC 2022 CITY OF CARMEL ARTS GRANT PROGRAM APPLICATION
SUPPLEMENTARY NARRATIVE
November 29, 2021
REQUEST
The Indianapolis Children's Choir (ICC) and the City of Carmel have a shared vision for and commitment
to the importance of the arts and their positive impact in our community and on children, youth, and
families. The ICC respectfully requests a $7,500 grant from the City of Carmel 2022 Arts Grants program
in support of the vital artistic music education programs provided by the ICC in the City of Carmel and
for its residents. The ICC is grateful for annual grants received beginning in 2014 through 2021 and
appreciates consideration of our 2022 application.
This supplementary narrative is presented in support of that application. As the ICC continues to respond
to and recover from the impact of the COVID-19 pandemic, funding from the City of Carmel is more
critical than ever. While singer enrollment was understandably reduced as families were cautious about
participating in extracurricular programs, the ICC maintained high standards of excellence, developed
innovative resources, and introduced new strategies to assure effective mission delivery and support. And
although the availability of venues was reduced and many local events were cancelled during 2021, the
ICC is committed to resuming and expanding performances, collaborations, and activities in Carmel
during 2022.
INDIANAPOLIS CHILDREN'S CHOIR MISSION AND VALUES
The Indianapolis Children's Choir believes in the importance of music education and that the pursuit of
artistic excellence is a vehicle for the growth of happier, healthier, and more successful young people.
And while ICC performances enrich the overall central Indiana community, the community shared by
ICC singers is a safe and supportive place where they are encouraged to explore and discover who they
are and what they can become. They learn the value of discipline, forge lasting friendships, grow a sense
of personal pride, and develop a heart for civic service.

The mission of the Indianapolis Children's Choir is to nurture and inspire student achievement
through quality music education and the pursuit of artistic excellence in choral music performance.
The ICC pursues its mission through the following core values:

and appreciation of music among singers, parents/guardians, and audience members.

ICC Artistic Pillars
The ICC's commitment to its families and to the community is driven by four fundamental and essential

of music in not only our singers, but our parents, alumni, and audience members through engaging
repertoire and performances.
Community: Develop a safe space for children from all religious, racial, cultural, and socio- economic
backgrounds to come together to learn about themselves and the world around them; never compromise
the safety and security of our singers; and embrace the communities that surround us by addressing its
needs and by making it a more vibrant and creative place.
Education: Provide a broad and sequential continuum of music education for children and youth of all
ages, abilities, and experience levels; work directly with music teachers and schools to provide free
services and resources to augment school music programs.
Excellence: Foster leadership, accomplishment, self-worth, and teamwork; and strive to lead locally,
nationally, and internationally and to pursue excellence in quality music education for singers and
teachers.

ICC Mission Delivery
The ICC is recognized internationally for the artistic accomplishments of its singers and celebrated locally
as an integral part of the cultural fabric of central Indiana. The ICC is one of the most established,
comprehensive, and respected children's choral programs in the world, encompassing children from 18
months to 18 years of age and brings singers together from a wide range of cultural and socioeconomic
backgrounds from more than 20 counties in Indiana.
The ICC is a leader in the children's choral community, sharing resources with teachers around the globe,
taking initiative in curriculum development and making many contributions to the body of children's
choral music. Singers participate in a full annual Concert Season, and the ICC receives requests to
perform at nearly 100 community events each year. The ICC has collaborated with premier musicians
such as Kelly Clarkson and the Moscow Chamber Orchestra and has performed at prestigious events
including Super Bowl XLVI and the 100th running of the Indianapolis 500.
The ICC Concert Season includes public performances attended by more than 10,000 people each year
and offers inspiring music for audiences that also provide ICC singers with the satisfaction of achieving
their artistic goals and the experience of performing before a live audience. In addition, children and
youth who participate in the ICC's programs gain increased cultural awareness through opportunities to
tour and perform state-wide, nationally, and globally. In these choirs, repertoire includes multiple styles of
music and languages that expose singers to a wealth of diverse musical genres and pieces.
Beyond the artistic excellence created by its singers, the ICC has a positive impact on children and youth
where they feel accepted, respected, responsible, and challenged. Young people flourish when they are
engaged in activities that are valued, meaningful, and worthwhile. Children and youth are empowered to
pursue and achieve excellence when they are in a safe environment among peers and are guided by caring
adult role models.
Community Impact — Everyone COUNTS
The impact of the ICC extends beyond its choirs; through Everyone COUNTS (Community Outreach
Uniting and Nurturing Through Song), the ICC removes barriers to participation in its programs and
extends music education in the community through the following initiatives:

Regional Choir Programs make participation in the ICC more accessible to families residing in the
communities outside of Indianapolis — including Carmel — by offering local beginning and
preparatory choirs led by ICC directors, as well as music education programs for kindergarten and
pre-school children.
Financial Assistance helps qualifying families by reducing tuition costs so that their economic
situation does not prevent them from joining. Based on need, eligible families may have up to
85% of tuition expenses relieved. In the 2020-2021 fiscal year the ICC provided $33,543 to assist
102 singers, and it is anticipated that there will be a need for approximately $40,000 in financial
assistance for the 2021-2022 fiscal year.
Special Needs programs engage children with special learning by utilizing visual and tactile
experiences, tailored to the abilities and needs of participants in order to aid in the development of
singing and cognitive skills. Activities focus on proper singing techniques and the social skills
involved in being a member of a musical ensemble. The centerpiece of this program is the unique
tuition -free Jubilate Choir, which meets weekly throughout the school year on the campus of
Butler University.
Pre-school and After -school Music Education programs serve children as young as 18 months of
age utilizing a curriculum, designed to stimulate academic, social, and developmental skills while
nurturing a love for music. These programs are provided in schools, preschools, early childhood
centers, and other community organizations that serve children throughout central Indiana.
Neighborhood Choir Academy offers short-term after -school choral singing experiences and
instruction for students in Indianapolis area schools that culminate with participation in an ICC
Concert Season performance. This program is carefully coordinated with partner school music
departments.
Innovations offers complimentary services and resources for music teachers and schools through
free workshops, choir clinics, guest conducting, and other requested professional development
activities.
MUSIC EDUCATION BENEFITS
The exceptional artistic product of ICC singers is only one dimension of the organization's impact; the
benefits of music education extend beyond the development of artistic skills.

Participation in music education is essential for the growth and development of children and has a
profoundly positive impact on school attendance, academic achievement, graduation rates, interpersonal
relationships, and communication skills.
A compelling body of research indicates that participation in music education has a profound impact on
school attendance, academic achievement, graduation rates, and workforce readiness. Findings from the
National School Readiness Indicators Initiative demonstrate that:
Music helps children expand vocabulary, acquire an understanding of symbols and sequence, and
improve memory and auditory function.
Curriculum that integrates a structured music program can help children to develop and
understand verbal and musical language, express feelings and emotions in a creative manner, and
work well with others.
ICC RESPONSE TO THE COVID-19 PANDEMIC
As the COVID-19 pandemic continues to impact program delivery, the ICC is maintaining our strong
commitment to providing quality music education while protecting the health of participants by
continuing to implement COVID-19 Protocol Guidelines developed in 2020 that have comprehensive
policies and procedures for maintaining proper social distance, wearing face masks, and sanitizing
rehearsal and performance spaces. In -person programs were offered on the Carmel Campus of
Cornerstone Lutheran Church as well as available to Carmel residents in multiple locations throughout
central Indiana.
Remote program delivery enables singers to participate from home at the same time as those doing so in
person using a program developed by the ICC in collaboration with Cisco Systems (WebEx) called Music
Mode in conjunction with Google Classroom. The COVID-19 Handbook created by the ICC is now used
by children's choirs throughout the United States.
THE ICC IN THE CITY OF CARMEL
In 2021-2022, the Indianapolis Children's Choir has a very strong presence in Carmel that includes:
the Carmel Children's Choir, a beginning level performance choir for singers in grades 4-7.
0 the Carmel Preparatory Choir, an introductory performance choir for singers in grades 1-3.

the Foundations Choir for singers in kindergarten.
the Music At Play program for children ages 18 months-5 years.
These programs are also available on the campus of Butler University, as are advanced children's choirs
for those in grades 4-9 and the ICC Master Chorale for high school singers; several children and youth
residing in Carmel are involved in these choirs and music education programs.
ICC ensembles also perform frequently in Carmel at venues ranging from senior living communities to
the Center for the Performing Arts and collaborate with civic and community organizations such as the
Carmel Symphony Orchestra, the Central Indiana Dance Ensemble, and the Indiana Ballet Conservatory.
Carmel Children's Choir and Carmel Preparatory
The Carmel Children's Choir continues to be one of the strongest and most popular regional
beginning level choir and preparatory choir programs provided by the ICC. Children in grades
four through seven attend weekly rehearsals, participate in select ICC Concert Season
performances, and perform at local and regional community events.
The Carmel Preparatory Choir is a non -auditioned choir experience for children in grades one
through three. Participants are introduced to choral music and singing techniques such as music
reading, breathing, posture, and movement in an atmosphere that combines learning with fun. The
program is provided in a rehearsal setting to help prepare the singers for more formal choir
experiences. As of November 2021, there were 16 new Carmel singers involved in this choir.
The Carmel Children's Choir and the Carmel Preparatory Choir both rehearse at the Carmel
Campus of Cornerstone Lutheran Church under the leadership of ICC Director of Outreach and
Choir Programs Lauren Southard. Mrs. Southard has been a full-time ICC staff member since
2008 and currently oversees ICC outreach programming. In addition to directing the Carmel
beginning level and preparatory choirs, she also directs the (ICC affiliate) Anderson Area
Children's Choir, established and directs the Jubilate Choir for children with special needs, and
has developed the Foundations Choir and the new Music At Play program. She also serves as
choir director of the children's music program at Cornerstone Lutheran Church in Carmel.

Mrs. Southard holds a Bachelor of Music degree in Music Education from Butler University, a
Master of Arts degree in Educational Administration and Supervision from Ball State University,
and a Master of Arts degree in Applied Behavior Analysis with an emphasis in autism from Ball
State University. She has presented at the Indiana Music Educators Association annual convention
and has been a member of the National Association for Music Education, American Orff-
Schulwerk Association, Indiana Music Educators Association (IMEA), Indiana Kodaly Educators,
and Indiana Orff-Schulwerk Association (IOSA).
Foundations Choir
In response to the unique needs of kindergartners, in 2019 the ICC introduced the Foundations
Choir. The choir meets for 10 weeks per semester and the program concludes with a performance
at an ICC Concert Season performance. Singers are introduced to formal choir instruction in a
playful and understanding environment and the choir lays the foundation for music concepts that
the singers will encounter as they move up to Preparatory Choir. The program integrates essential
academic, social, and developmental concepts into the choir curriculum to help Kindergarten
singers reach important milestones. In addition to traditional music instruction, the Foundations
curriculum folds symbols, patterns, math, and more into the choir curriculum to strengthen
important Kindergarten skills.
The Carmel Foundations Choir program is offered at Cornerstone Lutheran Church in Carmel
under the direction of Sophie Strasheim. Ms. Strasheim Sophie is in her final year at Butler
University studying Choral Music Education and Vocal Performance with a Diverse Learners
minor. She is proud to have worked with ICC throughout her college career, including teaching
early childhood music in central Indiana preschools and interning with experienced ICC directors.
In summer 2021 she completed a research project through Butler on the undergraduate preparation
of music educators to teach students with disabilities.
Music At Play
The new ICC Music At Play program brings high quality ICC music education to Carmel children
using a curriculum that is designed to let the imagination and artistry of the youngest singers lead
the instructor on a journey through what topics spark the most creativity and expression in their
lives.
The program also features the music already created by older ICC singers as inspiration for the
children while they sing and dance, and blends in -person instruction with technology resources
parents and caregivers can use at home to continue learning and having fun, The program is
offered at Cornerstone Lutheran Church in Carmel under the direction of Sophie Strasheim.

ICC Campus Choirs
Carmel children and youth in grades four through nine may also choose to join choirs that rehearse
on the campus of Butler University (or in community choirs meeting in other off -campus
locations.) Each student is placed in a choir based on experience and where they will have the best
learning experience. Beginning level choirs include students who exhibit a strong desire to sing
and have demonstrated an intermediate proficiency in vocal technique.
Advanced ICC choirs are comprised of students who have demonstrated a high degree of vocal
and sight-reading ability. The ICC also offers a Master Chorale for high school singers that
features college -level repertoire and opportunities to perform major works with orchestras.
PERFORMANCES
Members of the ICC Carmel Children's Choir, the ICC Carmel Preparatory Choir, and other ICC campus
and community choirs have multiple opportunities to perform in Carmel, in Indianapolis, throughout
Indiana, across the country, and, for singers in advanced choirs, around the world. These concerts provide
quality musical artistry to the audience and give singers the satisfaction and affirmation that comes with
achieving the highest level of excellence and personal expression. Although the COVID-19 pandemic
limited these opportunities for much of 2021, we plan and expect to resume most performances and
collaborations for the 2021 holiday season and throughout 2022.
These opportunities include:
Performances held in Carmel churches, civic organizations, senior living communities, and
community events and festivals, as well as in collaboration with local arts organizations such
as the Carmel Symphony Orchestra, the Indiana Ballet Conservatory, and the Central Indiana
Dance Academy; and in local venues and productions including participation by the ICC's
advanced Indy Voice ensembles in the Indiana Ballet Conservatory production of The
Nutcracker — November 27-28, 2021, at the Center for the Performing Arts.
In addition, Carmel Children's Choir members were invited to sing in the production by
Carmel's Central Indiana Academy of Dance of The Nutcracker December 10-12 at the STAR
Bank Performing Arts Center.
During 2022 the ICC intends to work closely with the Carmel Symphony Orchestra and other
local arts organizations to continue and expand collaborations and will actively seek
opportunities to perform locally.

Participation in the Indianapolis Children's Choir Concert Season, singing alongside other ICC
ensembles — sharing an experience with a larger group and meeting new people. The
performance by the ICC's Master Chorale, comprised of high school singers, of Gloria by
Antonio Vivaldi, is scheduled to be held May 15, 2022, at Cornerstone Lutheran Church in
Carmel.
CONCLUSION
Funding by the City of Carmel has been critical in enabling the ICC to deliver artistic and music
education programs and performances in Carmel, and we ask for continued support.

amendment and restatement of its Articles of Incorporation, to supersede and take the place of its

ARTICLE I
Restatement
Section 1. The date of incorporation of the Corporation is September 30, 1986.
Section 2. The name of the Corporation following this restatement is Indianapolis
Children's Choir, Inc.
Section 3. The exact text of the amended and restated Articles of Incorporation of the
Corporation, is now as set forth in Exhibit A attached hereto, and such amended and restated Articles of
Incorporation replace the Corporation's Articles of Incorporation, as amended, in their entirety.
ARTICLE 2
Manner of Adoption
Section 1. Action by Directors. By resolution duly adopted at a regular meeting on March
13, 2012, the Board of Directors of the Corporation approved and adopted the amendment and
restatement of the Articles of Incorporation.
Section 2. Compliance with Legal Requirements. The manner of adoption of the
restatement and the vote by which it was adopted constitute full legal compliance with the provisions of
the Act, the Articles of Incorporation and the Code of By -Laws of the Corporation.
Section 3. Effective Date. The restatement shall become effective when these Articles of
Restatement are filed with the Indiana Secretary of State.

ARTICLE I
Name
The name of the corporation is Indianapolis Children's Choir, Inc. ("Corporation"). The
Corporation is incorporated under the Indiana Nonprofit Corporation Act of 1991 (the "Act").
ARTICLE II
Purposes
This Corporation is a public benefit corporation organized and operated exclusively for
charitable and educational purposes described in Section 501(c)(3) of the Internal Revenue Code
of 1986 or corresponding provisions of any subsequent federal tax laws (the "Code").
Specifically, the Corporation is formed to provide children and youth with social, educational,
and artistic development opportunities in choral and other music -related performing arts such
that they learn and experience personal growth through the achievement of artistic excellence. In
addition, the Corporation is formed for the purpose of assisting and engaging in all activities
which serve charitable, educational, literary or scientific purposes, which are permitted by the
Act, and which are permitted to be carried on by an organization exempt from Federal taxation
under the provisions of Section 501(c)(3) of the Internal Revenue Code of 1986, as amended (the
Code"), or by an organization contributions to which are deductible under Section 170(c)(2) of
the Code.
ARTICLE III
Powers
Subject to and in furtherance of the purposes for which it is organized, the Corporation
possesses all general rights, privileges, and powers conferred by the Act. Nothing contained in
these Articles of Incorporation shall be construed to authorize the Corporation to engage in any
activities or perform any functions that are not within the definitions of exempt purposes as set
forth in Section 501(c)(3) of the Code.
ARTICLE IV
Period of Existence
The period during which the Corporation shall continue is perpetual.

No Members
The Corporation shall have no members.
ARTICLE VI
Directors
The exact number of directors of the Corporation shall be specified in or fixed in
accordance with the Bylaws of the Corporation at a number no smaller than three (3).
ARTICLE VII
Board of Directors
Section 1. Subject to the provisions of these Articles of Incorporation and applicable law,
the Board of Directors shall have complete and plenary power to manage, control, and conduct
all the affairs of the Corporation. The directors of the Corporation shall be elected or appointed
in the manner and for terms as specified in the Bylaws of the Corporation. The power to make,
alter, amend, and repeal the Corporation's Bylaws shall be vested in the Board of Directors. No
director of the Corporation shall be liable for any of its obligations.
Section 2. The Board of Directors may from time to time, in the Bylaws of the
Corporation or by resolution, designate such committees as the Board of Directors may deem
desirable for the furtherance of the purposes of the Corporation.
ARTICLE VIII
Reeulation of Corporate Affairs
The affairs of the Corporation shall be subject to the following provisions:
Section 1. Neither the Board of Directors nor the Corporation shall have power or
authority to do any act that will prevent the Corporation from being an organization described in
Section 501(c)(3) of the Code. None of the Corporation's net earnings shall inure to the benefit
of any private individual. No substantial part of the activities of the Corporation shall be or
consist of carrying on propaganda, or otherwise attempting, to influence legislation. The
Corporation shall not participate or intervene in (including the publishing or distributing of
statements) any political campaign on behalf of or in opposition to any candidate for public
office.
Section 2. If the Corporation is dissolved, all of its property remaining after payment and
discharge of its obligations shall be transferred and conveyed, subject to any contractual or legal
requirement, to one or more other organizations selected by the Board of Directors, that are
organized and operated for purposes substantially the same as those of the Corporation, and that
are described in Section 501(c)(3) of the Code.

ARTICLE IX
Indemnification
Section 1. To the extent not inconsistent with applicable law, every person (and the heirs
and personal representatives of such person) who is or was a director or officer of the
Corporation shall be indemnified by the Corporation against all liability and reasonable expense
that may be incurred by her or him in connection with or resulting from any claim, action, suit or
proceeding (i) if such person is wholly successful with respect thereof or, (ii) if not wholly
successful, then if such person is determined as provided in paragraph (e) of this Section to have
acted in good faith, in what he or she reasonably believed to be the best interests of the
Corporation (or, in any case not involving the person's official capacity with the Corporation, in
what he or she reasonably believed to be not opposed to the best interests of the Corporation)
and, in addition, with respect to any criminal action or proceeding, is determined to have had
reasonable cause to believe that the conduct was lawful (or no reasonable cause to believe that
the conduct was unlawful). The termination of any claim, action, suit, or proceeding, by
judgment, settlement (whether with or without court approval), or conviction or upon a plea of
guilty or of nolo contendere, or its equivalent, shall not create a presumption that a person did
not meet the standards of conduct set forth in this Section.
Section 2. As used in this Section, the terms "claim, action, suit or proceeding" shall
include any threatened, pending, or completed claim, action, suit, or proceeding and all appeals
thereof (whether brought by or in the right of this Corporation, any other corporation or
otherwise), civil, criminal; administrative, or investigative, whether formal or informal, in which
a person (or her or his heirs or personal representatives) may become involved, as a party or
otherwise:
i) By reason of her or his being or having been a director or officer of the Corporation or
of any corporation where he or she served as such at the request of the Corporation, or
ii) By reason of her or his acting or having acted in any capacity in a corporation,
partnership, joint venture, association, trust or other organization or entity where he or she served
as such at the request of the Corporation, or
iii) By reason of any action taken or not taken by her or him in any such capacity,
whether or not he or she continues in such capacity at the time such liability or expense shall
have been incurred.
Section 3. As used in this Section, the terms "liability" and "expense" shall include, but
shall not be limited to, counsel fees and disbursements and amounts of judgments, fines, or
penalties against, and amounts paid in settlement by or on behalf of a person.
Section 4. As used in this Section, the tern "wholly successful" shall mean (i)
termination of any action, suit or proceeding against the person in question without any finding
of liability or guilt against her or him, (ii) approval by a court, with knowledge of the indemnity
herein provided, of a settlement of any action, suit, or proceeding, or (iii)- the expiration of a
reasonable period of time after the making of any claim or threat of any action, suit or

proceeding without the institution of the same, without any payment or promise made to induce a
settlement.
Section 5. Every person claiming indemnification hereunder (other than one who has
been wholly successful with respect to any claim, action, suit, or proceeding) shall be entitled to
indemnification (i) if special independent legal counsel, which may be regular counsel of the
Corporation or other disinterested person or persons, in either case selected by the Board of
Directors, whether or not a disinterested quorum exists (such counsel or person or persons being
hereinafter called the referee), shall deliver to the Corporation a written finding that such person
has met the standards of conduct set forth in the preceding paragraph (a) and (ii) if the Board of
Directors, acting upon such written finding, so determines. The person claiming indemnification
shall, if requested, appear before the referee and answer questions which the referee deems
relevant and shall be given ample opportunity to present to the referee evidence upon which he
or she relies for indemnification. The Corporation shall, at the request of the referee, make
available facts, opinions or other evidence in any way relevant to the referee's findings which are
within the possession or control of the Corporation.
Section 6. The right of indemnification provided in this Section shall be in addition to
any rights to which any person may otherwise be entitled. Irrespective of -the provisions of this
Section, the Board of Directors may, at any time and from time to time, approve indemnification
of directors, officers, or other persons to the fullest extent permitted by applicable law, or, if not
permitted, then to any extent not prohibited by such law, whether on account of past or future
transactions.
Section 7. Expenses incurred with respect to any claim, action, suit or proceeding may be
advanced by the Corporation (by action of the Board of Directors, whether or not a disinterested
quorum exists) prior to the final disposition thereof upon receipt of an undertaking by or on
behalf of the recipient to repay such amount unless he or she is entitled to indemnification.
Section 8. The Board of Directors is authorized and empowered to purchase insurance
covering the Corporation's liabilities and obligations under this Section and insurance protecting
the Corporation's directors or officers, or other persons.

GRANT REPORT

The Indianapolis Children's Choir (ICC) is proud and grateful to have been selected as the recipient of a
grant from the City of Carmel 2021 Arts Grants program in support of the delivery of artistic and music
education programs in Carmel. In conjunction with the Supplementary Narrative accompanying our 2022
application, this Grant Report summarizes the activities, accomplishments, and impact of the ICC in
Carmel during the 2021 grant period.
Like all arts organizations, the COVID-19 pandemic made it necessary for the ICC to make many changes
in program delivery during 2021, including the locations of rehearsals and concerts, as health and safety
considerations limited the availability of performance venues and opportunities for local collaborations.
Despite these challenges, the ICC continued to provide music education in Carmel throughout the year.
As we cautiously anticipate an improved 2022 public health environment, we are actively seeking to
resume and expand programs, performances, and partnerships in Carmel.
PROGRAMS PROVIDED
During the 2021 grant period the ICC provided the choral and music education programs listed below,
which are also described in the Supplementary Narrative accompanying the 2022 application.
From January through May (the 2020-2021 ICC program year), rehearsals and classes were conducted
using a hybrid method of program delivery that combined in -person rehearsals and classes with remote
rehearsals. In -person programs utilized carefully planned and stringently enforced protocols for face mask
wearing, temperature checks, social distancing, air purification, and sanitization in order to protect the
health and safety of singers and directors. In -person programs were offered on the Carmel Campus of
Cornerstone Lutheran Church as well as available to Carmel residents in other locations throughout
central Indiana.

Remote program delivery enabled singers to participate from home at the same time as those doing so in
person using a program developed by the ICC in collaboration with Cisco Systems (WebEx) called Music
Mode in conjunction with Google Classroom. The COVID-19 Handbook created by the ICC is now used
by children's choirs throughout the United States.
Beginning in September 2021 (the 2021-2022 ICC program year), the ICC resumed regular in -person
rehearsals and classes in Carmel, continuing to follow health and safety protocols and offering remote
participation for those unable to attend in person. The ICC also began to focus marketing efforts in the
Carmel area to increase awareness and attract new singers.
Programs Based in Carmel
ICC Cannel Children's Choir and ICC Carmel Preparatory Choir
The beginning level Carmel Children's Choir served students in grades four through seven, and
the introductory Preparatory Choir engaged children in grades one through three. When health and
safety conditions made it possible, weekly in -person and hybrid rehearsals were held at
Cornerstone Lutheran Church in Carmel, and both choirs were directed by ICC Director of
Outreach and Choir Programs Lauren Southard.
Although, due to the COVID-19 pandemic, there were fewer opportunities for the choirs to
participate in local concerts and community events, they participated in selected ICC Concert
Season performances that were either recorded live with no in -person audience and broadcast
online or performed outside with an in -person audience. In the fall of 2021, there were 19 singers
enrolled in the Carmel Preparatory Choir — twice the original projection — and 16 of the students
were new to the program.
ICC Carmel Foundations Choir
The ICC Foundations Choir for kindergarten singers was offered in two sessions during 2021.
Plans for the February — May session scheduled to be held at Cornerstone Lutheran Church in
Carmel were changed due to COVID-19 restrictions and Carmel students participated remotely in
the session conducted on the campus of Butler University. The September — December session
was held at Cornerstone with 12 new singers. The program offered formal choir instruction in a
playful and understanding environment and introduced children to music concepts they will
encounter as they advance to Preparatory Choir, and integrated essential academic, social, and
developmental concepts into the choir curriculum to help strengthen important kindergarten skills.
The ICC Carmel Foundations Choir was directed by Sophie Strasheim, a Choral music Education
Student at Butler University.

Additional Programs Available to Carmel Families
Carmel children and youth also joined choirs and participated in music education programs on the campus
of Butler, in other locations in Boone and Hamilton counties and throughout central Indiana. In addition
to the availability of the programs listed above in alternate sites, Carmel residents participated in:
the ICC Early Childhood music education program for children from 18 months of age through
pre -Kindergarten, designed to develop singing, vocabulary, and movement skills, while at the
same time nurturing a love of music and singing.
ICC advanced children's choirs for singers in grades four through nine who have demonstrated
proficiency in vocal and sight-reading ability and are ready for a more challenging instruction and
performance experience.
ICC Master Chorale for high school singers that offers college level repertoire and opportunities to
perform major works with orchestras.
During the 2021 calendar year, 72 Carmel children and youth were enrolled in ICC choir programs. In
addition, 31 non -Carmel residents participated in ICC artistic and music education programs meeting in
Carmel during the year.
PERFORMANCE HIGHLIGHTS
The restrictions of the COVID-19 pandemic continued to impact opportunities for Indianapolis Children's
Choir ensembles, including the Carmel Children's Choir and the Carmel Preparatory Choir, to perform in
Carmel and throughout central Indiana during most of 2021. Although participation in holiday concerts
and productions in Carmel, including The Nutcracker at The Center for the Performing Arts, were not
possible in December 2020, The Nutcracker will take place in November and December 2021.
Collaborations with Carmel arts organizations such as the Carmel Symphony Orchestra, the Central
Indiana Dance Academy, and the Indiana Ballet Conservatory were also deferred to 2022, as were many
performances in Carmel for local community groups, including several senior living communities, and
other local events.
ICC performances and events in Carmel, some of which involved the Carmel Children's Choir and others
of which other ICC ensembles and families into Carmel, included:

A choir retreat for 125 members of the ICC's advanced Indy Voice ensembles, held August
20-22, 2021, at Cornerstone Lutheran Church in Carmel.
A performance at the Wasson Nursery Holiday Open House on November 6, 2021.
Performances by the ICC's advanced Indy Voice ensembles in the Indiana Ballet Conservatory
production of The Nutcracker held November 27-28, 2021, at the Center for the Performing
Arts.
Scheduled participation by the ICC's beginning level choirs, including the Carmel Children's
Choir members, in the Carmel's Central Indiana Academy of Dance production of The
Nutcracker December 10-12, 2021, at the STAR Bank Performing Arts Center.
In addition, the ICC Concert Season performance of Dan Forrest's Jubilate Deo, a challenging major
work presented by high school singers in the ICC's Master Chorale and the affiliate Anderson Youth
Chorale, was originally planned for May 2, 2021, at Cornerstone Lutheran Church in Carmel. Due to
COVID-19, the church was unavailable, and the concert was moved to Cornerstone's Fishers campus and
held May 16, 2021.
The Carmel Children's Choir and the Carmel Preparatory Choir also participated in several of the ICC's
Concert Season performances, singing alongside other ICC choirs, sharing an experience with a larger
group, and meeting new people. These concerts included:
Angels Sing: Home for the Holidays, which was performed live with no in -person audience
and professionally recorded by Hodges Marketing Solutions (a digital marketing company
located in Carmel) on November 21, 2020. The recorded concert was available online and
received five Regional Emmy nominations.
A Broadway Journey with special guest Sarah Scharbrough McLaughlin (an alumna of the
ICC), which was performed live with no in -person audience and professionally recorded by
Hodges Marketing Solutions on March 6, 2021. The recorded concert was available online.
One Voice: Encouraging Unity and Togetherness Through Song concert, which was
performed outdoors before a live audience on May 8, 2021, and broadcast via livestream to
those unable to attend.
Choral Fest: Dare to Dream, which concluded the ICC's 2020-2021 Concert Season and
featured singers from Dare to Dream Summer Music Camp, performed on June 10, 2021, with
no in -person audience and broadcast via livestream.

Simple Gifts, the first concert of the ICC 2021-2022 Concert Season, which was performed on
October 9, 2021, for an in -person audience. In addition to enforcing ICC COVID-19 health
and safety protocols for singers, directors, staff, and volunteers, all audience members were
required to wear face masks. This concert was broadcast via livestream for those unable to
attend in person.
Celebrate the Season: Comfort and Joy, a component of the ICC's annual holiday concerts, is
scheduled to be performed for an in -person audience December 18, using health and safety
protocols for participants and audience members. The other ICC holiday concerts are Angels
Sing: Comfort and Joy on December 17 and 18, 2021 and Sounds of the Season: Comfort and
Joy on December 19, 2021.
