BPW 01-19-22-23 RESOLUTION OF THE CITY OF CARMEL BOARD OF PUBLIC WORKS AND SAFETY ACKNOWLEDGING ARTS GRANT PROGRAM AGREEMENT WHEREAS, pursuant to Indiana Code 36-1-4-7, the City of Carmel, Indiana (“City”), is authorized to enter into contracts; and WHEREAS, pursuant to Indiana Code 36-4-5-3, the City’smayor may enter into contracts on behalf ofthe City; and WHEREAS, pursuant to his authority under Indiana law, the City’smayor, the Honorable James C. Brainard, has caused to be signed the Arts Grant attached hereto as Exhibit A (the “Contract”); and WHEREAS, Mayor Brainard now wishes to present the contract to the City’sBoard of Public Works and Safety for it to be publicly acknowledged, filed in the Clerk’sOffice, and made available to the public for review. In consideration of those mutual undertakings and covenants, the parties agree as follows: 1. That on behalf of Grantee, a not -for -profit corporation, I, Liam Bonner an authorized representative of Grantee, have applied for a City of Carmel Grantor") Arts Grant, said application attached hereto and made a part hereof as Exhibit "A." 2. Grant Agreement. The City, after review and recommendation by the Mayor, agrees to grant $ 15 ,130.00 to the Grantee for the eligible costs of the project (the "Project") or services as described in Exhibits "A" and `B" of this Agreement. The funds shall be used exclusively in accordance with the provisAis contained in this Agreement. Generally, the Grant award may not exceed one third 1/3) of Grantee's combined contributed income, revenue of sales, and/or ticket revenue from the previous year. The City of Carmel may, however, make exceptions for start-up organizations that have been in existence for three (3) years or less. 3. Design and Implementation of Project. The Grantee agrees to use any and all grant funds in accordance with the proposal contained within this agreement and any documents attached to this Agreement, which are incorporated by reference. 4. Warranty of non-profit status. Grantee hereby represents and warrants that it is a not -for -profit entity with a determination letter from the Internal Revenue Service declaring that it is exempt from Federal income tax. The payment of this Grant by the City to the Grantee shall be made in accordance with the following conditions: A. This Agreement must be fully executed and signed by both Grantee and Grantor. B. Grantee has attached all the following information, which it represents and warrants to be true and accurate, all which have been incorporated fully by reference: 1. An application and description of the proposed use of the grant funds (EXHIBIT A); 2. A budget for the calendar or fiscal year for which the grant is requested EXHIBIT B); 3. Certified copies of incorporation as a not -for -profit corporation under state law EXHIBIT C); 4. A not -for -profit application or determination letter from the U.S. Internal Revenue Service identifying that it is a not -for -profit corporation that is exempt from Federal income tax (EXHIBIT D); 5. Any audits, reviews or compilations available describing the financial condition of the Grantee, unaudited Balance Sheet and Income Statement, most recent available IRS Form 990, and the attached Affidavit (EXHIBIT E); 6. A list of the Grantee's board of directors and officers listed (EXHIBIT F); 7. A Year End Report from the previous year if Grantee received an Arts Grant from the City of Carmel in the previous calendar year, pursuant to paragraph 8 herein EXHIBIT G). C. Any other grant conditions that City requires to be met by Grantee, specifically: 6. Grantor's right to request audit or review. Grantee shall submit to an audit or review by an independent Certified Public Accountant of funds at the City's request, and shall make all books, accounting records and other documents available at all reasonable times during the tern of this Grant Agreement, and for a period of three 3) years after final payment of funds under this Agreement, for the purpose of an audit by the City of Carmel, the State of Indiana, or their designees. Said review or audit, if requested, shall be performed by a Certified Public Accountant ("CPA") who 2 DocuSign Envelope ID: 15E0B74B-0FAA-491E-A7BC-00BB8A086FBF is neither an employee of Grantee nor a member of the Grantee's Board of Directors, to be provided to the City of Carmel by March 31 of the following year. 7. Quarterly financial statements. Grantee agrees to provide the City of Cannel quarterly financial statements within 45 days after each quarter -end for Grant awards in excess of sixty thousand dollars ($60,000). 8. Year-end review. Grantee agrees to provide the City of Cannel a year-end report Year End Report") for each year, describing how the grant was used and the impact of the dollars received. 9. Funding Credit. Grantee agrees to credit the City of Carmel in the printed materials associated with a funded program or project. The City of Carmel will supply, upon request, Grantee with the graphics/logos necessary for compliance. 10. Statutory Authority of Grantee. The Grantee expressly represents and warrants to the City that it is statutorily eligible to receive these monies and it expressly agrees to repay all monies paid to it under this Grant, should a legal determination of its ineligibility be made by any Court of competent jurisdiction. 11. Use of Grant Funds by Grantee. The funds received by the Grantee pursuant to this Agreement shall be used only to implement the Project or provide the services in conformance with the Budget and for no other purpose. If it is determined by the City that misappropriation of funds have occurred, the Grantee must return all funds received by Grantor and individuals who misuse Grant funds may also be subject to civil and/or criminal liability under Indiana and Federal law. 12. Employment Eligibility Verification. The Grantee affirms under the penalties of perjury that he/she/it does not knowingly employ an unauthorized alien. The Grantee affirms under the penalties of perjury that he/she/it has enrolled and is participating in the E-Verify program as defined in IC 22-5-1.7. The Grantee agrees to provide documentation to the City that he/she/it has enrolled and is participating in the E-Verify program. The City may terminate for default if the Grantee fails to cure a breach of this provision no later than thirty (30) days after being notified by the State. 13. Governing Law; Lawsuits. This Agreement is to be construed in accordance with and governed by the laws of the State of Indiana, except for its conflict of laws provisions. The parties agree that, in the event a lawsuit is filed hereunder, they waive their right to a jury trial, agree to file any such lawsuit in an appropriate court in Hamilton County, Indiana only, and agree that such court is the appropriate venue for and has jurisdiction over same. 3 DocuSign Envelope ID: 15E0B74B-0FAA-491E-A7BC-00BB8A086FBF 14. Relationship of Parties. The relationship of the parties hereto shall be as provided for in this Agreement, and neither Grantee nor any of its compensated officers, employees, contractors, subcontractors and/or agents are employees of City. The Grant amount set forth herein shall be the full and maximum compensation and monies required of City to be paid to Grantee under or pursuant to his Agreement. 15. Severability. If any term of this Agreement is invalid or unenforceable under any statute, regulation, ordinance, executive order or other rule of law, such term shall be deemed reformed or deleted, but only to the extent necessary to comply with same, and the remaining provision of this Agreement shall remain in full force and effect. 16. Entire Agreement. This Agreement, together with any exhibits attached hereto or referenced herein, constitutes the entire agreement between Grantee and City with respect to the subject matter hereof, and supersedes all prior oral or written representations and agreements regarding same. Notwithstanding any other term or condition set forth herein, but subject to paragraph 15 hereof, to the extent any term or condition contained in any exhibit attached to this Agreement or in any document referenced herein conflicts with any term or condition contained in this Agreement, the term or condition contained in this Agreement shall govern and prevail. This Agreement may only be modified by written amendment executed by both parties hereto, or their successors in interest. Summary of Request The Indianapolis Symphonic Choir requests funding in the amount of $17,000 to make possible four (4) performances at the Palladium in the 2022-2023 concert season. Funding from the City of Carmel Arts Grant Program enables us to present all these performances at the Palladium. These funds will cover a portion of the costs associated with hall rental and venue needs (i.e., box office staff, backstage staff, City of Carmel ticketing fees, security) for Festival of Carols, benefiting the City of Carmel and the entire region. This concert series has attracted multiple sold -out audiences at the Palladium since its move to the venue in December 2012. The Choir requests partial support for performances of Festival of Carols in 2022 to meet the clear audience demand for this high quality, family -friendly concert that has rapidly become a beloved holiday tradition while keeping ticket prices affordable. Introduction The Indianapolis Symphonic Choir is proud to be one of the nation's most established and dynamic musical institutions. This iconic and vitally important organization has been enriching the lives of so many in the Indianapolis community with its incredibly moving, inspiring, and often provocative performances for 85 years. Founded in 1937 at the request of the Indianapolis Symphony Orchestra (ISO) to perform the great choral -orchestral repertoire, the Indianapolis Symphonic Choir is among the most active symphonic choruses in the United States, reaching more than 20,000 persons each season through performances and education & community engagement programs. The 150 volunteer singers demonstrate the Choir's commitment to musical excellence through their talent and dedication during each 10-month season. Our community is stronger, and the quality of life significantly enriched because of the singers' willingness to share their musical talents and gifts in the choral arts through the Indianapolis Symphonic Choir. Singers are reauditioned annually, and the persons performing each concert are chosen to best present thoseworksbeingperformed. All selected singers have a necessarily elevated level of musical literacy to be able to perform with the Choir, but singers are also actively developed during their time with the choir. Under the direction of Dr. Stark, they gain impressive choral skills and exposure to the most challenging repertoire for choral singers. The Choir routinely brings in experts in foreign languages, diction coaches, and subject matter to provide context and explanation of the current choral work. Auditions are held twice a year, to ensure that the Symphonic Choir remains as open and accessible to new talented members. In this same vein, the Symphonic Choir is also dedicated to supportingandpromotingnewandemergingtalentinthecommunityandbeyond. Because of his role within Butler University, Dr. Stark is in a unique position to hear and hire young, talented soloists who singatanelevatedlevelbutneedadditionalperformanceexperience. The Symphonic Choir also brings in vocal talent from across the United States for solo performances with the choir, enrichingperformanceswithamorediversesetofworld -class artists. According to an analysis by Wandem in 2017, the average concert ticket in Indianapolis was $77.62, while our performance ticket prices average $39 and begin at $15 (for students) and top out at $57. At these prices, the Choir makes the concert -going experience accessible for a greater demographic without a reduction in the artistic product. Throughout its history spanning more than three-quarters of a century, the Symphonic Choir has been served by leaders in the choral art, including forrner music directors Elmer Steffen, Don Neuen, Charles Webb, John W. Williams, Robert Porco, as well as current Artistic Director Dr. Eric Stark, and has given performances around the world. The organization has several released audio recordings including the complete, two -disc recording of Mendelssohn's Elijah, From East to West: A Festival of Carols, The Very Best of Festival of Carols, the Symphonic Choir commissioned work Babur by Mohammed Fairouz, and our most recent release of Festival of Carols featuring two- time Grammy award -winning artist Sylvia McNair on the international label Naxos. Most of these recordings may be found on music streaming platforms such as Apple Music and Spotify. In fact, the Indianapolis Symphonic Choir has 1,208 monthly listeners on Spotify. Chorus America, our nationwide choral umbrella organization with a membership of 750 choruses, regularly refers to the Indianapolis Symphonic Choir as an expert in the field and a standard of which to measure success. For the past few years, the organization has been invited to present on assorted topics and serve on panels at the annual Chorus America Conference. We are honored to be considered a leader in this space by the premier professional organization of the choral field. Organizational Capacity and Leadership The Indianapolis Symphonic Choir is fortunate to have dedicated leaders on its staff and Board of Directors alike. Artistic Director Dr. Eric Stark recently completed his 19th season with the Symphonic Choir. In addition to his duties as Artistic Director of the Indianapolis Symphonic Choir, Dr. Stark is also Professor of Music, Director of Graduate Studies, and Assistant Chair of the School of Music at Butler University's Jordan College of Fine Arts. Assistant Artistic Director Dr. Michael Davis also completed his 19th year with the Symphonic Choir and continues as Director of Music Ministries for First Presbyterian Church in Noblesville, IN. Liam Bonner joined the Indianapolis Symphonic Choir as Executive Director in January of 2019. In his current position, Liam draws on three years of fundraising experience with a major US symphony and a successful ten-year career in performance, having earned his Bachelor of Fine Arts in Vocal Performance from Carnegie Mellon University and his Master of Music in Voice from the Manhattan School of Music. Kellie Kierce joined the Indianapolis Symphonic Choir as Development Director in August 2019. She brings over seven years of nonprofit fundraising experience. Kellie earned a Bachelor of Science degree in Nonprofit Management from Indiana University. Kara M. Stolle joined the Indianapolis Symphonic Choir in October 2021 as Production Specialist with a wealth of experience on stage as a musician and in management roles behind the scenes. She received her Bachelor's degree in music performance from Butler University and her Master's degree from the Indiana University School of Music in Bloomington, IN. The Indianapolis Symphonic Choir is governed by a volunteer Board of Directors, dedicating its service to the mission of the institution. Arts Programming The Indianapolis Symphonic Choir creates choral and choral -orchestral performances that are recognized nationally by our peers as well as our regional audiences. The Choir's high -quality artistic product has garnered local and national broadcasts, recognition through the American Prize, and invitations to perform at American Choral Directors Association conventions. The quality of every performance is consistently at the highest of levels. The Symphonic Choir' s 86" season includes a varied and attractive offering of choral music, accessible to musical novices as well as aficionados. The 2022-2023 season will feature Festival of Carols at the Palladium, our annual Gala Bel Canto, and performances with the Indianapolis Symphony Orchestra, including Messiah at the Palladium. We have recently experienced some significant accomplishments. As a result of the pandemic, choirs were at a particular disadvantage to perform live, in -person concerts, but we have been dedicated to keep the music going — safely! Since the beginning of our 2020-2021 season, the Indianapolis Symphonic Choir has been delivering choral music to our community and beyond through new, virtual, and in -person formats. Free virtual choir performances were released in August and October. We celebrated the 30th Anniversary of our Festival of Carols with a special, free, television broadcast on MyINDY-TV channel 23 (part of WISH -TV). All our performances from the 2020-2021 season may be found on our YouTube channel for free, on -demand viewing. Our annual holiday concert Festival of Carols serves as a gateway concert for more of our first-time ticket buyers than any other concert cycle of our typical season. This production allows our audiences to enjoy high -quality, family -friendly performances of music for chorus and orchestra. December 2022 will include three performances of our annual holiday tradition Festival of Carols, the perfect opportunity for families to experience live musical performances while making new memories. In fact, this concert cycle sees our largest percentage of first-time attendees. As the arts and culture sector seeks to expand its foothold, concerts like these are integral to reaching new audiences and broadening our impact. The Indianapolis Symphonic Choir's innovative "In-Choir-ing Minds" and "Words on Music" performances are separate, free, supplemental programs to a Sacred Masterworks performance. Dr. Eric Stark, along with other guest speakers/experts introduce the historical and musical background of the work. The choir and orchestra play key selections of the work, interspersed with Dr. Stark's commentary on the music itself, the history of the composition, and the instruments being played. What results is a deeper dive into the music in a way that is accessible to musical novices as well as aficionados. The Spotlight Choir program provides opportunities to high school choirs for intergenerational learning and collaborating with musical experts and singers in the Indianapolis Symphonic Choir. Our goal is to provide opportunities to perform and to encourage enjoyment of choral music while cultivating both future audience members and new generations of choral singers. Through our Spotlight Choir initiative, we invite local high school choirs to perform side by side with our 150-voice volunteer choir at our annual Festival of Carols, one of the season's most popular concert series. The Indianapolis Symphonic Choir's Conducting Fellowship provides one -of -a -kind professional mentorship opportunities for the next generation of choral conductors. Especially focusing on large-scale choral -orchestral masterworks, the Conducting Fellowship is a collaborative initiative between the Indianapolis Symphonic Choir and Butler University One of our most popular outreach events is our Community Sing where we invite everyone to join us for a free sing -along with the Indianapolis Symphonic Choir. Previous years have seen this event take place at Sun King Brewery, providing a relaxed atmosphere. Last year, the event was held outside in the parking lot of the Basile Opera Center. Guests had to pre -register for tickets, pass a health check upon check -in, and were then assigned a socially distanced pod that was marked out in chalk. Everyone was required to wear their mask ---even when singing! Additionally, the Indianapolis Symphonic Choir continues work to advance the future of choral music by hosting the annual Christmas Carol Commission Competition. Aimed at emerging composers under the age of thirty-five, the winner's music is debuted each year at Festival of Carols performances in December. Attracting new audiences is one of the major focal points of most arts organizations and the Symphonic Choir is no different. Our annual holiday concert, Festival of Carols, serves as a gateway concert for more of our first-time ticket buyers than any other concert cycle of our typical season. This production allows our audiences to enjoy high -quality, family -friendly performances of music for chorus and orchestra and all Festival of Carols performances feature our annual Spotlight Choir educational program. The Board's finance committee has expanded its scope by providing more oversight to fiscal procedures and processes. The Indianapolis Symphonic Choir is proud of its ability to both manage annual operations and grow its endowment for the long-term sustainability. Continuing to deal with the on -going pandemic has stretched the organization's operational finances, but several measures have helped the organization weather these challenging times. This includes examining alternative programming formats for ways to generate income such as individual and corporate sponsorship and virtual event ticket revenues, communicating to all audiences the continued choral and educational efforts the organization is conducting in the community, providing specific stewardship to our long-time donors and high annual contributors to ensure their continued organizational support, seeking new funding sources from within the philanthropic and corporate revenue streams, stewarding the organization's growing and hosting monthly organizational financial reviews with board, staff, and finance committee to make timely adjustments should circumstances require. The Indianapolis Symphonic Choir's strong relationships with its donors, as well as the additional support of many granting agencies, helped to provide the organization with the financial resources needed. One of the areas of growth in our fundraising has been our digital/virtual campaigns. We had 125 live viewers on our YouTube channel for our very first virtual Gala in February 2021. This of course does not count for the number of viewers per computer screen and the video has since received 378 views after its original release. In addition, this virtual event garnered 30+ new subscribers to our YouTube channel. Many of our donors have felt more comfortable using and trusting technology and we have seen an increase in online giving. The Corporation is a public benefit corporation. ARTICLE II Purposes and Powers Section 2.1. Pu1poses. The Corporation is formed to: a) Establish and maintain an organization for the study, practice and promotion of musical culture by singing separately or in chorus with such accompaniment as may be desirable including orchestral accompaniment; b) Arrange and produce private and public concerts and programs (for which an admission may be charged), including operatic practice and performance, and all matters in which an organization for singing individually or in chorus might join, practice or perform; c) Promote and develop the musical culture in Indianapolis and the surrounding counties, as well as throughout the State of Indiana, by making funds available to individuals and organizations (by subscription or outright gifts), directly or for the benefit of, such promotion and development of such musical culture (including scholarships for musical study and research); and d) Transact any and all lawful business for which nonprofit corporations may be incorporated under the Act, provided such business is not inconsistent with the Corporation being organized and operated exclusively for non-profit purposes. Section 2.2. Nonprofit Purposes. a) The Corporation is organized to operate exclusively for the charitable purposes established in this Article II. Section 7.2. Restriction Upon Acceptance of Gifts. No gifts or other contributions to the Corporation shall be accepted by the Corporation if the use or expenditure of such gift or other contribution is subject to any condition which is inconsistent with the purposes of the Corporation as stated herein. Section 7.3. Interest of Directors in Contracts. Any contract or other transaction between the Corporation and one or more of its Directors, or between the Corporation and any firm of which one or more of its Directors are members or employees, or in which they are interested, or between the Corporation and any corporation or association of which one or more of its Directors are shareholders, members, directors or employees, or in which they are interested, shall be valid for all purposes, notwithstanding the presence of such Director or Directors at the meeting of the Board of Directors of the Corporation which acts upon or in reference to such contract or transaction. Also, notwithstanding such Director's participation in such action, if the fact of such interest shall be disclosed or known to the Board of Directors and the Board of Directors shall, nevertheless, authorize, approve and ratify such contract or transaction by a vote of a majority of the Directors present, such interested Director or Directors not to be counted in determining whether a quorum is present and not to be counted in calculating the majority of such quorum necessary to carry such vote. Provided, however, such contract or transaction shall be at arm's length and not violative of the proscriptions of these Articles against the Corporation's use or application of its funds for private benefit. Section 7.4. Net Earnings. No part of the net earnings of the Corporation shall inure to the benefit of, or be distributed to, its Directors, officers, or other private individuals. Section 7.5. Private Foundation. Among the most active symphonic choruses in the United States, the organization reaches more than 20,000 persons each season through performances and education community engagement programs. Recognized as a leader amongst peer choruses, we are honored to be among the top 1% of choruses in terms of budget size and overall institutional capacity in the United States. We are grateful for the generous support by the City of Carmel for our 2021 performances of Festival of Carolrat The Palladium at the Center for the Performing Arts. You are helping us to continue a growing musical tradition that brings people of all ages and of all musical backgrounds together. The Indianapolis Symphonic Choir was awarded a 2021 arts grant in the amount of 17,000. At the time of submitting this report, full use of those grant funds has been used for our 2021 Festival of CaroGproduction. We are thrilled to be back to live, in -person performances at The Palladium, and bringing the joy of the holiday season to all who attend this wonderful venue in the city of Carmel. Performances will feature soloist Angela Brown and the Indianapolis Chamber Orchestra. The spotlight choir initiative is suspended this year since high school choirs are still impacted by the Covid 19 pandemic. However, the Indianapolis Symphonic Choir is dedicated to education and community engagement and will therefore present a "spotlight on our youth" where a high school student, Dejah Watts, will perform "He shall feed his flock" side by side our guest artist (and Dejah's voice teacher), Angela Brown. We will premiere Gather Round the Holy Manger by Joyce Vickery, winner of the 12th annual Christmas Carol Commission Competition, and Conducting Fellow Alejandro Reyna makes his Palladium conducting debut on the Festival of Carols program. Of course, Santa is stopping by for any last-minute wish lists before heading back to the North Pole. We will also offer one performance with ASL interpretation (Sunday, December 19 at 3pm.). The Indianapolis Symphonic Choir is proud of its ability to both manage annual operations and grow its endowment for long-term sustainability. Continuing to deal with the ongoing pandemic has stretched the organization's operational finances, but several measures have helped the organization weather these challenging times. The Indianapolis Symphonic Choir's strong relationships with its donors, as well as the additional support of many granting agencies, helped to provide the organization with the financial resources needed. One of the areas of growth in our fundraising has been our digital/virtual campaigns. We had 125 live viewers on our YouTube channel for our very first virtual Gala in February 2021. This of course does not count for the number of viewers per computer screen and the video has since received 378 views after its original release. In addition, this virtual event garnered 30+ new subscribers to our YouTube channel. Many of our donors have felt more comfortable using and trusting technology and we have seen an increase in online giving. We have recently experienced some significant accomplishments. As a result of the pandemic, choirs were at a particular disadvantage to perform live, in -person concerts, but we have been dedicated to keeping the music going — safely! Since the beginning of our 2020-2021 season, the Indianapolis Symphonic Choir has been delivering choral music to our community and beyond through new, virtual, and in -person formats. Free virtual choir performances were released in August and October. We celebrated the 30th Anniversary of our Festival of Carols with a special, free, television broadcast on MyINDY-TV channel 23 (part of WISH -TV). Our Sacred Masterworks series had a virtual debut in early June 2021 and even though this performance included a paywall (the first time charging for tickets since February 2020, those who indicated that they have been impacted by COVID and were unable to purchase a ticket were granted access to the concert, no questions asked. All our performances from the 2020-2021 season may be found on our YouTube channel for free, on -demand viewing. With your generous support, the Symphonic Choir has been able to continue its programming and maintain a high level of artistic integrity.
