WHEREAS,Licensee wishes to temporarily occupy Cranston Street located adjacent to 12525 Old Meridian.Street,Suite 150, as depicted in Exhibit A("Licensed Area")for a special event("Permitted Use"). Licensor and Licensee are agreeable to such activities upon the terms and conditions set forth in this License. 1. Term. License shall commence on Wednesday,March 16th at 10:00 AM and terminate on Sunday, March 20th at 12:00 PM 2. Consideration. Licensor agrees to allow Licensee the use of patiking lot in exchange for the consideration of No Dollars($0.00)during Term. Full payment is due upon execution of this Agreement, made payable to"PROVIDENCE HUD,LLC". Payment is non-refundable. In the event that such activities disturb Licensor's tenants,Licensee shall immediately,upon notice from Licensor cease and desist from such activity. 2. Limitation on Licensee's Remedies and Indemnification.Notwithstanding anything in this License to the contrary,Licensor assumes no liability or responsibility whatsoever with respect to the use of the Licensed Area,nor shall Licensor be liable for any accident,loss,damage,injury,fine,fee,cost,expense (including attorney fees),or claim therefor,to any persons or property in or about the Licensed Area except to the extent caused by Licensor, its agents'or employees'negligence,for which Licensor shall be liable to the extent/proportion of its fault.Subject to Licensor's obligations under the immediately DocuSign Envelope ID:AC19022C-A771-43C1-A176-659B1BBA1584 preceding sentence,Licensee assumes full liability for all such accidents,losses,damages,injuries,fines, fees,costs,expenses(including reasonable attorney fees),or claims therefor which arise from or in connection with the use of the Licensed Area or any other part of the building during the term of the License by Licensee,or by any of Licensee's invitees,or arising from any condition of the Licensed Area resulting from any default by Licensee in observing or performing any of the covenants contained in this License,or from any fault or neglect of Licensee and shall protect,defend and hold:(I)Licensor and Licensor's officers,directors,partners,trustees,shareholders,agents,affiliates,successors,assigns, contractors,agents and employees,and(ii)the property manager;and manager's officers,directors, partners,trustees,shareholders,agents,affiliates,successors,assigns,contractors,agents and employees,harmless therefrom which arise from or in connection with the use of or the operation of the business at the Licensed Area or any other part of the building during the term of the License by Licensee,resulting from any default by Licensee in observing or performing any of the covenants contained in this License,or from any fault or neglect of Licensee or any of its agents,contractors or invitees. 3. Insurance. Without limiting Licensee's liability to Licensor or third parties hereunder,Licensee shall, at its sole expense,and pursuant to statutory limits and applicable laws,obtain and maintain the following insurance requirements: a. Commercial general liability and automobile liability,each in the amount of$1,000,000 combined single limit with an annual aggregate not less than$2,000,000 for bodily injury,death,or property damage per occurrences b. Contractually assumed liability to cover the liability assumed by Licensee under any indemnity obligation assumed in this Agreement; ; c. Insurance required under this Section shall be with companies rated A+15 or better in "Best's Insurance Guide." Licensee's Certificates of Insurance shall name Licensor as an additional insured on a primary and noncontributory basis with regard to the insurance required herein. The policies shall contain a provision providing that the policy shall not be changed or cancell4d prior to thirty days advance written notice to Licensor and the above-identified additional insureds. The insurance certificates shall show such coverage then in force(with limits not less than the amountsishown above)and shall be provided to Licensor prior to the effective date of this Agreement. 4. Not a Lease. It is not the intention of any party to create between them the relationship of landlord and tenant with respect to the Licensed Area. Rather,this License is intended solely to create a bare privilege on part of the Licensee,personal to Licensee,to reside in:the Licensed Area in the manner described herein.
