WHEREAS,Licensee wishes to temporarily occupy Cranston Street located adjacent to 12525 Old Meridian.Street,Suite 150, as depicted in Exhibit A("Licensed Area")for a special event("Permitted Use"). Licensor and Licensee are agreeable to such activities upon the terms and conditions set forth in this License. 1. Term. License shall commence on Wednesday,March 16th at 10:00 AM and terminate on Sunday, March 20th at 12:00 PM 2. Consideration. Licensor agrees to allow Licensee the use of patiking lot in exchange for the consideration of No Dollars($0.00)during Term. Insurance. Without limiting Licensee's liability to Licensor or third parties hereunder,Licensee shall, at its sole expense,and pursuant to statutory limits and applicable laws,obtain and maintain the following insurance requirements: a. Commercial general liability and automobile liability,each in the amount of$1,000,000 combined single limit with an annual aggregate not less than$2,000,000 for bodily injury,death,or property damage per occurrences b. Contractually assumed liability to cover the liability assumed by Licensee under any indemnity obligation assumed in this Agreement; ; c. Insurance required under this Section shall be with companies rated A+15 or better in "Best's Insurance Guide." Licensee's Certificates of Insurance shall name Licensor as an additional insured on a primary and noncontributory basis with regard to the insurance required herein. The policies shall contain a provision providing that the policy shall not be changed or cancell4d prior to thirty days advance written notice to Licensor and the above-identified additional insureds. The insurance certificates shall show such coverage then in force(with limits not less than the amountsishown above)and shall be provided to Licensor prior to the effective date of this Agreement. 4. Not a Lease. It is not the intention of any party to create between them the relationship of landlord and tenant with respect to the Licensed Area. Rather,this License is intended solely to create a bare privilege on part of the Licensee,personal to Licensee,to reside in:the Licensed Area in the manner described herein.
