DESIGN INFORMATION
There are four buildings located upon the real estate. Two of the buildings are remaining the same.
One ofthe buildings is being reduced from 19,600 square feet to 9,000 square feet, 3,000 of which
is canopy. The other building is being enlarged from 62,700 square feet to 82,140 square feet. The
reductions, enlargements, and exterior changes are shown on the plans submitted with this
application. Water is by the City of Carmel, and sewer is by the City of Carmel.
LIGHTING
Included in the plans submitted with this application is detail on type of fixtures, height of fixtures,
and number of fixtures. Also included is a photometric chart showing foot candle spread at property
lines.

The number, type, locations, dimensions, and height of all signs is included in the plans submitted
with this application.
LANDSCAPING
No additional landscaping is proposed.

TIllS CONSENT TO ENCROACH (hereinafter the "Agreement") is entered into by and between
Young Realty Company, L.P., 7399 Shadeland Avenue, #166, Indianapolis, Marion County, Indiana
("Owner"), and the City of Carmel, Hamilton County, Indiana, by and through its Board of Public Works
and Safety ("City"),
WITNESSETH:
WHEREAS, Owner owns in fee simple certain real estate ("Real Estate"), which is more
particularly described in Exhibit "A" attached hereto and incorporated herein by reference ("Real Estate"),
commonly known as Dan Young Chevrolet, which is located within the corporate limits of the City of
Carmel, Indiana ("Dan Young"); and
WHEREAS, the official deeds of the Real Estate were recorded in the office of the Office of the
Hamilton County Recorder as Instrument # 94-37282, Instrument #94-37283, Instrument #94-37284 and
Instrument #97-01712; and
WHEREAS, Owner has constructed portions of a curbed asphalt parking lot (the "Lot"), parking
lot lights (the "Lights") and wishes to construct a ground mounted sign (the "Sign") on the Real Estate;
and
WHEREAS, Owner has given the City a sketch (the "Sketch") depicting the existing location of the
Lot, the Lights and the proposed location of the Sign on the Real Estate, a copy of which is attached
hereto and incorporated herein by this reference as Exhibit "B"; and
WHEREAS, the Lot and Lights are and the Sign will be constructed on a portion of the Real Estate
designated as Dedicated Right of Way (the "Right of Way"), identified as "NEW 75' 'l'2 RIGHT-OF-WAY
DEDICATION" on Exhibit B; and

u, WHEREAS, the Right of Way is beneficial to the City and its residents; and
WHEREAS, as indicated on the Sketch, the Lot, the Lights and the. Sign encroach (individually and
collectively, the "Encroachments") upon the Right of Way, which Encroachments are crosshatched on the
Sketch; and
WHEREAS, Owner and City acknowledge the location of the Encroachments; and
WHEREAS, the location of the Lot, the Lights and the Sign as indicated by the Owner on Exhibit
};!, should not materially interfere with the City's use of the Right of Way.
NOW, THEREFORE, for and in consideration of the mutual covenants and agreements contained
herein and other good and valuable consideration, the sufficiency and receipt of which are hereby
acknowledged, the parties mutually promise, agree and covenant as follows:
1. The foregoing preambles, recitations and definitions are made a part hereof as though such
were fully set forth herein.
2. The City consents to the Encroachments for only so long as:
(i) the Encroachments exist; and
(ii) Owner complies with the terms and provisions of this Agreement.
3. Owner covenants and agrees not to extend, increase, modify, alter, reconfigure or
otherwise change any or all of the Encroachments, the Lot, the Lights and/or the Sign from
what is depicted on Exhibit B.
4. Owner agrees that City shall have the right to remove any portion of the Lot, the Lights and
the Sign as City deems necessary, in City's sole discretion, to install, protect and/or repair
any utility lines, sewer lines or drainage ditches located in any or all of the Right of Way, or

for any other lawful purpose, and that, should the City take such action, the City shall incur
no obligation to repair, replace or reimburse Owner for the cost of any damages thereby
caused to the Lot, the Lights and/or the Sign.
5. Owner agrees to indemnify and hold hannless City, its officers, officials, members,
employees, invitees, licensees and agents, from and against any and all losses, liabilities,
damages, claims, judgments, attorney fees and costs arising from any bodily injury and/or
death, and from any destruction and/or damage to any property or improvements, located
on the Real Estate, or otherwise, which results directly or indirectly from any action or
inaction of the Owner, its employees, officers, officials,invitees, licensees and/or agents,
regarding or related to the Lot, the Lights, the Sign and/or the Encroachments in the Right
of Way.
6. Owner agrees to reimburse City for any and all costs and expenses incurred by City
to replace or repair any damage to the Right of Way and any improvements located therein
caused by the installation, construction, maintenance and/or operation of the Lot, the Lights
and/or the Sign, or due to Owner's other obligations, responsibilities, actions or inactions
as set forth herein.
7. Owner agrees to. record this Agreement in the Office of the Hamilton County Recorder and
to provide to City with a recorded copy of same within ten (10) business days from the
effective date of this Agreement. In the event this Agreement is not timely recorded by
Owner, Owner agrees and consents to City recording same, at Owner's sole expense.
8. The parties agree thatthe terms of this Agreement shall be binding upon and inure to the
benefit of their respective heirs, administrators, successors and assigns.

9. The persons executing this Agreement represent and warrant that they are authorized to
enter into and execute this Agreement for and on behalf of the party which they represent.
10. This Agreement shall be effective as of the date on which the last party hereto executes same.

THIS AGREEMENT is made and entered into by and between TW Investments, LLC
("TW") and Young Realty Company, L.P . ("Young") and is executed on the dates corresponding
to signatures below;
WITNESSETH:
WHEREAS, Young owns the real estate described in what is attached hereto and
incorporated herein by reference as Exhibit "A" (the "Young Real Estate");
WHEREAS, TW owns the real estate described in what is attached hereto and
incorporated herein by reference as Exhibit "B" (the "TW Real Estate");
WHEREAS, as set forth on the drawing attached hereto and incorporated herein by
reference as Exhibit "c" (the "Drawing"), the fence located on the south side of the TW Real
Estate is north of the southern boundary line of the TW Real Estate, which fence shall hereafter
be referred to as the "Fence";
WHEREAS, Young is desirous of planting the landscaping, shown on the Drawing,
between the northern boundary of the Young Real Estate and the Fence, all per the plans set forth
on the Drawing, as such plans may be amended, from time to time, with the consent of both TW
and Young; and
WHEREAS, Young is desirous of relinquishing any claims of adverse possession,
easement by prescription, or title in and to that part of the TW Real Estate which is south of the
Fence;
NOW THEREFORE, it is acknowledged and agreed as follows:
1. Preambles and Recitations. The foregoing preambles, recitations and definitions
are made a part hereof as though fully set forth herein.
2. Consent to Encroachment. Per the plans set forth in the Drawing, as the same
may be amended, from time to time, with the consent of both TW and Young, TW
hereby authorizes Young to plant and maintain trees, bushes and shrubs
(collectively, the "Landscaping") on that part of the TW Real Estate existing
south of the Fence, and consents to the encroachment of such Landscaping.
Young agrees to properly maintain the Landscaping. This Consent to
Encroachment shall terminate (i) if the Landscaping falls into a state of disrepair
and Young fails to restore the Landscaping to proper condition within thirty (30)
days after receiving written notice from TW that the Landscaping is in need of

maintenance and repair or (ii) three hundred sixty-five (365) days after written
notice by TW to Young of the termination of this Agreement; and
3. Release of Claim of Title. To further evidence the intent expressed in the letter
from TW to Dan and Shirley Young dated December 29, 1993, a copy of-which
letter is attached hereto and incorporated herein by reference as Exhibit "D" "
Young hereby releases any claim of adverse possession, easement by prescription,
or title in and to that part of the TW Real Estate which is south of the Fence and
by this instrument, Young Realty Company, L.P. conveys and quitclaims any
interest it may have to T.W. Investments, LLC in and to the TW Real Estate
attached hereto and made a part hereof as Exhibit "B".

CONmflTMENTSCONCERNING
THE USE AND
DEVELOPMENT OF REAL ESTATE
D. Young Chevrolet, LLC ("Dan Young") and Young Realty Co., L.P. ("Young Realty")
make the following commitments ("Commitments") to the Plan Commission for the City of Carmel,
Indiana, and Clay Township, Indiana (the "Commission"):
1. Description of Real Estate. The real estate is legally described on Exhibit A (the "Real
Estate").
2. Docket Number. 46-01-ADLS.
3. Commitments Concerning Pole Signs. Within forty-five days after the occurrence of all of
the following events, all pole signs will be removed from the real estate:
(a) ADLS approval under DocketNo. 46-0 l-ADLS and the issuance of a building permit
in connection therewith; and
(b) The approval by the Board of Zoning Appeals (the "BZA") of sign variance requests
underDocketNos. V-77-0l, V-78-01, V-79-01, V-80-01, V-81-01, V-82-01, V-83-
01, V-84-01, V-85-01, V-86-01, V-87-01, V-88-01, and V-89-01; and
( c) The installation of anyone sign in accordance with the approval of any docket
number specified in 3(c) above.
4. Commitment Concerning Dedication. The existing Thoroughfare Plan calls for a 75 foot 1/2
right-of-way width for 96th Street. Concurrent with the issuance of a building permit and the
commencement of construction in accordance with ADLS approval under Docket No.
46-0 l-ADLS, Dan Young and Young Realty will cause to be dedicated thatpart of the Real
Estate necessary to widen the existing north one-half of 96th Street, along the Real Estate, to
the one-half(l/2) right-of-way width of seventy-five (75) feet specified in the Thoroughfare
Plan. This area to be dedicated is illustrated by cross-hatching on Exhibit "B".
