HomeMy WebLinkAboutResolution 2021-9 (sale of Huntington Bank to Carmel Municipal Facilities Building Corp)RESOLUTION NO.2021-9 RESOLUTION OF THE CITY OF CARMEL REDEVELOPMENT COMMISSION AUTHORIZING SALE OF PROPERTY TO THE CARMEL MUNICIPAL FACILITIES BUILDING CORPORATION WHEREAS, the City of Carmel Redevelopment Commission (the "Commission") previously has purchased certain real estate described on Exhibit A hereto (the "Real Estate") located within the City of Carmel, Indiana, for the purpose of providing a site for the City of Carmel, Indiana (the "City") to construct an expansion to the existing police headquarters building in the City (the "Project"); and WHEREAS, in order to facilitate the financing of the Project, the Commission desires to authorize the disposition of the Real Estate by sale to the Carmel Municipal Facilities Building Corporation (the `Building Corporation"), which has been formed as an Indiana nonprofit entity to issue bonds on behalf of the City pursuant to Internal Revenue Service Rev. Proc. 82-26, and thereby is acting as an agency of the City for the public purpose of financing the Project; NOW, THEREFORE, BE IT RESOLVED by the City of Carmel Redevelopment Commission, governing body of the City of Carmel Redevelopment District, as follows: 1. Pursuant to IC 36-7-14-22(a), the Commission hereby approves the sale of all interests or rights of the Commission in the Real Estate to the Building Corporation, acting as an agency of the City for the public purpose of financing of the Project. 2. The purchase price for the Real Estate shall be One Million Three Hundred Thousand Dollars ($1,300,000). 3. The President, Vice President and Secretary of the Commission, and each of them, is hereby authorized and directed, for and on behalf of the Commission, to execute and deliver any contract, deed, agreement, certificate, instrument or other document and to take any action as such person determines to be necessary or appropriate to accomplish such sale.
