• Compliance with federal, state, or local governmental laws and safety requirements (i.e. OSHA, CDC,
CISA, U.S. Department of Health and Human Services) is indisputable. This includes ensuring all on site
personnel maintain required and valid certifications.
• Abide by all social mitigation, industrial hygiene practices and reporting requirements including but not
limited to the use of face masks and other personal protective equipment, social distancing, use of
handwashing/hand sanitizer, and site sanitization.
• Be vigilant, consistently complying with safety standards and precautions; short cuts may lead to serious
injury or physical harm.
• Harnesses, goggles, gloves and other required safety gear only work when they are worn.
• An orderly job site is a safe job site; store materials in confined areas and leave the job site locked down
and free of debris every day.
• Minimize your footprint: construction phasing, lay down areas, site trailers, temp power, etc. should be
limited to an area as tight as possible; shrink it as often as you can.
• Delivery trucks intimidate other drivers and take up valuable maneuvering space; leverage just-in-time
deliveries whenever possible, limiting required onsite staging.
• Parking is always at a premium; please park in areas least impactful to tenants and shoppers.
• Limit disruption; if closures and shutdowns are necessary, coordinate with Brixmor reps for scheduling to
minimize impact at the center.
• Maintain barricades around work areas - never expose the public to risk
• Maintain a traffic pattern that directs the public away from active work areas – shoppers can’t be injured,
and their vehicles can’t be damaged when they are not near active work.
• Communication eliminates confusion--use ample directional signage.
• Respect designated smoking areas; don’t be careless with matches.
• All personnel at all levels should be empowered and encouraged to raise concerns and even stop work if
they see a problem.

PROPOSAL: For and in consideration of the sum to be paid us by the Owner on the contract basis hereinafter mentioned,
we will furnish all labor and material and do all work as itemized below and in the Specifications dated

DETAILED DESCRIPTION OF THE CONTRACT SCOPE OF WORK: (necessary to consideration of proposal)
Pylon Sign - Fabricate (1) 57.5" X 90'' double sided illuminated ground sign cabinet. Routed aluminum faces push thru acrylic,
digitally printed polycarbonate tenant faces, illuminated by AVL Samsung LEDs. This includes reinforced concrete foundation
and steel. Brick masonry base including limestone cap by other and is not included in this quote. As per approved drawing
meri_190666_V4. Survey, excavate re-enforced concrete base, set steel and install sign onto brick masonry base provided by client.
We will connect to a suitable and accessible electrical circuit provided by other within 6’ of the signs location. Permits and
acquisition fee will be $950.00 and is included in the estimate.

TERMS AND CONDITIONS
PERMITS AND INSPECTIONS. Contractor shall secure any and all permits and/or inspections required by all applicable rules,
regulations, ordinances and statutes. Certificates of inspection shall be furnished to Brixmor Property Group in all cases where permits
are required for electrical and plumbing work. The cost of such permits and/or inspections shall be included in Contractor's final invoice
to Brixmor Property Group with the applicable receipts attached thereto and the cost shall not be subject to Contractor's percentage
charges for overhead and profit.
EXAMINATION OF THE PREMISES. By signing this bid the contractor represents that he/she is familiar with the project and is satisfied
as to all matters necessary for carrying out the work and the character of the site has been taken into account in submitting this bid.
No allowance or extra payment will be made on account of any costs, expenses, delays or other matters incurred in connection with
the character of the site or occasioned by Contractor's failure to become familiar with said or on account of any error or oversight on
Contractor's part.
AFFIRMATIVE ACTION CLAUSE. The Contractor agrees that no person with responsibilities in the operation of this contract will
discriminate with respect to any subcontractor, employee or applicant for participation in this project because of race, creed, color,
national origin, sex or age.
LIABILITY AND WORKERS' COMPENSATION INSURANCE. Contractor shall maintain comprehensive general liability insurance with
limits of not less than $1,000,000 per occurrence or $2,000,000 aggregate bodily injury and $500,000 per accident or $1,000,000
aggregate property damage which shall include, but not be limited to, contractual liability. Contractor shall also maintain
comprehensive automobile liability coverage with limits of not less than $250,000 per person, $1,000,000 per occurrence and
$100,000 property damage, and workers' compensation insurance as required by federal, state, or local statue, including employers
liability coverage, with a limit of not less than $500,000. Contractor shall include Brixmor Property Group as an additional insured in
connection with all coverages and shall provide Brixmor Property Group with a certificate of insurance evidencing same and th e
required coverage.
CONTRACTORS' INDEMNIFICATION. The Contractor shall indemnify, hold harmless and defend the Owner, its employees, agents,
servants and representatives from and against any and all losses, damages, expenses, claims, suits and demands of whatever nature,
resulting from damages connection with the work attributable to the Contractor, any Subcontractor, any Material Supplier, any of
their respective employees, agents servants and representatives, or any other person; provided, however, that the Contractor shall
not be required to indemnify the Owner, its employees, agents, servants and representatives hereunder for any damages or injuries,
including death, to any property or persons, caused solely and exclusively by the negligence of the Owner, its employees, agents,
servants and representatives.
WORKMANSHIP AND GUARANTEES. Contractor warrants that all work will be done in accordance with good construction practice
and that the entire installation shall be in full accordance with all rules, regulations and ordinances of the federal, state, county and
city departments which apply and all applicable codes. By his signature on the front of this document the Contractor warranties all
work for a period of one (1) year unless a longer period is noted on front of proposal, in bidding instructions, or in plans and
specifications.
SAFETY REQUIREMENTS. Contractor shall keep all oily and paint-soaked rags in metal containers and must remove same at the
completion of each day's work. During the project the contractor agrees to stage materials and/or tools in a manner not to interfere
with the conduct of business of any tenant at the center. The contractor also agrees to minimize the impact of his work in terms of, to
the greatest extent possible, preventing any degradation of the appearance of the property. At the completion of the project, the
contractor will remove, or cause to be removed, all materials, tools, debris and waste products from the property and will clean his
work area(s) so as to leave the property in a state of cleanliness as pertains to this project. CONTRACTOR SHALL NOT PERMIT SMOKING
IN ANY BUILDING SUBJECT TO THIS CONTRACT.
TAXES. All taxes are included in the bid, including federal, state, county and municipal excise, gross receipts, sales, use of other taxes
now in force, payroll taxes, contributions for employment insurance, old age pensions (including Social Security) or annuities.

On time and material jobs, the above taxes with the exception of sales and use taxes are included in the Contractor's overhead and
shall not be used to determine any fee. Sales and use taxes apply to MATERIAL ONLY, unless otherwise specified by state law.
CONTRACTOR'S INVOICES. Unless specifically exempted in writing by Brixmor Property Group, the Contractor's invoice must include:
(1) total cost of labor; (2) total cost of materials; (3) sales tax (usually applies only to materials); (4) Contractor's profit; (5) grand total;
(6) authorized extras, if any, and (7) supporting documents. Invoice must be submitted to Brixmor Property Group, as indicated on the
front of this form. If the amount of the Contract exceeds $3,000 and Brixmor Property Group requests, the final invoice shall be
accompanied by Contractor's sworn statement indicating that all indebtedness is paid in full, Notarized Contractor's final waiver of
lien and notarized final waivers of lien from all subcontractors and suppliers. Lien waivers are required from anyone having previously
asserted lien rights or who have provided an intent to assert such rights.
ASSIGNMENTS. Contractor agrees that this contract shall not be assigned and any monies due hereunder shall not be assigned unless
approved in writing to Brixmor Property Group All assigned invoices shall be accompanied by sworn statements and waivers of liens
described in previous paragraph, if requested.
TERMS OF PAYMENT. For all contracts, net 30 days unless otherwise agreed to in writing by Brixmor Property Group
DEVIATION FROM ORDER. Any and all deviations from the terms of the order must be agreed to in writing by Brixmor Property Group
TERMINATION/COMPLETION. If the Contractor should become insolvent, neglect or refuse, or fail to supply enough properly skilled
workmen or proper material, or fail in any respect to diligently prosecute the work under contract, fail to make prompt payment to
subcontractors, material men or laborers, disregard laws, ordinances, the instruction of Brixmor Property Group, or otherwise be guilty
of substantial violation of any provision of the contract, then Brixmor Property Group, may without prejudice to any other right or
remedy, after giving contractor seven (7) days written notice via first class mail addressed to Contractor at the address set forth on
this proposal, terminate the contract. In the event Brixmor Property Group shall terminate the contract, it shall have the right to take
possession of the site and all materials and plant thereon and to employ any other person or persons necessary to finish the work
either on a fixed sum contract basis or percentage basis or combination of the two, whichever in the opinion of Brixmor Prope rty
Group shall be advisable. In case of such discontinuance of the employment, the Contractor shall not be entitled to receive any further
payment under the contract until the said work shall be wholly finished, at which time, if the unpaid balance of the amount to be paid
shall exceed the expense incurred by Brixmor Property Group, in finishing the work, such excess shall be paid by Brixmor Property
Group to the Contractor. If such expense shall exceed the unpaid balance, the Contractor shall pay the difference thereof to Brixmor
Property Group
TIME OF COMPLETION. Contractor shall execute the work with all diligence and expedition consistent with personal and public
safety and with the approved schedule, recognizing that TIME IS OF THE ESSENCE OF THIS CONTRACT. The Owner shall not be liable
to the Contractor and/or any Subcontractor for claims or damages of any nature caused by or arising out of delays. The sole remedy
against the Owner for delays shall be the allowance of additional time for completion of the Work, the amount of which shall be
determined by the Owner.
LIENS. Contractor shall indemnify Brixmor Property Group, and hold it harmless from all liens or other encumbrances against the
premises and any other claims on account of debts alleged to be due from Contractor or any subcontractor to any person, including
subcontractors, suppliers and laborers. The Contractor shall submit fully executed lien waivers in the form attached hereto with every
invoice or Application for Payment.
SPECIAL PROVISIONS. Brixmor Property Group Inc. is a federal contractor covered by Executive Order 11246, as amended, and its
implementing regulations at 41 CFR Part 60; Rehabilitation Act of 1973, as amended and its implementing regulations at 41 CFR Part
741; Vietnam Era Veterans' Readjustment Assistance Act of 1974, as amended and its implementing regulations at 41 CFR Part 60-
300. Vendors are required to comply with the equal employment opportunity clause contained in such regulations, as appropriate.
