Dear Mr. Halsey:
At the meeting held on Monday, July 25, 2022, the Carmel Board of Zoning Appeals Hearing Officer took the
following action regarding the Development Standards Variance (V) request filed by you for the property located at
1342 / 1392 S. Rangeline Road:
APPROVED: Docket No. PZ-2022-00122 V, Development Standards Variance approval for: Maximum 6'
tall ground sign allowed, 8' height granted.
Please be advised that per Article 9.15 of the Unified Development Ordinance, the aforementioned Development
Standards Variance approval is valid for three (3) years. By that time, either continuous construction of the
improvements must be underway, or a written request for a one-time, six-month extension of the approval must
have been received and approval granted by this Department. The expiration date of the approval is July 25, 2025.
Please include a copy of this letter with any permit application.

Grantor, for itself, its successors and assigns, covenants to and with Grantee, its
successors and assigns, that Grantor is lawfully seized in fee simple of the Property free and
clear of all encumbrances, excepting the Mortgage (as hereinafter defined), and further excepting
those items shown on attached Exhibit B; that Grantor will forever warrant and defend the
Property and every part and parcef thereof against all lawful claims and demands of all persons
whomsoever, other than the liens expressly accepted above. Exhibits A and B are by this

The parties hereto acknowledge and agree that the mortgagee's interest under the
Mortgage (as beremafter defined) is held by Grantee and that the Mortgage encumbers the same
real property being conveyed to Grantee by this Deed in Satisfaction of Judgment. The parties
hereto agree that Grantee's interest under the Mortgage shall not merge with the interest of
Grantee in the real property being conveyed to Grantee pursuant to this Deed in Satisfaction of
Judgment It is the express intention of the parties hereto that such mortgagee's interest of
Grantee and such fee interest of Grantee herein shall not merge, but shall be and remain at all

As used herein, the term "M gage" shall mean that certain Real Estate Mortgage,
Security Agreement and Fixture Filing, dated as of July 31, 2009, made by Grantor, in favor of
Kite Realty Group, L.P., a Delaware limited partnership and recorded in the records of Hartailton
County, in the State of Indiana, on September 21, 2009, as document number 2009055893,
which such mortgage was assigned from Kite Realty Group, L.P. to Grantee pursuant to that
certain Assignment of Mortgage and Promissory Note dated February 4, 2011, which assignment
was recorded in the records of Hamilton County, in the State of Indiana, on February 7, 2011, as
document number 2011008174. As used herein, the team "Judgment" shall meant that certain
Agreed Judgment of Foreclosure, fried by Grantee and consented to by Grantor and filed in the
Hamilton County Superior Court.

Grantor acknowledges and agrees that the conveyance of the real property to Grantee
according to the. terms of this Deed in Satisfaction of Judgment is an absolute and unconditional
conveyance of all of its rights, tide and interest in and to the real property, in fact, as well as
form, and was not and is not now intended as a mortgage, trust, conveyance, deed of trust, or
other security instrument of any hind, the consideration for such conveyance being exactly as
recited herein; that Grantor has no furtbes interests (including rights of redemption, equitable or
statutory) or claims in and to the real property or to the proceeds and profits that may be derived
thereof of any kind whatsoever; that possession of the real property hereby is surrendered and
delivered to Grantee; that in executing this deed, Grantor is acting with the advice of counsel,
and is not acting tinder any misapprehension as to the effect thereof or any duress, undue
influence, or misrepresentation by Grantee or its representatives, agents or attorneys; that this
deed is not given as a preference over other Creditors of Grantor, and that there is no person,
partnership or corporation other than Grantee interested in the Property directly or indirectly in
any manner whatsdever except as aforesaid.
Grantee is accepting the conveyance contained herein in satisfaction of Grantor's liability
under the Mortgage and the Judgment and the obligations seamed by same ("Secured
]Ob iodons'). Such satisfaction, however, shall not operate to discharge any of the Secured
Obligations and Grantee retains the right to foreclose the Mortgage, nor should acceptance or
conveyance be considered an assumption of any other babllity or any indemnity of any person
vrith respect to any other liability.
