VEAP Agreement
The Second Amendment to the Verizon Entitlement and Pricing Agreement (VEAP 2) was fully
executed on 4/1/2021 with an effective date of 4/1/2021. VEAP 2 extends the term of the Agreement to
expire on 9/30/2025. Per the Final Exhibit A for the Tower 2nd Amendment document dated
12/23/2020, there are 12,758 licenses affected by the deal (12,760 were provided in the exhibit, but
there were 2 duplicates). Not all 12,758 licenses were included in the Upload Project. Please see the
breakdown below for additional information.
Upload Treatment
As of the effective date, each License had its Initial Term extended by 7 years. In accordance with this,
the Final Term End date was also extended 7 years. Additionally, each License will automatically have
its monthly rent increased by $145.00 on 10/1/2021, 10/1/2022, 10/1/2023, and 10/1/2024. This
increase will be recognized by an escalation percentage that will occur on each 10/1 date accordingly.
The equation to find the $145.00 increase percentage escalation line is as follows:

Monthly Billing Treatment
Escalation adjustments occurred for parent licenses.
o The 10/1/2021 decrease line was suspended and re-entered with a new percentage
calculating in the $145.00 increase on 10/1/21 as well as the One-Time Decrease
percentage.
o Escalation lines were built out to include new lines with percentages accounting for the
$145.00 monthly rent increase occurring each October until 2025.

o The 10/1/2021 decrease was suspended and re-entered with a new percentage,
calculating in the $145.00 increase on 10/1/2021 as well as the One-Time Decrease
percentage.
o Escalation lines were built out to include new lines with percentages accounting for the
$145.00 annual rent increase occurring each October until 2025.
o Escalation next year fields were setup so that they will be excluded from the routine
escalation generations.

VEAP Agreement
The Verizon Entitlement and Pricing Agreement was fully executed on 11/21/2017 with an effective date
of 10/1/2017. The term of the VEAP Agreement is four years from 10/1/2017 through 9/30/2021. Per
the Non-Excluded Site List included with the deal, there were 12,476 existing licenses affected by the
deal. Not all 12,476 licenses were included in the MLA Upload Project. Please see the breakdown below
for additional information.
Upload Treatment
As of the effective date, each Non-Excluded Site License had it’s rent adjusted based on the formula
shown below. The adjustment on 10/1/2017 is for each Non-Excluded Site License with rent starting
prior to 10/1/2017.
MRUR: Most Recent Unescalated Rent which is rent one day prior to the Most Recent
Escalation Date under the Existing Site Agreement or rent as of 9/30/2017 if no Most Recent
Escalation Date occurred during the period of 10/1/2016 through and including 9/30/2017.
MREP: Most Recent Escalator Percentage which refers to the percentage increase to the license
rent that was applied on the subject Most Recent Escalation Date.

On each regularly scheduled escalation date under the existing site agreement that occurs after
10/1/2017 and prior to 10/1/2021, rent shall escalate by 5.5%.
On 10/1/2021, rent will decrease by an amount calculated from the formula below.
PLR: Pre-LATED Rent refers to the rent amount the day immediately prior to the Last
Agreement Term Escalation Date. In the majority of cases, the Last Agreement Term Escalation
Date occurs in 2021.
LATEP: Last Agreement Term Escalator Percentage is considered the escalation percentage
that would have occurred on the Last Agreement Term Escalation Date if the VEAP Agreement
did not occur and did not change the percentage to 5.5%.
After the decrease on 10/1/2021, each license will revert back to the escalation percentage and
escalation month that was previously active prior to the VEAP Agreement.
The VEAP Agreement called for all bill codes to be adjusted accordingly as long as they were subject to
the same periodic escalations of rent. The secondary bill codes that were adjusted are as follows: ELEC,
MSAN, MSAL, AELL, AELA, MISC, RERV, and SWAP.

VEAP treatment.

o The 10/1/2021 decrease was converted into a negative percentage that will run normally
through escalation generation in 2021.

Recurring Billing was adjusted by backing out the full billing amount that billed incorrectly from
the effective date of the deal through 8/31/2018. The new billing amounts after the 10/1/2017
increase plus potential 5.5% escalations in certain license scenarios, were inserted through
newly created RB lines. The go forward lines are dated 9/1/2018. (purple lines were existing
entries prior to VEAP treatment)
o The adjustments, both reversals and reentries, were ran through an isolated back bill
generation by A/R. VEAP and OMNIBUS BKBL lines were the only back bill lines that
were posted on 8/13/2018.
o All upload Recurring Billing lines show a Transaction Originator of “VEAP”.

FOURTH AMENDMENT TO SITE LEASE
This Fourth Amendment to Site Lease (this “Amendment”) is made this [[PreambleDay]]______ day of
[[PreambleMonth]]_______________, [[PreambleYear]]____, by and between Pinnacle Towers Acquisition LLC, a Delaware limited
liability company (“Crown”), and GTE Mobilnet of Indiana Limited Partnership, an Indiana limited
partnership, d/b/a Verizon Wireless (“Verizon Wireless”).
RECITALS:
WHEREAS, on April 25, 2000, Crown (and/or certain of its affiliates and/or predecessors-in-
interest) and Verizon Wireless (and/or certain of its affiliates and/or predecessors-in-interest) entered into
a certain Master Lease Agreement, as may have been amended and/or assigned previously hereto
(hereinafter the “Master Agreement”); and
WHEREAS, pursuant and subject to the Master Agreement, Crown (and/or certain of its
affiliates and/or predecessors-in-interest) and Verizon Wireless (and/or certain of its affiliates and/or
predecessors-in-interest) entered into a certain Site Lease dated December 14, 2001, as may have been
previously amended and/or assigned (hereinafter the “Co-Location Agreement”), whereby Verizon
Wireless leases or licenses from Crown certain space at a telecommunications facility (Crown BU#
873711) described in the Co-Location Agreement (the “Site”); and
WHEREAS, Crown and Verizon Wireless desire to amend the Co-Location Agreement pursuant
to the terms and subject to the conditions set forth herein.
NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which
are hereby acknowledged, the parties hereto agree to be legally bound to this Amendment as follows:
1. Capitalized Terms. Unless clear from the context in which they are used, all capitalized terms
used herein shall have the same meanings ascribed to them in the Master Agreement or the Co -Location
Agreement.
2. Verizon Wireless’s Ground Space. To the extent that any changes to Verizon Wireless’s space
on the ground at the Site (“Ground Space Changes”) are designated as “Proposed”, “To Be Removed” or
“To Be Relocated” in Attachment B, attached hereto, then, for all purposes under the Co-Location
Agreement as amended hereby, the descriptions of Verizon Wireless’s space on the ground as set forth in
the Co-Location Agreement, including, without limitation, any descriptions of Verizon Wireless’s space
on the ground set forth in any schedules, exhibits or attachments to the Co-Location Agreement, are
hereby amended to the extent of (i) such Ground Space Changes designated as “Proposed”, “To Be
Removed” or “To Be Relocated” in Attachment B, attached hereto, and (ii) any further descriptions of
such Ground Space Changes in Attachment A, attached hereto. Notwithstanding anything to the contrary
herein, the descriptions of Verizon Wireless’s space on the ground set forth herein in addition to the

are accurate.

“To Be Relocated” in Attachment C, attached hereto, then, for all purposes under the Co-Location
Agreement as amended hereby, the descriptions of Verizon Wireless’s space on the tower set forth in the
Co-Location Agreement, including, without limitation, any descriptions of Verizon Wireless’s space on
the tower set forth in any schedules, exhibits or attachments to the Co -Location Agreement, are hereby
amended to the extent of (i) such Tower Space Changes designated as “Proposed”, “To Be Removed” or
“To Be Relocated” in Attachment C, attached hereto and (ii) any further descriptions of such Tower
Space Changes in Attachment A, attached hereto. Notwithstanding anything to the contrary herein, the
descriptions of Verizon Wireless’s space on the tower set forth herein in addition to the Tower Space
Changes designated as “Proposed”, “To Be Removed” or “To Be Relocated” in Attachment C, attached
hereto (together with any further descriptions of such Tower Space Changes in Attachment A, attached
hereto), are for the convenience of the parties, and execution of this Amendment is not intended to
constitute certification by either party that such descriptions of such other tower space are accurate.
4. Verizon Wireless’s Permitted Equipment. To the extent that any changes to Verizon
Wireless’s equipment (“Equipment Changes”) are designated as “Proposed”, “To Be Removed” or “To
Be Relocated” in Attachment B and/or Attachment C, attached hereto, then, for all purposes under the
Co-Location Agreement as amended hereby, the descriptions and specifications of Verizon Wireless’s
equipment set forth in the Co-Location Agreement, including, without limitation, any equipment
descriptions and specifications with respect to Verizon Wireless’s equipment set forth in any schedules,
exhibits or attachments to the Co-Location Agreement, are hereby amended to the extent of (i) such
Equipment Changes designated as “Proposed”, “To Be Removed” or “To Be Relocated” in Attachment B
and/or Attachment C, attached hereto and (ii) any further descriptions of such Equipment Changes in
Attachment A, attached hereto. Notwithstanding anything to the contrary herein, the descriptions and
specifications of any equipment herein in addition to the Equipment Changes designated as “Proposed”,
“To Be Removed” or “To Be Relocated” in Attachment B and/or Attachment C, attached hereto (together
with any further descriptions of such Equipment Changes in Attachment A, attached hereto), are for the
convenience of the parties, and execution of this Amendment is not intended to constitute certification by
either party that such descriptions and specifications of such other equipment herein are accurate.
5. Right to Substitute Antennas without Fee Increase. Notwithstanding anything to the contrary
in the Master Agreement or the Co-Location Agreement in the event that Verizon Wireless elects to
further amend the Co-Location Agreement to substitute a new antenna or antennas for an antenna or
antennas that are permitted to be installed pursuant to the Co-Location Agreement, as amended hereby,
then the annual fee due under the Co-Location Agreement shall not be increased due to the said
substitution of an antenna or antennas, provided that: (i) the total number of all panel antennas and omni
antennas that Verizon Wireless is permitted to install and operate at the Site p ursuant to the Co-Location
Agreement, as amended by said amendment, will not exceed six (6); (ii) the total number of all coaxial
cables that Verizon Wireless is permitted to install and operate at the Site pursuant to the Co-Location
Agreement, as amended by said amendment, will not exceed thirteen (13), and (iii) the total surface area

of all panel antennas and omni antennas that Verizon Wireless is permitted to install and operate at the
Site pursuant to the Co-Location Agreement, as amended by said amendment, will not exceed six
thousand eight hundred eighty-six (6,886) square inches (the “Maximum Allowable Surface Area”).
Notwithstanding the foregoing, the annual fee due under the Co -Location Agreement shall be increased in
the event that the Maximum Allowable Surface Area is exceeded or the Co-Location Agreement is further
amended to permit additional antennas or other equipment to be installed at the Site. For the purposes of
this Amendment, the surface area of an antenna shall be calculated by multip lying its width by its
height. Notwithstanding the foregoing, Crown shall not be required to reserve any tower capacity for any
future additions of, or changes to, Verizon Wireless’s tower-mounted equipment, and any such future
additions of, or changes to, Verizon Wireless’s tower-mounted equipment are subject to available tower
capacity.
6. Increase to Recurring Fees. The annual fee due under the Co-Location Agreement shall
increase by One Thousand Seven Hundred Fifty-Seven and 52/100 dollars ($1,757.52) on December 1,
2017.
7. Full Force and Effect; Inconsistent Terms. Except as expressly set forth in this Amendment,
the Co-Location Agreement is otherwise unmodified, shall remain in full force and effect and is
incorporated and restated herein as if fully set forth at length. In the event of any inconsistencies between
the Co-Location Agreement and this Amendment, the terms of this Amendment shall control. Each
reference in the Co-Location Agreement to itself shall be deemed to also refer to this Amendment.

NOTICE: Structural Analysis shall be performed in accordance with the current revision of the
TIA/EIA 222 standard and applicable local building permit codes and standards. EME analysis shall
be consistent with current revision of FCC/OSHA standard OETB 65. AM detuning, when required, will
be performed to 47 CFR22.371. The customer is responsible for all analysis expenses. All
construction drawings are subject to Crown Castle engineering approval prior to commencement of
tower attachments and compound installations. Installation of equipment not conforming to
approved drawings may violate the terms of the occupancy agreement and will be corrected at the
customer's expense. Crown Castle requires drawings for pre-construction approval and as built
drawings for physical configuration validation to be submitted as unlocked AutoCAD files (Version
2000i preferred).

Verizon Amendment Effective 9/1/2009
Crown and Verizon have executed an amendment effective 7/1/2009 that changes the term
and escalation on all Verizon licenses except:
40 licenses currently in the process of being Terminated
Licenses on New York State Managed sites
Licenses on Disney & CC Solutions
Licenses on Sprint Managed sites
Due to the volume of licenses impacted, JDE updates were done via upload in 2 steps. A similar
“Summary” document is scanned to those Licenses impacted by Step 1. As part of the Step 1 process,
all billings on Verizon licenses were suspended as of 8/31/2009. This was due to the fact that all
licenses under this amendment would escalate as of 9/1/2009 and the decision was made to prevent
them from billing until the correct amounts were available.
The impacts of this amendment are:
The current term of all agreements expires at midnight 8/31/2009
All agreements will automatically commence a new 15 year term which begins on
9/1/2009 and expires 9/1/2024
Each agreement will have 1 five year renewal term which makes the Final Term End
Date 9/1/2029
All licenses will escalate on 9/1/2009, regardless of when the last escalation occurred,
by fixed 2.75% and every September thereafter.
There are special termination rights associated with this amendment as well. To view

New JDE amendment records were established to represent the above changes for each
Parent license and this document serves as the supporting detail for said JDE amendment.
However, for papering purposes, these amendments will NOT count in the sequential
numbering of future amendments.
