Per your request, enclosed please find the following:
1. A Dedication of Public Right of Way, which was recorded on November 5, 2001;
2. A Consent to Encroach, which was recorded on November 5,2001; and
3. An original Commitments Concerning the Use and Development of Real Estate.
Please note that the Commitments Concerning the Use and Development of Real Estate were
not recorded. Actually, I would prefer not to record the commitments so as to not unnecessarily
clutter the title work with these commitments. Further, once the commitments have been satisfied,
they are no longer an issue. In other words, these are not continuing commitments. For example,
the commitments discuss the obligation of the petitioner to dedicate right of way. Due to the
recording on November 5,2001, the right of way had been dedicated. Further, the pole signs will
soon be removed. In any event, please contact me should you have any questions.

Dear Scott,
This letter is in response to your letter to Charlie Frankenburger dated October 23, 2001, concerning the landscaping to take
place at Dan Young Chevrolet and the phone'conversation the three of us had on November 2, 2001.
Attached are two revised drawings for the landscape areas in question. The paver section detail was revised for you back in
June 2001 and I apologize if you did not receive that revision. It now has an eight foot width to the landscape area.

The North West Comer Landscape has been revised because permission was not granted to Dan Young Chevrolet to use the
property to the North of Dan Young Chevrolet. All the plant material that was originally agreed upon was shifted to the South
and redesigned to some extent. Dan Young Chevrolet removed a portion of their parking lot to allow the New North West
Comer Landscape to be installed.
The front entry drive corridor has been revised to allow better connection with the existing stop light on 96th street. Because
of this revision, it changed the shape of the parking lot islands in that area from what was originally designed. The attached
drawing (Sheet L-2A) shows how the landscape was revised. The basic feel of the original design was maintained, and I
added more material because the island areas increased in size.
We will go back on the trees we have already installed at Dan Young and remove the ropes and part of the burlap from the
root balls to help encourage water consumption by the plant per our conversation. We will also do this on any other tree that
we install from this point on.
I hope that these revisions meet with your approval. If you have any further questions, please feel free to contact me so that
we can discuss them.

landscape plans
Dear Charles:
I received revised landscape plans for this project October 17, 2001. My comments are
as follows:
1. The paver section detail (sheet L-3) on the October 1 th plans has changed from the
details submitted on June 15th of this year. The latest plans show a narrowing of the
planting strip (to 5 feet in width) along the east edge of the paver sections. This is
not acceptable. The planting strips must be at least 8 feet in width as shown on the
June 15tli detail. A width of 10 feet would be preferable. Given that there are only
three paver sections to be built along Keystone Avenue, and trees with a columnar
growth pattern are being installed, this does not seem like an unreasonable request.
2. The planting strips in the paver sections need to have the soil prepared so that the
plant material (shade trees) to be installed has a reasonable chance of establishment
and mature growth. This might require additional planting media be installed. If you
would like information on the latest Architectural Graphic Standards, or information
on constructed soils that would allow compaction under the pavers while retaining
pore space for roots, water, and air, please contact me. This would also be a good
idea for any new parking lot islands with trees.
3. On sheet L-3, the North West Comer Landscape plans shows many plants (13 trees)
located on property not owned or controlled by Dan Young Chevrolet. Proof must be
shown that Dan Young has permission and agreement to install and maintain
landscaping in this area. If that can not be done, then an alternative planting plan
needs to shown that does not utilize the neighboring property, but still provides for
the plant materials to be installed on property owned and maintained by the Dan
Young lot.

Please delete item 5.(a.), Request for Consent to Encroach with Young Realty Company, L.P., from the September 5
BPWS Agenda. This office was notified on Friday, August 31, that another right of way encroachment, not covered in the
Agreement on the agenda, existed. This encroachment was not identified by the engineer or the developer during the
review process nor during preparation of the Agreement. It was discovered by our DOCS during a code violation
inspection at the Dany Young site. We will prepare a revised agreement and place it on the first available BPWS meeting
in the future. We feel this is preferable and less confusing than to have two agreements for the same site. We apologize
for the inconvenience this may have caused.

1. There are several Fire Protection concerns regarding this plan. Additional research on codes
and other requirements will need addressed. Some are outlined below.
2. Due to the size (Sq Ft) and hazards this building has,additional Fire hydrants will be necessary
And placed for FD hookup (will advise possible locations).
3. Due to the size (square Ft) and the hazards that exist the building needs to have a sprinkler
system installed throughout the entire building. (per Building Code and Fire Code). Installation
should comply with the Building Code, Fire Code and NFPA 13 and any other codes that may
apply.

Dear Laurence:
What follows is my understanding of the manner in which we will proceed. In that we were
before T AC on April 18, 2001, I have not scheduled additional T AC meetings. Please review this
and provide me with any comments or corrections:
1. 5/11 -- By this date, we will file our application for special use approval by the BZA. This
application will apply to the entire site.
2. 5/15 -- This is the date on which Plan Commission hearing for ADLS approval was originally
scheduled to occur. It is the date which was included in the notice which was mailed and
published. The agenda will show this matter is tabled and continued until June 19, and it will
be unnecessary to again mail and publish notice.
3. 5/30 -- By this date, we will mail and publish notice of the hearing before the Board of
Zoning Appeals for the special use.
4. 6/5 - By this date, we will file an application for approval by the BZA of Sign Variance.
5. 6/8 -- By this date, we will file brochures for the Plan Commission's ADLS review.
6. 6/15 -- By this date, we will file brochures for the BZA's special use review.

7. 6/19 -- This is the date of the Plan Commission's public hearing on the request for ADLS
approval. Although the overlay extends 120 feet east of the right-of-way line, we will submit
the entire site to the Plan Commission's ADLS review. The reasons set forth in #2 above,
it is unnecessary to again mail and publish notice of this hearing.
8. 6/25 -- This is the date ofthe BZA's public hearing on special use approval.
9. 6/28 -- By this date, we will mail and publish notice ofthe public hearing before the BZA,
to occur on July 23, regarding sign variances.
10. 7/3 -- On this date, the Special Studies Committee will meet to review the ADLS request.
This hearing date is subject to change.
11. 7/13 -- On or before this date, we will file informational brochures for the BZA hearing on
sign variances.
12. 7/17 -- On this date, we will return to the Plan Commission for its vote on the request for
ADLS approval.
13. 7/23 -- This is the date of the public hearing before the Board of Zoning Appeals on the
request for sign variances.

I was contacted recently by Chuck Kotterman of Optima Architects regarding the possibility of establishing a parking
structure on the Dan Young property northest of the intersection of East 96th Street and Keystone Avenue. As Dan
Young is in a B-3/business district, this would require a Special Use approval at a minimum.
My question is whether it would also require a Use Variance by virtue of the fact that "PARKING STRUCTURE" is not
a permitted special use in the B-3 district or anywhere else, for that matter, since it is undefined. The closest
definition in the Zoning Ordinance I could find is "GARAGE, PUBLIC," which is defined as, "Any building, except
those defined herein as a private garage, used for the storage or care of motor vehicles or where such vehicles
are equipped for operation, repaired or kept for remuneration, hire or sale." Do the day-to-day parking needs of -300
employees qualify as "storage of motor vehicles"? Regardless of whether or not it does, PUBLIC GARAGE is also
not a Permitted Special Use under the B-3 district regulations, and would therefore also need a determination as to
whether a Use Variance is required.
Please let me know what your thoughts on this matter are so I can get back to Mr. Kotterman.
Mr. Kotterman also mentioned that Dan Young has been acquired by Penske, and that they are considering a wide
range of changes to the property including the renovation of the Chevy dealership and the razing & re-designing of
the Honda dealership. This being the case, I think we should gather the signage information for the Young properties
so that those issues can be addressed as these things come through.

BROOKLYN, Mich. (July 27, 1999) -- United Auto Group
Inc., now under the leadership of Roger Penske, wants to do
a major revamp oflndianapolis' largest car dealership.
Penske, during last weekend's U.S. 500 at Michigan
Speedway, said UAG wants to expand service and other
facilities at Dan Young Chevrolet-Honda.
"It's not state of the art," Penske said of the current Dan
Young complex at 96th Street and Keystone Avenue. "We've
got to give them a state-of-the-art sales and service facility. "

Specific plans haven't been decided, but Young owns about
40 acres about a mile east of the 96th and Keystone site, and
that land will likely figure into the company's plans.

the dealership's service operations. If such a development
occurs, the existing Young site would be refurbished to
provide more showroom space for cars and trucks.
Another option would be to use the land as the site for a
brand-new Honda sales-and-service operation.
The amount of investment VAG will make at the Young
dealership hasn't been determined. But Penske said the
company wants to move quickly. Penske, VAG's chairman,
said he'd like to have a plan in place by September and then
pursue zoning approval. Executives would like construction
to start in the spring.
The land involved is zoned for commercial use, but any
project would be subject to review by Carmel, Ind., officials.
Penske said VAG's management is reviewing its other
dealerships for similar revamping projects.
"He's very keen on facilities being just so," said AI Young,
president of Dan Young.
The present 17 -acre Dan Young facility is tight on expansion
space.
"We're so darn congested, " Young said. "When we opened in
1972, we thought we had all the land we needed."
Real-estate professionals say the possible development
continues a trend on the Northeastside.
"That whole 96th Street corridor between Keystone and
AIlisonville (Road) is becoming a commercial, retail and auto
dealership magnet," said Bryan Chandler, vice president with
Olympia Partners.
Changes on the way
The expected investment at Dan Young also is a sign that
Penske is moving quickly to make changes at VAG.
Penske, who oversees a business empire that includes truck-
leasing companies and producers of diesel engines, agreed
last spring to invest $83 million to take control of VAG.
The New York-based company has struggled, paying top-
dollar for auto dealerships and amassing $288 million in
long-term debt by the end oflast year.

DAG turned to Penske, who is most famous as a race-team
owner, hoping he could effect a turnaround in the style of
comebacks at Detroit Diesel Corp. and other firms he has
acquired.
Penske became chairman after making the first $33.5 million
of the investment May 3. Another $49.5 million will be
invested Aug. 3, at which time Penske will gain control of
DAG's board.
Since assuming the helm at DAG, Penske also has divided
dealerships into geographic regions. AI Young was named
president ofDAG's Midwest group.
For now, that is comprised of former Young Automotive
Group dealerships, including Dan Young Chevrolet-Honda,
that DAG acquired in 1997.
Young said he'll have input on potential dealership
acquisitions. If other dealerships in the Midwest are
purchased, Young would be involved in overseeing them.
