IN 46032 Dear Mr. Kiphart: RE: Trammell Crow Development Mr. Gillespie has requested that we provide you with a letter indicating that they have sufficient capacity to meet the needs of their development at 465 and College. The District has issued a conditional Permit to Trammell Crow for 48,,627 gpd, has received an Agreement whereby Trammel Crow has purchased 30,,000 gpd from Stenz and Associates, and has executed an Agreement with trammell Crow that allows them to use the additional 30,;000 gpd for the 465 site. This latter Agreement provides that Trammel Crow would provide flow equalization for flow in excess of 48,.627 gpd if flow equalization should be mandated by the Board in the future. As soon as Trammell Crow submits an Application for the 30,000 gpd,, the District can issue a conditional Permit for the additional flow they deem necessary for the development up to a maximum of 78,627 gpd. The 30,000 gpd is reserved for Trammell Crow as a part of the Credit Enhancement Agreement for the Meridian Corridor Project. The flow projection used by Mr. White of Paul I. Cripe are consistant with those recommended by us and are straight from the Indiana State Board of Health Manual SE-13 and are conservative. Mr. Gillespie states in his letter that office space is going to be reduced to 670,,000 sf which would mean 6,,000 gpd less flow or a total of 72,627 gpd not 78,,627 gpd. One Item that should be pointed out is that Trammell Crow, Inc. , has signed an Agreement with the Clay Township Regional Waste District to pay for equalization facilities which may be needed at a later date when other developments proceed. The Clay Waste District has given an conditional permit in the amount of 48,627 GPD. A copy of this permit is enclosed. In addition to this, 30,000 GPD has been obtained from Leo Stenz by acquiring his property as he was one of the original guarantors. This provides the Trammell Crow Company with a total of 78,627 GPD average flow. This flow should provide sufficient capacity for this Park to development as outlined in the rezone application. The flow estimate for the Park is calculated as follows: 200 Room Hotel @ 100 GPD per room = 20,000 GPD 50 seat restaurant @ 35 GPD per seat = 1 ,750 GPD 750,000 SF @ One employee per 200 SF @ 15 GPD per employee = 56,2.50 GPD TOTAL 78,000 This calculation is based on the conceptual plan and estimated uses contemplated at this point in time and is subject to change with final development plans. Flow calculations are based on State Board of Health Bulletin SE 13 (a copy of which is enclosed) and has been accepted by the Clay Waste District. This is a combination of the original capacity granted by the Clay Township Regional Waste District and the 30 , 000 capacity associated with the 2. 5 acre tract owned by Stenz & Associates but under contract to Trammell Crow Company. I have attached a copy of a letter from Marvin Pike extending our original conditional permit as well as a fully executed copy of the Sewer Service Agreement between Trammell Crow Company and Clay Township Regional Waste District granting the right to use the 30 ,000 gallon capacity from the Stenz tract for our development. Two bedrooms (per apartment) 300 18 - 1 SEWER SERVICE AGREEMENT r v' l e f l-'eYDLJ THIS AGREEMENT, made and entered into by and between the CLAY TOWNSHIP REGIONAL WASTE DISTRICT , a political subdivision and municipal corporation organized and existing under the laws of the State of Indiana ( the "District" ) , and CROW-INDIANAPOLIS I , INC . , an Indiana corporation ( "Crow" ) . WITNESSETH THAT: WHEREAS , the District is organized for the purpose of designing , constructing and operating sewers to collect ," convey and dispose of waste water from residences, businesses, industries and institutions located within the boundaries of the District; and WHEREAS , the District is in the process of constructing an interceptor and collection system ( the "Primary System" ) in order to provide sewage disposal service for that area of Clay Township, Hamilton County , Indiana, generally bordered by 116th Street on the north, Keystone Avenue (U .S . Highway 431 ) on the east, 96th Street on the south, and Penn Road on the west ( "Primary Service Area" ) ; and WHEREAS , the District is in the process of constructing an interceptor and collection system ( "Meridian Corridor System" ) in order to provide sewage disposal service for that area of Clay Township , Hamilton County, Indiana , within the Meridian Corridor Service Area as shown on Map No. 1 of the "Master Sewer Plan, Meridian Corridor Service Area, Hamilton County , Indiana, December , 1984" prepared by Samuel L . Moore & Associates and approved by the District 's Board of Trustees ( "Board" ) at its meeting on January 14 , 1985; and WHEREAS , since the District does not own and operate a sewage treatment plant at which to treat the sewage collected from within the boundaries of the District, the sewage collected by the District will be conveyed to and treated at the sewage treatment plant owned and operated by the City of Carmel , Indiana ( "Carmel Treatment Plant" ) in accordance with the terms and conditions of the "Municipal Wastewater Service Agreement Between the City of Carmel and the Clay Township Regional Waste District" dated June 10 , 1983 , as subsequently amended ( the "Municipal Service Agreement" ) ; and WHEREAS , the City of Carmel ( "Carmel" ) is in the process of expanding the sewage treatment capacity of the Carmel Treatment Plant from 6 . 0 million gallons per day to 8 . 8 million gallons per day and when said expansion is completed, the District will be entitled to 1 .98 million gallons per day of the 8 .8 million gallons per day of sewage treatment capacity available at the Carmel Treatment Plant ; and WHEREAS , the District anticipates the sewage treatment capacity of the Carmel Treatment Plant will be further expanded so that the District will have available for its use more than 1 .98 million gallons per day of sewage treatment capacity at the Carmel Treatment Plant and discussions are underway with Carmel with respect to sucn further expansion of the Carmel Treatment Plant ( the "Future Treatment Plant Expansion" ) ; and - 2 - 3244T/WEW/7-20-87 WHEREAS , Crow has requested the District to provide sewage disposal service to and within the area shown on its application for Conditional Sewer Permit attached hereto as Exhibit A (said area being hereinafter referred to as the "Crow Project Area" ) ; and WHEREAS , Crow proposes to develop the Crow Project Area into an office complex which will include other uses, which development will occur in phases; and WHEREAS , the Crow Project Area is located within the Primary Service Area; and WHEREAS , Crow has purchased or has an option to purchase from Stenz and Associates , Inc. approximately four (4 ) acres of real estate located within the Meridian Corridor Service Area; and WHEREAS , Stenz and Associates, Inc . and the District are parties to an "Agreement for Credit Enhancement for Revenue Bonds Issued by the Clay Township Regional Waste District" dated September 4 , 1985 ( the "Credit Enhancement Agreement" ) , pursuant to which the District has reserved 30, 000 gallons per day of the 1 .98 million gallons per day of sewage treatment capacity available to the District at the Carmel Treatment Plant for Stenz for use in the Meridian Corridor Service Area; and WHEREAS , Stenz has assigned and transferred its rights under the Credit Enhancement Agreement referred above to Crow as an appurtenant right to the transfer of real estate; and 3244T/WEW/7-20-87 - 3 - WHEREAS , under paragraphs 8 . 3 and 8 . 6 of the Credit Enhancement Agreement , Crow, as Stenz ' s successor , may release and transfer to the District, upon such terms and conditions as are mutually acceptable to Crow and the District , all or any portion of the sewage treatment capacity available to the District at the Carmel Treatment Plant and reserved for Crow under the Credit Enhancement Agreement; and WHEREAS , Crow does not anticipate using any of the capacity reserved for the four ( 4 ) acre parcel acquired from Stenz until after the Crow Project Area is fully developed or until such time as the District has acquired additional Treatment Plant Capacity (in excess of that capacity acquired under its June 10 , 1983 Agreement with the City of Carmel ) ; and WHEREAS , the District is willing to allow Crow to use the capacity reserved ( i . e. 30, 000 gallons per day) for its development in the Crow Project Area upon the terms and conditions hereinafter set forth : NOW THEREFORE , in consideration of the mutual covenants and agreements contained herein, the parties agree that : 1 . The Improvements . Crow, at its sole cost, shall design, install and construct all of the mains, lift stations and other components of the interceptor and collection system required for the District to provide sewage disposal service to and within the Crow Project Area except those facilities which are part of the Primary System or the Meridian Corridor System. Said facilities ( hereinafter referred to as 3244T/WEW/7-20-87 - 4 - "Improvements" ) shall be planned and designed in accordance with standards which have been or will be developed by the District' s engineers. It is understood and agreed that the Improvements will be installed in phases, as sections of the Crow Project Area are developed. The District anticipates that flow equalization techniques will be required to protect the District ' s interceptor and collection system and it reserves the right to assess Crow up to sum of $2.00 per gallon for each gallon of sewage availability allocated to Crow' s Project as the same may be expanded, in excess of 750 times the number of acres in the Project, to pay for the installtion of flow equalization equipment to the extent necessary. Crow shall not be charged any greater sum per gallon of such excess sewage availability than any other land owners. Crow agrees to pay such charges within thirty (30) days of the date when it is notified in writing of the assessment of such charges. 2. Approval of Plans. Construction of the Improvements witnin any section of the Crow Project Area shall not commence until Crow has provided the District with the plans and specifications for said Improvements and the District has approved said plans and specifications, all in accordance with Ordinance No. 10-21-85B or such other ordinances supplemental thereto. When the plans and specifications for said Improvements are submitted to the District for approval, Crow shall also pay to the District the charges due under Ordinance 10-21-85B. 3244T/wEW/8-3-87 - 5 - • Improvements and certified to the District that said Improvements were installed in substantial compliance with the plans and specifications approved by the District and that said Improvements passed the infiltration tests required under Section 2 .71 of Ordinance 10-21-85B . 6 . Conditional and Final Permits . Crow shall not commence construction of the Improvements within any section of the Crow Area until after it has applied for and received a Final Permit from the District, all in accordance with the provisions of Ordiance 6-9-86 adopted by the Board on June 9 , 1986 . 7 . Availability Charges. (a ) Prior to obtaining a Final Permit pursuant to Ordinance 6-9-86 authorizing Crow to connect the Improvements installed within any section of the Crow Project Area to the District 's system , Crow snail pay to the District an availability charge in an amount established by Ordinance 10-21-85B and 12-19-85 and in effect at the time the availability charge is paid . In order to preserve the integrity of the financial structure underlying the financing of the construction of the Meridian Corridor System pursuant to the terms and conditions of the Credit Enhancement Agreement and related documents, the District shall deposit a portion of said availability charge paid in the Meridian Corridor Bond Sinking Fund established pursuant to paragraph 7 . 1 of the Credit Enhancement Agreement , and said amount shall thereafter 3244T/WEW/7-20-87 - 7 - be subject to tne terms and conditions of the Pledge, Security Agreement and Trust Indenture entered into by and between the District and The Indiana National Bank , as trustee, on December 18 , 1985 ( the " Indenture" ) . The amount of the availability charge paid by Crow to be deposited by the District in the Meridian Corridor Bond Sinking Fund shall be determined in accordance with the "Per 1 , 000 gallons M.C . Availability Charge" established by Ordinance 10-21-85A and in effect at the time the availability charge is paid as to the 30 ,000 gallons per day of the Meridian Corridor capacity used by Crow. The portion of the availability charge paid by Crow not deposited in the Meridian Corridor Bond Sinking Fund shall be deposited by the District in accounts maintained by the District for its Primary Service Area. (b) In addition to paying all availability charges as provided for in subparagraph (a) , Crow shall pay the District an additional fee equal to the availability fees paid in connection with the 30 ,000 gallons per day of Meridian Corridor capacity to be deposited and held by the District in accounts maintained for the purpose of paying the District 's share of the costs of the Future Treatment Plant Expansion. 8 . User-Charges. All monthly user charges collected by the District from customers within the Crow Project Area shall be deposited by tne District in the District ' s Operating Account established in accordance with the provisions of the ordinances and regulations of the District . 8 3244T/WEW/7-20-87 9 . Reserved Sewage Treatment Capacity. In order for the District to have available the sewage treatment capacity at the Carmel Treatment Plant necessary to provide sewage disposal service to the sections of the Crow Project Area as such sections are developed prior to the completion of the Future Treatment Plant Expansion, Crow's reserved sewage treatment capacity under the Credit Enhancement Agreement, prior to the completion of the Future Treatment Plant Expansion, shall be reduced to zero, and shall be deemed released by Crow and transferred to the District on a temporary basis subject to the conditions that upon the completion of the Future Treatment Plant Expansion, Crow shall again be entitled to 30 ,000 gallons per day of sewage treatment capacity for use within the Meridian Corridor Service Area , and the payment made to the District under Paragraph 7B hereof shall be credited against any availability fees otherwise due to the District in connection with the use thereof. 10 . Miscellaneous. (a ) This Agreement shall at all times be construed and interpreted to be consistent with the rights, powers and duties of the District under the laws of the State of Indiana, the applicable rules and regulations of the United States Environmental Protection Agency, the constraints placed upon the District by the Farmers Home Administration, the provisions of the Credit Enhancement Agreement, and the provisions of the Indenture . - 9 - 3244T/WEW/7-20-87 • (b) This Agreement shall be binding upon and inure to the benefit of the parties hereto, their successors, personal representatives and assigns (to the extent not inconsistent herewith) . Crow may assign all or a portion of its rights hereunder to any person, firm, partnership, or corporation which may complete all or any part of its proposed Project in substantially the manner which is now proposed. Crow may also assign its rights under paragraph 9 of this Agreement to any person, firm, partnership or corporation along with and as part of the conveyance of any land which Crow now owns or may hereinafter acquire in the Meridian Corredor Service Area. (c) This Agreement shall be governed by the laws of the State of Indiana. (d) No amendment or modification of the Agreement shall be effective unless contained in a written document executed by the parties hereto (or their successors, personal representatives or assigns) . (e) Failure of either party hereto to insist upon strict performance of the provisions of this Agreement shall not be construed as a waiver of any subsequent default or breach of the same or similar nature.
