Time is of the essence of this Addendum and theAgreement. 3.NON-DISCRIMINATION: Vendorrepresents and warrants that it and all of its officers, employees, agents, Vendors and sub- Vendorsshall comply with all laws of the United States, the State of Indiana and City prohibiting discrimination against any employee, applicant for employment or other person in the provision of any Goods and Services provided underthe Agreementwith respect to their hire, tenure, terms, conditions and privileges of employment and any other matter related to their employment or subcontracting, because of race, religion, color, sex, handicap, national origin, ancestry, age, or disabled veteran status. 4.IRAN CERTIFICATION: Pursuant to I.C. § 5-22-16.5, the Vendorshall certify that, in signing this document, it does not engage in investment activities within the Country of Iran. 5.PAYMENT TERMS: Upon receipt of the invoice as outlined in the Agreement, the City shall pay Vendor for such goods and serviceswithin thirty- detailing same, so long as and to the extent such goods and services are not disputed, are in conformance with the specifications set forth intheAgreementand Vendor has otherwise performed and satisfied all the terms and conditions of this Addendum and the Agreement. In consideration of a damage waiver payment, the Lessor assumes risk of damage to Rental Items as outlined, except the following risks assumed by the Lessee: (a) Excessive damage; (b) loss, damage, vandalism, malicious mischief, and theft; (c) loss, damage or theft of accessory items such as extension cords, etc.; d) loss due to disappearance or wrongful conversion by a person entrusted with Rental Items; (e) damage during transportation of equipment by Lessee. The Damage waiver is null and void if damage is caused by a third party not associated or related to Lessee. In that instance the Lessor reserves the right to collect from person or company causing damage. THE LESSEE UNDERSTANDS THAT THE DAMAGE WAIVER IS NOT INSURANCE. THE LESSEE IS OBLIGATED TO SUBMIT TO THE LESSOR A POLICE REPORT ON ALL LOSSES COVERED UNDER THE DAMAGE WAIVER. It is your responsibility to return the rented item(s) to Ace Your Event Indy, LLC in the same condition, except for ordinary wear and tear. USE OF THE ITEM(S) You agree that you are satisfied with the instruction given by Ace Your Event Indy, LLC in the proper and safe manner of using the item(s) or that you are so familiar and told Ace Your Event Indy, LLC that you were. You further agree that the item(s) will be used only at the address designated and only for that purpose for which the item(s) was manufactured and intended. Subleasing or improper use is prohibited. You have read and understand all manuals, written operating instructions and warnings as supplied for the equipment. RESPONSIBILITY FOR USE AND DISCLAIMER OF WARRANTEES You are responsible for the use of the rented item(s). You assume all risk inherent in the operation and use of the item(s) and agree to assume the entire responsibility for the defense of and to pay, indemnify and hold Ace Your Event Indy, LLC harmless from, and hereby release Ace Your Event Indy, LLC from any and all claims for damage to property or bodily injury (including death) resulting from the use, operation or possession of the item(s), whether or not it be claimed or found that such damage or injury resulted in whole or in part from Ace Your Event Indy, LLC negligence, from the defective condition of the item(s) or from any cause. YOU AGREE THAT NO WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE HAVE BEEN MADE IN CONNECTION WITH THE EQUIPMENT RENTED. RESPONSIBILITY FOR EQUIPMENT From the time the item(s) is rented out until it is returned, you are responsible for it. If the item(s) is lost, stolen or damaged under any circumstances while rented, regardless of fault, In Ace Your Event Indy, LLC, in addition to any other remedy available to it either under the law, or by virtue of this Contract, in its discretion, either shall have the right to hold you responsible for all charges, including labor costs, to repair the item(s), or shall have the right, including labor costs to seek from you the cost of replacing the item(s). If the item(s) is returned not clean, a cleaning charge will be imposed. FAILURE TO RETURN RENTED PROPERTY UNDER THE TERMS OF THIS CONTRCT MAY SUBJECT THE RENTER TO CRIMINAL PROSECUTION. ITEM(S) FAILURE You agree immediately to discontinue the attempt to use the rented item(s) should it at any time become unsafe or in a state of disrepair and will immediately (one hour or less) notify Ace Your Event Indy, LLC of the facts. Ace Your Event Indy, LLC agrees in its discretion to make the item(s) operable within a reasonable time or provide you with a like item if available, or make a like item available at another time or adjust the rental charges. This provision does not relieve you from the obligations imposed by other paragraphs. In all events, Ace Your Event Indy, LLC shall not be responsible for any injury or damage, including consequential damage, resulting from failure or defect of a rented item(s). RETURN OF ITEMS The rented item(s) is Ace Your Event Indy, LLC property and is rented to you subject to this contract for rental charges and for the period of time noted on the reverse side. If you desire to extend the term of this rental beyond the time and date specified on the reverse side under “Due”, you must immediately notify Ace Your Event Indy, LLC to obtain our approval, the terms for such extension and a modification of this contract. If this agreement has not been extended and you fail to return the item(s) when due in, Indiana . Ace Your Event Indy, LLC to enforce its property ownership of the item(s) and to protect its interest | under this contract may retake the item(s) at any time and to do so, Ace Your Event Indy, LLC or it’s representatives may enter your property and you hereby waive any right of action against Ace Your Event Indy, LLC for such entry and retaking. In addition you acknowledge that the failure to return rented item(s) within the contract and the sale or concealment of returned item(s) are prohibited and that such action may constitute a crime. Ace Your Event Indy, LLC, in addition to any other action we may take, may notify the authorities and take other action, including the filing of criminal complaints, subjecting you to prosecution. CHARGES AND PAYMENTS Deposit is to guarantee the rental of said items for event date. Deposit will be credited to balance due at time of rental. Deposit (value) of 50% of rental total is non-refundable. Additionally all tent rentals must be canceled 14 days prior to the event date or you will be billed for the price of the tent. Time is money. You are responsible for rental charges from the time the item(s) is “out” as specified on the reverse side until it is returned and other charges hereunder. Return the item(s) promptly, clean and in good condition. You and your representative, agent or principal shall be responsible for and shall pay Ace Your Event Indy, LLC all charges hereunder. All charges are due upon return of the item(s) and on demand. If the rental charges are charged to someone other than the Renter, the Renter represents he/she is the agent of such party and has the right to charge this rental; the other obligations and responsibilities of the Renter hereunder. If rental charges are not paid within 10 days of the due date, Ace Your Event Indy, LLC, at its discretion, could invoke a 5% daily compounding daily interest rate charge. COLLECTION COSTS AND REMEDIES You agree to pay attorney fees, collection fees, court costs and any other expenses incurred in collecting any charges under this agreement, in retaking the rental item(s) or otherwise in enforcing the terms of this contract. You further agree that Ace Your Event Indy, LLC may avail itself of any remedy allowed by law to secure and collect all amounts that may be due hereunder. In the event Ace Your Event Indy, LLC files a mechanics lien, then in addition to amounts allowed by law to be included on the lien, you agree that such lien shall secure payment of all sums that may be due hereunder. MODIFICATION OF CONTRACT This paper represents our entire contract and there are no collateral, oral or other agreements outstanding. None of Ace Your Event Indy, LLC rights may be changed and no extension of the term of this contract may be made except in writing signed by Ace Your Event Indy, LLC and made 4/16/2024 12:18 PM EDT - May 18th - City of Carmel (#229462333)7 of 8 Signature Printed Name Date a part of this contract. RAIN, SNOW, WIND STORM & THUNDER, AND LIGHTNING TENT ADVISORY Under normal weather conditions, tents provide an excellent haven for outdoor events. However, tents are only temporary structures made of fabric and are not intended to be occupied during extreme weather conditions. Thunder and lightning storms in particular pose a significant safety risk for tented events. Ace Party Rental is making you aware you are held responsible for making sure NO WATER or SNOW/ICE is ALLOWED to ACCUMULATE on the tent. These tents do not carry water nor a snow/ice load and must be watched to make sure the structure and fabric is not in danger of being ripped, falling over, or caving in. Frequently push or pull water or snow/ice off the tent during and after a weather event. Ace Party Rental is making you aware you are held responsible for monitoring Severe weather and making sure no persons are allowed under the tent with winds exceeding 30 MPH, or during extreme Rain, Snow, Wind Storm & Thunder, and Lightning. Ace Party Rental will not be held responsible for any damage done to personal property, or persons, under or around the tent due to a collapsing tent brought on by any weather conditions listed above . You will be held responsible if there is any damage done to Ace Party Rental property listed on the invoice due to neglect of taking care of these items while in your possession. You will be charged to replace any items that have been ruined due to Rain, Snow, Wind Storm & Thunder, and Lightning Tent Advisory. Ace Party Rental wants you and your guests to enjoy our tents safely. Please see the following advisory in case severe weather threatens your tented event. When encountering a lightning storm or wind storm reaching winds of 30 MPH or greater the best course of action is to evacuate the tent, with the safest place being an enclosed building. A safe building is one that is fully enclosed with a roof, walls, and floor, and has plumbing or wiring. Examples include a home, school, church, hotel, office building, or shopping center. Once inside, stay away from showers, sinks, bathtubs, and electronic equipment such as TVs, radios, corded telephones, and computers. Unsafe buildings include car ports, open garages, covered patios, picnic shelters, beach pavilions, golf shelters, tents of any kind, baseball dugouts, sheds, and greenhouses. To do otherwise would jeopardize the safety of you and your guests. There really is no alternative, even if there is a small chance that someone could be injured it is not a chance that any of us should take. Run to a safe building or vehicle when you first hear thunder, see lightning, or observe dark threatening clouds developing overhead. Stay inside until 30 minutes after you hear the last clap of thunder. Do not shelter under trees. You are not safe anywhere outside. Payment Policy A 50.00% deposit is required to confirm your contract and full payment will be due 14 days prior to the earliest of the receipt of goods or performance of services. Additional payment processing fees may apply. General Cancellation Policy To ensure availability of all services and products, deposits are non-refundable.
