RESOLUTION OF THE CITY OF CARMEL BOARD OF PUBLIC WORKS AND SAFETY
ACKNOWLEDGING AGREEMENT BETWEEN CITY AND VENDOR
WHEREAS, pursuant to Indiana Code 36-1-4-7, the City of Carmel, Indiana (“City”), is authorized to enter
into contracts; and
WHEREAS, pursuant to Indiana Code 36-4-5-3, the City’smayor may enter into contracts on behalf ofthe
City; and
WHEREAS, pursuant toher authority under Indiana law, the City’smayor, the Honorable Sue Finkam, has
caused to be signed the Agreement attached hereto (the “Contract”); and
WHEREAS, Mayor Finkam now wishes to present the contract to the City’sBoard of Public Works and
Safety for it to be publicly acknowledged, filed in the Clerk’sOffice, and made available to the public for review.
NOW, THEREFORE, BE IT RESOLVED by the City of Carmel Board of Public Works and Safety as
follows:
1. The foregoing Recitals are incorporated herein by this reference.
2. The receipt of the Contract is hereby acknowledged.
3. The Contract shall be promptly filed in the office of the Clerk and thereafter made available to the public
for review.

This quote and design is for the Upgrade to the Carmel EOC.
The Existing Speakers and equipment racks will be repurposed in the system.

The existing Biamp, Crestron, and Planar Equipment will be removed from the
racks. The existing OFE PC’s in the rack will be connected to the new system.
One (1) New Crestron Enterprise Director will be installed as part of this project in the Data Center, which is
in a different Facility than the EOC.
One (1) New QSYS Core 610 will be installed as part of this project in the Data Center, which is in a
different Facility than the EOC.
The Existing OFE Rack will receive the following new equipment.

Site preparation by the Customer and their contractors include electrical and data placement per AVI
Systems specification.
Site preparation will be verified by AVI Systems project manager or representative before the scheduling of
the installation. All work areas should be clean and dust free prior to the beginning of the on-site
integration of electronic equipment.
Customer communication of readiness will be considered accurate and executable by AVI Systems project
manager.
In the event of any arrival to the site that AVI Systems is not able to execute work efficiently and definably
progress, the Customer will be charged a fee to reimburse AVI Systems for all lost time and inefficiencies.
At this time, the Customer will be presented with a Contract Change Order and will/may halt work until
acceptance by the Customer and rescheduling of the integration effort is agreed upon.
Rescheduling and redeployment of AVI Systems technicians due to unacceptable site preparation may
cause scheduling delays of up to 10 business days.
There is ready access to the building/facility and the room(s) for equipment and materials.
There is secure storage for equipment during amulti-day integration.
If Customer furnished equipment and existing cabling are to be used, AVI Systems assumes that these items
are in good working condition at this time and will integrate into the designed solution. Any repair,
replacement, and/or configuration of these items that may be necessary will be made at an additional cost.
All Network configurations, including IP addresses, are to be provided, operational and functional before
AVI Systems integration begins. AVI Systems will not be responsible for testing the LAN connections.
Cable or Satellite drops must be in place with converter boxes operational before the completion of
integration. Any delay resulting in extra work caused by the late arrival of these items will result in a
change order for time and materials.
Document review/feedback on drawings/correspondence will be completed by the Customer within two
business days (unless otherwise noted).
The documented Change Control process will be used to the maximum extent possible – the Customer will
have an assigned person with the authority to communicate/approve project Field Directed Change Orders
and Contract Change Orders (see Appendix).
In developing a comprehensive proposal for equipment and integration services, AVI Systems’ Sales
Representatives and Engineering teams must make some assumptions regarding the physical construction
of your facility, the availability of technical infrastructure, and site conditions for installation. If any of the
conditions we have indicated in the site survey form are incorrect or have changed for your project or
project site, please let your Sales representative know as soon as possible. Conditions of the site found
during the integration effort, which are different from those documented, may affect the price of the system

this project.
AVI Systems strongly encourages thefostering ofatruly open, cooperative “designteam” approach, with
team members bringing unique, valuable insight from their specialperspective to theteam.
The goal ofthese services isasfollows:
Understand clearly the current and future AV needs of the Customer.
Provide accurate construction documents for the implementation of the AV-related infrastructure.
Provide an overall AV plan that will allow for the procurement of appropriate AV equipment and
installation, complete with system diagrams, ensuring correct integration of the equipment.
Compile the data gathered during the engineering process into an Integration Agreement for a turnkey
installation of all AV systems, with the added value of a seamless integration process.
TheDesign Process canbemodified atany time perthedirection oftheCustomer –otherwise, itshall
follow this general outline:
AVProgram Review / Verification – The AVI Systems design team will obtainfrom the Customer the
operational specifications desired fortheaudio and video systems within thedesignated facility.
Additional facility information will berequired, including thebuilding’selectrical and structural
infrastructure, aswell asthephysical sizes ofeach room orspace. Using compatible AutoCAD drawings,
the integration ofdesired AV systems withinavailable spaces will bevisualized. During this initial design
phase, various equipment options, with aneyetoward future expandability while maintaining current
value, will besuggested.
Budget Verification – The AVI Systems design team will create a projectscope compiled fromthe
information received from theCustomer. AVI Systems will generate cost estimates for thevarious
systems as outlined above and compare these budget estimates to anyinitial AV budgets. This process
will reaffirm the exact direction thatengineering resources should targetinthenext phase.
InitialDesign – During thisphase, AVI Systems will begin applying theabove-defined systems indetail to
the various areas oftheCustomer facility. Further communications between theCustomer and theother
design team members, asvarious options areexplored, will benecessary atthis time. Typical deliverables
from this phase would include thefollowing drawings and/ordocuments.

architectural/aesthetic considerations, budget reviews, etc.), electronic exchange ofAutoCAD drawings
between alltheteam members will facilitate aquick exchange of updates. Specific design freeze dates will
be established with allparties tofacilitate timely submittals and help manage the Customer’send cost. All
changes aretobereviewed andapproved byallparties.
Final Systems Design – The changes made intheprevious phase tothepreliminary designs will be
updated and regenerated as “final” construction documents. AVI Systems will typically work from
background drawings from anarchitect under contract totheCustomer, entering AV-specific data and
returning these back tothearchitect (or other Customer retained design professional) forintegration
into final construction documents.

business days, and (e) does notassure against interruptions in theoperation oftheCovered Equipment.
Service Exclusions – Forsituations where AVI Systems isproviding service orsupport under this
Agreement, nocost service, maintenance, orrepair shall notapply totheCovered Equipment ifany
person other than anAVI Systems technician orother person authorized byAVI Systems, without AVI
Systems, prior writtenconsent, improperly wires, integrates, repairs, modifies oradjusts theCovered
Equipment orperforms anymaintenance service onitduring theterm ofthis Agreement. Furthermore,
anyCovered Equipment service, maintenance, orrepair shall notapply ifAVI Systems determines, inits
sole discretion, that theproblems with theCovered Equipment were caused by (a) the Customer's
negligence; or (b) theft, abuse, fire, flood, wind, lighting, unreasonable powerline surgesor brownouts, or
acts ofGodor public enemy; or (c) useofanyequipment for other than theordinary useforwhich such
equipment was designed orthepurpose forwhich such equipment was intended, or (d) operation of
