RE: Conditional Approval of MJ’s Exterior Replacement Signage Work on Exterior of Building
Dear Ms. Everhart and MJ Insurance, Inc.,
1SO Midtown III LLC (“Landlord”) and MJ Insurance, Inc. (“Tenant”), or their predecessors-in-interest, entered
into that certain Office Lease dated as of March 31, 2017 (“Original Lease”), as modified by that certain Letter of
Understanding dated February 14, 2019 (“LOU”), as further modified by that certain First Amendment to Lease
dated January 31, 2018 (“First Amendment”), as further modified by that certain Second Amendment to Lease
dated December 18, 2019 (“Second Amendment”), and as further modified by that certain Third amendment to
Lease dated July, 2021 (“Third Amendment” and, collectively with the Original Lease, the LOU, the First
Amendment, and the Second Amendment, the “Lease”), which collectively govern Tenant’s use of certain space
consisting of approximately 37,964 rentable square feet (the “Premises”) located generally at 571 Monon Blvd.
Carmel, Indiana (the “Building”), all as more specifically set forth in the Lease.
Tenant has requested Landlord to approve work related to the replacement of the faces of Tenant’s two exterior
Building signs in order to update Tenant’s name on such signs (the “Exterior Replacement Signage Work”), with
such work as further detailed in the attached Exhibit A, which is included by reference.
This conditional approval letter (“Letter Approval”) shall constitute Landlord’s conditional approval of the
Exterior Replacement Signage Work, subject to the following conditions:
1. The Exterior Replacement Signage Work shall be subject to and governed by the terms, conditions,
obligations, and covenants of the Lease (including, but not limited to, Section 16.10 of the Lease) and this
Letter Approval.
2. Tenant shall be solely responsible for all fees, costs, and expenses (including, but not limited to, legal,
consultant, construction manager, architect, contractor, subcontractor, and/or vendor fees, costs, and
expenses) incurred and/or spent by Tenant and/or Landlord related to this Letter Approval, the Exterior
Replacement Signage Work, and the ongoing maintenance of the Exterior Replacement Signage Work.
3. Landlord may, at Tenant’s sole cost and expense, engage third-party consultants (including, but not limited
to, law firms, construction managers, architects, contractors, subcontractors, and/or vendors) to ensure,
verify, and/or confirm that Tenant completes the Exterior Replacement Signage Work in accordance with
the terms, conditions, obligations, and covenants of the Lease and this Letter Approval, provided that
Landlord may only charge to Tenant out-of-pocket fees, costs, and expenses actually paid by Landlord.
4. Tenant shall complete the Exterior Replacement Signage Work in accordance with the plans, specifications,
and drawings attached to this Letter Approval as Exhibit A and, in all cases, in accordance with all laws,
regulations, and codes and provided in all cases that (A) Tenant’s contractors, subcontractors, and/or
vendors completing such work (collectively, “Tenant Contractors") (i) maintain valid business licenses
and insurance coverage as required under the Lease or as required by Landlord, and (ii) name Landlord,
Landlord’s property manager, Landlord’s lender (if applicable), and any other entities that Landlord
reasonably requires as additional insureds on such insurance policies of Tenant Contractors, and (B) (i) the
dimensions, surface area, and weight of the proposed new signs shall not exceed the dimensions, surface
area, and weight of the existing old signs, individually or collectively, (ii) the proposed new signs shall re-

use the existing signage mounts such that only the existing old sign faces will be replaced with the
proposed new sign faces, (iii) the proposed new signs shall not reduce the signage available to the Building
under municipal code or other applicable law or otherwise had the existing old signs remained, and (iv) the
proposed new signs shall have an electrical load that shall not exceed that of the existing old signs.
5. The Exterior Replacement Signage Work:
a. Shall be non-structural in nature and not affect the mechanical, electrical, plumbing, heating,
ventilating, air conditioning, sprinkler, life safety, telecommunication, security, structural, roofing,
exterior-wall, and/or other systems of the Premises and/or Building.
b. Shall be completed in accordance with all terms, conditions, obligations, and covenants of the
Lease (including, but not limited to, Section 16.10 of the Lease) and this Letter Approval.
c. Shall be completed without core drilling in and/or to the Premises and/or Building.
d. Shall be completed without any penetrations in, to, and/or through the roof, ceilings, load-bearing
walls, exterior walls, floors, and/or waterproof membranes of the Premises and/or Building.
e. Shall be completed in a lien-free manner.
f. Shall be completed such that any and all egress signage remains compliant with all laws,
regulations, and codes.
6. Tenant, at its sole cost and expense, shall procure the governmental permit(s) for such work.
In all cases, Landlord's (I) submission of any materials, information, consent, or approval to any government
authorities for purposes of procuring any permits related to the Exterior Replacement Signage Work, and/or (II)
consent or approval of any plans, specifications, working drawings, or contracts for the Exterior Replacement
Signage Work shall not: (a) constitute any warranty or representation by Landlord (and shall not impose any liability
on Landlord) as to their completeness, design, sufficiency, or compliance with applicable laws, regulations, and
codes; and/or (b) constitute or be deemed to constitute Landlord’s consent or approval, or waiver of Landlord’s
consent or approval, of any other improvements or alterations in, on, or about the Building or the Premises. Once
installed, Tenant, at Tenant’s sole cost and expense, shall maintain the Exterior Replacement Signage Work in a
manner and in compliance with the Lease.
