encroachments into our right of way are necessary to move forward with the mixed development on the 135
site, specifically to confirm financing for the project and move to the next stage of development. Both 136

To Whom It May Concern:
We are seeking approval for a valet parking lane to serve the guests of Tre on Main. Map
attached showing the proposed plan. Requested days and hours are: Tuesday – Thursday
4:45pm – 10pm, and Friday – Saturday 4:45pm – 11pm.
In addition to any signage the city would install, we propose adding our own sign at the
beginning of the valet lane, stating “No stopping or parking in this area”. Extra signage and
proper training should allow us to keep traPic flowing. If traPic were to begin to back up
towards Main Street, our team would be trained to instruct guests to circle the block and
come back to the lane when it’s clear to pull in.

AMENDMENT OF AGREEMENT
This document serves as an amendment (“Amendment”) of the Affiliation Agreement (original
commencement date of July 1, 2023, and original termination date of June 30, 2024) (the
“Affiliation Agreement”) between Indiana University Health, Inc. and City of Carmel, an
Indiana municipal corporation, by and through its Board of Public Works and Safety (city).
(“School”).
The Parties desire to amend the Affiliation Agreement to update certain responsibilities as set forth
herein.
1. Definitions. Capitalized terms used in this Amendment but not defined in this Amendment
will have the meanings assigned to them in the Affiliation Agreement.
2. Section III School Responsibilities - Section (III)(E) of the Affiliation Agreement is deleted
and replaced with the following:
“Before faculty/students begin a rotation, inform faculty/students about pertinent OSHA
regulations (for example Bloodborne pathogens, personal protective equipment, infection
prevention, etc.) and HIPAA regulations.”
3. Section III School Responsibilities – Section (III)(H)(3) of the Affiliation Agreement is
deleted and replaced with the following:
“Receive the following vaccinations: measles, mumps, rubella, varicella, and Hepatitis B
(or Hepatitis B vaccination declination form on file) or shows appropriate antibody titer. IU
Health strongly recommends students obtain the TDAP vaccination. Annual influenza
vaccination is also required unless an exception is granted based on medical or religious
grounds. An exception to the influenza vaccination granted by School must be submitted if
requested by IU Health in advance of the first day of the Student’s rotation at an IU Health
Facility.”
4. No Other Modifications. Except as otherwise set forth in this Amendment, all other provisions
of the Affiliation Agreement shall remain unchanged.
5. Effective Amendment. The changes described herein shall commence on September 1, 2024.
The Parties agree that this Amendment has been duly prepared and executed in accordance
with the terms of the Affiliation Agreement and will be considered part of the Affiliation
Agreement once signed by all Parties.

RESOLUTION OF THE CITY OF CARMEL BOARD OF PUBLIC WORKS AND SAFETY ACKNOWLEDGING AGREEMENT BETWEEN CITY AND VENDOR
WHEREAS, pursuant to Indiana Code 36-1-4-7, the City of Carmel, Indiana ("City"), is authorized to enter into contracts; and
WHEREAS, pursuant to Indiana Code 36-4-5-3, the City's mayor may enter into contracts on behalf of the City; and
WHEREAS, pursuant to her authority under Indiana law, the City's mayor, the Honorable Sue Finkam, has caused to be signed the Agreement attached hereto (the "Contract"); and
WHEREAS, Mayor Finkam now wishes to present the contract to the City's Board of Public Works and Safety for it to be publicly acknowledged, filed in the Clerk's Office, and made available to the public for review.
NOW, THEREFORE, BE IT RESOLVED by the City of Carmel Board of Public Works and Safety as follows:
1.The foregoing Recitals are incorporated herein by this reference.

The Board of Directors of the Carmel Farmers Market, an Indiana non-profit
corporation, respectfully requests from the Carmel Board of Public Works and Safety
the following:
Exclusive use, for the purpose of conducting the Carmel Farmers Market, on Carter Green, the adjacent drives, and the adjacent sidewalks, along with non-exclusive use of the James Building and Veterans Way parking structures, along with the lobby and
restroom facilities in the James Building, from 6 AM until 1:30 PM each Saturday from
May 03, 2025, through September 27, 2025.
In addition, the Carmel Farmer Market requests to use and to have control of the following spaces:
•A 20' x 20' area on the south lawn of the Veterans Memorial, adjacent to thecenter walkway and the east sidewalk, to be designated as a Public ExpressionSpace.
•The parking spaces on the east side of 3rd Avenue SW, north of the exit drivefrom the James Building Parking Garage to the south edge of the exit for CarterGreen Drive. This is for the purpose of temporarily designating these parkingspaces, as the need arises; as handicapped, parcel unloading and loading, or
vendor and short-term parking for the Farmers Market or vendor spaces.However, if there is a Saturday morning event in the Tarkington for which extraspecialized parking is needed by the Center, Carmel Farmers Market willcoordinate with the Center for the Performing Arts regarding the use of only theparking spaces on the east side of 3rd Ave SW running south from the entrance
to Carter Green Drive to the exit from the James Building Parking Garage.

Ball State Athletics Football Watch Party

Ball State Athletics would like to host a Football Watch Party at Midtown Plaza to
connect alumni, fans, and the community together with the athletics department to
support the Ball State Football team against Vanderbilt. The department would like
to reserve the Midtown Plaza space and television to watch the football game on the
big screen.
Ball State Athletics would like to bring staff members, mascot Charlie Cardinal, the
Code Red Dance team, and a pop up tent to hand out items to support Ball State

Thanks for reaching out on this!
Reason for submission within the 60-day window:
With turnover taking place within the Ball State Athletics department, and the Director of Marketing set
to be put on leave due to health reasons, there was not a point person for events such as the proposed
Ball State Athletics/Alumni Association Watch Party at Midtown Plaza - limiting the ability to submit
before the 60-day window.
The department worked together to see if there was a collective effort that could be had to strengthen
the relationship of Ball State Athletics and the Indianapolis area, including the City of Carmel. Once the
group effort was complete, the department was notified the submission would be within the 60-day
window.
Ball State Athletics/Alumni Association would love the opportunity to work with the City of Carmel to
create a positive environment and exciting evening of supporting the Ball State Football team as they
take on Vanderbilt.

5. EVENT DETAILS
A portion of the Monon (near Carter Green) will be utilized as part of the gathering
area and procession for the Sankt Martinstag event.
Provide a brief description of event
The Carmel Christkindlmarkt’s Sankt Martinstag celebration serves as a reminder to
live life with kindness and virtue. In this traditional German evening festival, families
and children carry colorful paper lanterns on a stick and sing songs as Sankt Martin
leads the procession on horseback around the market (see attachment for gathering
location along the Monon and a portion of the procession along the Monon.
Participants will have the opportunity to make lanterns in the Kinderecke from 4-7pm
before the event. The Liederkranz Men's Choir, the Indianapolis Liederkranz
Damenchor will sing German Lantern songs specifically for this event on the main
stage.

THIS EASEMENT (“Easement”) is made this ____ day of _____________ 20____, from
THE CITY OF CARMEL (“Grantor”, whether one or more), to DUKE ENERGY INDIANA, LLC,
an Indiana limited liability company (“Grantee”).
Grantor, for and in consideration of the sum of One and 00/100 Dollar ($1.00) and other good and
valuable consideration, the receipt and sufficiency of which are hereby acknowledged, does hereby grant
unto Grantee a perpetual and non-exclusive easement, to construct, reconstruct, operate, patrol, maintain,
repair, replace, relocate, add to, modify, and remove electric and communication lines including, but not
limited to, all necessary supporting structures, and all other appurtenant apparatus and equipment for the
transmission and distribution of electrical energy, and for technological purposes related to the operation
of the electric facilities and for the communication purposes of Incumbent Local Exchange Carriers
(collectively, “Facilities”).
Grantor is the owner of that certain property described in Section 6, Township 17 North, Range 4
East, Clay Township, Hamilton County, State of Indiana, being a part of Lot 33, Woodland Golf Club
Subdivision, as recorded in Deed Book 136, Page 545, and also as Instrument Number 2024032155, in
the Office of the Recorder of Hamilton County, Indiana (“Property”).
For Grantee’s Internal Use:

The Facilities shall be underground, except as needed on or above the ground to support the
underground Facilities, and located in, upon, along, under, through, and across a portion of the Property
within an easement area described as follows:
Said easement being that area indicated, relative to landmarks and property lines, shown on a
drawing marked Exhibit “A”, attached hereto and becoming a part hereof (hereinafter referred to as the
“Easement Area”).
The rights granted herein include, but are not limited to, the following:
1.Grantee shall have the right of ingress and egress over the Easement Area, Property, and any
adjoining lands now owned or hereinafter acquired by Grantor (using lanes, driveways, and
adjoining public roads where practical as determined by Grantee).
2.Grantee shall have the right to trim, cut down, and remove from the Easement Area, at any time
or times and using safe and generally accepted arboricultural practices, trees, limbs, undergrowth,
other vegetation, and obstructions.
3.Grantee shall have the right to trim, cut down, and remove from the Property, at any time or times
and using safe and generally accepted arboricultural practices, dead, diseased, weak, dying, or
leaning trees or limbs, which, in the opinion of Grantee, might fall upon the Easement Area or
interfere with the safe and reliable operation of the Facilities.
4.[Intentionally omitted.]
5.Grantee shall have the right to relocate the Facilities and Easement Area on the Property to
conform to any future highway or street relocation, widening, or alterations.
6.Grantor shall not place, or permit the placement of, any structures, improvements, facilities, or
obstructions, within or adjacent to the Easement Area, which may interfere with the exercise of
the rights granted herein to Grantee. Grantee shall have the right to remove any such structure,
improvement, facility, or obstruction at the expense of Grantor.
7.Excluding the removal of vegetation, structures, improvements, facilities, and obstructions as
provided herein, Grantee shall promptly repair or cause to be repaired any physical damage to the
surface area of the Easement Area and Property resulting from the exercise of the rights granted
herein to Grantee. Such repair shall be to a condition which is reasonably close to the condition
prior to the damage, and shall only be to the extent such damage was caused by Grantee or its
contractors or employees.
8.Notwithstanding anything to the contrary above, the general location of the Facilities is shown on
the sketch attached hereto as Exhibit A and incorporated herein by reference. The final and
definitive location of the Easement Area shall become established by and upon the final
installation and erection of the Facilities by Grantee in substantial compliance with Exhibit A.
9.All other rights and privileges reasonably necessary, in Grantee’s sole discretion, for the safe,
reliable, and efficient installation, operation, and maintenance of the Facilities.

The terms Grantor and Grantee shall include the respective heirs, successors, and assigns of
Grantor and Grantee. The failure of Grantee to exercise or continue to exercise or enforce any of the
rights herein granted shall not be construed as a waiver or abandonment of the right thereafter at any time,
or from time to time, to exercise any and all such rights.
TO HAVE AND TO HOLD said rights, privilege, and easement unto Grantee, its successors,
licensees, and assigns, forever. Grantor warrants and covenants that Grantor has the full right and
authority to convey to Grantee this perpetual Easement, and that Grantee shall have quiet and peaceful
possession, use and enjoyment of the same.

That Monon Square Associates JV, LLC, an Indiana limited liability company (the "Grantor"), the fee
simple owner of the real property depicted and described on the attached Exhibits A & B (“Property”)
incorporated herein by this reference, which Property is located in the City of Carmel, Hamilton County,
State of Indiana, hereby grants, conveys and warrants in fee simple and with no reversionary rights
whatsoever retained, all of Grantor’s rights, title, and interest in the Property, to the City of Carmel,
Indiana, an Indiana municipal corporation (“Grantee”), subject to all existing easements, rights-of-way
and other matters of record, for the sum of Ten Dollars ($10.00) and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged.
Grantor represents and warrants that the undersigned is an authorized representative of the Grantor; that
Grantor is a limited liability company validly existing in the State of its origin and where required, in
the State where the subject real estate is situated; that Grantor is the fee simple owner of the Property;
that Grantor has full capacity to convey the Property; that it has full authority to execute and deliver
this instrument on behalf of Grantor and that said authority has not been revoked; that Grantor is
therefore, fully authorized and empowered to convey the Property to the City of Carmel, Indiana, and

CONSENT TO ENCROACH
THIS CONSENT TO ENCROACH (hereinafter the "Agreement") is entered into by and between Monon Square
Associates JV, LLC, 620 S Rangeline Rd, Carmel, Hamilton County, Indiana 46032, (individually and collectively,
"Owner"), and the City of Carmel, Hamilton County, Indiana, by and through its Board of Public Works and Safety
WITNESSETH:
WHEREAS, Owner owns in fee simple certain real estate which is located within the corporate limits of the City of
Carmel, Indiana and is more particularly described in Exhibit A (the "Real Estate"), attached hereto and incorporated herein
by this reference; and
WHEREAS, the current Owner wishes to install certain doors that swing outward, balconies, cornice, turret, and canopy
on the Real Estate (the "Encroachment)" which will encroach into those segments of Veterans Way, the to be named right of
way dedicated pursuant to that certain Dedication & Deed of Public Rights-of-Way recorded in the Office of the Hamilton
County, Indiana Recorder as Instrument No. 2024025821, and the Monon Trail (the "Right of Way") which are contiguous to
the Real Estate and which are identified on the drawing attached hereto and Incorporated herein by reference as Exhibit B (the
"Drawing"), in the manner and locations shown on the Drawing; and
WHEREAS, City of Carmel Board of Public Works and Safety approves the Owner’s request for a variance from
Carmel City Code Section 6-227(4); and
WHEREAS, Owner and City acknowledge the location of the Encroachment; and
WHEREAS, Owner acknowledges that this Agreement does not imply any approval of existing or future improvements
not indicated by Owner on Exhibit B; and
NOW, THEREFORE, for and in consideration of the mutual covenants and agreements contained herein and other
good and valuable consideration, the sufficiency and receipt of which are hereby acknowledged, the parties mutually
promise, agree and covenant as follows:
1. The foregoing preambles, recitations and definitions are made a part hereof as though such were fully set
forth herein.
2. The City consents to the Encroachment for only so long as:
(i) the Encroachment exists; and
(ii) Owner complies with all of the terms and provisions of this Agreement.
Notwithstanding anything to the contrary in this Agreement, Owner shall be given at least thirty (30) days prior
written notice from the City and an opportunity to cure any failure to comply within that period, provided,
however, that (i) if the cure cannot reasonably be completed in that time, Owner shall have the opportunity to
commence within that period and diligently pursue a cure thereafter, the time to shall be extended up to ninety
(90) days, and (ii) such 30-day period shall be subject to extension as reasonably required due to force majeure.
3. Owner covenants and agrees not to extend, increase, modify, alter, landscape, reconfigure or otherwise
change the Encroachments from what is depicted on Exhibit B, and to maintain the Encroachments in
good condition and repair.
4. Reserved.
5. Owner agrees and acknowledges that the City’s consent to encroach within the Right of Way, as provided
in this instrument, regards the City’s Right of Way interests only, and does not constitute permission or
authority for the Owner to otherwise enter on, in, under, over, or upon the property interests of any other
person without that person’s consent even if such property interests are also located within the Right of
Way.
6. Owner agrees and acknowledges that the Encroachment, as provided in this instrument, does not violate any
covenants and restrictions applicable to the Encroachment
7. Reserved.
8. Owner agrees that the water flow from the Encroachment shall be directed away from all street travel lanes
and that water from the Encroachment shall not be permitted to spray onto, traverse or otherwise come into
contact with any travel lanes or paved areas of any street or street intersection.
9. Owner agrees to repair or replace, at Owner’s sole cost and expense and to the City’s reasonable satisfaction,
any utilities or improvements (whether located above, below or on the surface of the Right-of-Way) damaged
as a result of the installation, construction, maintenance or operation of the Encroachment.
10. Owner agrees to install identification tape or identification wire on the Encroachment that will allow the City to
readily determine the underground location of any Encroachment.
11. Following installation of the Encroachment, Owner agrees not to alter the ground surface elevation within the
limits of the Right of Way at any time, without the prior consent of the City, which shall not be unreasonably
conditioned, withheld or delayed.
12. Owner agrees to reimburse City for any and all costs and expenses incurred by City to replace or repair any
damage to the Right of Way and any improvements located therein caused by the installation, construction,
maintenance and/or operation of the Encroachment.
13. Owner agrees to indemnify and hold harmless City, its officers, officials, members, employees, invitees,
licensees and agents, (i) from and against any and all losses, liabilities, damages, claims, judgments, attorney
fees and costs arising from any bodily injury, death or property damage occurring during the initial installation
and during any subsequent use, maintenance or repair of the Encroachment and (ii) for any failure of proper
disclosure pursuant to Paragraph 17 hereof.
14. The parties agree that the terms of this Agreement shall be appurtenant to and run with the land and be binding
upon and inure to the benefit of their respective heirs, administrators, successors and assigns.
15. The parties executing this Agreement represent and warrant that they are authorized to enter into and
execute this Agreement for and on behalf of the party which they represent.
16. This Agreement shall be effective as of the date on which it is last executed by a party hereto.
17. The Owner agrees to provide full disclosure of this Agreement to all persons, entities and others who acquire
by or through Owner any interest in the Real Estate on and after the effective date of this Agreement.
