Nelson Alarm to add monitoring of fire system to City of Carmel master agreement. 2. Nelson Alarm to connect duct detectors for monitoring. 3. Nelson Alarm to connect customer supplied sprinkler tamper/valves to fire alarm system. 4. Nelson Alarm shall program and test fire alarm system. 5. All parts sold to Customer by Nelson Alarm have one-year warranty. 6. Sprinkler piping and switches to be supplied and installed by third-party (if required). 7. Customer to provide Internet for secondary communication and dedicated branch circuit for fire alarm panel. 8. Permits and submittals not included (if required). STANDARDTERMSANDCONDITIONS: 1. Intheeventthatanypartoftheaforementionedequipmentbecomesdefective, orintheeventthatanyrepairsarerequired, NA agreestomakeallrepairsandreplacementofpartswithoutcoststotheCustomerforaperiodofoneyearfromthedateofinstallation. NA reservestheoptiontoeitherreplaceorrepairthealarmequipment, andreservestherighttosubstitutematerialsofequalqualityattimeof replacement, ortousereconditionedpartsinfulfillmentofthiswarranty. Thiswarrantydoesnotincludebatteries, reprogramming, damage bylightning, electricalsurgeorwirebreaks. 2. Exceptassetforthinthisagreement, NAmakesnoexpresswarrantiesastoanymatterwhatsoever, including, withoutlimitation, theconditionoftheequipment, itsmerchantability, oritsfitnessforanyparticularpurpose. NAdoesnotrepresentnorwarrantthatthe equipmentmaynotbecompromisedorcircumvented, orthattheequipmentwillpreventanylossbyburglary, hold-up, vandalismor otherwise; orthatthesystemwillinallcasesprovidetheprotectionforwhichitisinstalled. NAexpresslydisclaimsanyimpliedwarranties, includingimpliedwarrantiesofmerchantabilityorfitnessforaparticularpurpose. 3. Thewarrantydoesnotcoveranydamagetomaterialorequipmentcausedbyaccident, misuse, attemptedorunauthorizedrepair service, modification, orimproperinstallationbyanyoneotherthanNA. NAshallnotbeliableforconsequentialdamages. Customer acknowledgesthatanyaffirmationoffactorpromisemadebyNAshallnotbedeemedtocreateanexpresswarrantyunlessincludedinthis contractinwriting; thatCustomerisnotrelyingonNA'sskillorjudgmentinselectingorfurnishingasystemsuitableforanyparticularpurpose andthattherearenowarrantieswhichextendbeyondthoseonthefaceofthisagreement. Customer'sexclusiveremedyforNA'sbreachof thiscontractornegligencetoanydegreeunderthiscontractistorequireNAtorepairorreplace, atNA'soption, anyequipmentwhichisnon- operational. Thiswarrantygivesyouspecificlegalrightsandyoumayalsohaveotherrightswhichvaryfromstatetostate. Ifrequiredbylaw, NAwillprocureallpermitsrequiredbylocallawandwillprovidecertificateofworkman'scompensationpriortostartingwork. 4. DELAYININSTALLATION: NAshallnotbeliableforanydamageorlosssustainedbyCustomerasaresultofdelayininstallationof equipment, equipmentfailure, orforinterruptionofserviceduetoelectricfailure, strikes, walk-outs, war, actsofGod, orothercauses, includingNA'snegligenceintheperformanceofthiscontract. Theestimateddateworkistobesubstantiallycompletedisnotadefinite completiondateandtimeisnotoftheessence. 5. ALTERATIONOFPREMISESFORINSTALLATION: NAisauthorizedtomakepreparationssuchasdrillingholes, drivingNails, making attachmentsordoinganyotherthingnecessaryinNA'ssolediscretionfortheinstallation oftheequipment, andNAshallnotberesponsible foranyconditioncreatedtherebyasaresultofsuchinstallation, service, orremovaloftheequipment, andCustomerrepresentsthatthe ownerofthepremises, ifotherthanCustomer, authorizestheinstallationoftheequipmentunderthetermsofthisagreement. 6. CUSTOMER'SDUTYTOSUPPLYELECTRICANDTELEPHONESERVICE: Customeragreestofurnish, atCustomer'sexpense, all110 VoltACpowerandelectricaloutletsandreceptacles, internetconnection, highspeedbroadbandcableorDSLandIPAddress, telephonehook- ups, RJ31xBlockorequivalent, asdeemednecessarybyNA. 7. INDEMNITY/WAIVEROFSUBROGATIONRIGHTS/ASSIGNMENTS: CustomeragreestoindemnifyandholdharmlessNA, its employees, agentsandsubcontractors, fromandagainstallclaims, lawsuits, includingthosebroughtbythird-partiesorbyCustomer, including reasonableattorneys' feesandlosses, assertedagainstandallegedtobecausedbyNA'sperformance, negligenceorfailureto performanyobligationunderthisagreement. Partiesagreethattherearenothird-partybeneficiariesofthiscontract. Customeronitsbehalf andanyinsurancecarrierwaivesanyrightofsubrogationCustomer'sinsurancecarriermayotherwisehaveagainstNAorNA'ssubcontractors arisingoutofthisagreementortherelationofthepartieshereto. Customershallnotbepermittedtoassignthisagreementwithoutwritten consentofNA. NAshallhavetherighttoassignthiscontractandshallberelievedofanyobligationshereinuponsuchassignment. 9. EXCULPATORYCLAUSE: NAandCustomeragreethatNAisnotaninsurerandnoinsurancecoverageisofferedherein. NAisnot assumingliability, and, thereforeshallnotbeliabletoCustomerforanyloss, personalinjury, datacorruptionorinabilitytoretrievedata, or propertydamagesustainedbyCustomerasaresultoftheequipmentfailure, oranyothercause, whatsoever, regardlessofwhetherornot obligationorstrictproductsliability. CustomerreleasesNAfromanyclaimsforcontribution, indemnityorsubrogation. 10. INSURANCE: TheSubscribershallmaintainapolicyofpublicliability, propertydamage, burglaryandtheftinsuranceunderwhich NAisnamedasadditionalinsured. NAshallnotberesponsibleforanyportionofanylossordamagewhichisrecoveredorrecoverablebythe SubscriberfrominsurancecoveringsuchlossordamageorforsuchlossordamageagainstwhichtheSubscriberisindemnifiedorinsured. In theeventofanylossorinjurytoanypersonorproperty, Subscriberagreestolookexclusivel Subscribershallobtaininsurancetocoveranylossthesecurityservicesareintendedtodetecttoonehundredpercentoftheinsurablevalue, andSubscriberandallthoseclaimingrightsunderSubscriberwaiveallrightsagainstNAanditssubcontractorsforlossordamagescausedby burglary, theft, water, smoke, fireorotherperilsintendedtobedetectedbythesecurityservicesorcoveredbyinsurancetobeobtainedby Subscriber, exceptsuchrightsastheymayhavetotheproceedsofinsurance. 11. LIMITATIONOFLIABILITY: CustomeragreesthatshouldthereariseanyliabilityonthepartofNAasaresultofNA'snegligent performancetoanydegreeoffailureorperformanyofNA'sobligationsorequipmentfailure, orstrictproductsliability, thatNA'sliabilityshall belimitedtothesumof $250.00or5% ofthesalesprice, whicheverisgreater. IfCustomerwishestoincreaseNA'samountoflimitationof liability, Customermay, asamatterofright, atanytime, byenteringintoasupplementalcontract, obtainahigherlimitbypayinganannual paymentconsonantwithNA'sincreasedliability. Thisshallnotbeconstruedasinsurancecoverage. 12. LEGALACTION: IntheeventNArefersthiscontracttoanattorney, torecoveranyamountsowedbyCustomertoNAhereunder, thepartiesagreethattheamounttoberecovered, andanyjudgmenttobeentered, shallincludeinterestattherateof11/2% permonthfrom thedatepaymentisdueandCustomershallpayNA'slegalfees. InanyactioncommencedbyNAagainstCustomer, Customershallnotbe permittedtointerposeanycounterclaim. ThisagreementshallbegovernedbythelawsoftheStateofIndiana. Thepartiesagreethatthe courtsoftheStateofIndianashallhaveexclusivejurisdictionoverthepartiesheretoregardinganydisputebetweenthemandNAand CustomersubmitstothejurisdictionoftheStateofIndiana. CustomersubmitstothejurisdictionofIndianaandagreesthatanylitigation alplaceof businessislocated. Thepartieswaivetrialbyjuryinanyactionbetweenthem. AnyactionbyCustomeragainstNAmustbecommencedwithin oneyearoftheaccrualofthecauseofactionorshallbebarred. AllactionsorproceedingsagainstNAmustbebasedontheprovisionsofthis agreement. AnyotheractionthatCustomermayhaveorbringagainstNAinrespecttootherservicesrenderedinconnectionwiththis agreementshallbedeemedtohavemergedinandberestrictedtothetermsandconditionsofthisagreement. 13. FULLAGREEMENT/SEVERABILITY/ CONFLICTINGDOCUMENTS. Thisagreementconstitutesthefullunderstandingoftheparties andmaynotbeamendedormodifiedorcanceledexceptinwritingsignedbybothparties, exceptNArequirementsregardingitemsof protectionprovidedforinthisagreementimposedbyAuthorityHavingJurisdiction. Shouldthereariseanyconflictbetweenthisagreement andCustomer'spurchaseorderorotherdocument, thisagreementwillgovernwhethersuchpurchaseorderordocumentispriortoor subsequenttothisagreement.
