A RESOLUTION OF THE CITY OF CARMEL
REDEVELOPMENT COMMISSION
REGARDING
AN INTERGOVERNMENTAL TRANSFER OF REAL PROPERTY
WHEREAS, the City of Cannel Redevelopment Commission (the "CRC") is a
governmental entity created and authorized to administer certain redevelopment activities within,
the City of Carmel, Indiana (the "City")', and
WHEREAS, the CRC owns real property located within Carmel Old Town and the
Carmel Arts District.in Carmel, Indiana (the "CRC. Property"); and
WHEREAS, the City owns in fee a tract of real property totaling; approximately 8,255
square feet and located within the City's corporate boundaries. This real property is commonly
(mown as 30 West Main Street, and is more particularly described on Exhibit A, attached hereto
and incorporated herein (the "City Property"); and
WHEREAS, the CRC Property and the City Property are within a CRC redevelopment
area (the "Redevelopment Area"); and
WHEREAS, the CRC is engaged in the redevelopment of the Redevelopment Area; and
WHEREAS, the City Property is included in the Redevelopment Area; and
WHEREAS, to facilitate the redevelopment of the Redevelopment Area, the City is
interested in conveying the City Property to the CRC; and
WHEREAS, the CRC is interested in acquiring the City Property from the City; and
WHEREAS, Indiana Code Section 36-1-11-8 authorizes the transfer of real property
between governmental entities upon terns and conditions agreed upon by the entities, as
evidenced by the adoption of a substantially identical resolution by each entity.
NOW, THEREFORE, BE IT RESOLVED by the City of Cannel Redevelopment
Commission that:
1. The City shall transfer all of its interest in the City Property to the CRC for the
sum of Forty-Five Thousand Four Hundred Dollars ($45,400.00) and other good and valuable
consideration, the receipt and sufficiency of which is hereby acknowledged, upon this Resolution
being adopted by the CRC and a substantially similar resolution being adopted by the Common
Council for the City of Carmel, Indiana.

2. The parties shall take all steps necessary to effect the transfer of the City Property
from the City to the CRC on or before May 29, 2005.

A part of Lot Number One (1) in Simeon Hawkin's Addition to Bethlehem (now the City of
Carmel), an addition in Clay Township, Hamilton County, the plat of which is recorded in Deed
Record 30, Page 441, in the Office of the Recorder of Hamilton County, Indiana, being more
particularly described as follows:
Commencing at the Southwest corner of Lot Number Eleven (11) in the Town of Bethlehem,
now Carmel, the plat of which is recorded in Deed Record "E", Page 512 in the Office of the
Recorder of Hamilton County, Indiana, said point also being on the North right-of-way line of
Main Street; thence South 86 degrees 21 minutes 52 seconds West (assumed bearing) on and
along said right-of-way line 7.65 feet to the POINT OF BEGINNING of this description; thence
continuing South 86 degrees 21 minutes 52 seconds West on and along said right-of-way line
63.00 feet to a point that is 4.0 feet West of an existing 2-story block and brick building; thence
North 02 degrees 39 minutes 09 seconds West parallel with and 4.0 feet West of said 2-story
building, 131.15 feet to a point that is 4.0 feet West of said building and on the South right-of-
way line of a 10.0 foot platted alley; thence North 86 degrees 28 minutes 00 seconds East on and
along said South right-of-way line 63.00 feet; thence South 02 degrees 39 minutes 09 seconds
East 131.04 feet to the POINT OF BEGINNING, containing in all 0.178 acres more or less.
