A RESOLUTION OF TI-M CITY OF CARMEL
REDEVELOPMENT`COMM15SION
REGARD- ING
All INTERGOVERNMENTAL TR-ANSFERDF REAL-PROPERTY
W11EREAS, the City of Carmel Redevelopment Commission. (the "CRC") is a
govermnental entity created and atithorized.to administer certain redevelopment activities within
the City,of'Cannel, Indiana (the "C ity"); and
WHEREAS, the CRC owns in-fee. real property located at the southeast corner of Main
Street and Rangelirk Pbad in Carmel, Indiana (the "CRCTropetty'); and
WHEREAS, the City owns inrfee-a tract of real property,of approki'mately 9;570 square
feet, located withiii the City's corporate boundaries and generally,, along the`snuthcast comer of
IVlain Street and Rangeline:Road. This real property is con rnonly known s.21 South.Rangeline
Road, and, is more particularly described on Exhibit A, attwhed.hereto and incorporated herein
(the "City Property" );-and
WHEREAS, the CRC Property and the City Property -are within a' CRC . redevelopment
area (the "Redevelopment Area"); and
WFIEREAS, theeMCtis engaged in'the redevelopment of the Redevelopment Area; and,
WHEREAS;the'City-Property is included;in-the Redevelopment Area;-and
WHEREAS, to 6cihlate the redevelopment of the_Redeve16p.ment Area; `the. City is
interested in conveying,the City Property, wthe.CRC;;and
4VIIERFA8,;tlie CRC"is•interested in acquiring the,City Property from the City; and
WH'EREAS,, Lidiana Code 5ectibii 35-1::-11.8 authorizes the transfer of real property
between governmental entities: upon terms and conditions' agreed. upon, by the entities, as,
evidenced by.the adoption of a substantially identical resolution by ekli.entity,
NOW, THEREFORE, 13E IT RESOLVED by the City of Carmel Redevelopment
Commission that:
-1. The City shall transfer all of its interest-ii'the City Property to the CRC for the
sum of Two Hundred Twenty=Five Thousand,Dollars (5225,000.00) and othcr.good and valuable,
consideration; ttie receipt and sttfficiency,of,which is;hereby acknowledged, upon this Resolution,

being adopted by the CRC and,,a substantially sititilaCresoltution being adopted by the Common
Council for the City of Carmel, Indiana.
2: Tho partieg shall take all steps necessary"to_effect the transfer-of'the CityPropcky?
fromithe City to the CRC on or before,May 29, 2005:

per plat thereof recorded in Deed. Record E, page 512 in the Office of the
Recorder of Hamilton County, Indiana, EXCEPT seven (7) feet by parallel lines
off the entire North side of said lot.
