RESOLUTION`OF'THE CITY OF CA.RMEL REDEVELOPMENT
COMMISSION DECLARING AN AREA IN THE CITY OF CARMEL
AS AMECONOMIC DEVELOPI^IT NT AREA AND APPROVING
AN EC ONOMIC'DEVELOPMENT PLAN 'FOR: SAID AREA
WHDRFAS, the City; of Carmel Redevelopment Commission (the "Commi`ssion"),
governing body of the City of Carmel Departnienl of,Redevelopment- (the "Department"),
pursuant"to Indiana:Code 36=744, as`a'mlcnded (the "Act"), has thoroughlystudi'ed,that area-of
the City of Carnnei,,'Indiana (the "City"), ,as described on Exhibit A attached hereto` and
,designated as`the,"CRC.P„arcel:#12 Economic Developtnent.Area" '('the"Economic Development
Area"); and
WHEREAS, 'the exieting public- infrastructure is- inadequate to service anticipated`
demandin'or neat the'Cconorhic Development Area;-and
WHEREAS, there has been presented to this mecti tg,for consideration:•and approval of
the Commission,'an economic development plain (the, "Plan") for the, Fcondmic -Development
Area and`entitled"CR'C,Parcel.412 Economic' DeveiopffienfPliuV'; and,
WHEREAS, the Commission has caused to be prepared maps and plats showing the.
bou daries of `the Economic Development Area, the location of various parcels of property,
streets, alleys,.and other features affecting the replatting; replanning,rezoning,,or redevelopment;
ofthe Economic Development Area; and the parts of the Economic Development Area that arexto
be devoted to public''ways,„sewerage and other public purposes tinder the Plan; and
WHEREAS, the Commission has, caused to be-prepared'
e prepared estimates of the costs of the
development,projects as set:."forth JnAe Plan;;and
WHEREAS;, the Plan arid supporting data Was reviewed-aiid considered' at this meeting;
and
WFIT EAS, Section .39 of the Act'.has been created and. amended to permit the creation.
of "allocation areas" to provide >for the-allocation 'anti "distribution of'propcrry taxes for `the
purposes and in the manner' provided in,said section; and
WHEREAS; Sections 41 and 43 of the.Acthave been created to permit ahe creation `of
"economic development areas" and. to provide that, all of -the rights, powers; privileges and
irninu iities that may be;exercised by this Comm ission:in,a redevelopment-area'or urban renewal
area maybe exercised in an econoinic.developmant-,area; siibject to the conditions set forth in the
Act; and
W7HEREAS; the`Confinission deems it advisable,to apply the?provisions orsaid Sections
391:43, ai.10 43 of the Aefto the Plan and financing of the Plan.
NOW, THEREFORE, BE 17 RESOLVED.by the City of` Cannel Redevelopipent
Commission, governing body of.the:Cityof Camiel.Departmert;ofRedevelopment; as;follows:
L The Plan for the Economic Development :Area promotes significant
opportunities for'the gainful ernploymeni or,its citizens; attracts major. new Business.
enterprises to the City, may result in the retention or expansion 'ofsigiificant business
enterprises existing in the. bound. aries•of`the City, and "meets other purposes of Sections
2.5,.41 and 43 ofthe Act, iticiifding'Withoiit.iittiriation.benefiting publie,healih, safety and
welfare, increasing the economic well being of the, City and the State; of Indiana (&
"State"), and serving;to protect-and increase property'vafues,in'the'City and the state:
2. The Plan 'for the Economic` Development Area cannot he, achieved by
regulatory processes or by the ordinary operation of,private enterprise without resort to
the powers :allowed under Sections. 2.5, 41 and 43) of the Act because of lack of local

public improvements; including' without' limitation the cosYOf the projects contemplated
by the. Plan.
3. THe public health and we]fart, will, be-_Genebted'by, accomplishment ofihe
Plan for the,Economic Development Area.
4, The accomplishment of the Plan'for the Economic Development Area will
be a pubIicutiIity'and benefit as measured by the attraction, or retention' of, permanent
jobs, an increase in? the.,propertytax base;,iin'prov,ed_ diversity ofythe economic'base.and
otherrsiinilar, public benefits.
5. The Plan, for the Economic Development Area. 'confomis to other
development and,redevelopmenf plans for the City.
6. in support of the findirigs and .determinations set forth in Sections 1
through 5 above the Commission -hereby *adopts the specific findings set forth in ,the
Plan.
7.. While the Plan contemplates the possibility of property acquisition as a-
part of the economic development strategy, the.Departsnent does not at'thistime propose
to 'acquire any specific parcel of land or interests in land. within the bqundaries of the
Economic°Development Area: A''the•time the Department proposes to acquire specific
parcels of land, the required procedures for amending the Pl'n -under `the ,Act will be
followed,'' including notice by publication and'to affected property owners and a ptcblic
hearing.,
& The Commission finds that no residents of :the Economic Development.
Area will be displaced by any project resultiirgJrom the Plan, and therefore finds thai'it

does not,need,to_give consideration to transitional and permanent=provisions for adequate
housing for the residenis..
9. The Plan is heteby in all, -respects applroved, and the secretary of the
Commis_sion.is hereby directed to file a,cefti.fied;copy;ofthe,Plan-with the,niinutes of this
meeting, The Economic Development. Area is hereby designated. as an "economic
development area" under'Section 4I. of the, Act.
10. 'The entirerEconoinic DevelopmentAreais hereby designated as. the ""CRC
Parcel #12 Allocation Area" pursuant to Section 399 of the Act,for purposes of the
allocation and distribution of property taxes:,for thepurposes:,and.in.the,mannerrprovided
by said Section. Any real propertytaxes suhsequently.levied,by or: for.the benefit of>any
public: body entitled to a distribution of property, taxes on taxable property ih said
allocation area shall"be'altocated.and distrifiuted as follows:
Except a" othenvi`se provided in said Section 39, the proceeds, of taxes
;attributable to the lesser of the assessed vahie of the property for the assessment
date with respect to which the allocation and distribution is ,made; or the base'

assessedvalue,shall be 1 located to and when collected paid into the funds ofthe-
respective t,axing'units.. Except as,otlierwise prow ided-insaid Section 39; property
tax proceeds in. excess of those; described' in the previous, sentence shall he.
allocated to-the redevelopment district' and 'when collected paid into the :"CRC
Parcel `#,12 Allocation Area Allocation Fund" for:.said allocation area.that may, be
.used by the- fedevelopment.district to, do one or: more-of the things specified in
Section 39(b) (2) of the Act;, as the=same-may be:ainended fiorn time to time. Said
allocation futid may not be used for operating expenses of the Commission.
Except: as otherwise provided in the Act; before July 15 of each year, the
Commission shall take the actions setfortli in Section 39(6)(3) of the Act.
If. The foregoing allocation %provision set forth.in Section. 10 shall expire-on
the;date that is thirty (30) years after the effective,date;ofthis resolution.
12. The officers cif., the Commission;are.hereby 'directed 'to rake any and all
required filings with the Indiana 'DeparEmem of Local Goveinmert Finance and the
Hamilton County Auditor in coandcl ion with thecreatioh,of the,all'ocation area.

13.. The provisions of Ibis, Resolution shall bersubject inall respectsao the Act
and,any amendments thereto.
14. This.Resolution,-together with ariy supporting data and together with the
Plan; shall be submitted to the Cannel Plan Cammiss'i6n {the; "Plan Commission") and
"the Gammon- ouncii of.the;City of Carmel (the ;"Common Council") as.proyided in the
Act, and if approved by the Plan Commission and the Common Council, shall be
siibmitted, to a public hearing and remonstrance as provided by .the. Act, after public
noiiec-as required by fhe-Act.

The, CRC Parcel ,#12 Ecortorimic: Development Area, shall, consist of the following ;parcel, as
designated by, the Carmel Redevelopment,Commissionr
Parcel -912, as designated on the "Proposed Master Plan"' and aqappr&ed by the
Carmel Redevelopment Commission as of May I, `2005, and containing the
