F- X006 A RESOLUTION OF THE CITY OF CARMEL REDEVELOPMENT COMMISSION REGARDING AN INTERGOVERNMENTAL TRANSFER OF REAL PROPERTY WHEREAS, the City of Carmel Redevelopment Commission (the "CRC") is a governmental entity created and authorized to administer certain redevelopment activities within the City of Carmel, Indiana (the "City"); and WHEREAS, the Carmel Civic Square.Building Corporation (the "CCSBC") owns in fee real property located generally atthe northeast corner of I" Street NW and I" Avenue NW in Carmel, Indiana (the "City Property"); and WHEREAS, the City's Communication Center operates on the City Property; and WHEREAS, the CCSBC is interested in conveying a portion of the City Property to the CRC in exchange for certain improvements to be completed by the CRC. The portion of the City Property to be transferred is more particularly described on Exhibit A, attached hereto and incorporated herein (the "Transferred Property"); and WHEREAS, the City Property is within a CRC redevelopment area (the "Redevelopment Area"); and WHEREAS, the.CRC is engaged in the redevelopment of the Redevelopment Area; and WHEREAS, the Transferred Property is included"in the Redevelopment Area; and WHEREAS, the Transferred Property is needed for redevelopment including but not limited to the construction of additional public parking and a private parking garage; and WHEREAS, to facilitate the redevelopment of the Redevelopment Area, the CCSBC is interested in conveying the Transferred Property to the CRC; and WHEREAS, the CRC is interested in acquiring the City Property from the CCSBC; and WHEREAS, the CRC will construct ten (10) diagonal street parking spaces along I" Street NW, adjacent to the City Property (the "Parking Improvements"). WHEREAS, Indiana Code Section 36-1-11-8 authorizes the transfer of real property between governmental entities upon terms: and conditions agreed upon by the entities, as evidenced by the adoption of a substantially identical resolution by each entity. 8263910 NOW, THEREFORE, BE IT RESOLVED by the City of Carmel Redevelopment Commission that: 1. The CCSBC shall transfer all of its interest in the Transferred Property to the CRC for the sum of Ten Dollars ($10.00) and other good and valuable consideration, the receipt and sufficiency of which is hereby, acknowledged, upon this Resolution being adopted by the CRC and a substantially similar resolution being adopted by the Carmel Civic Square Building Corporation. 2. The parties shall take all steps necessary to effect the transfer of the Transferred Property from the CCSBC to the CRC on or before December 27, 2006. Adopted this kz _ day of ,C]Q.t 2006. U?
