WHEREAS. the City of Cannel Redavelopment Commission ('CRC,) intends to create a City
Center that YON provide a balanced mixture of retail facilities, a movie theater, dining options, a corporate office
Campus, a performing arts center, a museum/exhibit hall. and an amphitheater (the'CityC¢mer-);
City Center, WHEREAS, CRC is in the process of acquiring real estate that will be incorporated into the

WHEREAS, Helen M. Mueller is fee simple
the City Center (the"Mueller Site); owner of certain real estate that is located within
WHEREAS, CRC desires to acquire the Mueller Site for incorporation into the City Center,
WHEREAS, CRC desires to acquire the Mueller Site purs uant to the terms and conditions
Of the attached Uniform Acquisition Offer (the "Offero); and
WHEREAS, CRC hereby shall authorize the acquisition of the Mueller Site pursuant to the
terms and conditions of the Offer,
NOW, THEREFORE, BE IT RESOLVED:
1. That CRC hereby authorizes the acquisition of the Mueller Site pursuant to the terms and conditions
of the Otter.
2. That the members of CRC hereby are authorized to execute any and ail documents required in
connection with the acquisition of the Mueller Site (the 'Acquisition Documents-).
3. That the members of CRC hereby are authorized to delegate the execution of the Acquisition
Documents to appropriate representatives of CRC. _

The City of Carmel Redevelopment Commission (`CRC') is aware that you own real estate.at the
following.locations in Carmel, Indiana: (a) a rectangular-shaped tract located on the west side of the 700
block of South Rangeline Road and extending to the Monon rail corridor, consisting of approximately
9.657 acres ("Parcel A"); (b) a rectangular-shaped tract located west of the Monon rail corridor and east of
Third Avenue, S.W., consisting of approximately 10.391 acres ("Parcel' B"); and (c) a rectangular-shaped
tract located at the southwest comer of Third Avenue S. W. and 126th Street, consisting of approximately
38.955 acres ("Parcel C"); each of which parcels is more particularly described and depicted on Exhibit A,
attached hereto and incorporated herein by this reference. CRC is authorized by Indiana law to obtain
your real estate for certain public purposes. CRC needs to take the following portions of the above-
referenced parcels of your land for incorporation into a city center planned by CRC to provide a mixture
of retail, restaurant, and entertainment facilities, a corporate office campus, a performing arts center, a
museum/exhibit hall and an amphitheater (the "City Center"): (a) a portion of Parcel A, consisting of
approximately 6.107 acres; (b) a portion of Parcel B, consisting of approximately 8.367 acres; and, (c) a
portion of Parcel C, consisting of approximately 33.853 acres; each such portion being depicted as a
hatched. area on Exhibit A (the "Real'Estate").
It is the opinion of CRC that the fair market value of the Real Estate is; (a) One Hundred Forty-Three
Thousand Seven Hundred Fifty-Nine Dollars and Eight Cents ($143,759.08) per acre for that portion of
the Real Estate that is located in Parcel A; (b) Forty-Six Thousand Eight Hundred Ninety-Six Dollars and
Ninety-Seven Cents ($46,896.97) per acre for that portion of the Real Estate that is located in Parcel B;
and (c) Thirty-One Thousand Two Hundred Thirty-Three Dollars and Seventy-Five Cents ($31,233.75)
per acre for that portion of the Real Estate that is located in Parcel C. Therefore, CRC hereby offers you
the total sum of Two Million Three Hundred Twenty-Seven Thousand Six Hundred Seventy-Nine Dollars
and Seventy-Seven Cents ($2,327,679.77) for the Real Estate.

You have twenty-five (25) days from this date to accept or reject this offer. This offer is expressly
If you accept this offer, you may expect payment in full within ninety (90) days after signing the
documents accepting this offer, subject to the above contingency, and provided that there are no
difficulties in clearing liens or other problems with title to the Real Estate. Possession will be required
thirty (30) days after you have received your payment in full.
HERE IS A BRIEF SUMMARY OF YOUR OPTIONS AND LEGALLY PROTECTED RIGHTS:
By law, CRC is required to make a good faith effort to purchase the Real Estate.
You do not have to accept this offer.
3. However, if you do not accept, this offer, and we cannot come to an agreement on the
acquisition of the Real Estate, then CRC has the right to file suit to condemn and appropriate the
Real Estate in the county in which the Real Estate is located.
4. You have the right to seek advice of an attorney, real estate appraiser or any other person
of your choice on this matter.
You may object to the public purpose and necessity of the City Center project.
6. If CRC files a suit to condemn and appropriate the Real Estate, and the Court grants CRC's
request to condemn, the Court will then appoint three (3) appraisers who will make an independent
appraisal of the Real Estate.
7. If we both agree with the Court appraisers' report, then the matter is settled. However, if
either of us disagrees with the Court appraisers' report, then either of us has the right to ask for a
trial to decide what CRC should pay to you for the Real Estate:
8. If the Court appraisers' report is not accepted by either of us, then CRC has the legal
option of depositing with the Court the amount set forth in the Court appraisers' report. If CRC
deposits such amount with the Court, then CRC is legally entitled to immediate possession of the
Real Estate. You may, subject to the approval of the Court, make withdrawals from the amount
deposited by CRC with the Court. Your withdrawal will in no way affect the proceedings of your
case in Court; except that, if the final judgment awarded you is less than the amount that you have
withdrawn from the amount deposited by CRC with the Court, you will be required to pay back to
the Court the amount of the withdrawal that exceeds the amount of the final judgment.
9. The trial will decide the full amount of damages you are to receive. Both of us will be
entitled to present legal evidence suppbrting our opinions of the fair market value of the Real
Estate. The Corut's decision may be more or less than this offer. You may employ, at your cost,
appraisers and attorneys to represent you at this time or at any time during the course of the
proceeding described in this notice.
