RESOLUTION NO. d -,21)
WHEREAS, the City of Carmel Redevelopment Commission ("CRC') is in the process of
redeveloping a blighted area in the City of Carmel, Indiana, to create a City Center that is intended to provide
a balanced, mixture of retail facilities, dining options, a corporate office campus and other facilities (the "City
Center");
WHEREAS, in accordance with IND. CODE §36-7-14-19(b), and as evidenced by minutes of
previous CRC meetings, CRC has approved and adopted a list (the "Property List") of the real property, and
interests in real property, to be acquired and incorporated into the City Center (the "Acquisition Property");
WHEREAS, the Property List set forth prices for acquisition of the Acquisition Property (the
"Acquisition Amounts');
WHEREAS, the Acquisition Amounts, as updated, approved, and adopted subsequent to their
initial approval and adoption, remain in effect;
WHEREAS, CRC is in the process of acquiring the Acquisition Property, including that CRC
has acquired the Acquisition Property previously owned by American United Life Insurance Company ("AUL")
and depicted on Exhibit A, attached hereto and incorporated herein by reference (the "Acquired Site');
WHEREAS, as part of the acquisition of the Acquired Site, CRC received an assignment of
the lease (the "Lease") between AUL and The Sherwin-Williams Company ("Sherwin-Williams");
WHEREAS, because CRC and Sherwin-Williams have been unable to reach an agreement
with respect to the termination of the Lease, CRC considers it necessary to acquire Sherwin-William's interest
in the Lease (the "Leasehold Interest") by the exercise of the power of eminent domain;
WHEREAS, CRC desires to confirm that: (a) the Property List includes the Leasehold Interest;
and (b) the Acquisition Amount for the Leasehold Interest is $170,000.00;
WHEREAS, to comply with IND. CODE §36-7-14-20, CRC desires to adopt a resolution that:
(a) sets out its determination to exercise the power of eminent domain with respect to the acquisition of the
Leasehold Interest; and (b) directs Wallack Somers & Haas ("WSH") to file a petition on behalf of CRC in the
appropriate Hamilton County court, as specified in §36-7-14-20;
NOW, THEREFORE, BE IT RESOLVED THAT:
1. CRC hereby confirms that: (a) the Property List includes the Leasehold Interest; and (b) the
Acquisition Amount for the Leasehold Interest is $170,000.00;
2. CRC: (a) considers it necessary to acquire the Leasehold Interest by the exercise of the power of
eminent domain; and (b) has determined that it will exercise such power with respect to the acquisition of the
Leasehold Interest.
3. CRC hereby directs WSH to file a petition on behalf of CRC in the appropriate Hamilton County court,
as specified in §36-7-14-20.
