Dear Mr. Catmasino;
This letter serves to acknowledge receipt of a transmittal containing the plans for the above~
mentioned project. After reviewing the plans the Highway Department has the rollowing
comments:
1. The additional right of way at 1he Intersection should be completed through a grant 01 right of
way. When all of the necessary paperwork has been completed, forward the documents to
my attention for acceptance by the Board of Commissioners.
2, The curbs within the Village Pantry site will need to be reconflgured 10 match the new
entrance curbs.
3, Curb depressions will be needed at all four corners of the intersection. The connection from
the depression to the path should be done in concrete. Pedestrian signals are needed at all
four comers.
4, Permits will be needed for all work done in areas of Hamilton County Highway Department
jurisdiction. All permit information and questions should be directed toward Mr. Oave Lucas.
Permit Inspector.
5, Include all necessary details needed for the project.
6. Plans should be submitted to the Hamilton County Survey()r for review ii!nd comment.
7, Please be advised that further comments may be necessary after the final set of plans have
b~n completed.

I will proceed with the understanding that the road improvements will be met outside the scope of the current PO
(Development Plan). I would encourage the performance bond.
I spoke with Blair today and discussed my feeling that the DP (Development Plan) approval is conditional upon approval of
the Road Plans. That was my single hang-up. If the CRC has a binding agreement with DUKE regarding the construction
of the road improvements then I feel comfortable passing the responsibility of ensuring the fulfillment of the improvements
(as proposed at the time of the rezone) to the GRC. Until today (via this e-mail) I was not aware that the CRC was in a
position to guarantee oversight of the improvements. I fault myself for not being informed However, I did convey to
Charlie Frankenberger back in January that they needed to submit the road plans for approval to obtain OP approvaL His
response did not include identification of an agreement that had been reached with the CRC regarding the road
improvements.
If my understanding, as described above is incorrect, please advise

Subject: ILP's College Hills Project
Kate: I have again spoken with Brian Carmosino, as well as Mike Hollibaugh about the situation regarding this project
and the commitments to complete certain road improvements to 96th Street. In fact, I have determined that they have
agreed to expend approximately $3.85 million toward Public Improvements which include the intersection and traffic
lighting at College, and 96th Street; 96th Street from College to just east of their eastern most entrance; and Storm
water management for Road and improvements of existing waterway crossing of 96th Street and College, to name a
few. These are all things that would have been a principle point of discussion at the CRC for the approval of the
expansion of the TIF district and Bond issues. The CRC would not have acted favorably on the TIF and Bond items
without assurances by Duke/Gershwin-Brown that they will fulfill these commitments.
Mike is very knowledgeable of their commitments relative to the PUD process that went through the Planning
Commission and these issues were remembered by him. Mike sees no problem allowing their construction ILPs being
released.
Brian Carmosino went so far as to state to me today that they are willing to post a Performance Bond for a timely and
proper construction of the road improvements. I think that would be something that you would find desirable, so if you
want that, ask him for it.
I have asked Mike to see what he can do to assist in the release of the ILP's.

RE: Parkwood Crossing East (Building Eight) Foundation Release
Dear Bruce:
The purpose of this letter is to address the issues surrounding Duke Construction's current request of the
Department of Engineering and the Department of Community Services to provide notice to Permit Services
and the Building Commissioner that the Parkwood Crossing East, Building Eight site is ready for issuance of
Improvement Location Permit (ILP) and Foundation Release.
As previously discussed, for specific reasons, neither department can provide full release and approval at this
time. The Engineering Department, while it has approved the construction plans, has not bad all items for
approval met (see below) and the Department of Community Services has not yet issued approval of the
Development Plan,
Until all items have been satisfactorily addressed, we will not be able to provide full approval for the site
development construction to proceed. In lieu of a full approval, we have notified Jeff Kendall, the City Building
Commissioner that at the appropriate time in the Permit Review process, he can provide you with the ILP and
Foundation Release, but only those permits. Please be advised that all risk of all construction being installed
prior to tlle full approvals being received shall be assumed by Duke Construction. That is, should one of the
additional requirements as listed below not be able to be met by Duke, construction beyond the pouring of the
foundation may be stopped indefinitely, until such a time as the City deemsa1l requirements necessary are met.
The exceptions to this stop-work potential are on-site grading and installation of private stonn sewers.
The outstanding items that need to be addressed, approvals received, or documents completed, filed and
recorded are as follows:

site is complete, however thc section of land betwcen the site and College is still under
consideration (or in the process). This mcans that the section of road bordering the un-anncxed
sections still falls under Hamilton County Highway's jUlisdiction and thereforc, approval for thc
road improyemcnts and the signal/intersection shall have to be coordinated with both the City of
Carmcl and Hamilton County.

plans, the City of Carmel and Hamilton County reserve the right to submit additional comments
and revision requests for these road plans as they are further finalized. Regarding the road
improvements, Duke will be required to make all such additions or changes to the road system
plans deemed reasonable and necessary to ensure the safe and proper use of the roads, as these
improvements are primarily necessitated by the additional traffic volumes expected to be
generated by this development.
.. Dedication of Right-of-Way - Any RW shown on plans or hereby committed to be dedicated
must be followed through with all appropriate legal descriptions, dedication documents and
formal dedication and acceptance (by way of Board of Public Works and Safety).
.. Approval of the Development Plan Application filed under Docket No. 20-02 DP "ill be granted
upon approval of the road improvement plans by the engineer of jurisdiction (consistent with the
preliminary plans submitted April 2, 2002), dedication ofthe required rights-of-way, and signing
of an agreement betl'\'een the City of Carmel and Duke regarding the construction of the
improvements as they relate to the occupancy of the proposed buildings. The Department of
Community Services is willing to allow the release for the construction of the building foundation
at this time. However, there are several variables that could delay the approval of the
Development Plan. Duke shall assume any and all risk associated with proceeding prior to
acquiring the necessary a]Jproyals.
The Penn its Section is willing to facilitate holding your pre-submittal meeting as you have requested in order to
progress Lo permit issuance. However, please recognize that your participation in such meeting at this time shall
constitute your understanding and acceptance or the conditions stated above and shall require your conunitment
to comply with all outstanding requirements as stated herein. Additionally, we strongly request that they be
completed in a timely fashion, as no further permit or inspection request shall be granted until full and [mal
approvals are in place.

Parkwood Crossing East
Attached is a set of preliminary drawings from A & F Engineering for the road
improvements for 96th Street and College Avenue. A & F Engineering is
scheduled to complete the drawings for this project by the end of April.
It is my understanding that during the ADLS process for Parkwood Crossing East
that an agreement was reached between Duke and the City of Carmel regarding
the road improvements that Duke would perform related to the Parkwood
Crossing East development. The attached preliminary drawings should be in
compliance with that agreement.
Upon completion of these road improvement drawings Duke will be submitting
the road improvement project to the City of Carmel for formal approval.
At this time it is the desire of Duke to receive the ILP and foundation permit for
Parkwood Crossing East Building Eight.

OK, thanks for letting me know so we can make sure Duke is al-Jare that they must be
coordinating this project and approvals with ALL of us.
No surprise, but I think they are going to be persistent in hoping to be able to move
ahead somehow (they want to receive the Improvement Location Permit and foundation permit
for the Parkwood Crossing East Building Eight right now). Do you see any way that if we
can get some form of corrLTIlitment from them in lieu of them having the plans completely done
and approved - a conditional release of sorts, that the first permits (foundation) can be
granted'? I am told the road plans won't be done until the end of April. I know they're
ready to get permits today. I also know this is not my problem, but I am trying to find a
solution that is acceptable to the City and County that protects us both adequately.
If you maintain that no permits should be issued until the plans are done and approved and
all annexations issues are resolved, we can certainly live with that and I wouldn't make
it appear to Duke that "the County" is the hold up. We need to be unified in this request,
so I just was asking if there is any flexibility on your end so I can gauge how much we
might be able to allow accordingly....

We want to be involved in the design process and final approval of the intersection
improvements until the annexation is completed. The last time that I spoke with Duke
representatives, they did not know the status of annexation at the intersection of 96th
and College. We suggested to them that they include the right of way for 96th Street and
College in their annexation, but we have not heard anything back from them yet. Because of
all these issues, we would like to see the design and give our approval before any permits
are issued or all of the annexation issues are settled. During our meeting with them, we
did tell them that if the City wanted mast arms for the signals. that we would be fine
with that.

I was reading TAC minutes regarding Townhomes @ Hazel Dell. What is the engineers department feeling on the street
widths? I realize these will be private streets. Is there a standard out there that they must meet that deals with the
minimum street width allowed for private streets? I have received a letter from a homeowner who is concerned that we
would allow this type of project.

OK, thanks for- letting me know so we can make sure Duke is a'J'/are that they
must be coordinating this project and approvals with ALL of us.
No surprise, but I think they are going to be persistent in hoping to be
able to move ahead somehow (they want to receive the Improvement Location
Permit and foundation permit for the Parkwood Crossing East Building Eight
right now). Do you see any way that if we can get some form of commitment
from them in lieu of them having the plans completely done and approved - a
conditional release of sor-ts, that the first permits (foundation) can be
granted? I am told the road plans won't be done until the end of April. I
know they're ready to get permits today. I also know this is not my problem,
but I am trying to find a solution that is acceptable to the City and County
that protects us both adequately.
If you maintain that no permits should be issued until the plans are done
and approved and all annexations issues are resolved, we can certainly live
with that and I wouldn't make it appear to Duke that "the County" is the
hold up. We need to be unified in this request, so I just was asking if
there is any flexibility on your- end so I can gauge how much we might be
able to allow accordingly. . . .

concerned about the possibility of the NO.8 stone envelop becoming filled
with fines and losing its abillty to detain storm water, we modeled the system
as if it were a completely enclosed system. The resulting 1 OO-year flood
elevation will be contained within private property. Hopefully, this satisfies
your concerns about the perforated pipe. Copies of the revised calculations

I have a few species comments on the Parkwood East (College Hills). I apologize for being so late, Charlie's letter had
PARKWOOD WEST on it and for some reason it just didn't click in my mind. I can get a letter to him on Monday, but I
wanted to let you know. I'm going to ask them to select an alternative species for red maples and the two crabapple
varieties, and put shade trees in one set of parking lot islands instead of crabapples.

BONDING REQUIREMENTS
7. Upon initial review, it appears the following bonding requirements will apply to tllis project:
Performance Guarantees

Please provide individual, detailed certified Engineers Estimates for 100% of the cost of labor and
materials for the above improvements. Post irldividual Performance Guarantees in the amowlt of the
Engineer's Estimates. TIme-year Mairltenance GuaranLees will be required upon release of the
Perfonnanee Guarantees.
Street Cut/Right of Way Permit and Bonding Requirements
Any work in dedicated right of way will require a Street CutJRight of Way Permit and a License and
Permit Bond. TIle bond amount will be deterrnirled by the number of instances of work in the right of
way (curb cut, storm sewer work, etc,) @$2,000.00per instance.
PROJECT COMMENTS
8. Please provide drairlage calculations. The drainage analysis should include examination of the
downstream waterway and its ability to handle the proposed site drainage. Mr. Greg Snelling indicated
in the December 19,2001 TAC meeting that he had sent drainage calculations to the Engineering
Dept., however, we have not received them. Please forward another copy for our review. We reserve
the opportunity for further review and submission of comments regarding drainage upon receipt of
such calculations.
9. It is our assumption that the stoml sewer system will be private.
lO. Additional survey information for the south side of 96th Street is required on the site plans. This is
necessary for the Enginccring Dept. to detennine if the proposed drives for this site align properly with
the existing drives on the,south side of 96U, Street.
11. Detailed plans for the improvements to 96th Street should be submitted with this project for verification
of compatibility with site improvements, TIle existing and proposed 96th Street Pavement should be
represented on the site plan, Infonnation on the sequence of site improvements and road
improvements should be provided.
12. Is the walk adjacent to 96U, Street to be asphalt or concrete? The walk should also be dimensioned,

RESOLUTION NO. 10-22-01-1
wHEREAS, Ie 36-7-25-4 authorizes Hamilton County and the Carmel Redevelopment
Commission ("City Redevelopment Commission') to jointly undertake economic development
projects in contiguous areas within each unit's jurisdiction; and
\VHEREAS, the City Redevelopment Commission did on January 10. 2001, adopt a
declaratory resolution, which Declaratory Resolution was confim1ed by a resolution adopted on
March 14, 2001, designating an area knO\VI1 as the parrnood Economic Development Area
(f1Parkwood ED A") as an economic development area under Ie 36-7-14 and Ie 36-7-25; and
WHEREAS, the City Redevelopment Commission now desires to expand the Parkviood
EDA;and
WHEREAS, the portion of the proposed e?-.--pansion to the parkwood" EDA within the
jurisdiction of the Hamilton County Redevelopment Commission ("County Area") is contiguous
with the portion of the proposed expansion within the jurisdiction of the City Redevelopment
Commission as shown in Exhibit A:
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF COM:11ISSIONERS OF
liAMILTON COUNTY, INDIANA;
Section 1. The Board of CoIDJJJ.issioners hereby assigns the County Area to the City
Redevelopment Commission fur the purpose of economic development and the allocation of.
incremental property tax proceeds. .
Section 2. The City Redevelopment COronllssionmay take all action in the assigned area
that would be taken by a redevelopment commission in an allocation area in the manner and to the
extent provided in Ie 36-7-254.
Section 3.
This Resolution shall be effective upon passage.

1 The entire estimated project costs is currently in the range of
$50-60 Million, exclusive of public improvements.
2 Projected Tax Revenue generated by project ultimately would
be in the range of $400,000-$500,000 annually. The initial
phase of a two building scenario would generate approximate
$200,000-$250,000 annually.
III Public Improvements
Public improvement portion of the project will construct improvements identified
in the completed 96th Street Corridor study.
Public improvement portion of the project will fund improvements to sewers
servicing the project site and surrounding Carmel service area that is currently
suspect of capacity problems.
Public improvement portion of the project will continue and solidify this corridor
reputation of being the prime office real estate location along a major gateway to
the City of Cmltel and this land component of the corridor is the last
economically realistic obtainable component that could be added to this corridor.
Outline public improvements;
1. Road improvements along 96th Street, being primarily on the
north side of 96lh Street with minor improvements along College.
2. Signal improvements associated with road improvements.
3. Storm water runoff improvements associated with roadway
improvements and existing major drainage ways along public
roadways.
4. Re-development of property and allowing for the aggregation of
parcels in compliance with all heath and safety standards.
5. Secondary Utility improvements/relocations associated with
roadway improvements. (Gas, Cable, Electric, Fiber)
6. Water main adjustments/modifications associated with public
roadway improvements.
7. Continuation of and enhancement and connection to the Cannel
Trail system along 96tb Corridor.

IV Project Benefits
The proposed project meets the statutory requirements for a TlF-supported economic
development project in several ways:
It will promote significant opportunities for gainful employment.
This project will create a minimum of 1,000 jobs and a maximum of 1,200
jobs with a projected annual average salaries, excluding benefits,
exceeding $12-$13 per hour.
H will attract at least one major new business enterprise.
This process is already occurring as potential tenants receive information
on what will be a first-class $50-60 million corporate campus project.
It will increase the economic well being of the city.
Certainly we believe this is the case as outstanding corporate citizens and
their employees are attracted to the community. The project is estimated
to generate a yet to be detennined substantial amount in County Option
Income Tax revenue and personal property taxes.
The Parkwood East TIF will benefit the citizenry of Carmel and
surrounding areas.
The development plan calls for a park~like setting and wide transitions for
public streets, sidewalks, pedestrian paths and areas for passive outdoor
recreation, with particular emphasis on the aesthetics of the area. The plan
will establish an attractive landmark to the City's gateway while
minimizing the impact on surrounding areas.
The Project will enhance property values.
The project will include the aggregation of several parcels not currently
adequately equipped with certain utilities. The aggregation of these
parcels and enhancement of utilities will increase property values in the
