FIRST AME1''DMENT TO THE DECLARATION OF
COVENANTS AND RESTRICTIONS
WINDSOR GROVE
This First Amen~ent to the Declaration of Covenants and Restrictions of Windsor
Grove is made this l --S -day of March, 2012, by the owners of at least two-thirds (2/3) of
the Class A Members of Windsor Grove, the legal description of the real estate attached hereto
as Exhibit A and tb.e amendments are as follows :
WHEREAS, Windsor Grove, LLC, the original Declarant, executed and r ecorded the
orig-'.nal Declaration of Covenants and Restrictions of Windsor Grove on February 21, 2002
("Covenants"), and recorded as Instrument No. 200200014312 with the Recorder of Hamilt on
County, Indiana.
WHEREAS, as provided in Section 20 of the original Covenants, the Covenants may be
amended after obtaining the approval by two-thirds (2/3) vote of those persons who are then the
Class A Members of Windsor Gro ve, as defined in the Covenants, who cast votes io person or by
proxy at a meeting of the members duly called and held for such purpose; and
WHEREAS, the Cl ass A Members numbering in excess of two-thirds (2/3) of all Class A
Members desire to further amend the Declaration of Covenants and Restrictions of Windsor
Grove pursuant to Section 20 of the Covenants by r evising Section 9(b) to revise language
regarding the Size of Residences permitted in the Windsor Grove development as outlined
below.
IT IS NOW THEREFORE AGREED, by the required percentage of Class A Members of
Windsor Grove that Section 9(b) be revised to the Declaration of Covenants and Restrictions of
Windsor Grove as follows:
"Section 9. Construction of Residences.
(b) Size o[Resuience. Minimum livable square footage for any new residence shall be 4,500
square feet. This shall not incmde any finished or unfinished basement space, patios,
porches, or garage space. This and other specification(s) may be amended from t ime m
time by the Architectural Review Board.
IN WITNESS WHEREOF, the foregoing amendment to the Declaration of Covenants
and Restrict ions of Windsor Grove has been executed on t.i.e date in here first above written.
The undersigned President of the Board of Direc tors , upon reviewing and receiving the
required two -thirds (2/3) approval of this amendment by the Class A Members of Windsor
Grove, as evidenced by the receipt of the r equisite number of voting proxies in favor of this First
Amendment, hereby confirms the approval of this Amendment in conformance with the
