HomeMy WebLinkAboutB-2025-008-Central-Park-Boardwalk-PurchaseRESOLUTION NO. B – 2025 – 008 RESOLUTION OF THE CARMEL/CLAY BOARD OF PARKS AND RECREATION AUTHORIZING A SPECIAL PURCHASE UNDER IND. CODE §5-22-10-8 and §5-22-10-13 The Carmel/Clay Board of Parks and Recreation (the “Board”) met at a duly called and authorized meeting of the Board held on the date set forth below, such meeting being called pursuant to a notice stating the time, place and purpose of the meeting received by all of the Board Members, and the following Resolutions were made, seconded and adopted by a majority of those present at the meeting, which constituted a legal quorum of the Board. WHEREAS, Carmel Clay Parks and Recreation (“CCPR”) management has engaged Wickcraft Company, Inc. (the “Contractor”) for the supply of specialty boardwalk equipment (the “Equipment”) for the replacement of the boardwalk at Central Park; and WHEREAS, the Contractor has submitted a quote of $597,494.34, including the cost of the Equipment in the amount of $570,709.34, the cost of engineering services in the amount of $4,350.00, and the cost of shipping in the amount of $22,435.00; and WHEREAS, Ind. Code §5-22-10-8 provides that a purchasing agent may make a special purchase of equipment without soliciting bids or proposals when the compatibility of equipment, accessories, or replacement parts is a substantial consideration in the purchase decision and when only one (1) source meets the agency’s requirements; and WHEREAS, the Contractor has installed boardwalks at three (3) other park locations: River Heritage Park, West Park, and Meadowlark Park; and WHEREAS, the Board has determined that such purchase shall be made from Contractor in order to ensure compatibility with existing equipment, to maintain operational efficiency, and the avoidance of additional costs and disruptions that would result from non-compatible equipment; and WHEREAS, Ind. Code §5-22-10-13 provides that a purchasing agent may award a contract for a supply when there is only one (1) source for the supply and the purchasing agent determines such in writing; and WHEREAS, CCPR management has determined that the Contractor is the single source for the supply of the Equipment as demonstrated by the letter attached hereto as Exhibit A; and WHEREAS, the Board now desires to declare a “special purchase” under the Act and enter into an agreement with Wickcraft Company, Inc. for the purchase of the Equipment being purchased as described in Exhibit B. The foregoing Recitals are incorporated herein by this reference. Section 2. The Board hereby declares a “special purchase” under the Act for the Equipment to be provided by the Contractor pursuant to the proposal attached hereto as Exhibit A which is hereby approved. Section 3. The Board hereby authorizes the Director and/or Assistant Director of the Carmel Clay Parks Department to enter into and execute an appropriate agreement for the Equipment with the Contractor in a form approved by counsel to the Board. Section 4. The Director and/or Assistant Director are hereby authorized, empowered and directed to take all action necessary to implement the terms of this Resolution. Section 5. This Resolution shall take effect immediately upon its adoption. Project Name : CENTRAL PARK Project # : IN-23-1457 QUOTE # : IN231457.4 Report Date : August 15, 2025 Notes & Terms: 1) This quote is based on details from document CCPR Boardwalk - FINAL PLANS.pdf 2) Drawings requiring more than 2 revisions (including as-approved) are subject to a charge of $125/hr (one hour minimum) per revision plus any additional engineering time at $250/hr. 3) When required, Wickcraft Boardwalks will provide a set of project specific Calculations and/or State Stamped drawings. These are standard project specific documents. Questions, concerns, or challenges raised by any party requiring additional engineering review will be subject to a charge of $125/hr (one hour minimum) per revision plus any additional engineering time at $250/hr. 4) Piles By Others. All pile (foundation) design by others. Wickcraft will provide pile quantity and locations along with boardwalk load reactions at top of pile. Contractor shall be responsible for the piles and installation of piles to project specifications. 5) Due to the volatility of pricing and availability of materials in the construction industry, Wickcraft reserves the right to adjust for time and cost fluctuations on projects that the scheduled fabrication start exceeds 30 days from contract signing date. Wickcraft will inform the client of any necessary time/cost changes before the start of fabrication. Should client choose to cancel contract at such time, client will be responsible for all progress billings and mobilization to date 6) Wickcraft may charge a storage fee of $100/ton per week for storage on product after 30 days of completion. When and on projects that are complete and ready for shipping, but where final payment has not been recieved or shipment can not be recieved on site. 7) Upon receipt of the signed project contract, Wickcraft will invoice for 10% of the agreed upon order amount, less shipping, in order to start the engineering / approval drawing process. Once the initial payment is received, along with the signed & approved layout drawings, fabrication of the project will be scheduled. Based on the agreed to schedule the 2nd installment payment of 30% of the contract amount will be due before fabrication begins. The remaining balance, plus shipping, will be invoiced and will be due (1) week prior to shipment. Shipment of material will not be scheduled until the project contract value is satisfied in full. 8) Upon receipt of the signed project contract, Wickcraft will invoice for 40% of the agreed upon order amount, less shipping, in order to start the engineering / approval drawing process. Once the initial payment is received, along with the signed & approved layout drawings, fabrication of the project will be scheduled and materials will be secured. The remaining balance of the contract value, plus shipping, will be invoiced once 60% of the project has been fabricated and will be due (1) week prior to shipment. Shipment of material will not be scheduled until the project contract value is satisfied in full.
