(``the Company" ),,and-such Designation Applicationrequests that the real.estate,located on the_northcast corner of Carmel Drive / 126`x' Street and--Nort h Meridian Street; Carmel, Indiana and legally described therein {the"Site") be designated as an ERA; and WHEREAS, the Company wiiI own real estate in support of its regional operations facility„ provided thaf the Company is able,fo,obtain real and personal propcrtytax deductions as authorized by I.C. 6-1.1-12.1-4:-.and WHEREAS, the Company, seeks to have, the Council'authorize personal pmperty tax deductions inrconnection with,the quahfying'investment rclated1o'the installation of newiinformation technology / telecommunications equipment, and,computcr hardware, and real property tax deductions?in connection with,real estate improvemcirts at the;Corrrpaiiy's'regional opcrations'cente'r at the iiitersection,ofCarinel Drive/ 126`h Street and Nortl0vieridian Street; and WHEREAS; the Council has.reviewed such Desie ation Application together tivith'the Company's Statement of Benefits,(Porm.SB-1) andsnow desires.to,;take actions hereinafter set--forth. NOW, THERETORE,based .upon a_revicw of the Designation Application and Statement of Benefim (Form SB-1) heretofore filed by the-Company, the Council hereby makes;the following findings; FINDING -1, The Site lids been undesitable,for normal development,due to-the following economic:conditiom: (a)' ?TheaSite has been largely vacant forrmore thawte=n (10).years. (b) Vacancyrates,for office space in the area,and'an`abundance of sublease opportunities, evidence an oversupplyof office space in the Corridor-. FINDING 2. The Company's'developinent;of the site as a•regional operations center for the Company is consistent with the site's existiiig-zonirig;and:represents a.superior use for the"sife, FINDING 3. The. Company's plans to:install. new personal property and make real estate impromue,nts will,result in an addition to the Corridor's overall,assessed value, within an aceelerated time period. FINDING 4: The proposed development of'the 'Site by the Company meets the parameters set forth:ia.Council Resolution No: CC-02-05-01-02: FINDING 5, The estimatebf the cosl and, assessed value of_the.Campany's proposed development oG the:,Site is reasonable Ifor projects of a similar nature. FINDING 6. The estimate of the"number of•individuals who will`l e employed (i:e.,, approximately 929 FTEs) can be reasonably expected'to result from the Coiinpany's proposed developmetitof the Site.. FINDING 7. The estimate ofthe;annual salaries (i:e., average of approximately $45,000 per an-min) of those individuals vvho?will,be employed can be reasonably, expected to resulffrom the Company's proposed. re-development of the site. .FINDING 8: The estimate of the.cos_t"aud assessed".value of the new. inforniation technology / telecommunications equipment,.and,computerhardware, and the estimate of the cost!ai d assessed value of.real estate;improvenieits is reasonable for ap} dject of this type. FINDING 9. With respect to the new information,technology/telecommunie_ntions equipment, and computer hardware; and real estate `improvemcnts,the: estimate of the number of individuals Who will be employed (i.e.,-approximately 929TTEs) can be, reasonably expected to result from'the development of the Site, installation of the new personal property and completion of;real'estate:improvemenis; FINDING 30. The estimate of the aimual'salanes (i:e., average cif-approximately $45,000 per annum) of those:indlviduals who will be employed can,be reasonably expected to result from the developmvnt of the Site, the installation of the new personal property and completion ofreal estate improvements. FINDING 11. The Company will be aotive corporate citizens involved in and committed to the city of Carmel. FINDING12. The Company's'regional operations facility in Carmel is'consistentjwith the goals and vision,estabhshed by the city of C^ rmel and Hamilton County , Alliance. FINDING f3. Other benefits that can be reasonably expected to result from the Company's proposed development of the site, installation of the-new personal,property, and completion-ofreal estate improvements. FINDING 14. The totality of benefits is:sul£icientto jd_ stify`reaI and personal pfoperty"tax deductions herein described. NOW, TITEREFORE, BE IT RESOLVED THAT; a legal description of the previously declared ERA has-been attached. hereto as Exhibit A. BE IT FUIRTH, R RESOLVED THAT, the Site-is hereby declared an ERA for purposes of granting real and personal property tax abatement iii support,of the regional operations: center facility project, theimstallation of new inforination.technology /'telecommunications equipment,-and computer hardware and coitipletion of real estate improvements. BE IT F,URTHER,RES©LVED THAT, themurnber of years, for which the'Company is entitled to a deduction, for,investments made in the new..information technology /telecommunications. equipment, and,computer hardware, and'real estate improvements ptti`suantto N-6-1.1-12.14 shall be ten (l4). 'BE IT FURTHER:RESOLVED THAT, the Carmel CityCouncil shall have the right to reduce the length of and/or end the economic revitalization area, desigtiationperiod granted for the,site should the Company and/or a.subsequent &vrner;of the"Companynot fulfill commitments made to the city of Carmel regarding,the amount of capital investment, job creation/retention and average,annual salary levels. BE IT FURTHER. RESOLVED TMAT..in`the event the Company is sold io-a,new owner, the new owner of the company sliall appearbefofe the Carmel City Council within.90 days of.closmgon the purchase ofthe company, to present infonnationregarding the plans for the company's operations in the city of Carmel. BE IT FURTHER RESOLVED THAT, the deductions authorized herein are contingent upon the designation of the ERA prior to the installation of new information technology / telecom unieations equipment, and computer hardware, and completion of -real estate, improvements. 13E IT FURTHER RESOLVED YRAT,`ffthe'Site is'located in an allocation area {as defined in I.C. 36-7-14-39 or I.C.'36-7-15.1-26), an application for the.property tax deductions approved herein shall also be,suhject to the approval of the comnitssiontliat?designated the allocation area as,required under I.C. 6-1.1-12.1-4.
