Explanation
Gershman Brown is the owner of approximately 1.67 acres, commonly known as Lot 1 in
Hazel Dell Comer commercial park, located on the northwest comer of Hazel Dell Parkway and
131 st Street. It is outlined on the enclosed aerial photograph.

This request is to amend commitments to permit restaurants as a permitted use on Lot 1.
A similar amendment was previously obtained by a prior owner for an adjacwent lot. Before
discussing this requested amendment, however, it will be helpful to summarize recent approvals
obtained for Lot 1.
The real estate is zoned B3 (Business) and, consequently, ADLSIDP approval by the Plan
Commission was required. To this end, Gershman Brown appeared before the Plan Commission
and its Special Studies Committee and, on March 18, 2003, received the unanimous favorable
recommendation of the Plan Conunission.

For ease of reference, the exhibits reviewed and approved by the Plan Commission are
reproduced in this request for an amendment to commitments. The site will be heavily
landscaped and accented with stamped concrete walks. The building is of unique quality and
appearance. It will have a limestone base, above which there will be brick veneer. The windows
will be accented with a brick soldier course and a brick lintel and keystone accent. Above the
windows are stucco panels. The result will be a very upscale, understated, residential-appearing
building with a sloped roof.

In 1998, conunitments were originally recorded with the Recorder of Hamilton County,
Indiana. These original conunitments were applicable to lots located within the Hazel Dell
Comer, including Lot I made the subj ect of this request. These original commitments, contained
in this brochure as Exhibit 11, did not permit a restaurant as a use. In order to obtain restaurants
as a permitted use, therefore, the owner of Lots 2, 3, and 4 within the Hazel Dell Comer
Commercial Park obtained an amendment to the original commitments, but only with respect to
Lots 2, 3, and 4, and not also with respect to Lot 1. That amendment is included in this brochure
as Exhibit 12. It provides, in part, that restaurants are a permitted use on Lot 4. By this request,
Gershman Brown is asking that the original commitments again be amended in order to also
allow restaurants as a permitted use on Lot 1, as well. Per this request, one or more retaurants
would be permitted on Lot 1; provided, however, that (i) if there is only one restaurant, it will not
exceed 5,500 square feet, and (ii) if there is more than one restaurant, the aggregate square
footage for all restaurants will not exceed 5,500 square feet.

The undersigned makes the following modified commitments concerning use and
development of real estate ("Modified Commitrrients") to the Carmel/Clay Plan Commission
("Commission").
RECITALS
A.
On February 28, 1995, Lynnwood Farm Associates, L.P.7 predecessor-in-interest to
Plum Creek Partners, LLC, an Indiana 'corporation, ("Plum Creek") made certain
commitments concerning the use and development of real estate, which consists of
approximately 14 acres "<,'Real Estate") in connection \Vith the development and
construction of a new six.lot commercial neighborhood center located at the
northwest comer of 13151 Street and Hazel Den Parkway in Carmel, Ind.ian~ which
were recorded' in the Office of the Recorder of Hamilton County, Indiana as
Instrument Number 9809838210 ("Original Commitments").
These Original Commitments provided that only those Special Uses listed in Exhibit
"B" of the Original Commitments be permitted on the Real Estate.
Plum Creek, the current ovmer of a part of the Real Estate described in Exhibit L< I "
(LLPlum Creek Real E'state"), desires to allow a restaurant as a permitted Special Use
on a portion of the Plum Creek Real Estate and eliminate certain Special Uses which
are currently pennitted on the Plum Creek Real Estate.
Plum Creek received the approval of the Commission al a meeting on F ebrtlary 19,
2002, which approval is reflected in a Letter of Grant attacbed hereto as Exhibit "2",
In accordance with the Letter of Grant, Plum Creek wishes to modify the Original
Commitments to reflect the Commission's approval of the revised list of permitted
Special Uses on the Plum Creek Real Estate.

AMENDED COMMITMENTS
The Commitments Concerning The Use And Development Of Real Estate dated February 28, 1995,
and recorded in the Office oithe Recorder of Hamilton County,lndiana as Instrument # 9809838210
("Original- Commitments") are hereby amended as follows:
1. The Original Commitments are hereby amended in part with respect to a portion ofthe Real
Estate designated herein as the Plum Creek Real Estate which is more particularly described
in Exhibit "1" attached hereto and made a part hereof, as follows:
(a) Plum Creek commits that only the Special Uses listed in Exhibit "]"
attached hereto and made a part hereof, shall be permitted on the Plum
Creek Real Estate.
(b) Plum Creek commits that no more than two (2) restaurant uses shall be
permitted on the future Lot 4 of the Plum Creek Real Estate and shall
be limited as follows:
(i) if one (1) restaurant use is to be located on Lot 4. the minimum
square footage shall be not less than 2,100 square feet;
(ii) if there are two (2) restaurant uses to be located on Lot 4, the
combined gross square footage of both restaurants shall not be less than
3,500 square feet; and
(Hi) the maximum square footage of all restaurant uses on the future
Lot 4 shall not exceed 4.200 square feet.
(c) Plum Creek commits that any restaurant use on the Plum Creek Real
Estate shall not include: a drive-thru window design feature that
includes the use of a reader/menu board(s) (whether freestanding or
attached to a building); any in-vehicle ordering system; and/or a drive-
up, pick-up window. A restaurant may include a walk-up or carryaut
window.

(d) The operator of any Laundry/Dry Cleaning Plant shall keep al 1 exterior
doors closed at all times.
Paragraph 2 "Docket Numbers" shall be amended to read: ~~1-95-Z and 148-01-CA".
In the event that the B-3 zoning district is amended in the future by the Common Council of
the City of Carmel, Indiana to specifically permit certain uses in that zoning classification.
Plum Creek commits that only those Special Uses listed in Exhibit "3" which are included in
the "Permitted Uses" under the amended B-3 zoning classification shall be allowed as
Permitted Uses under the amended zoning ordinance on the Plum Creek Real Estate. All
other Special Uses listed in Exhibit "]" (but not included in the "Permitted Uses" of the
amended B-3 zoning classification) shall remain as permitted Special Uses subject Logapproval consistent with the provisions of the B-3 zoning classification.
