Dear Messrs. Sweet and McNutt and Dr. and Mrs. O'Neill: This letter is written for the purpose of memorializing the agreement reached by and among Brenwick Development Company, Inc. ("Brenwick"), Paul E. Estridge Homes ("Estridge"), Kevin and JoLynn O'Neill (the "O'Neills"), and this law firm's clients, Richard and Claudia Darling (the "Darlings") on Monday afternoon, June 16, 2008. We are glad to have opened a dialogue that allowed for reasonable people to come together and resolve their differences effectively. The agreement covered five essential points: 1. Completion of the O'Neills' wall; 2. Screening of the Darlings' elevated HVAC unit; 3. Cost and cost -sharing (which had been noted as two categories during the meeting, but which was resolved as one issue); George Sweet Gary McNutt Kevin and JoLynn O'Neill - 2 - 4. Suspension of any threatened Architectural July 30, 2008; and June 18, 2008 Control Assessment until at least 5. Timing of events and coordination of communications related to the various events that must occur to effectuate the agreement. Estridge will coordinate point 1. Estridge's responsibilities include working with the City of Carmel to obtain permission to complete the O'Neills' wall and obtain any necessary "sign -offs" from the City; scheduling the removal and replacement of the Darlings' wrought iron fence (with Hittle Construction) so that work can be done to complete the wall; completing construction of the wall; and completing re -grading of the landscape on the Darlings' side of the wall with dry -stacked stone or other City -approved method of managing drainage; engaging a landscape specialist to assure proper finishing to the grading on the outside of the wall in keeping with the Darlings' approval, which is not to withheld unreasonably. Brenwick will coordinate point 2. Brenwick's responsibilities include preparation of design(s) acceptable to the Architectural Review Board (the "ARB"), i the Darlings, the O'Neills, the HVAC specialist whose work preserves the warranties on i the HVAC units (presumably Kaiser or Compton Mechanical), and the landscape specialist referred to in the prior paragraph, none of whose consent may be withheld unreasonably. The design of the HVAC "screen" shall permit adequate ventilation and service access to the HVAC units, as well as comply with Architectural Guidelines in force or to be adopted in the Village! of WestClay. To the extent necessary, Brenwick will coordinate the construction of the HVAC "screen" with Estridge and the Darlings, however, it is expected that the construction of the screen can be coordinated with the construction and landscape work necessary to complete the O'Neills' wall. Also in connection with point 2, Estridge at its expense will repair damage done to the Darlings' home by its employees and/or contractors or subcontractors during the construction of the O'Neills' home. The repairs include cleaning, painting, and outdoor lighting platters; Estridge is responsible for coordinating this work. i Point 3 costs and cost -sharing shall be divided in time as of Monday, June 16, 2008. The Darlings are responsible for all of their out-of-pocket expenses incurred in connection with the redesign of their fence and the relocation of their HVAC units prior to June 16, 2008. Brenwick, Estridge, and the O'Neills shall share equitably among them all costs and expenses associated with the completion of the O'Neills' wall and the screening of the Darlings' HVAC unit described in points 1 and 2, above commencing June 16, 2008 and going forward, provided, however, that attorney's fees and expenses incurred in on or after June 16, 2008 by the Darlings in connection with this agreement or this letter evidencing the same shall be borne by them. In the event that further legal services are needed by any party in connection with enforcement of this agreement, section 25 of the Declarations of Covenants and Restrictions of the Village of WestClay, Carmel, Indiana shall apply. Brenwick will coordinate point 4, which is the suspension of any potential assessment an Architectural Control Assessment by the ARB until after July 30, 2008 at the earliest. It is anticipated by all parties that the events and acts described in points 1, 2, and 3, above, can and will be completed by July 30, 2008. All parties acknowledge, however, that timing can be skewed by the City of Carmel and, therefore, the July 30 date is more in the nature of a goal than a deadline. So long as good faith efforts are being made to achieve completion of George Sweet Gary McNutt Kevin and JoLynn O'Neill - 3 - June 18, 2008 the requirements described in points 1 and 2 as of July 30, 2008, Brenwick shall continue to coordinate suspension of any potential Architectural Control Assessment against the Darlings, and the ARB shall not take any action against them. Although all parties share degrees of responsibility for effectuating point 5, Estridge bears the ultimate responsibility for maintaining the time frame for completion of the events and acts necessary to consummate this agreement. Estridge will appoint its employee, "Ann" or "Anne," to be the coordinator of communications and calendar control. Ann is expected to assist Mr. McNutt in coordinating with the City of Carmel, Hittle, Kaiser or Compton, mason(s), landscaper(s), painter(s), Brenwick, the O'Neills, and the Darlings to acquire City approval and to achieve completion of all necessary work. We are glad to have assisted in mapping out a plan for resolving differences among Brenwick and the ARB, Estridge, the O'Neills, and the Darlings to Achieve a reasoned, balanced solution that allows everyone to live together peacefully in the community. WestClay is a great place, and the community attracts people to it. Please signify your agreement to the terms and conditions of agreement described in this letter by signing both copies of the letter provided to you and returning one of the original signed copies to the Brenwick office.
