WHEREAS, ttie City of Carmel ('hereinafter referred to, as
the
City) owns certain real prOPerty 'lo"cated at 1210 1St :Aven"ue
Carmel, 'Indiana which was formerly 'the city's Master :F'i're Station
(hereinafter referred to as'the S'tation-j; and
WHEREAS,, the City has ceased using the station for its fire
service,needsl; and,
WHERE;As,, there is: •a desire, on the, part of the membership of
the Carmel Fire Buffs and Fire Museum, on Ind'iana. Not-For-
Profit Corporation 'hereinaftter referred'to as the.,Buffs),, to
rehabilitate and use the station as a _facil'ity #.o ,resters;
maintain., exhibit and show •f ire equipment and memorab'i-lia, as a
museum, to the, public and others,;
NOW, THEREFpRE, in Consideration of the mutual cavenants,

A., The term of this lease shall, be for five years,

B. The parties may.,, by mutual consent, extend the term of
the lease in four (4) year increments, upon such terms and

II• RENT AND coNSIDERATICN FOR US6 OF?THE STATION&
A. The Buffs.,agree- to pay to the City the sum of $L..00 (One
Dollar) pei year for the rental of the station, not •nclud11n4
utilities; maintenance-of the station,, the increase of insurance
costs•,if any, and. other related costs and expenses which the city
may experience as a result of this 'lease_ In,the event costs to
the city are increased due to .the:act:s oi; cmiss'ions of the BU£'ts,
the city shall be entitled to'recover -the same, as rent, a"fter
written notice of such expanse to the Puffs. These expenses may
be paid.in such manner as the parties deem, just..
S. The city agrees to lease to the Huffs the real property
and building located at 210 1st--Avenue S.Carmel;, 3ndEana, for
the term of tlUs lease-.
C. As further inducement and consideration to the city for,
the lease of-the station, the cuffs agree .to repair', rehabilitate
and mainta',in- the same during the term of the lease 'and return -tkao
station to the city in good condition, normal 'wear and tear
excepted. Any repalr,'oiork? performed by the $uff_s shall be
considered as rent and no re ni}5ursement hall be regLji,-x:ed of the
City. The same shal'1 inc,luci'e any rehabi1lGat on work performed.

Museum and BLiffca meeting glad and for no other purpose;.
Further, the Buffs agree that. no activity eh.al,,l ta_ka PA,hce at the

city ordinance; nor shall any materid'1_ or equ praent be store at
the station. which would be a nuisances to the public or a,pr,ivate
individual. -
IV. INSURANCE REQUIREMENTS:
A.. The Mutts agree to maintain casualty in,auzance on, the
premises and to provide-coverage for any lose they may experience
of pexconal property, injury ar death to any,member•oz.other
person,vis'iting. tha station ire an amount not less than Three
Hundred Thousand dollars (.$300,:AE1A.0A') i ':£urth,er, the 'city shall
be named as an additional insuted.6n such policy.

C. The city shall maintain and insures ita interest: in. the

Vi. C ITY' 9 REM4DIh'5 FOR $REACH OF LRME1.
A. In the event the Buffs, fail, to maintain, repair or pay
the annual lease payment,; the city may proceed to Cermina to"this
lease upon tsn (10), days wrl'tten notice. .. further,' the Buffs
shal] xemove all of 'their parsonal property within thirty' (30)
days of 'r'eceiving the city-'s• notice to quit the 'premises,
B. If theiBUffs fail to maintain or repair the station as
required, than the city"nray either cause s$td repairs to be raado
and loot to the Huffs for relmbuzsemernt,or cancel this lease,
