Recitals I. Carmel;isra municipality duly organized and'existing pursuant to the laws of the State of Indiana: 2. CSX"is corporation duly organized and e,xisting,ptirsuant to the.laws of the State of Virginia. 3; CSX used. to operate a railroad on a route, commonly lrnown as the:'MOnot Railway. in Hamilton County, Indiana. 'CSX, however; abandoned the Moron Railway in approximately°1.986. j 4; Since at least i993, the ownership of the,Mouon Railway.has'been disputed,and, therefore,'has been the,SUbject of a,lawsuit titled.Geor e W. Clark Hamilton Co=n Farm Bureau QQgteratiye Association Inc Britton Farms Inc and all others similarly situated v., CSX transportation, Inc., Ca_use,INo. 29D03-9308-CP-404 (the "Gwnerstup`Lawsuit" ). S: On October 6, 2003,.the Court in the Ownership Lawsuit entered ;a Declaratory Judgment for the County of Hamilton (the"IDeclaratory 3udgt7ient"): (}h October 13, 2003, the Court in°th-Ownership Lawsuit entered an Crder on Plaintiffs' 'Motion to Withdraw the Declaratory Judgment for the County of HamBtdn;Entered on October d, 2003' and Substitute with Corrected 1ecl4atory Judgment (the "Aaseiided Declaratory Judgment'.). The Declaratory Judgment and the AmmdeciDeclaratory Judgment; among other things, declared thatCSX'owns a;portilon od:the Ivlonon Railway in Hamilton Coutity, Indiana. 1 ?t 6. :Since approximately 1998, Carmel,has beemconverting the Monon -Railway from an abandoned railroad corridor into a linear park.from 96`a Street to 146a Street in Hamilton County, Indiana. Between 96`a Street to 146 Street in Hamilton County; Indiana, the Monon Railway runs from north to south for a distance of ;approximately° five (5) miles witli a predominant width of,sixty-six feet. In places,.howev_er,.the'width varies.. 7. In 1998 and 1999; Carmel filed, severil. lawsuits against CSXAn an effort to acgdire. a,.property interest jn the Monon Railway sufficient, to construct, its Imear`park..In-at least ten (10) of these lawsuits (the "Condemnation Lawsuits"), CSX now has been determined to own portions of the Monon,Railway pursuant to:the Declaratory °7udgment and the Amended Declaratory 'Judgment. The, Condemnation Lawsuits are more particularly described in the documentattached;hereto as E liibit A. 8. CSX and Carmel, among o&r things; dispute the value of'the portions of the Monon Railway described in the Condemnation Lawsuits. 9. After consulting with their,legal counsel, CSX and'.Carmel. have agreed.to resolve all of their disputes concerning (a) the ownership ofthe Monon Railway from;96s' Street to :146"' Street in Hamilton Goupty; Indianaand (b) the Condemnation Lawsuits, without the expense,, uncertainty, and necessity of additional, litigation,, to buy their peace without 'admitting, any liability, and to)settle 0 possible claims therein on the-basis hereinafter stated. NOW4 THERMRE, in "consideration of'the promises and covenants.axpressed herein, CSX and`Carme represent and agree as follows: 1. Settlement Terms. 'In consideration of the sum of Foul; Hundred' Fifty-Nine Thousand Dollars ($459,000.00) (the "Settlement Amount') paid by or on behalf of Carmel and in accordance with the terms ?of' this- Settlement Agreement, 'CSX, shall (a) convey all its 2 ownership interestin the real-estate specifically described inthe CondBmitation Lawsuits, subject to all validly existing easements'and endumbrancesmof record; to Carmef by a quirclairn'deed in the form attached hereto as Exhibit B, (b) convey all its ownership' interest in the'Mbnon Railway from; 96`5 Street to 146th Street in Hamilton. County, Indiana, Subject to all validly existing easeirients and encumbrances of"record, to Carmel by a" quitclaim deed in the form attached nereto;as B', bit B, and (c) convey all its ownership interest. in any real estate within eighty (80) feet of the centerline of the Moron Railway from :96`a Street to 446°h Street in Hamilton County; Indiana,. subject to all.'validly,,existing.easements and encumbrances of record, to Carmel by a' quitclaim deed in the form attached hereto as. Exhibit B. Carmel; shall pay or cause to be paid the Settlement Agiount to CSX as;soon as practicable after,the execudon,of.this Settlement Agreement; consistent with' .Carnel'sfiscal toles and policies regarding the approval and payment of claims. 2, Settleme`ntTr6ceeds. CSX and Carmel aokno vledge that all or almoirall of the Four, Hundred Fifty-Nine.Thousand Dollars ($459;0001.00) to be paid by,or on behalf of Carmel as the Settlement. Amount is on deposit with,the Clerk of the• Hamilton.County Superior Court and other third parties. As such, CSX and Carmel represent and; warrant that they Will cooperate in taking all of the appropriate and necessary, actions iequired'in order, to obtain these funds. 31 Dismissal Of The Condemnation Lawsuits And Other"Pending Litigation. Within a. dasonable time after the execution of this Settlement Agreement, CSX and Carmel representand warrant,that, they, will take all of the appropriate and necessary action to.dismiss or otherwise resolve the Conden ration Lawsuits and any other litigation' concerning Carmel's effort to acquire,a praperty interest in.the.Monon Railway suff cient;t6 construcf•a linear park whefein Carmel and CSX are parties to the,litigation, 3 4. Fiber Optic Cables Owned And Operated by A'h&T Corp. CSX hereby-, represents that it has entered into an agreement or agreements with AT&T Corp. ("AM"') under the terms of which AT&T owns and operates certain fiber optic cables under the Monon Railway in Hamilton County, Indiana, including portions of the Monon Railway that CSX_riow has been determined to own pursuant to the Declaratory Judgment and the Amended Declaratory Judgment. Carmel shall not interfere with these segments of AT&T's existing fiber optic cables or AT&T's existing telecommunications systems which are located under those portions of the Monon Railway being quitclaimed to Carmel pursuant to the terms of this Settlement Agreement, unless Carmel and AT&T agree otherwise. Notwithstanding the foregoing, any relocation of AT&T's existing fiber optic cables or AT&T's existing telecommunications systems and/or any authorization. for the installation or any new fiber optic. cables or telecommunications systems shall take place or be given only on such terms and conditions as are mutually acceptable to Carmel and AT&T under those portions of the Motion Railway being quitclaimed to Carmel pursuant to the terms of this Settlement Agreement Further, it is understood and agreed that by entering into this Settlement Agreement CSX is not releasing or waiving any claims it may have against AT&T. Rather, CSX reserves its right to assert claims against AT&T arising out of any agreement or agreements CSX has with AT&T. 5. Outstanding Claims. CSX hereby represents that it knows of no claims, rights, demands; 'df?auses of action which it has or may have against Carmel, its agents, employees, officers, directors, attorneys, representatives, insurers, successors, or assigns arising out of or relating to the ownership of the Motion Railway or the Condemnation Lawsuits other than those claims, rights, demands, or causes of action which are being released and discharged pursuant to this Settlement Agreement. 4 6. Continuing Cooperation. To the extent questions, cotacetns, or disputes develop concerning the ownership interest transferred pursuant to the quitclaim deed attached hereto as Exhibit B, or the intent of CSX and/or Carmel under the terms of this Settlement Agreement, then CSX and Carmel shall cooperate to resolve the same in a prompt manner. Where appropriate, CSX and Carmel shall agree upon and execute additional documentation necessary to resolve any such questions,.concems, or disputes. 7. No Assumption Of Liability. By entering into this Settlement Agreement, CSX and Carmel understand and agree that Carmel is not assuming any liability (or the defense of any claim or lawsuit where liability is alleged but disputed) from CSX arising out of or as a result of any acts or omissions of CSX and/or its agents, officers, employees, representatives or assigns regarding or relating to the ownership, use, or occupancy by CSX of the Monon Railway in Hamilton County, Indiana. 8. No Assumption Of Obligations. By entering into this Settlement Agreement, and with the exception of the understanding set forth in Paragraph 4 concerning the fiber optic cables owned and operated by AT&T. Corp., CSX and Carmel understand and agree that Carmel is not assuming any obligations, duties, or commitments created or otherwise allowed by CSX and/or its agents, officers, employees, representatives or assigns regarding or relating to the use or occupancy of the Monon Railway in Hamilton County, Indiana by any third party. 9: --?_.No Admission Of Liability: By entering into this Settlement Agreement, CSX and Carmel understand and agree that they are compromising disputed claims set forth in the Condemnation Lawsuits and are not admitting any liability nor agreeing upon the fair market value of any real estate whatsoever. 5 10. Attorneys' Fees and Costs: CSX and Carmel shall',-b ar their own attorneys' fees and costs incurred and associated with the Condemnation Lawsuits, any other litigation conceming Carmel's effort to acquire a property interest in the Morton Railway sufficient to construct a linear park wherein Carmel and CSX are parties, and the negotiation, execution; and enforcement of this Settlement Agreement. 11. Entire Agreement: This Settlement Agreement contains and embodies the entire agreement and understanding between the parties hereto and supersedes all prior agreements and understandings, oral or written, relating to the subject matter of this Settlement Agreement. No modification or waiver of the terms and conditions contained herein shall be of any force and effect unless such modification or waiver shall be in writing and signed by CSX and Carmel or their agents, representatives, successors, or assigns. 12. Severability: If any term or provision of this Settlement Agreement shall be deemed to be prohibited, invalid or unenforceable in.any jurisdiction, such a provision shall be deemed ineffective only to the extent of such prohibition or unenforceability and without invalidating the remaining provisions hereof or affecting the validity or enforceability of the same, and all such remaining terms and provisions shall remain in full force and effect. 13. Governing Law and Jurisdiction: This Settlement Agreement shall be goveined by and construed in accordance with the laws of the State of Indiana. Jurisdiction for any dispute-- s cerning this Settlement Agreement shall be in the Circuit or Superior Court of Hamilton County, Indiana. 14. Acknowledgment: This Settlement Agreement is the result of negotiations, and no particular person(s) or entity(ies) shall be deemed to be the drafter of this Settlement Agreement. By signing this Settlement Agreement, CSX and Carmel represent and warrant that: 6 (a) they are authorized to enter into and execute this Settlement Agreement; (b) the information furnished in this Settlement Agreement is true and accurate; (c) they have read this entire Settlement Agreement; (d) they understand the terms and conditions of this Settlement Agreement as well as the consequences of entering into this Settlement Agreement; (e) they-- iAye knowingly and voluntarily entered into this Settlement Agreement; (f) they have been represented by an attorney in connection with entering into this Settlement Agreement; and (g) this Settlement Agreement shall inure to the benefit of and be binding upon CSX and Carmel and their agents, representatives, insurers, successors, or assigns. 15. OnOctober,6, 2003, the Courtin the Ownership Lawsuit entered a Declaratory Judgment for the County of Hamilton (the "Declaratory Jud'gment'). ("Grantor") quitclaims to the CITY OF CARMEL ("Grantee"), for valuable consideration, the receipt and sufficiency of which is hereby acknowledged, all of its right, title and interest in and to that certain real estate located in Hamilton County, Indiana, being that real estate which is eighty (80) feet on each side of the center line of the Monon Trail, as the Monon Trail is shown on Exhibit A attached hereto and incorporated herein, specifically including, but not limited to,.that property described on Exhibit B attached hereto and incorporated herein, subject to all validly existing easements and encumbrances of record.
