Section 1. CrossReference. These Commitments are made in connection with (i) the BZA's
approval of a special use on November 24, 2008 under docket number 08100005 SU and (ii) the
approval by the City's Plan Commission ofDP/ADLS on December 16, 2008 under Docket No.
08090017 DP/ADLS (collectively the "Approvals") with respect to the real estate descn'bed in
what is attached hereto and incorporated herein by reference as Exhibit "An (the "Real Estate').
Section 2. Definitions.
Commitments.
The following definitions shall apply throughout these
A. Cremation. ilCremation" shall mean and refer to the actual cremation of a dead
human body.
B. Cremator. "Crematof" shall mean the person or entity performing the actual
Cremation of the hwnan body.
C. Subiect Funeral ijome. The "Subject Funeral Home" shall mean the funeral home
and crematory entity operating on the Real Estate pursuant to the Approvals.
D. Another Funeral Home. "Another Funeml Home" shaIl mean any funeral home
entity other than the Subject Funeral Home.
E. OUtsourced Cremation. "OUl:sourced Cremation.' shall mean an arrangement by
which Another Funeral Home, in exchange for payment to the Subject Funeral Home,
outsources or subcontracts-out a Cremation to the Subject Funeral Home.
Section 3. CoPUIlitment Prohibiting: Outsourcing. The Subject Funeral Home shaJI not, as a
Cremator, participate in or process Outsourced Cremations.
Section 4. Commitment regarding Crematory Unit. The ct<:mator,y unit to be installed in,the
Subject Funeral Home shaIibe the N-20AA Crematory Unit manufactured by B & L Cremation
Systems. Inc., and any replacements thereof shaH be comparable thereto.
Section 5. Recordine: of Commitments. The undersigned sball record these Commitments
with the Recorder of Hamilton County, Indiana.
Section 6.
Enforcement. These Commi1ments may be enforced by the BZA.
Section 7. Bindinl! on Successors. These Commitments are binding upon Blackstone andits
successors and assigns, unless modified or tenninal:ed by the BZA after a public hearing wherein
notice is provided by the roles of the BZA. The provisions of this Section 7 notwithstanding,

these Commitments'shall termimrte as to any part or parts of the Real Estate hereafter reclassified
("Rezone") on the CityTS official Zone Map. .
Sei:tion 8. Effective Date. These Commitments sball be neither effective nor en1brceable
until after both the acquisition by Blackstone of the Real Estate and the commencement of the
construction and development of the Subject Funeral H:ome in accordance with the Approvals
and, absent both the acqUisition by Blackstone of the Real Estate and the commencement of
development and consttuction of the Subject Funeml Home in accordance with the Approvals,
these Commitm.entsshall be null and void.
