EXPLANATION OF REQUEST
Kroger Food Stores is desirous of constructing a grocery store and fuel station, along with
additional smaller shops and two outlots, on approximately 22 acres of real estate located on the east side
of Michigan Road between 106"' Street on the south and 116"' Street on the north. The site is just south of
the Aaron Ruben Nelson Mortuary and is currently occupied by the Altum's Landscape Nursery
business. The site is outlined on the aerial photograph included under Tab 2. It is zoned B -3 Business
District and is also within the US 421/Michigan Road Overlay Zone.
In order to allow this redevelopment, two approvals have been requested; namely, (i) approval of
the development plan and architecture, design, lighting, landscaping, and signage (DP /ADLS) from the
Plan Commission and (ii) approvals of developmental standards variances from the Board of Zoning
Appeals. To this end, we will present the request for DP /ADLS to Plan Commission on December 15,
2009, and we will present the requests for development standards to the BZA on January 6, 2010.
Approximately twenty years ago, the subject site was rezoned to the B -3 Business District. At
that time, before the character of the area had become significantly more commercial, written
commitments were extended. A copy of these existing commitments is included under Tab 14. As
indicated, the existing commitment allows twelve (12) specific permitted B -3 uses, and also prohibits
other permitted B -3 uses unless allowed by the Plan Commission. The proposed grocery store and other
retail uses are permitted uses within the B -3 District, but are not among the twelve (12) B -3 uses specified
in the existing commitment. Consequently, we are also asking the Plan Commission, per the terms of the
existing commitment, to allow our proposed, B -3 uses. In this regard, and to further clarify the uses
allowed upon the site, we are proposing the replacement commitment included under Tab 15.
The request for DP /ADLS approval is fully detailed in this submittal. Included are (i) an aerial
photograph with an overlay of the site plan, (ii) a colored rendering of the site landscape plan, (iii) colored
building elevations, perspectives and building material information, (iv) landscape buffering and
screening details, (v) renderings of the signs, (vi) a photometric lighting plan and cut sheets of the
proposed fixtures, (vii) proposed development commitments and (viii) reduced -size development plans.
The applicant has worked diligently with surrounding property owners and, as indicated under
TAB 3 and TAB 9, great care has been taken to provide meaningful buffering between the subject
property and surrounding residential areas. All traffic and activity to the side and rear of the anchor
tenant and b -shops will be completely screened, far beyond the buffering requirements of the Zoning
Ordinance. Both existing mounds and landscaping along the north property line, as well as a new 8' tall
mound along the east and south property lines, will be augmented with a new 8' fence to provide an
immediate and solid visual barrier.

HOUSING Die -cast, one -piece aluminum ensures durable, weather -tight construction. Two
threaded conduit openings allow through wiring.
LENS /GASKET Choose either a flat clear tempered glass lens or a C73 diffused flat tempered
glass lens. A continuous one -piece extruded high temperature gasket ensures maximum
sealing to the housing.
LENS FRAME /DOOR FASTENER Features an integral hinged, die -cast aluminum lens frame.
Door frame closes and locks with stainless steel spring catch, allowing easy access for
ground re- lamping.
INSTALLATION One- person installation. No additional sealant required.
REFLECTORS /DISTRIBUTION PATTERNS The vertical burn optical system and
symmetrical reflector provide uniform general lighting under the canopy.
LIGHT SOURCES Pulse -Start Metal Halide or Metal Halide Reduced Envelope.
BALLASTS High -power factor type ballasts. Pulse -Start Metal Halide features Super CWA
ballasts and Metal Halide features CWA ballasts. Ballasts are designed for -20 degree F
operation. Electrical components are serviceable from below.
FINISH Standard colors are white or bronze powder coat finish. Each fixture is finished with
LSI's DuraGrip® polyester powder coat finishing process. The DuraGrip finish withstands

DECLARATION OF COMMITMENTS
IS DECLARATION, made this Y�-
38, by Robert Carter Altum (h eereinafter to as
I Joseph C. Miller and Margaret M. Miller (hereinafter referred
as Sellers), WITNESSETH:
WHEREAS, Joseph C. Miller and Margaret M. Miller are the Owners
and Contract Sellers of all of the real estate described in
Exhibit "A", attached hereto and made a part hereof; and
WHEREAS, Robert Carter Altum is the Contract Purchaser of all the
real estate described in Exhibit "A", attached hereto and made a
part hereof, and is the Owner of Altum Gardens, a garden shop,
landscape contracting, and ,plant nursery business, to be
established on said real estate (hereinafter known as the
Property); and
WHEREAS, the Buyer and Sellers art seeking a change in the.
Property's zoning classification, from S -1 to 3-3, and desire to
impose upon the property certain conditions and restrictions
(hereinafter referred to as Restrictions) that will enhance the
stability of local land use patterns and provide for the orderly
and attractive future development of the Property, for the
surrounding community and future owners thereof;
NOW, THEREFORE, the Buyer and Sellers hereby declare that all
the Property as it is held and shall be held, conveyed, hypothe-
cated or encumbered, leased, rented, used, o'r- occupied and
improved, is subject to the following Restrictions. All of the
Restrictions shall run with the land and shall be binding upon
the Buyer, his heirs and assigns, and all parties having an
interest in and to the real property or any part or parts thereof
subject to such Restrictions, and shall inure to the benefit of
the Buyer and every one of his successors in title to any real
estate in the Property. The Buyer specifically confers the
exclusive right or privilege of limiting or dissolving these
Restrictions and their future applicability upon the Carmel Plan
Commission.
I. CERTAIN LAND USES PERMITTED. The following is a list of land
uses which, pursuant to zoning classification regulations, shall
be permitted as uses of the Property:
A. Artificial lake or pond.
C Commercial greenhouse.
G, Craft and hobby shop (related to outdoor accessories,
landscaping, or plant material, both real and arti-
ficial).

D. Garden shop.
E. Porch /patio and outdoor furniture store.
F. Sales and storage of landscaping and building materials
(both enclosed and unenclosed).
G. Plant nursery.
H. Wholesale or retail sales of goods and services commonly
associated with garden shop /nursery /landscaping uses.
I. General offices.
J. Flower shop.
K. Landscape contracting.
L. Coffee shop /food service limited to use by patrons of the
primary use.
All other land uses listed as permitted by the Carmel Zoning_
Ordinance, Ordinance #Z -160, as amended, in the.B -3 district

2. MICHIGAN ROAD /S.R. 421 CORRIDOR OVERLAY ZONE. From the date
of recording an ordinance defining the property as B -3 pursuant
to Carmel City Ordinance #Z -160, no structure shall be placed on
the property, nor shall any site development plan or landscaping
be executed without prior Plan Commission review of the develop-
ment plan pursuant to the procedures for review as described in
said Ordinance #Z -160. The requirement for the review of the
Overlay Zone shall continue until the procedure for such review
is deleted from Ordinance #Z -160, until such ordinance is
repealed, or until the Plan Commission relieves this property of
this restriction.

COMMITMENTS
CONCERNING USE AND DEVELOPMENT OF REAL ESTATE
Kroger Limited Partnership I, an Ohio limited partnership, "Kroger and 1031 Z B,
LLC an Indiana limited liability company "Z B make the following commitments (the
"Commitments to the Plan Commission (the "Plan Commission of the City of Carmel,
Indiana (the "City
Section 1 Cross Reference These Commitments are made in connection with the approval
by the Plan Commission of DP /ADLS on under Docket No. 09100009 (the
"Approval with respect to the real estate described in what is attached hereto and incorporated
herein by reference as Exhibit "A" (the "Real Estate
Section 2 Definitions The following definitions shall apply throughout these
Commitments.
A. "Landscape Plans" shall mean the final Landscape Plans approved as part of the
Approvals.
B. "Sanitary Lateral Plans" shall mean the plans that are attached hereto and
incorporated herein by reference as Exhibit "B"
C. "Sanitary Lateral" shall mean the sanitary lateral identified on the Sanitary Plans.
Section 3 Commitment Concerning Only the following uses, individually or in any
combination, are permitted uses upon the Real Estate.
A. Clinic or Medical Health Center;
B. General Office;
C. Professional Office;
D. School, Trade or Business;
E. Day Nursery /Day Care;
F. Kindergarten /Preschool;
G. General Retail Sales (including, without limitation, grocery Store and pharmacy
with or without drive -thru service);
H. General Service;
I. Automobile Fuel Station;
J. Automobile /Truck Repair (indoor);
K. Car Wash;
L. Dry Cleaning Establishment (with or without on -site plant);
M. Financial Institution;
N. Automated Teller Machine (ATM);
O. Veterinary Hospital (with or without commercial kennel)
P. Art gallery;
Q. Restaurant (with or without drive thru service);
R. Printing /Publishing Establishment;
S. Accessory Outdoor Sales in area designated on approved plans; and
T. All uses accessory to the foregoing permitted uses.

Section 4 Commitment concerning traffic Trash pick -up and delivery of food, inventory
and goods shall not be permitted between the hours of 12:00 a.m. and 5:00 a.m.
Section 4 Commitment concerning landscape buffering. Landscape buffering, including
mounds and fences shall be installed per the Landscape Plans.
Section 5 Commitment concerning sanitary sewer. Kroger shall extend Sanitary Lateral,
per the Sanitary Plans, subject (i) to final approval of the Sanitary Lateral by the Clay Township
Regional Waste District and (ii) to the acquisition of the easement necessary to install the
Sanitary Lateral.
Section 6. Recording of Commitments The undersigned shall record these Commitments
with the Recorder of Hamilton County, Indiana.
Section 7 Enforcement These Commitments may be enforced by the Plan Commission.
Section 8 Binding on Successors These Commitments are binding upon Kroger and Z B
and their successors, assigns and grantees, unless modified or terminated by the Plan
Commission after a public hearing wherein notice is provided by the rules of the Plan
Commission. The provisions of this Section 7 notwithstanding, these Commitments shall
terminate as to any part or parts of the Real Estate hereafter reclassified "Rezone on the City's
official Zone Map.
Section 9 Effective Date These Commitments shall not be effective or enforceable until
the commencement of the construction and development of the Real Estate in accordance with
the Approval.
