Dear Mr. Cosmas:
Please accept these comments as our understanding of the issues discussed during our meeting on Friday, March
14, 2008 in the Department of Community Services conference room.
Carmel Drive Executive Park/City Center Drive and Carmel Drive
Landscaping concerns
Scott Brewer and Darren Mindham will contact the current owner regarding landscaping concerns. The
final Certificate of Occupancy will not be issued until these concerns are resolved.
Carmel Drive Sidewalk Issue
We are requesting that you contact Mr. Steve Ponsler, the apparent current owner of the west parcel
and /or the current owner of the east parcel (whom we do not know), and request that the 125'
unconstructed segment of sidewalk from the relocated Carmel Drive entrance east to the portion of
sidewalk completed with the City's Carmel Drive, Phase II construction, be completed immediately.' If a
commitment is not received for the construction of this segment of concrete sidewalk, the City will
construct the sidewalk and bill the appropriate entity. In either case, a final Certificate of Occupancy will
not be issued for the building until the issue is resolved. Upon completion of this segment of sidewalk, we
will approve the release of your Performance Bond through our Board of Public Works and Safety with a
recommendation to waive the 3 -year Maintenance Requirement and with the understanding that the
remainder of the required Carmel Drive sidewalk, from the relocated curb cut west to connect with an
existing sidewalk, will be bonded and constructed when the west parcel is developed. Since the City, as
part of the City Center Drive Phase II road project, relocated the Carmel Drive curb cut at the Developer's
request, it is the City's opinion that this is an equitable solution to a bonding issue that has been around
since 1999.
Secondary Plat
It is our understanding that the Secondary Plat for this development has never been approved. Since it
has not been approved or recorded, the subsequent Secondary Replat dividing the property into two
parcels is not valid. It was determined that you and the current owners of these parcels will contact
Keeler -Webb to produce a corrected and current Secondary Plat and arrange for appropriate approvals
and recording.
Main Guilford Plaza /Guilford Road and West Main Street
Landscaping Issues
Determination was made that you, your landscaper and Scott Brewer /Darren Mindham will meet on site
within two weeks to resolve the landscaping issues associated with this project. We have since been

notified by Darren Mindham via email on March 20, that Darren has passed the final landscape
inspection.
Right of Way Improvements
The issue is that the Right of Way Improvements were not constructed per approved plans'. Deficiencies
include portions of required curb construction that were not constructed and those curbs that were
constructed were extruded type curbing, which are not allowed in the right of way. We indicated our
desire to schedule a meeting with yourself and Joe Piel, one of the owners, to discuss the deficiencies
associated with the construction and a resolution of same.

Park Place Centre /Adams Street and Carmel Drive
The current owner of the divided north Park Place Centre parcel, Mr. Steve Ponsler, graciously agreed to
construct, and has constructed, a 5 -foot wide concrete sidewalk from the north side of the existing Adams
Street curb cut to the north property line, connecting with the existing sidewalk. Since the Boardwalk
Shops Developer of the divided south parcel has posted Performance Guarantees for the remainder of the
Concrete Sidewalk and Asphalt Path construction which was originally a requirement of Park Place
Centre', we will entertain the release of your Performance Bond upon receipt of a written request to do
so. However, there is a requirement to post a 3 -year Maintenance Guarantee for the sidewalk
constructed by Mr. Posner. The official release of the Performance bond is contingent upon our receipt of
a 3 -year Maintenance Guarantee in the amount of $509.00 The original Performance Bond will not be
returned until the Maintenance Guarantee is received. We requested your assistance and asked that you
please contact Mr. Posner and arrange to have this 3 -year Maintenance Guarantee posted. There is also
an outstanding Performance Bond posted for the Adams Street curb cut. We will also entertain a request
to release your Performance Bond for this item and recommend that the 3 -year Maintenance
Requirement be waived.
The original Engineer's Estimate from Mr. Adam DeHart of Keeler -Webb was as follows:
Adams Street Concrete Sidewalks 881 LF $9.875/LF $8,700.00 Carmel Drive Asphalt Path 285 LF $19.574/LF
$5,630.00 $14,330.00 Total
'The new concrete Sidewalk constructed was approximately 515 LF $9.875/LF $5,086.00 original Performance
Guarantee value 10% Maintenance Requirement $509.00 3-year Maintenance amount.
Meridian North Medical Office Building/136 Street and Illinois Street
Right of Way Improvements
Discussions included the options of either the actual construction of the improvements by the Developer
at current construction costs or, in lieu of construction, the Developer making a contribution to the City's
Non Reverting Thoroughfare Fund in the amount of the value of the improvements as determined by the
Developer's Engineer" during the initial approval process of the project. We agreed that the City would
deduct the cost of damages to the irrigation system (Turf Busters Inc. 7/14/2007 Invoice #6579 $1,450),
resulting from the City's road project, from the final contributed amount. If the contribution to the Non
Reverting Thoroughfare Fund is made, we will release the Performance Guarantees posted for the
improvements and waive the 3 -year Maintenance Requirement. Otherwise, the actual construction will
be required to be completed as soon as possible. A 3 -year Maintenance Guarantee would be required
after completion of the construction of the required Right of Way Improvements per your letter of
commitment dated and recorded.

Property Transfer
Additionally, The City of Carmel would like to complete the negotiated land swap as required in order to
facilitate the City's construction of the roundabout at 136 Street and Illinois St. /Oak Ridge Rd. In the
terms or our understanding the City agreed to deed to you a strip of land immediately adjacent to the
West property line of your property in exchange for the you granting Buckeye Wood River Pipeline an
easement across the northwest corner or your parcel to encompass the relocation of their existing
pipeline out of the path of the road project. The City also agreed to support your request to amend the
Secondary Plat in order to vacate the Ingress /Egress Easement which existed across your parcel to lesson
restriction on your parcel. This verbal agreement has existed for quite some time and the City now needs
to formalize these understandings.
Our intent in scheduling this meeting was to outline all of the remaining issues associated with your projects within
the City of Carmel, to include the various City personnel involved in these issues and to attempt to provide
guidance in the timely resolution of these issues. It is our desire, and hopefully it is your desire, to resolve these
issues as soon as possible. Thank you for your attendance and your patience. We will be anticipating your
response.
