That Abbot Properties, LLC, the fee simple owner of the following described real property "Property
described in attached Exhibit "A incorporated herein by this reference, which Property is located in the City of
Cannel, Hamilton County, State of Indiana, hereby grants and conveys in fee simple for the expansion of Range
Line Road to include on- streeLparking and the relocation of the proposed sidewalk, all of Grantor's rights, title
and interest in the Property to the City of Carmel, Indiana "Grantee subject to all natters of record, for the
sum of One Dollar ($1.00) and other good and valuable consideration, the receipt and sufficiency of which are
hereby acknowledged and subject to the rights of Grantor to develop and use the Property as proposed and
approved by the Cannel Plan Commission at their August 16, 2006 meeting until the City of Carmel expands
Range Line Road to include on- street parking on the Property. The City of Cannel, by accepting this
Dedication and Deed of Public Right -of -Way (a) consents to Grantor's construction of improvements to the
Property as presented to the Cancel Plan Commissioner on DP /ADLS approved on August 16, 2006, and (b)
agrees that when the Property is used for the expansion of Range Line Road to include on- street parking, the
City of Carmel will be fully responsible for all construction costs including, but in no way limited to, all costs
of relocating, replacing sidewalks and improvements placed on the Property by the Grantor including
landscaping, lighting, drainage, sewer, utilities and relocating /replacing the improvements on the real estate
retained by Grantor such that the look of the improvements and the functionality of the improvements is
substantially the sane as it was before the construction of on- street parking
This conveyance of real estate is not subject to Indiana gross income tax.

North, Range 3 East, 2nd Principal Meridian, Clay

Commencing at a brass plug found marking the
Southeast corner of the Northeast Quarter of
Section 36, Township 18 North, Range 3 East
thence on the East line of said quarter section,
