THIS INDENTURE WITNESSETH: That AMERICAN AGGREGATES
CORPORATION, "Grantor hereby gives and dedicates to the City
of Carmel, Indiana (hereinafter "Grantee for public
right -of -way purposes only, the real estate situated in Hamilton
County, Indiana, and described in Exhibit "A" attached hereto and
made a part hereof.
This Dedication is made subject to all existing easements
and right -of -ways.
This conveyance of real estate is not subject to Indiana
gross income tax.
IN WITNESS WHEREOF, Grantor has executed this Dedication as
of the 4th day of March, 1991.

WHEREAS, the foregoing Grantor has this day filed with the
City of Carmel, its dedication of certain real estate for the
purpose of establishing City rights -of -way, which Dedication is
hereinabove set forth:
AND WHEREAS, the City of Carmel, is of the opinion that said
Dedication is desirable and necessary:
NOW THEREFORE, said City of Carmel, by the Carmel Board of
Public Works and Safety, under and by virtue of the power
conferred upon it by statutes of the State of Indiana, for and on
behalf of the City, accepts said Dedication for the purpose of
public rights -of -way, and orders that the Instrument of
Dedication be recorded in the Recorder's Office of the County of
Hamilton, State of Indiana, and said described real estate is
hereby declared open and dedicated.
