THIS INDENTURE WITNESSETH, That The
(Grantor) of Hamilton County, in the State of Indiana, CONVEYS AND
WARRANTS to the City of Carmel (Grantee) of Hamilton County, in the
State of Indiana, for the sum of Ten Dollars ($10.00) and other
valuable consideration, the receipt and sufficiency of which is
hereby acknowledged, the following described real estate in
This conveyance is made subject to the following exceptions,
covenants, restrictions, limitations and servitudes, all of which
shall run with the land and be binding upon and inure to the
benefit of the heirs, representatives, successors and assigns of
the parties hereto:
1. The demised real estate may be used by Grantor, his
successors and assigns, including any property owners association
formed as the result of the development of the real estate for
recreational purposes that are not prohibited by an administrative
agency exercising its authority over the well sites reasonably
necessary to protect the wells for water production purposes,
including, but not limited to well head protection standards issued
by the Indiana Department of Environmental Management. If the
agency determines that certain or all uses are prohibited, then
prohibited use of the real estate shall cease.
2. The only above ground structure to be built on the demised
real estate shall be a building to house well pump equipment and
fencing, or other structures agreed to by the Grantor and Grantee
or their heirs or assigns.

3. The demised real estate shall be included in Grantor's
residual real estate at the time of future development for purposes
of any zoning greenspace requirement, if one is required pursuant
to the zoning code.
4. To all easements, rights -of -way, and to all conditions,
restrictions, or covenants of record.
5. Taxes due and payable in May, 1993, and thereafter.
6. Municipal assessments assessed after the date hereof.
The undersigned hereby represent that this real estate is not
"property" as defined in Indiana Code 13 -7- 22.5 -6, and is not, and
has not been used as a landfill or dump, and contains no
underground storage tanks or toxic or hazardous waste or materials,
and that no disclosure statement under Indiana Code 13 -7- 22.5 -1, et
seq. (Indiana Responsible Transfer Law), is required for this
transaction.
