THIS INDENTURE WITNESSETH: That MERCHANTS NATIONAL BANK
TRUST COMPANY OF INDIANAPOLIS, as Trustee Under A Trust Agreement
dated November 15, 1979, AMERICAN FLETCHER NATIONAL BANK and
TRUST COMPANY, as Trustee, and SPRINGMILL ASSOCIATES, an Indiana
general partnership (collectively, "Grantors for and in con-
sideration of the sum of One Dollar ($1.00) and other valuable
consideration, the receipt of which is hereby acknowledged, hereby
dedicate to the City of Carmel, Indiana (hereinafter "Grantee for
public right -of -way purposes only, the real estate situated in
Hamilton County, commonly known as (i) Pennsylvania Street from
131st Street south to 126th Street and (ii) 126th Street from
U.S. 31 east to Meridian Street, which real estate is more
particularly described in Exhibit "A" attached hereto and made a
part hereof.
Grantors specifically reserve for themselves and their
respective successors, assignees and grantees the right of access
to said dedicated rights -of -way. Grantee specifically accepts
this Dedication subject to such reserved right of access.
This Dedication is made subject to all existing easements and
right -of -ways.
IN WITNESS WHEREOF, Grantors have executed this Dedication as

WHEREAS, the foregoing Grantors have this day filed with the
City of Carmel, their dedication of certain real estate for the
purpose of establishing City right -of -ways, which Dedication is
hereinabove set forth:
AND WHEREAS, the City of Carmel, is of the opinion that said
Dedication is desirable and necessary:
NOW THEREFORE, said City of Carmel, by the Carmel Board of
Public Works and Safety, under and by virtue of the power conferred
upon it by statutes of the State of Indiana, for and on behalf of
said City, accepts said Dedication for the purposes of public
rights of way, and order that the same be recorded in the Recorder's
Office of the County of Hamilton, State of Indiana, and said
described real estate is hereby declared open and dedicated.
