Grantor shall mow and care for the grass located within the Permanent Easement Parcel and shall keep the Permanent Easement Parcel free from debris, silt, weeds, refuse and any other obstructions. Grantor shall maintain, repair, replace and service all roadside ditches or swales and all driveway, walkway or similar culverts located within the Permanent Easement Parcel. Grantor shall not block, impede or interfere with the Project improvements or Grantee's access thereto. 5. Easement and Covenants Appurtenant The easement granted, created and made herein, together with the benefits and privileges thereof, shall run with the Grantor Parcel and inure to the benefit of Grantee and its grantees, successors and assigns. The easement granted, created and made herein, together with the burdens thereof, shall run with and bind the Grantor Parcel, and shall bind Grantor and her grantees, successors and assigns. All covenants and agreements of the Grantor and Grantee hereunder, together with the benefits and burdens thereof, shall be deemed to be real covenants which touch and concern the Permanent Easement Parcel and the Grantor Parcel, as applicable, shall run with the Permanent Easement Parcel and the Grantor Parcel, and shall inure to the benefit of and be binding upon Grantor and Grantee, as applicable, and their respective grantees, successors and assigns. The Grantor agrees that, as between the Grantor and the Grantee, the acceptance of this Agreement by the Grantee shall not increase the liability of the Grantee for environmentally related claims arising from or related to conditions on the Grantor Parcel prior to the acceptance of this Agreement. 7. Jurisdiction The Grantor and the Grantee agree that any litigation associated with or arising from this Agreement shall be filed with a court of competent jurisdiction within the State of Indiana. 8. It includes both a fee simple taking and a perpetual drainage easement. The City of Carmel has developed plans for a public improvement project entitled Guilford Road Improvements City Center Drive to Main Street. From approximately 400' north of City Center Drive to just south of Grand Boulevard, the roadway is being milled and resurfaced. From south of Grand Boulevard to Main Street, the roadway is being widened to accommodate three lanes of traffic. At the Grand Boulevard intersection, there will be a northbound left turn lane, a northbound thru lane, and a southbound thru lane. At Main Street, the roadway will widen to four lanes: a southbound thru lane, a northbound left turn lane, a northbound thru lane, and a northbound right turn lane. In between, the three lanes will be a southbound thru lane, a northbound thru lane, and a center dual left hand turn lane. A multipurpose path will be extended along the west side of Guilford Road throughout the project. The path will have an asphalt surface and is typically eight (8) feet wide. A combination of various grass strips will be installed in conjunction with the multipurpose path. Drainage throughout the project will be continued and improved through improvements and additions to the storm sewer system and curb and gutter sections along the roadway. Additionally, erosion control measures will be in place during construction. Construction of the project will periodically affect the flow of traffic on Guilford Road and the cross streets. Some closures may be allowed but the intention is to minimize traffic disruptions and to maintain traffic on Guilford Road. Access to properties along Guilford Road and along Main Street will be maintained throughout the project. All drive and street approaches will be repaired with like materials to the limits of the pavement disturbed. In order to construct these public improvements, it will be necessary for the City of Carmel to acquire a portion of your property on Guilford Road. 1311 N. The parcel is approximately 45.01 feet wide with a slight corner cut at Grand Boulevard. The acquisition area contains 0.687 acres. Of this amount, 0.165 acres are pre existing right of way. Also being acquired is a perpetual drainage easement which is located adjacent to the fee simple acquisition area at 120 Street. It is rectangular is shape and is approximately 40 feet X 40.1 feet and contains 0.037 acres. The fee simple acquisition area is colored red and the perpetual drainage easement is colored green on the attached plan sheet. In order to construct the project, it will be necessary to remove and relocate two existing three- dimensional identification signs at each end of the property along Guilford Road and a small "available soon" sign along Guilford Road. This will be compensated for as cost to cure damages. There are no building improvements located within the acquisition area; however, land improvements include lawn, asphalt drive, a large deciduous tree, 15 large evergreen trees, 15 medium evergreen trees, 15 small evergreen trees, and a small ornamental tree. The City of Carmel is making one offer to all parties of interest in the property. All property taxes are to be current. The City's offer for the proposed total fee simple acquisition of 0.687 acre and the acquisition of the perpetual drainage easement of 0.037 acres, including land and improvements, is-$ 159,700.00. Of this amount, $139,700.00 is paid for land and improvements; 2•;SO, 0 is paid for the perpetual drainage easement, and $17,500.00 is paid as cost to cure damages related to the signs. This offer is supported by the Appraisal Report and the Statement of the Basis for Just Compensation, which are being provided to you. If there is a difference of opinion as to the value established, you may, at your own expense, secure a private appraisal, which may be submitted to the City for review and possible consideration. You have thirty (30) days to consider the City's offer. This offer may be accepted now or at any time during this period. The City of Carmel requests that you grant right of entry to the City so that this project not be delayed. The Right of Entry would allow additional time for the parties to resolve questions, complete negotiations, and clear any liens or encumbrances on the project. The Right of Entry would be accepted with the understanding that neither party is waiving any of their rights should negotiations fail.
