Course Objective:
In order to maximize business opportunities by incorporating legal strategy, business managers must
recognize the legal issues surrounding business operations. Those issues do not function as a barrier,
defining what cannot be done, but as a sieve that strains out only some of the various strategic options
available to business. Ethical considerations further strain potential options. Critical thinking is crucial
to design a rational course of action given the legal and ethical considerations. This course strives to
identify legal issues and foster critical thinking about legal and ethical solutions. It does so by relying
on both legal cases as examples of the nuances of the legal regulations and business cases for developing
solutions that incorporate legal strategy.

Assignments:
You are expected to complete the assigned reading prior to class. This class requires substantial reading
and much of it is very detail- oriented. The details are important. Although I do not expect you to
memorize all the details, I will expect an understanding of the details. In particular, the legal cases may
present challenges in understanding the references and style of analysis. You are expected to work
through this but I am available throughout the course to answer specific questions and welcome the
opportunity to do so. This course also utilizes Harvard -style business cases. You are to read the
business cases carefully for each class meetings. Prepare the study questions relating to the materials so
you most effectively can contribute to class discussion.
Group Project: Your group link to group assignments will study a business challenge. Ideally the
company will reflect your current employment or your future plans. This group project is much like an
extended case analysis exercise; however, in this project the group acts as the case authors as well. The
case analysis should incorporate critical thinking skills, reasonable exploration of alternatives, a
business recommendation with supporting materials and an action plan to implement the
recommendation.
The project must include an interview with at least one business leader. Include the contact name and
telephone number in your final report. Take advantage of the project to make important contacts with
