The undersigned person executing this deed represents and certifies that he is a duly elected officer of the Grantor and has been fully empowered by proper resolution, or the by -laws of the Grantor, to execute and deliver this deed; that the Grantor is an Indiana corporation in good standing; that the Grantor has full corporate capacity to convey the real estate described; and that all necessary corporate action for the making of this conveyance has been duly taken. Grantor, as its sole warranty hereon warrants to Grantee and its successors and assigns, that Grantor will forever defend title to the Real Estate (subject, however, to the foregoing exceptions) against the claims of all persons claiming by, through, or under Grantor, but against none other, which claims are based upon matters occurring subsequent to Grantor's acquisition of the Real Estate.
