ACCEPTANCE OF DEDICA'T'ION DEED OF PUBLIC RIGHTS -OF -WAY
WHEREAS, the foregoing Grantor having filed with the City of Carmel, Indiana "City its
Dedication and Deed of certain real property "Property") to the City for the purpose of establishing
City rights -of -way, which Dedication and Deed is attached hereto and incorporated herein as Exhibits
"A "Al" and "AT', hereinabove set forth;
AND WHEREAS, the City believes that said fee simple conveyance of property is desirable and
necessary and in the City's best interests;
NOW THEREFORE, the City, by and through its Board of Public Works and Safety, hereby accepts
said Dedication and Deed, and orders that the Instrument of Dedication and Deed described herein be
recorded in the Recorder's Office of the County of Hamilton, State of Indiana, and that said described
real property be, and the same hereby is, declared open and dedicated to the City.

GRANT OF UNDERGROUND EASEMENT AGREEMENT
In consideration of the sum of One Dollar ($1.00) and other good and valuable consideration, the receipt of which is hereby
acknowledged, THE CITY OF CARMEL (hereinafter referred to as "Grantor hereby grant(s) unto DUKE ENERGY INDIANA,
INC., an Indiana corporation, with a mailing address of 1000 E. Main Street, Plainfield, IN 46168 and its successors and assigns
(hereinafter referred to as "Grantee a perpetual, non exclusive easement to construct, reconstruct, operate, patrol, maintain, repair,
replace, relocate, add to, modify and remove, electric line or lines including but not limited to, all necessary and convenient conduits,
wires, cables, manholes, pullboxes, grounding systems, counterpoises and all other appurtenances, fixtures and equipment (hereinafter
referred to as the "Facilities for the underground transmission and distribution of electrical energy in, along, under, through and
across a portion of the following described real estate:
Situate in Section 24, Township 18 North, Range 3East, Clay Township, Hamilton County, State of Indiana; being a
part of a tract as recorded in Instrument Number 9909941672 both in the Office of the Recorder of Hamilton
County, Indiana (hereinafter referred to as "Grantor's Property"), such portion being more particularly described as
follows:
Said easement being a twenty (20) foot wide area indicated, relative to landmarks and property lines, shown on a
drawing marked Exhibit "A attached hereto and becoming a part hereof (hereinafter referred to as "the Easement
Area
This easement grant shall include, but not be limited to, the following respective rights and duties of Grantor and Grantee:
1. Grantor has constructed a linear park and recreational trail (the "Trail which includes the Easement Area. Grantee
understands and recognizes that the Trail is open to the public and that Grantee must coordinate its use of the Easement Area with the
Grantor as provided herein and provide for the safety of Trail users durng such time as Grantee is exercising its rights hereunder.
2. The Facilities shall consist of underground lines. Grantee shall have no right to construct any improvements, above
ground structures or supporting structures (such as a tower or pole) on the surface of the Easement Area.

RESOLUTION CC- 07- 02- 12 -01 COPY
A RESOLUTION OF THE COMMON COUNCIL OF THE CITY OF CARMEL, INDIANA,
TO AMEND ORDINANCE D- 2076 -11 TO INCLUDE AMENDMENT 1 OF INTERLOCAL
FUNDING AGREEMENT FOR GRANT NO: HCCDBG -10 -7
WHEREAS, on the December 5, 2011, the Common Council of the City of Carmel, Indiana, (the
"Common Council passed Ordinance D- 2076 -11; and
WHEREAS,. Ordinance D- 2076 -11 approved the interlocal funding agreement for Grant
No: HCCDBG -10 -7 (the "Grant between the City of Carmel (the "City and Hamilton County (the
"County for the Auman and Newark Neighborhood Improvement Project -Phase II, which is
incorporated by reference within Ordinance D- 2076 -11; and
WHEREAS, on June 20, 2012, the City, by and through its Board of Public Works and Safety,
and the County, by and through the Board of Commissioners, agreed to amend the Grant, a copy of which
is attached hereto and incorporated herein as Exhibit A "Amendment 1 and
WHEREAS, Amendment 1, which increases the Community Development Block Grant (CDBG)
portion of the Grant from Two Hundred and Seventeen Thousand, Nine Hundred and Ninety -Six Dollars
($217,996.00), to Four Hundred and Twenty Thousand, Three Hundred and Fifty -Three Dollars
($420,353.00), an increase of Two Hundred and Two Thousand, Three Hundred and Fifty -Seven Dollars
($202,357.00), is in the best interests of the City and its residents.
NOW, THEREFORE, BE IT ORDAINED by the Common Council of the City of Carmel,
Indiana, as follows:
Section 1 The forgoing Recitals are incorporated herein by this reference.
Section 2 The Amendment should be and is hereby approved and adopted by the Common
Council.
Section 3 The Cleric Treasurer is herby directed to file a copy of Amendment 1 with the Hamilton
County Recorder and State Board of Accounts within the time periods established by Indiana Code 36 -1-
7-6.
Section 4 This Resolution shall be in full force and effect from and after the date of its passage,
execution by the Mayor, and such publication as may be required by law.
