CONDITIONS OF THE CONTRACT
SECTION 00150 — INSTRUCTIONS TO BIDDERS
Examination of Site and Documents: Each bidder shall visit the site of the proposed work and acquaint
himself with the existing conditions so he may understand the existing systems and facilities,
difficulties, and restrictions related to the execution of the work under the contract.
Selected Contractors are invited to submit bids for the tenant finish work as indicated on the drawings.
Proposals ore to include all labor, taxes, fees, insurance, permits, tools, equipment, materials, services
and 'incidental necessary or required for the construction of the proposed project as outlined by the
Contract Documents. Furnish a completed CPI Breakdown Sheet with each bid.
Right to Reject Bid Proposals: The Tenant (CPI Corporation) reserves the right to waive irregularities and
to reject any or all Bid Proposals.
SECTION 00700 — GENERAL CONDITIONS
The General Conditions of this Contract is the American institute of Architects' Document A201, "The
General Conditions of the Contract for Construction ", 1987 Edition, hereinafter referred to as the "ALA
General Conditions'.
SECTION 00800 — SUPPLEMENTARY GENERAL CONDITIONS
The following supplements modify the "General Conditions of the Contract for Construction," AIA Document
A201, 1987 Edition. Where a portion of the General Conditions is modified or deleted by these
Supplementary General Conditions, the unaltered portions of the General Conditions shall remain in effect.
ARTICLE 1 — GENERAL PROVISIONS
Add paragraph 1.1.8 Phrases used in the specifications are further defined as follows:
as shown" — As shown on the accompanying drawings.
"provide" — Provide and install complete, with all necessary accessories and incidental materials and
supplies.
"instal!" — Install items complete, providing all incidental and necessary materials and supplies.
"General Contractor" — The General Contractor or any, or all of his various subcontractors.
'Tenant' or "Owner' — Used interchangeable and referring to CPI Corporation, St. Louis, Mo.
"Landlord' — Owner or developer of the moll property, or any of their agents authorized to act in their
place.
Add paragraph 1.2.6 If discrepancies appear among contract documents, Contractor shall request
interpretation in writing before proceeding with the work. Should conflicts between drawings and
sped fications exist, Contractor is deemed to have included the more expensive method of doing work in his
bid unless he has asked for and obtained a written decision before submission of his proposal as to which
method or materials will-be required.
Add paragraph 1.2.7 Before ordering material or doing work, the Contractor shall verify oil dimensions
and job conditions, and shot! take measurements at the job and shall be responsible for the correctness of
some. Any discrepancies between the drawings and specifications and existing conditions shaft be referred
to the Architect for adjustment before any work affected thereby has been performed.
ARTICLE 3; CONTRACTOR
Add paragraph 3.2.4 The General Contractor shall secure from and comply with all construction policies,
criteria and procedures established by Landlord and governing authorities. He shall coordinate his
activities during construction with the Landlord's Mail Manager or agent. Contact:Mr. Ryan Hurst (317) 299 -9999
Add paragraph 3.5.3 If, within one year after the Date of Substantial Completion or within such longer
period of time as may be prescribed by low or by the terms of any applicable special guarantee required by
the Contract Documents, any of the work is found by the Owner to be defective or not in accordance with
the Contract Documents, the Contractor shall correct it promptly after receipt of a written notice from
the Owner to do so. The Owner shall give such notice promptly after discovery of the condition.
Add to subparagraph 3.7.1 the following: Permits, fees, and licenses necessary for the execution of the
mechanical and electrical work shall be secured and paid for by the Subcontractors involved.

the Architect, their agents, servants, and employees from and against any and all liability or damage to
property occasioned by any act or omission of the Contractor, his subcontractors, servants, or employees,
including any and all expense, legal or otherwise, which may be incurred by the Tenant, its agents,
servants, or employees in the defense of any claim, settlement or suit.
ARTICLE 4; ADMINISTRATION OF THE CONTRACT

111.1 The General Contractor and all subcontractors are required to obtain the following insurances, and
furnish suitable evidence to the Owner and landlord prior to construction. All insurance sfraff name CPi
Corp., CPI photo finish, Fox Photo Inc., Consumer Programs, Inc. and Chiodini Associates as additional
insured parties.
11.1,1.1 Workmen's Compensation Insurance in accordance with the laws of the State in which the property
is located and per Landlord requirements.

DIVISION 1 GENERAL REQUIREMENTS
SE CTION 01010 PROJECT SUMMARY
ARY
Project Description: The work consist of providing ' ng al ! labor, materials, equipment and supplies to
construct the retail tenant space as indicated and described in the project documents.
Review drawings and Tenant's leasing drawings for extent of work to be performed by Landlord.
Review drawings for extent of Tenant furnished materials and equipment. Coordinate work of others as
required. Materials or goads will be delivered F.O.B. jobsite by Tenant, at no expense to the General
Contractor. Unloading, storage, installation, and /or assembly of items "provided by Tenant" shall be by
General Contractor unless otherwise noted-
All soles counters, photo equipment and display cabinets as indicated to be Tenant supplied and CC
installed.
All signs to be furnished and installed by Tenant's sign contractor.
Partial Tenant Occupancy, The Tenant reserves the right to occupy and place and install equipment in
completed areas prior to Substantial Completion provided such occupancy does not interfere with completion
of the Work. Placing of equipment and partial occupancy shall not constitute acceptance of the total
Work.
Owner Contractor Agreement Prepare on AIA form acceptable to Owner.
Subcontractor List: Furnish complete list of all contractors with name, address, contact and phone number.
Invoices: General Contractor shall provide copies of all invoices for all work done on a "time and
material' basis.
Change Orders: Furnish complete breakdowns with supporting dota'and Tenant authorization.
Material and Payment Bond: Where required by Owner provide a Performance. Bond and Labor and Material
Payment Bond in an amount equal to 100% of the contract sum.
SECTION 01040 PROJECT COORDINATION:
Contractor shall provide all permits, articles, materials, operations, or methods listed, mentioned, or
scheduled on the drawings and /or specified herein, including all labor, materials, equipment, and
incidentals necessary and required for their completion.
General Contractor to secure from Tenant c summary of the tenant lease construction obligations and
Landlord's typical tenant criteria or construction guidelines and store plans as approved by Landlord.
Review and Incorporate these minimum requirements in the bid in addition to work required herein,
The Contractor shall notify the Owner prior to starting work for approval, to commence work and submit all
required insurance policies.
Coordinate various elements of the work and entities engaged to perform work; and coordinate the work with
existing facilities /conditions, and with work by separate contractors and by Owner.
Layout and Levels: Maintain a permanent bench mark and locate the buildings on site and establish
building lines and floor elevations.
Installer Inspection: Require Installer of each major unit of work to inspect substrate and conditions
for installation, and to report (in writing) unsatisfactory conditions. Correct unsatisfactory conditions
before proceeding.

Manufacturers Instructions: Comply with manufacturer's installation instructions and recommendations, to
the extent that they ore more stringent than requirements in Contract Documents,
Workmanship: Perform all work according to highest standards of building trades.
Timing. Install work during time and under conditions which will ensure best possible results,
coordinated with required inspection and testing.
Anchor work securely in place, properly located by measured line and level, organized for best possible
uniformity, visual effect, operational efficiency, durability, and similar benefit to Owner's use.
Isolate non — compatible materials from contact, sufficiently to prevent deterioration.
Mount individual units of work at industry — recognized mounting heights, if not otherwise indicated; refer
uncertainties to Architect/Engineer before proceeding.
All work shall be performed in temperature ranges that are within the trade — recommended ranges and /or the
ranges herein specified.
Cleaning and Protection: During handling and installation, dean and protect construction in progress and
adjoining materials in place. Apply protective covering where required to ensure protection from damage
or deterioration at substantial completion.
Delivery, Storage and Handling: General: Receive, store and handle products, materials and equipment in a
manner which will prevent ioss, deterioration and dam-age Schedule deliveries to minimize long —term
storage at project site.
SECTION 01045 CUTTING AND PATCHING:
Each subcontractor shall do necessary cutting and patching for proper installation of his work.
Structural Work- Do not cut and patch structural elements in a manner that would reduce the food— corrying
capacity or load deflection ratio. Obtain approval of the cutting and patching proposal before cutting
and patching structural elements.
Operational/Safety Limitation: Dc not cut — and —patch operational elements and safety components in a
manner resulting in decreased performance, shortened useful life, or increased maintenance.
Visual /Quality Limitations: Do not cut —and —patch work exposed to view (exterior and interior) in a manner
resulting in noticeable reduction of visual qualities and similar qualities, as judged by
Architect/Engineer,
Protection: Protect other work during cutting and patching to prevent damage. Provide protection from
adverse weather conditions for that part of the project that may he exposed during cutting ar.d patching
operations.
in no way shall work on this project adversely affect adjacent property. Contractor shall verify and
insure same. All reasonable measures for noise and dust abatement shall be employed.
SECTION 01300 SUBMITTALS
Project Submittals: Reproducible plus three copies of shop drawings, three copies for product data and
warranties, two representative units for samples.
Procedural Requirements: Coordinate submittals with progress schedule and actual progress of work; Allow 2
weeks for Arch itect's/1✓n gin eer's initial processing of submittals requiring review and return.
Substitutions: Substitutions of materials specified will be permitted, but not encouraged, Substitutions
must be requested by the Genera! Contractor. Requests must be accompanied by pertinent shop drawings,
product data or cutsheets. Substitutions must be approved by the Architect.
SECTION 01400 QUALITY CONTROL SERVICES: '
Where required by technical sections of the specifications: provide independent testing agency engaged and
paid for by Contractor. Coordinate the sequence of their inspection and testing activities.
Submit copies of each inspection and test report to Architect.
SECTION 15000 TEMPORARY FACILITIES
Temporary Facilities:

Heat, Water and Electrical Power shall be furnished and paid for by the Genera! Contractor,

construction time.

SECTION 01700 PROJECT CLOSEOUT
Procedures at Substantial Completion: Prerequisites: Comply with General Conditions and complete the
following before requesting Architect's /Engineer's inspection of the world, or designated portion thereof,
for substantial completion:
Submit executed warranties, workmanship bonds, maintenance agreements, inspection certificates and
similar documentation for specific units of work, enabling Owner's unrestricted occupancy and use.
Submit record documentation, maintenance manuals, tools, space parts, balance reports, keys and similar
operational items.
Complete instruction of Owner's operating personnel, and start - -up of systems.
Complete final cleaning, and remove temporary facilities and tools.

remove non — permanent protection and labels, polish glass, clean exposed finishes, touch —up minor finish
damage, clean or replace filters of mechanical systems, remove debris, broom- -clean unoccupied spaces,
sanitize plumbing facilities, clean light fixtures and replace burned —out lamps, sweep and wash paved
areas, police yards and grounds.
SECTION 02060 — DEMOLITION
Extent of demolition work is shown on drawings and as required ov new work,
Condition of Structures: Owner assumes no responsibility for actud condition of structures to be
demolished
Protections: Ensure safe possoge of persons around area of demolition. Conduct operations to prevent
injury to adjacent tenant spaces, buildings, structures, other facilities, and persons. Provide shoring,
bracing, or support to prevent movement, settlement or collapse of structures to be demolished and
adjacent focirties to remain.
Comply with all Landlord requirements re: demolition operations, temporary barricades and protections.
Damages: Promptly repair damages caused to adjacent foc4ities by demolition operations at no cost to
Tenant.
Utility Services: Maintain existing utilities indicated to remain, keep !n service, and protect against
damage during demolition operations.
Disconnect and seat utilities serving structures to be demolished, prior to start of demolition work.
Clean adjacent areas and improvements of dust, dirt, and debris caused by demolition operations, as
directed. Return adjacent areas to condition existing prior to start of work.
Demolition: Remove portions as indicated completely and remove from site. Use such methods as required
to complete work within limitations of governing regulations.
Disposal: Remove from site all debris, rubbish, and other materials resulting from demolition operations.
SECTION 03310 — CONCRETE Patch existing flow slab as required by demolition.

Codes and Standards: AISC "Specifications for the Design, Fabrication and Erection of Structural Steel
for Buildings "; AWS "Structural Welding Code ",
Steel Plates, Shapes, Bars: ASTM A 36,
Cold — Formed Steel Tubing. ASTM A 500, Grade B.
Steel Pipe: ASTM A53, Type E or S, Grade B.
Shop Paint: SSPC —Point 14. Apply to cleaned and decreosed steel surfaces at rate to provide a 2.0 —mil dry
film thickness.
Loose Bearing Plates: Provide for steel items bearing on masonry or concrete.
Non Shrink Non — Metallic Grout: CE CRD —C621; recommended by manufacturer for application intended.
Fasteners: Provide bolts, nuts, lag bolts, machine skrews, wood skrews, toggle bolts, masonry anchorage
devices, lock washers as required for application Indicated and complying with applicable Federal
Standards. Hot dip galvanize fasteners for exterior applications to comply with ASTM A 153.
Fabrication: Use materials of size and thickness shown, or if not shown, of required size, grade and

Weld comers and seams continuously, grind exposed welds smooth and flush. Form exposed connections with
hairline, flush joints; use concealed fasteners where possible.
Miscellaneous Framing and Supports: Provide as required to complete work and not included with structural
steel framework.
installation: Perform cutting, drilling and fitting required for installation; set work accurately in
location, alignment, and elevation, measured from established lines and levels. Provide anchorage devices
and fasteners where necessary for attachment to other work.
SECTION 06100 — CARPENTRY
Lumber Standard, Arm, Softwood Lumber Std. PS 20 (U.S, Dept. Comm.), S4S, 19% moisture at time of
dressing, except as otherwise indicated.
Concealed Board Lumber: Southern Pine "No. 3" (SPIB), or any species *Standard' (W. A),
Fasteners and Anchorages; Type, size, kind and quantity required by intended use; hot dip galvanize.
Plywood Standard: Softwood plywood -- Construction and Industrial PS 1 (U.S. Dept. Comm.), type and grade
as indicated.
Preservative Pressure — treated wood: AWPB LP -2, pressure treated with wcter —borne preservatives,
Treat silis, hailers, blocking, furring, stripping and similar items in direct contact with masonry and
concrete.
Carpentry installation: Standards: Except as otherwise indicated, comply with 'Manual of House Framing"
Dy Not. Forest Prod. Assoc , including nailing, firestopping, anchorage, framing and bracing.

SEC T1ON 06400 - ARCHITECTURAL 'WOODWORK
See drawings for extent of work to be supplied by Tenant; G.C. to receive, unload, uncrate and install,
and provide all required blocking, anchors and electrical rough —in.
General Standard: Comply with applicable "Architectural Woodwork Quality Standards" by AIM. Standing and
Running Trim; AW, 300; Miscellaneous Work; AW 700;
' Door and Window Frames: AW 900A and 5008 for laminate fromes.
Interior wood for opaque finish: AW custom grade, kiln dried, S4S white pine.
Provide milled items in shapes, sizes and profiles indicated.
Plastic Laminate: Comply with NEMA LD -3 for type, thickness, color, pattern and finish as scheduled.
Grade: Premium, Exposed Surfaces: High pressure laminate, GP -50 (0,050" pominai thickness).
Color, rinish and Manufacturer: As selected by Architect.
Anchor woodwork to anchors or blocking built —in or directly attached to substrates. Secure to grounds,
stripping and blocking with countersunk, concealed fasteners and blind nailing as required for a complete
installation. Use fine finishing nails exposed nailing, countersunk and filled flush with woodwork.
Installation: install architectural woodwork plumb, level and straight with no distortion. Shim as
required using concealed shims. Scribe and cut woodwork to fit adjoining work. Anchor woodwork to

anchors or blocking o. , directly to substrates, using concealed fasteners.
Standing and Running Trim: install with minimum number of joints possible using full— length pieces. Cape

SECTION 07510 — BUILT —UP ROOFING AND FLAMING
All required roofing to she!l building, shall comply with landlord requirements,

Coordinate all curb work penetrations and structural reinforcing, if any, with Landlord and obtain written
confirmation that all curb details comply with requirements of Roof Warranty at site.
Comply with all Landlord requirements regarding roof traficing and access.
All cutting, patching and reroofing work shall in no way invalidate any pre — existing roof warranties:
Proceed with roofing work only after substrate construction and penetration work have been completed.

New patched roofing and fleshings at existing building shall match existing roofing in piece for type,
design and manufacturer.

Performance: It is required that roofing work be watertight for naxrlTal weather exposures, and not
deteriorate in excess of normal weathering.

SECTION 08700 — BUILDERS HARDWARE
Submit Final Hardware Schedule organized by 'Hardware sets' to indicate specifically the product to be
furnished for each item required on each door.
General Hardware Requirements: Furnish all finish hardware as required but not limited to butts, locksets,
closures, stops, thresholds, silencers, weatherstripping, cylinders master keyed, pushers, pulls, kick
plates, panic exit devices, etc. Provide panic hardware in accordance with local code requirements.
For fire- -rated openings provide UL tested and listed hardware (NFPA Standard 80)
Finish and Bose Material Designations: Finishes: 26.
Hardware Mounting Heights: Door and Hardware Institute "Recommended Locations for Builders Hardware'.
