ADDITIONAL SERVICES AMENDMENT TO
AGREEMENT FOR PURCHASE OF GOODS AND SERVICES ®at
THIS AMENDMENT TO THE GOODS AND SERVICES AGREEMENT ("Agreement") 'entered into by and
between the City of Carmel and American Structurepoint, Inc. (the "Vendor"), as City Contract Number 060210.04
dated June 2, 2010, shall amend the terms of the Agreement by adding the additional services to be provided by
Vendor consistent with the Scope of Work attached hereto and incorporated herein as Exhibit''A". Furthermore,the
terms of the Agreement shall be amended to include the E-verify requirement as stated in Indiana Code§22-5-1.7 et
seq., which is attached hereto and incorporated herein as Exhibit SB", as well as the required E-verify Affidavit,
attached hereto and incorporated herein as Exhibit "C", The terms and conditions of the Agreement shall not
otherwise be affected by this Additional Services Amendment and shall remain in full force and effect.

As we discussed, the City of Carmel has a need for additional professional services and pursuant to our current
contract with American Structurepoint, Contract#060210.04, dated June 2, 2010, I have requested and received
from you the proposed scope of services and fee estimates for the following work task:

Dear Mr. McBride:
On behalf of American Structurepoint, I am pleased to submit this proposal for Bridleboume
Subdivision drainage improvements design services.
The professional services shall include survey, design, and appraising services as described in
Exhibit A attached. Upon receiving notice to proceed from the City of Cannel, American
Structurepoint will complete the services for a lump-sum fee not to exceed $79,000 as outlined
in Appendix 3, attached. Invoices will be forwarded to the City of Cannel on a monthly basis in
accordance with our original contract.

EXHIBIT A
PRELIMINARY ENGINEERING SERVICES
A. The scope includes the following:
1. Preparation of multiple exhibits for various drainage options
2. Preliminary hydrologic/hydraulic modeling and drainage analysis for various
drainage options
3. Preparation of a preliminary opinion of probable cost of construction
4. Preparations of exhibits and PowerPoint presentations for the meetings with the City
Engineer and representatives of the homeowner's association
5. Attendance of meetings with the City Engineer and representatives of the home
owners association
II. ADDITIONAL TOPOGRAPHIC SURVEY
A. The scope includes a preliminary field survey of the dry detention pond located at the
University High School property necessary for the preparation of preliminary drainage
analysis. A private utility locate is not included in this scope.
III. SUPPLEMENTAL FIELD SURVEY AND BOUNDARY DETERMINATION
A. The scope includes preparation of the topographic and boundary survey necessary for the
preparation of design plans. Topographic and boundary survey will include three areas as
indicated on the attached exhibit of the survey limits. Surveying scope includes the
following:
1. Reestablish horizontal control
2. Reestablish vertical control (1988 datum)
3. Site topographic survey (Area 1) at maximum 50-foot interval plus 15-foot overlap
(8.2 acres)
4. Site topographic survey (Area 2) at maximum 50-foot interval plus 15-foot overlap
(0.6 acre)
5. Site topographic survey (Area 3) at maximum 50-foot interval plus 15-foot overlap
(0.6 acre)
6. Locate and invert sanitary and storm sewers on-site and immediately adjacent to the
site for purpose of design tie-in
7. Locate aboveground evidence of utilities on site plus marks on the ground by public
utility locate company and private locate
8. Land surveyor review and property line determination
9. Drafting and creation of a TIN and contours for design
10. Property research and utility call in(for public right-of-way and easements)
A private utility locate is not included in the supplemental field survey and boundary
determination scope.

IV. LAND APPRAISAL SERVICES (University High School, Obeime and Gupta Property
Easements)
A. For easements on University High School, Obeime and Gupta properties,the Professional
shall prepare exhibit drawings and legal descriptions, as needed, for the acquisition of
easements for the project by the City. The Professional shall provide abstracting,
appraising, and buying services as needed for the acquisition of easements.
V. DRAINAGE IMPROVEMENTS PLANS
A. The Professional shall prepare contract plans, special provisions for the specifications,
and opinions of probable cost for the construction of drainage improvements for
Bridleboume Subdivision, located north of the intersection of 106th Street and Shelbourne
Road in Carmel, Indiana. Drainage improvements include expansion of the existing dry
stormwater detention pond located at the University High School property, construction
of the storm sewer system between the expanded pond and the northern pond at
Bridleboume Subdivision, reconstruction of the outlet pipe for Larkspur Subdivision,
reconstruction of the outlet structure, and clearing of the outfall ditch for the southern
pond at Bridleboume Subdivision. Drainage improvements plans will be prepared in
accordance with the Drainage study recommendations previously performed by
American Structurepoint. The plans will be in accordance with the accepted standards for
such work and in accordance with the following documents in effect at the time the plans
or reports are submitted, except as modified by supplemental specifications and special
provisions, if any: the City of Carmel Standard Drawings, Hamilton County Standards
and Specifications, and the Indiana Department of Transportation's (INDOT) Standard
Specifications. The opinion of probable costs for construction will be prepared according
to the current practices of the City of Cannel and will include all types of work required
for the complete construction of the work but will not include the cost of such items of
work for which the City, through its own forces or through other party or parties, will
perform the actual construction, engineering, or other service. The unit prices to be used
will be in accordance with the methods used by the City.
The contract plans and bid documents will contain sufficient information to enable the
contractor to perform the tasks described below.
1. Drainage Improvements - Construction Plans
A. Cover sheet
B. Topographic/demolition plan
C. Overall situation plan
D. Grading and drainage plans for stormwater detention pond
E. Storm sewer plan and profile
F. Erosion and sediment control plan and Stormwater Pollution Prevention
Plan
G. Detail sheet(s) as necessary to construct above items
H. Drainage summary report and calculations
I. Special provisions/written specifications
J. Preparation of the opinion of probable cost of construction

K. Meetings: assumed to be three design meetings
L. Permitting submittal to and coordination of approvals to:
1. City of Carmel for:
a. Construction plans
b. Drainage
c. Erosion and sediment control
2. Hamilton County Drainage Board/Hamilton County Surveyor for:
a. Construction plans and drainage approval
b. Stormwater Outlet Permit
3. Indiana Department of Environmental Management (IDEM)
a. Erosion control Rule 5 NOI
4. Utility companies for water, gas, gas pipelines, electric, and telephone
B. The Professional shall attend conferences with the officials of the City and other
interested agencies, including but not limited to interested developers, local residents, and
homeowner's associations, as may be required in connection with the services. The
Professional will attend up to five meetings between the City and other agencies and/or
residents.
C. The Professional will prepare contract documents and notice to bidders for bidding with
local funds, administer distribution and sale of plans and contract documents, and
participate in evaluation of the bids for award.
D. If requested by the City, Professional shall conduct a public information meeting to
introduce the project to the public and obtain public input. The cost of preparing large
graphic displays for a public information meeting, if desired by the City, will be provided
as part of a separate Additional Services agreement between the Professional and the
City.
E. The Professional shall conduct a field check with the City and other interested parties if
desired by the City.
F. Upon completion and final approval of the services by the City, the Professional shall
deliver to the City the following:
1. One set of final approved tracings of the contract plans drawn to a suitable scale
on standard 36"x 24" sheets prepared with electrostatic printing on bond paper.
2. One complete contract book incorporating project specific quantities and
specifications into the City's standard front end documents.
3. One electronic (PDF) set of final approved tracings of contract plans and contract
book.
4. One copy of the construction opinion of probable cost
Additional general data will be issued at the mutual agreement of the Professional and the
City, and electronic files will be submitted to the City as requested. The Professional

does not authorize or assume liability for any reuse of the documents or digital materials
described in this section for any purpose other than this project and the specific use
intended unless adapted by and approved by the Professional.
G. If additional right-of-way is necessary, the Professional shall prepare exhibit drawings
and legal descriptions, as needed, for the acquisition of right-of-way for the project by the
City. The cost of such services will be provided as part of a separate supplemental
agreement between the Professional and the City.
H. In fulfillment of this Agreement, the Professional shall comply with the requirements of
the appropriate regulations and requirements of the City and other public agencies having
a legal jurisdiction over the project.
The information and services to be furnished by the City are as set out in Appendix 1,
attached to this Agreement and made an integral part hereof
J. The Professional shall begin the services to be performed under this Agreement upon
receipt of the written notice to proceed from the City, and shall deliver the work to the
City in accordance with the schedule contained in Appendix 2, attached to this
Agreement and made an integral part hereof.
K. The Professional shall receive payment for the services performed under this Agreement
as set forth in Appendix 3, attached to this Agreement and made an integral part hereof.
VI. ADDITIONAL SERVICES
A. The Professional is available to provide the following additional services if requested by
the City.
1. The Professional can provide construction inspection services as needed for
construction of the project by the City. The cost of such services will be
negotiated as part of a separate supplemental agreement between the Professional
and the City.
2. The Professional can provide construction staking, as-built survey, and private
utility locate services as needed for construction of the project by the City. The
cost of such services will be negotiated as part of a separate supplemental
agreement between the Professional and the City.
3. The Professional can provide easement vacation services as needed for
construction of the project by the City. The cost of such services will be
negotiated as part of a separate supplemental agreement between the Professional
and the City.
4. The Professional can provide environmental Phase I, Phase II, asbestos
inspections, lead testing, water testing, or any other environmental or geotechnical
reviews, reports, or analysis if needed for construction of the project by the City.
The cost of such services will be negotiated as part of a separate supplemental
agreement between the Professional and the City.

APPENDIX 1
Information and Services to be furnished by CITY
The City shall furnish the Professional with the following.
1. Assistance in obtaining property owner information, deeds, plans of adjacent developments,
section corner information, and any other pertinent information necessary to perform services
under this Agreement
2. Specifications and standard drawings applicable to the project
3. All written reviews pertinent to the project that are received by the City
4. Utility plans available to the City covering utility facilities and underground conduits throughout
the affected areas
5. Guarantee of access to enter upon public and private lands, as required for the Professional under
this Agreement
6. All legal services, as may be required for development of the project

APPENDIX 2
Schedule
All services by the Professional under this Agreement shall be completed and delivered to the City for
review and approval,if required,within the following time periods.
A. Final boundary determination and supplemental field survey to be completed within 15
days of notice to proceed
B. Preliminary plans to be completed within 30 days of completion of field survey/boundary
determination
C. Final plans and contract documents to be completed within 30 days of City's approval of
preliminary plans

APPENDIX 3
Compensation
A. Amount of Payment
1. The Professional shall receive as payment for the services performed for the Bridlebourne
Subdivision Drainage Improvements project under this Agreement a lump-sum fee of
$79,000 unless a modification of the Agreement is approved in writing by the City.
a. Preliminary engineering $15,000
b. Additional topographic survey $2,200
c. Supplemental field survey and boundary determination $5,800
d. Land appraisal services (University High School, Obeime, and
Gupta property easements) — includes preparation of legal
description and exhibits for three easements ($500 each) $20,500
e. Drainage improvements construction plans $35,500
f. Additional Services **
** Compensation for additional services, if requested by the City, will be provided as
part of a separate supplemental agreement between the Professional and the City
B. Method of Payment
1. The Professional may submit a maximum of one invoice voucher per calendar month for
services covered under this Agreement. The invoice voucher shall be submitted to the
City. The invoice voucher shall represent the value to the City of the partially completed
services as of the date of the invoice voucher.
2. The City, for and in consideration of the rendering of the engineering services provided for
in Exhibit A, agrees to pay the Professional for rendering such services the fee established
above upon completion of the services thereunder, acceptance thereof by the City, and
upon the Professional submitting an invoice and claim voucher as described above.
3. In the event of a substantial change in the scope, character, or complexity of the services
required for the project, the maximum fee payable and the specified fee shall be adjusted
in accordance with Section 2, item 2.2, Scope of Services, as set out in the original
Agreement.
