UTILITY EASEMENT AGREEMENT This Utility Easement Agreement (the "Agreement"), entered into as of the Z1 day of 0 c.-1.6 r` , 2009, by and between National City Bank (the "Grantor"), and The City of Carmel Redevelopment Commission (the "Grantee"), WITNESSES: Recitals WHEREAS,Grantor owns certain real estate more particularly depicted and/or described on Exhibit A (the "Grantor Real Estate"); WHEREAS, Grantor has agreed to grant to Grantee certain easements for the benefit of Grantee and/or the City of Carmel, Indiana (the "City"); and WHEREAS, Grantor and Grantee desire to execute this Agreement; Agreement NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which are acknowledged hereby, the parties agree as follows: 1. Easement Grant. Subject to the terms and conditions of this Agreement, Grantor hereby grants to Grantee the following easements (collectively, the "Easements"): (a) a temporary,exclusive construction easement(the"Construction Easement")for the benefit of Grantee, on,over, across, and through the Grantor Real Estate, for the purposes of constructing and installing utility boxes, transformers, switching stations, underground utility lines, and other equipment and facilities related to the provision of electricity (collectively,the"Utility Facilities"),on and over a portion of the Grantor Real Estate depicted and described as the"Utility Easement"on Exhibit B (the"Easement Area");and for no other purposes whatsoever; (b) a temporary, exclusive access easement, for the benefit of Grantee, on, over, across, and through the Grantor Real Estate, for the purposes of providing access to and from the Grantor Real Estate from and to the public streets, rights-of-way, and/or alleyways adjacent to the Grantor Real Estate while exercising its rights under the Construction Easement, and for no other purposes whatsoever; (c) a perpetual, non-exclusive easement for the benefit of Grantee and the City, on, over, across, and through the Easement Area for the purpose of maintaining the Utility Facilities on the Grantor Real Estate, and for no other purposes whatsoever; and (d) a perpetual, non-exclusive access easement for the benefit of Grantee and the City, on, over, across, and through the Grantor Real Estate for the purposes of accessing and performing maintenance of, on, in, or around the Utility Facilities, and for no other purposes whatsoever. 2. Maintenance. Grantee or the City, at its cost and expense,shall: (a) maintain the Utility Facilities in good operation and repair;and (b)repair,in a good and workmanlike manner,any damage caused as a result of the use of the Easements by Grantee or the City, or the agents, contractors, employees, invitees, or licensees of Grantee or the City. 3. Use. Grantee shall: (a) use commercially reasonable efforts to use the Easements in a manner so as not to interfere unreasonably with Grantor's business operations on the Grantor Real Estate;(b)not stage, store,or maintain any materials,facilities,or equipment in,on,or over the parking lot area of the Grantor Real Estate without the prior written consent of Grantor, except as reasonably necessary to perform Grantee's obligations under this Agreement; (c)not unreasonably interfere with access to and from the Easement Area from and to any public street; (d)comply with all governmental orders, regulations, and permits necessary to access the Easement Area and use the Easements for the purposes permitted by this Agreement;and(e)not violate any laws, ordinances, rules, regulations, or orders imposed or issued by any governmental entity or agency in the use of the Easements or performing any obligations, or exercising any rights,.under this Agreement. 4. Reserved Rights. Grantor reserves the right to: (a)use the Grantor Real Estate; and (b)access the Easement Area; for any purpose that does not interfere with the rights of Grantee under this Agreement, including,without limitation,that Grantor may plant and maintain groundcover landscaping and shrubbery over the Easement Area. 5. Insurance. Grantee shall maintain, or cause the City to maintain, liability insurance with respect to the use of the Easements. 6. Indemnification. (a) Grantee. Grantee shall indemnify and hold harmless Grantor, its directors, officers, employees, and agents from and against all claims,judgments, liabilities, losses, costs,and expenses(including,without limitation,reasonable attorneys'fees and court costs) arising from,or in connection with: (i)any: (A)storage or usage of any wastes, materials, or substances that are or become:(1)hazardous,toxic,or radioactive;and(2)regulated by any local, state, or federal law, statute, regulation, or ordinance (collectively, the "Hazardous Substances"); in, on, or about the Easement Area; or (B) transportation of any Hazardous Substances to or from the Easement Area; in either case: (A)by Grantee or any party acting on by,through,or on behalf of Grantee; and (B)except for such storage and usage of those types and amounts of Hazardous Substances as may be necessary in or for the Utility Facilities; provided that Grantee shall not stockpile Hazardous Substances; (ii)injuries to,or death of, persons, or damage to,or loss of, property,occurring in, on,or over the Easement Area caused by the negligence or willful misconduct of Grantee or any party acting by, through, or on behalf of Grantee; and (iii) the failure of Grantee to perform any of its obligations under this Agreement, or otherwise comply with the terms and conditions of this Agreement, and the exercise by Grantor of its rights and remedies with respect to such failure. (b) Grantor. Grantor shall indemnify and hold harmless Grantee and any party affiliated with Grantee and the City from and against all claims,judgments, liabilities, losses, costs,and expenses(including,without limitation,reasonable attorneys'fees and court costs) arising from, or in connection with: (i) any: (A) storage or usage of any Hazardous Substances in, on, or about the Easement Area; or (B) transportation of any Hazardous Substances to or from the Easement Area; in either case by Grantor or any party acting on by,through,or on behalf of Grantor;(ii)injuries to,or death of,persons,or damage to,or loss of, property, occurring in, on,or over the Easement Area caused by the negligence or willful misconduct of Grantor or any party acting by, through, or on behalf of Grantor; and (iii) the failure of Grantor to perform any of its obligations under this Agreement,or otherwise comply with the terms and conditions of this Agreement,and the exercise by Grantee of its rights and remedies with respect to such failure. (c) Survival. The terms and conditions of this Section shall survive the termination of this Agreement. 2 7. Risk of Loss. The use of the Easements and access to the Easement Area by Grantee shall be at its sole risk. All personal property, including, without limitation, equipment and machinery, placed on, or moved or brought onto, the Easement Area by Grantee or any party acting by, through, or on behalf of Grantee shall be at the sole risk of Grantee and/or the owner of such personal property,and Grantor shall not be liable for any theft or damage to such personal property, except to the extent caused by the gross negligence or willful misconduct of Grantor or any party acting by, through, or behalf of Grantor. Subject to Section 9, Grantor shall not be liable to Grantee for any denial of access to the Easement Area by any third party. 8. Binding Effect. The Easements shall be appurtenant to the Grantor Real Estate,and the obligations imposed pursuant to this Agreement shall run with the Grantor Real Estate. This Agreement shall bind, and inure to the benefit of, the Grantor and Grantee. No member of the public or any party other than Grantee shall have any right to make a claim against the Grantor under this Agreement. Accordingly:(a)only Grantee shall have a right to make a claim against the Grantor under this Agreement;(b)all claims against the Grantor under this Agreement or with respect to the easements granted under this Agreement shall be made exclusively by Grantee; and (c) no member of the public or other party shall be deemed to be a third party beneficiary of this Agreement. 9. Disclaimers. Grantee acknowledges that the Easement Area shall be in"as-is,where-is"condition, without any representation or warranty. Grantor hereby expressly disclaims any and all warranties, express or implied, relating in any way to the Easement Area, including, without limitation, any warranty provided for under statutory or corn mon law, except that Grantor hereby expressly warrants and represents that it has fee simple title to the Grantor Real Estate. 10. Miscellaneous. This Agreement shall be governed by, and construed in accordance with,the laws of the State of Indiana. The invalidity or unenforceability of any term or condition of this Agreement shall not affect the validity and enforceability of any other term or condition. Each of the undersigned certifies that: (a)he or she is a duly authorized representative of Grantor or Grantee,as the case may be; (b)he or she has been fully authorized and empowered to execute and deliver this Agreement;and (c)Grantor or Grantee, as the case may be, has full capacity to assume and agree to perform all of the obligations to be performed by the terms of this Agreement. All exhibits are attached hereto and incorporated herein. This Agreement may be executed in separate counterparts, each of which when so executed shall be an original, but all of which together shall constitute but one and the same instrument.
