Proposal for Design Services for the
Exterior & Interior Signage Design of the Concert Hall
Section 1: Project Understanding
1.1 Kiku Obata & Company will design a functional exterior & interior signage program that will
complement the architectural integrity of the new Carmel Performing Arts Center.

Section III: Scope of Services
3.1 Pre - Design
Services consisting of consultation to establish and document the following detailed
requirements for the project:
.01 In -house project start -up meeting
.02 Establish design objectives, limitations, criteria, and schedule with Owner
.03 Conduct interviews to determine functional criteria, operational requirements,
information hierarchy, sequence, pedestrian vs. vehicular, legibility, changeability,
static vs. electronic, illumination, specialized needs
.04 Conduct interviews to determine image criteria, character of surroundings, marketing
and promotional goals, relation to competitors
.05 Audit existing or past systems, gather background information, photos, code
information
.06 Receive drawings and design information from consultant team
.07 Analyze information, establish list of objectives, and define problem
.08 Establish wavfinding strategy
.09 Agree with Owner upon deliverables required, review number of presentations, and
submittal process
.10 Establish fabrication budget and bidding requirements
.11 Present above materials for discussion and evaluation by Owner
.12 Obtain Owner sign -off on pre- design phase

During this phase, we will establish the overall design concept for the project.
.01 Consider possible design approaches and begin initial design concepts
.02 Investigate image aspects needed to develop concept: form, details, logo, color,
imagery, and pattern
.03 investigate functional aspects needed to develop concept: nomenclature, typography,
symbols, and wayfinding
.04 Develop preliminary location plans, general locations, hierarchy of typical sign types,
assign sign numbers
.05 Develop preliminary concepts for major sign types
.06 Coordinate needs for lighting, power, and structural support with consultant team
.07 Present the above materials for discussion and evaluation by Owner
.08 Obtain Owner sign -off on Schematic Design phase
3.3 Design Development
Based on the approved schematic design documents, and any adjustments in the project,
schedule or construction budget, Kiku Obata & Company will prepare for the Owner
documents that fix and describe the design of the project. The following areas /items will be
covered:
.01 Finalize all image aspects of the program
.02 Finalize all functional aspects of the program
.03 Refine selected concepts for signage and wayfinding
.04 Finalize message schedule and sign location plan
.05 Update project budget estimate
.06 Continue coordination with other consultants and architect
.07 Present the above materials for discussion and evaluation with Owner
.08 Prepare outline specifications
.09 Review project schedule
.10 Coordinate and art direct artwork, photography or illustration, if required; obtain sign -
off from Owner on budget and usage rights if not in original scope of work
.11 Research materials and pricing
.12 Prepare design development presentation; review with Owner;
obtain sign -off from Owner
3.4 Fabrication Documentation
Based on the approved design development documents, we will prepare for approval by the
Owner documents consisting of drawings and specifications setting forth in detail the
requirements for the fabrication of the project. These documents will consist of, but not be
limited to:
.01 Sign location plans
.02 Message schedules
.03 Design intent drawings with information on sizes, dimensions, materials, fabrication
techniques, typography, colors, hardware, installation, and typical mounting heights
for all sign types
.04 Finalize specifications

.05 Make sure drawings are coordinated with consultants, on electrical, structural, lighting,
etc.
.06 Update project schedule
.07 Obtain sign -off by Owner on schedule, specifications, drawings, message schedules
and location plans
3.5 Bidding or Negotiation
Upon approval of the fabrication documents, we will assist the Owner in obtaining bids or
negotiated proposals and assist in awarding and preparing contracts for fabrication. Services
provided are:
.01 Pre- qualify bidders and issue suggested bid list to Owner
.02 Attend pre -bid conference
.03 Respond to questions from bidders and provide clarification or interpretation of the
bidding documents
.04 Prepare and distribute of addenda as required during bidding
.05 Assist Owner with review of bids or proposals and make recommendations
3.6 Fabrication Administration
.01 Attend kick -off meeting with selected fabricator
.02 Review shop drawings and sample submissions for the purpose of checking for
general conformance with information given and the design concept expressed in the
contract documents
.03 Visits to the fabricator's shop at intervals appropriate to the stage of work or
otherwise agreed upon with the Owner and Kiku Obata & Company in writing
.04 Visits to the site at intervals appropriate to the stage of work, or otherwise agreed
upon with the Owner and Kiku Obata & Company in writing
.05 Perform detailed inspection with Owner's representative, contractor/
fabricator /installer representatives, to determine conformity of the work to the
contract documents. Prepare list o items to be completed or corrected.
.06 Perform final inspection with Owner's representative upon notice that the work is
ready for final inspection and acceptance to verify that all items have been completed.
.07 (Additional services) Artwork provided as part of the basic services will include
artwork for all signs where type is most prevalent. Artwork for specialty signs and
mapping is not part of the basic services, and will be prepared on an hourly basis.
Kiku Obata & Company will prepare final artwork in Macintosh platforms. As part of
the specification, it will be the fabricator's responsibility to pay for translation of
supplied disks into another format other than those provided by Kiku Obata &
Company.

Section IV: Standard Terms and Conditions of Agreement
4.1 Project Commencement
Upon acceptance by Owner of this contract to provide professional design services.
4.2 Project Restart Fee
Because of substantial cost incurred by Kiku Obata & Company to stop and restart
a project once it is underway, should this project's progress be halted at any time
for forty five (45) or more days by Owner for any reason, a project restart fee of
S1,000.00 will be charged to cover administrative and personnel rescheduling costs.
4.3 Invoices
Fees for our services are commensurate with the services performed and are a
function of efforts expended, knowledge applied, results obtained, and work
produced, plus out -of- pocket costs. Invoices will be rendered regularly and are due
and payable upon receipt. A late charge of up to 1.5% per month may be charged
on the unpaid balance if any invoice, or portion thereof, should remain unpaid for
more than thirty (30) days after the invoice date.
We reserve the right to suspend work for a client with charges remaining unpaid for
more than forty -five (45) days. We will not be responsible for any losses incurred as
a result of any such work stoppage. If suit or action for payment is brought, Owner
agrees to pay all costs of collection, including, but not limited to, attorney fees and
court costs.
4.4 Insurance
Kiku Obata & Company is protected by Worker's Compensation, Professional
Liability and General Liability Insurance. Insurance verification is available upon
request. if Owner requires additional coverage, Owner will reimburse Kiku Obata
& Company for increased premiums. Kiku Obata & Company will not be
responsible for any loss, damage, liability, costs or expenses (including, without
limitation, attorney's fees) arising from Owner's acts, errors, and omissions; or
those by Owner's consultants, contractors, and agents; or from those of any person
for whose conduct Kiku Obata & Company is not legally responsible. Owner
hereby agrees to hold Kiku Obata & Company harmless with respect thereto and
indemnify Kiku Obata & Company with respect thereto.
4.5 Reimbursable Expenses
The following costs will be billed with a 10% service charge to cover handling:
transportation and other travel related expenses, illustration, reproduction of
drawings and documents, presentation materials, long distance telephone calls,
photography, computer disks and outside consultants. Backup will only be provided
if requested.

Drawings, calculations, and specifications, as instruments of services, are the
property of Owner whether the Project be executed or not. Owner hereby agrees to
indemnify Kiku Obata & Company and hold it harmless from all liability, loss,
costs, damages, or expense arising out of, based upon, or related to the use of said
drawings, calculations and specifications for any purpose other than the Project
described herein. Kiku Obata & Company will confer ownership of rights to
designs when al invoices are paid in full.
4.7 Owner Signatures at Various Stages in the Project
Beginning with the date of project initiation, all drawings produced under this
agreement will be signed by an authorized representative of Owner at intervals
determined by the overall project schedule.
4.8 Sealed Drawings
Kiku Obata & Company will not seal drawings produced for any phase of this
project under the terms of this agreement until all invoices billed up to that point in
the project have been paid in full.
4.9 Publicity
Kiku Obata & Company has the right to photograph the above named project and
to use the photographs in the promotion of the professional practice through
advertising, public relations, brochures or other marketing materials. Kiku Obata &
Company will publicly reveal project information only with Owner's prior approval.
4.10 Asbestos & Hazardous Waste
Kiku Obata & Company does not perform services related to the identification,
containment, or removal of asbestos or hazardous waste, nor will it assume liability
for any damages or costs related to these materials.
4.11 Fee Guarantee
This contract is valid only if signed by both parties within thirty (30) days of this
agreement, unless officially extended by both parties in writing.
4.12 Lien
Owner acknowledges that it has secured legal rights to the property upon which the
project will be built. Owner further acknowledges that non - payment of fees owed
under this agreement will result in a mechanics lien being placed on the property
upon which the project is /will be located.
4.13 Agreement Termination
This agreement may be terminated upon seven (7) days written notice by either
party, if the other party fails to perform by the terms and conditions stated in this
document. In the event of either termination or project suspension, Owner will pay
Kiku Obata & Company for services performed and reimbursables incurred to
date.

4.14 Changes in Scope
Any changes requested in the services provided under this agreement must be
approved in writing by Owner and Kiku Obata & Company before Kiku Obata &
Company will proceed with such work.
4.15 Indemnification
Owner shall indemnify and hold harmless Kiku Obata & Company and its
directors, shareholders, agents, employees and personnel from and against any and
all claims, damages, losses and expenses (including reasonable attorney fees) arising
out of or resulting from the performance of these services, provided that any such
claim, damage, loss or expense is caused in whole or in part by the act, omission,
and /or strict liability- of Owner, anyone directly or indirectly employed by Owner
(except Kiku Obata & Company), or anyone for whose acts any them may be
liable.
4.16 Compensation
We are pleased to submit the following cost proposal for this project. Our fees are based on
our understanding of the project, scope of work and scope of services listed in this proposal.
We estimate the following fees based on our hourly rates:

Reimbursable expenses will be billed in addition to the fees outlined above. For the work
described in the scope of services, Kiku Obata & Company will be compensated as
provided herein.
This agreement constitutes the entire understanding between Owner and Kiku Obata &
Company, and may only be modified by a written instrument signed by both Owner and
Kku Obata & Company. The effective date of the firm's agreement with Owner will be
the date Kiku Obata & Company receives a signed copy of this agreement as Notice to
Proceed with the work. Please indicate your acceptance of this agreement by signing where
indicated below.

with the following revised scope of services:
Section 3.6.07 of original contract dated December 8, 2009 notes:
"It is noted that artwork for specialty signs and mapping is not part of the basic services and will be prepared on an hourly basis."
This change order is for these services.
A) Background artwork for interior signs. Eleven pieces of artwork were created. Estimate of 95 hours @$110.00 /hour = $10,450.00
B) Artwork for 21 Evacuation Maps at elevators. Estimate of 37.5 hours @ $110.00 /hour = $3,300.00
C) Artwork for exterior and interior signage for Cafe and Gift Shop. Estimate of 30 hours = $3,300.00
