William E. Foreman and Marcia A. Foreman (jointly and severally, the "Seller"), hereby
bargain, sell,convey,and grant to The City of Carmel Redevelopment Commission(the"Purchaser"), for the
sum of $1.04 and other good and valuable consideration, the receipt and sufficiency of which are
acknowledged hereby, all of its right, title, and interest in and to all equipment, machinery, fixtures, supplies,
tools, and other tangible personal property of Sellers that is: (a) located on that certain real estate located in
Hamilton County,Indiana,as more particularly described in Exhibit A,attached hereto and incorporated herein
by reference(the"Real Estate"); (b)attached to the Real Estate;or(c)used in connection with the Real Estate
or any improvements located thereon or attached thereto (the"Property"); to have and to hold in fee simple
forever.
Sellers represent and warrant to Purchaser that:(a)Sellers have good and merchantable title
to the Property,and have the right to convey the Property; (b) the Property is sold to Purchaser free and clear
of all liens, security interests, and encumbrances; (c) Sellers shall warrant and defend title to the Property
against any and all claims of any kind or nature asserted by any persons or entities; and (d) Sellers shall
deliver possession of the Property to Purchaser on the date hereof.
Sellers certify that they have full capacity and authority to execute and deliver th s Bill of Sale.
IN WITNESS WHEREOF, Seller has executed this Bill of Sale on this 4,1 day of

with their transfer of certain real estate located in Hamilton County, Indiana, as more particuiarly described
in Exhibit A, attached hereto and incorporated herein by reference (the 'Real Es:ate"), to The City of Carmel
Redevelopment Commission ("CRC"), certify that each of the representations and warranties of the Sellers
set forth in Section 10 of that certain Purchase Agreement entered into by and between the Sellers and CRC
are true and correct in all respects as of the date hereof
