Hays and Laurence Grabb(the"Sellers"), hereby bargain, sell, convey, and grant to the City of Carmel Redevelopment Commission (the "Purchaser"), for the sum of$1.00 and other good and valuable consideration,the receipt and sufficiency of which are acknowledged hereby,all of the right,title,and interest of Seller in and to all fixtures (the "Property") that are attached to that certain real estate located in Hamilton County,Indiana,as more particularly described in Exhibit A,attached hereto and incorporated herein by reference (the "Real Estate"); to have and to hold in fee simple forever; provided that in no event shall "Property" include any equipment, machinery, fixtures, or other tangible personal property that is owned by any tenant of the Real Estate. Sellers represent and warrant to Purchaser that:(a)Sellers have good and merchantable title to the Property, and have the right to convey the Property; (b)the Property is sold to Purchaser free and clear of all liens,security interests,and encumbrances;and(c)Sellers shall warrant and defend title to the Property against any and all claims of any kind or nature asserted by any persons or entities. Sellers certify that they have full capacity and authority to enter into and carry out their obligations under this Bill of Sale.
