Environmental Indemnity Agreement ENVIRONMENTAL INDEMNITY AGREEMENT
-r' This Environmental Indemnity Agreement (the "Agreement") is executed thiseday
of ,2007, by and between The City of Carmel Redevelopment Commission ("CRC")and
Pedcor Residi?fitial, LLC ("Pedcor").
1. Definitions. The following terms shall have the meanings set forth in this Section:
Contamination shall mean contamination of the Project Site,or the groundwater thereunder, by Hazardous
Substances in violation of Laws.
CRC Affiliate shall mean any person or entity acting by,through,or under CRC, including,without limitation,
any person or entity other than Pedcor or a Pedcor Affiliate leasing the Project Site from or occupying the
Project Site with the knowledge and consent of, CRC; provided that neither Pedcor nor any Pedcor Affiliate
shall be deemed to be within the definition of CRC Affiliate.
CRC Contamination shall mean Contamination that first occurred after the Effective Date,to the extent that
such Contamination is caused by CRC or any CRC Affiliate,including,without limitation,Contamination that
results from migration of Hazardous Substances from other property to the Project Site after the Effective
Date, to the extent that CRC or a CRC Affiliate is responsible for: (a) the existence of the Hazardous
Substances on the property from which such Hazardous Substances migrated; or (b)the migration of the
Hazardous Substances to the Project Site.
CRC Required Remediation shall mean all work required so that the CRC Contamination is remediated or
mitigated in compliance with the Laws.
Effective Date shall mean the date on which this Agreement is executed.
Environmental Contractor shall mean SESCO.
EPA shall mean the United States Environmental Protection Agency.
Existing Contamination shall mean Contamination that existed as of the Effective Date, regardless of the
person or entity responsible for such Contamination.
Hazardous Substances shall: (a)have the meaning set forth in,and include those substances listed under:
(I)the Comprehensive Environmental Response, Compensation and Liability Act; and (ii)the Clean Air Act,
and the regulations promulgated under each of the foregoing (all as amended from time to time);(b)include
"oil", "waste oil", and "used oil", as such terms are defined in: (i) the Clean Water Act; (ii) the Resource,
Conservation and Recovery Act;and(iii)the Oil Pollution Act of 1990;and the regulations promulgated under
each of the foregoing (all as amended from time to time);and(c)include any other pollutant or contaminant:
(1)designated as such (or as a "hazardous material")by Congress or the EPA;or(ii)defined as such (or as
a "hazardous material")by any other Law.
Laws shall mean all applicable federal,state,or local laws,statutes,ordinances,rules,or regulations,or any
orders or decrees of any court, agency, or regulatory body.
Liabilities shall mean claims, liabilities,judgments, injuries,losses, damages, costs, expenses,fines,and
penalties (including, without limitation: (a) reasonable attorneys'fees and costs of defense; and (b) costs
associated with:(i)clean-up,abatement,removal,remediation,or implementation of corrective action at,on,
or under the Project Site; (ii)encapsulation or treatment of any Hazardous Substance;and (iii)the discharge
of any lien on the Project Site).
Migrating Contamination shall mean Contamination that results from migration of Hazardous Substances
from other property to the Project Site,except to the extent that Pedcor or a Pedcor Affiliate is responsible for:
(a) the existence of the Hazardous Substances on the property from which such Hazardous Substances
migrated; or (b) the migration of the Hazardous Substances to the Project Site; provided that Migrating
Contamination shall not include Contamination that falls within the definition of CRC Contamination.
Pedcor Affiliate shall mean any person or entity acting by, through, or under Pedcor, including, without
limitation,any person or entity leasing the Project Site from,or occupying the Project Site with the knowledge
and consent of, Pedcor.
Pedcor Contamination shall mean Contamination that first occurred after the Effective Date,to the extent
that such Contamination is caused by Pedcor or any Pedcor Affiliate, including, without limitation,
Contamination that results from migration of Hazardous Substances from other property to the Project Site
after the Effective Date, to the extent that Pedcor is responsible for: (a) the existence of the Hazardous
Substances on the property from which such Hazardous Substances migrated; or (b)the migration of the
Hazardous Substances to the Project Site.
Pedcor Required Remediation shall mean all work required so thatthe Pedcor Contamination is remediated
or mitigated In compliance with the Laws.
Project Agreement shall mean that certain"Project Agreement"executed by and between CRC and Pedcor
of even date herewith.
Project Site shall mean that certain real estate depicted and/or described on Exhibit A. The Project Site is
the"Project Site" under the Project Agreement.
Settlement Agreement shall mean that certain Settlement Agreement executed by and between CRC and
Amoco, a copy of which is attached to the Project Agreement as Exhibit H.
Settlement Remediation shall mean the remediation required pursuant to the Settlement Agreement. The
Settlement Remediation is the Required Remediation" under the Project Agreement and the Settlement
Agreement.
2. Remediation.
(a) CRC. If there is CRC Contamination, then CRC promptly shall perform the CRC
Required Remediation.
(b) Pedcor. If there is Pedcor Contamination,then Pedcor promptly shall perform the •
Pedcor Required Rem ediation.
(c) Standards. The CRC Required Remediation or the Pedcor Required Remediation
shall be conducted: (i) by licensed and reputable contractors pursuant to written plans
approved by the agency or authority in question (if applicable);and(ii)under proper permits
and licenses(if applicable). CRC or Pedcor shall maintain customary insurance coverages
in connection with the CRC Required Remediation or the Pedcor Required Remediation,
respectively. All costs and expenses incurred in connection with the CRC Required
Remediation or the Pedcor Required Remediation promptly shall be paid by CRC or Pedcor,
respectively.
3. Indemnification.
(a) CRC. CRC hereby covenants and agrees to indemnify and hold harmless Pedcor
from and against any and all Liabilities that may be incurred by,asserted against,or imposed
on Pedcor as a director indirect result of:(i)Existing Contamination;(ii)CRC Contamination;
(iii) Migrating Contamination; (iv) the failure of CRC or the Environmental Contractor to

complete the Settlement Rem ediation in accordance with the terms and conditions of the
Settlement Agreement;or(v)the enforcement by Pedcor of the terms and conditions of this
Agreement with respect to the obligations of CRC.
(b) Pedcor. Pedcor hereby covenants and agrees to indemnify and hold harmless CRC
from and against any and all Liabilities that may be incurred by,asserted against,or imposed
on CRC or as a direct or indirect result of: (i) the Pedcor Contamination; or (ii) the
enforcement by Pedcor of the terms and conditions of this Agreement with respect to the
obligations of CRC.
(c) Continuation. The indemnities set forth in this Agreement shall be deemed
continuing indemnities for the benefit of the party to be indemnified and its successors and
assigns.
4. Defaults. CRC or Pedcor shall be in default under this Agreement if CRC or Pedcor, respectively,
fails to perform any obligation required by this Agreement to be performed by it. In the event of such a default,
the non-defaulting party shall be entitled to exercise any and all remedies available to it at law or in equity;
provided that no exercise of any single remedy by the non-defaulting party shall preclude the subsequent
exercise of any other remedies available to the non-defaulting party.
5. Notice. Any notice required or permitted to be given by either party to this Agreement shall be in
writing,and shall be deemed to have been given when:(a)delivered in person to the other party; (b)sent by
facsimile, with electronic confirmation of receipt; or (c) sent by national overnight delivery service, with
confirmation of receipt,addressed as follows:to CRC at City of Carmel, Indiana,One Civic Square,Carmel,
Indiana 46032, Facsimile:317-844-3498,Attn:Les Olds,with a copy to:Karl P.Haas,Esq.,Wallack Somers
& Haas, One Indiana Square, Suite 1500, Indianapolis, Indiana 46204, Facsimile: 317-231-9900; and to
Pedcor at 770 3rd Avenue Southwest, Carmel, Indiana 46032, Facsimile: 317-587-0340,
Attn: Kathleen D. Back and Bruce Cordingley.
6. Miscellaneous. This Agreement:(a)constitutes the entire agreement between CRC and Pedcorwith
respect to the subject matter hereof; and (b) may be modified only by a written agreement signed by both
parties. The invalidity, illegality, or unenforceability of any one or more of the terms and conditions of this
Agreement shall not affect the validity,legality,or enforceability of the remaining terms and conditions hereof.
This Agreement shall be governed by, and construed In accordance with, the laws of the State of Indiana.
All Exhibits to this Agreement are attached hereto and incorporated herein by reference. This Agreement may
be executed in counterparts,each of which shall constitute an original,but all of which,when taken together,
shall constitute but one instrument.
